New Delhi, <keyword id="95677" type="General" weightage="20" keywordseo="Jubilant-Foodworks" source="Orion">Jubilant Foodworks</keyword> Ltd on Tuesday said it plans to acquire an additional 51.16 per cent stake in DP Eurasia NV, the exclusive master franchisee of the Domino's Pizza brand in Turkey, Azerbaijan and Georgia, through a subsidiary for a consideration of up to EUR 73.36 million (nearly Rs 670 crore). Jubilant Foodworks Netherlands B.V (JFN), the company's wholly-owned arm holds 48.84 per cent ordinary shares of DP Eurasia -- which is the largest pizza delivery company in Turkey, Jubilant Foodworks Ltd (JFL) said in a regulatory filing. JFN proposes to acquire, through any permissible mode including open offer, market purchase, the entire issued and outstanding ordinary share capital of DP Eurasia NV not already held by it at a price of up to 85 pence per share from existing shareholders of DP Eurasia, the filing added. "Aggregate purchase consideration shall be up to EUR 73.36 million approximately," it said adding it would be an all-cash consideration. DP Eurasia, together with its subsidiaries, offers pizza delivery and takeaway/eat-in facilities at its 694 stores (678 in Turkey, 10 in Azerbaijan and 6 in Georgia as on October 31, 2023), JFL said, adding it operates an asset-light, scalable business through franchised stores contributing 88 per cent to the overall stores. "It is the largest pizza delivery company in Turkey. In addition to the pizza business, the group also has its own coffee brand, COFFY, which trades from 67 stores at period-end, 78 per cent of which are franchised," the filing said. For funding the acquisition, JFN would be using a combination of existing term-loan facility availed from HSBC, which is backed by corporate guarantee issued by JFL and avail a new long-term facility from HSBC, again backed by corporate guarantee to be issued by JFL in favour of HSBC, the filing said. JFL said it will guarantee the repayment obligations of JFN towards HSBC up to an amount of EUR 60 million in addition to the existing guarantee amounting to EUR 45.89 million issued by it for securing the repayment obligations of existing term-loan facility availed by JFN from HSBC.

One of India’s largest retailers <keyword id="2407038" type="General" weightage="50" keywordseo="dmart" source="Orion">DMart</keyword> has added 50 new stores last year – it’s highest ever. Many more retailers are hitting the historic store-addition highs. For instance <keyword id="158137" type="General" weightage="50" keywordseo="domino" source="Orion">Domino</keyword>’s, run by <keyword id="95677" type="General" weightage="50" keywordseo="jubilant-foodworks" source="Orion">Jubilant FoodWorks</keyword> in India, opened 58 new stores across 12 cities in the first quarter of this year. At least ten top retailers have said that they are looking at rapid expansion. “Brick-and-mortar retail to grow at 14-16% this fiscal, driven by continued expansion across segments – food, grocery, apparel and consumer durables – and return to normalcy from the Covid-19 pandemic,” said a research report by CRISIL. In the last fiscal, store expansion was higher at 21%, the report noted. These store additions will drive revenue growth of 18-20% this fiscal year and the full impact of the expansion will be seen in the next few years. The investments by retailers are expected to go up by 8-10% this year, with the apparel segment expected to lead this growth. “Companies stated that a strong recovery was witnessed during the (first) quarter on the back of improved footfalls and receding impact of Covid. As a result, companies are now resuming with their store expansion plans,” said a report by Motilal Oswal. CRISIL also said that the credit metrics of retailers support their expansion plans. “The credit ratio moderated in FY21 reflecting pandemic impact. Waning of pandemic-related disruptions resulted in sharp recovery in FY22,” it said. Brick-and-mortar expands online too However, not all their expanded investments will go into physical stores, as most of them are keen on providing a hybrid experience. Brick-and-mortar retailers are growing their online presence with apps, warehouses and more – likely fuelling growth in e-retailing as well. Last year, e-retailing grew at 26%, and this year, it’s poised to grow anywhere between 27-32%, according to CRISIL. The rating agency also said that omnichannel strategy will be the way forward as lower footfalls in stores can be compensated by higher online sales. Retail footfalls are still at 85-90% of their pre-pandemic levels . “Stores can display limited inventory. Hence, an omnichannel is a must,” the report said. Retailers will tend to push last-season merchandise online at higher discounts. Major store additions are also planned in tier II, III and IV cities, where retail penetration is lower than the national average that stands at 0.8 stores per million people. “Different store formats are being adopted in tier II and tier III cities. Usually, the store size is much smaller. The foray into the Biryani segment has also been appreciated by market analysts as the food item is one of the most popularly ordered dishes across e-commerce as well as sit-in restaurants. “Biryani is one of the most popular dishes and a large category in India— it lends well to delivery, sells well across lunch/dinner, appeals across demographics and offers scale and robust profitability/return metrics,” said a report by Kotak Securities. The report further said that there are three factors to keep in mind for Jubilant’s new offering – the pricing is attractive, the economics that can be achieved with Biryani is comparable to that of Domino’s, however, while Domino’s has a consistent taste offering through its pizza, managing the same with biryani could be a difficult task as it will also depend on the chefs hired. And, the company will also face competition from established brands like Biryani By Kilo, Behrouz Biryani, Biryani Bluez as well as traditional biryani outlets across different cities which have a brand legacy working for them like Hyderabad’s Paradise Biryani, among others. “JFL is opening three restaurants in Gurgaon for Delivery, Takeaway and Dine-In, with more restaurants planned to open in NCR over the next few months. In our view, this is a positive move by the company, which would help JFL to boost the revenue growth significantly going ahead,” said Amarjeet Maurya, AVP, Mid Caps, Angel Broking. Last year in March 2019, Jubilant Foodworks had also forayed into the Chinese food segment with its own brand – Hong’s Kitchen. Having started with a single outlet in Gurugram, the brand has scaled to five more stores. <ul><li>Goldman Sachs maintained ‘Sell’ rating on <keyword id="95677" type="CITY" weightage="20" keywordseo="Jubilant-FoodWorks">Jubilant Foodworks</keyword>, which sells Domino’s pizza in India. </li><li>Aggressive growth plan of food delivery aggregators like <keyword id="6358977" type="UNKNOWN" weightage="20" keywordseo="swiggy">Swiggy</keyword> and <keyword id="830092" type="COMPANY" weightage="20" keywordseo="Zomato">Zomato</keyword> as a risk for Domino’s sales, according to analysts.</li><li>Swiggy is now delivering in over 200 Indian cities, while Zomato is in more than 300 cities. </li></ul>Indian foodtech giants Swiggy and Zomato both house Domino’s in their list of restaurants to order from, but it seems the aggressive growth plans of the two delivery firms will leave Domino’s hungry for revenue. The share price of Jubilant Foodworks, which sells Domino’s and Dunkin Donuts in India, has plunged over 12% in the last three months. Goldman Sachs maintained ‘Sell’ with a price of ₹1,129 for shares of Domino’s parent company Jubilant FoodWorks. It said, “Dominos will find it challenging to deliver double digit same-store sales growth in FY20/21,” citing risk from aggressive expansion of Swiggy and Zomato in smaller Indian cities. Domino’s has over 1,227 restaurants in over 270 cities. Jubilant Foodworks had reported an operational revenue of ₹35.3 billion in FY19 as compared to ₹29.8 billion in FY18. Meanwhile, ICICI Securities in its report has pointed out that the “aggressive discounting by food aggregators over the past few months continues to impact the dine-in industry and Jubilant Foodworks’ dine-ingrowth in the top-10 cities”. Swiggy is present in over 200 cities while Zomato has gone beyond 300 cities in India. Their deep dive approach into tier-2 and tier-3 cities could result in Indians preferring to order in instead of going to restaurants to eat, something that has helped Domino’s same store sales so far. In the US too, Domino’s saw a similar turn of events, with food delivery aggregators like DoorDash, UberEats, GrubHub with their deep discounts and variety of options, impacted the sales of Domino’s. Swiggy and Zomato are eating into Domino's slice of profit

This may be because Indians prefer pizzas to burgers, but the more plausible reason could be that Domino’s is profiting off the bitter legal battle that McDonald’s franchise operator in India is embroiled in. The McDonald’s Downfall Led by <keyword id="193724" type="PERSON" weightage="20" keywordseo="Vikram-Bakshi">Vikram Bakshi</keyword>, Connaught Plaza Restaurants Pvt. Ltd (CPRL), a 50:50 joint venture between him and McDonald's India, runs 169 outlets in North and East India. A nasty legal battle ensued when McDonald's proposed to buy out Vikram Bakshi’s (MD, Connaught Plaza Restaurants Pvt. Ltd.) stake in 2008. They offered him $5 to 7 million but Bakshi wanted $100 million after Grant Thornton valued CPRL at $331million. In August 2013, McDonald’s ousted Bakshi as managing director of CPRL over alleged financial irregularities. Bakshi in-turn filed a complaint with the Company Law Board (now the National Company Law Tribunal or NCLT) in September 2013 claiming that McDonald’s was trying to strong-arm him into selling his share to them at a lower valuation. In July 2014, <a href="https://www.livemint.com/Companies/PJVjPgc9oU6dtUFoNbRfcN/NCLT-reinstates-Vikram-Bakshi-as-MD-of-McDonalds-joint-vent.html">NCLT reinstated Vikram Bakshi as MD</a> of CRPL. In June 2017, <a href="https://qz.com/1058465/want-to-know-why-mcdonalds-may-shut-down-in-half-of-india-ask-its-first-indian-business-partner/">43 outlets of the fast-food chain were closed</a> in the capital following the expiry of its eating house licences. In August 2017, McDonald’s terminated its agreement with CPRL, though the Indian venture has kept running its 169 outlets while the dispute is being examined by the courts. In the middle of all this, <a href="https://timesofindia.indiatimes.com/business/india-business/over-half-of-mcds-outlets-close-down-in-north-east-india/articleshow/62246480.cms">in December 2017</a>, burger-loving Indians woke up to a rude shock when 84 McDonald’s in North and East India were shut down after its supply chain partner Radhakrishna Foodland discontinued supplies due to the alleged non-payment of dues. Most of the outlets subsequently reopened a month later. “Our growth has completely petered off,” Vikram Bakshi told The Economic Times. However, not all is bleak for McDonald’s. <keyword id="6211434" type="COMPANY" weightage="20" keywordseo="Westlife-Development-Ltd-">Westlife Development Ltd.</keyword>, the other McDonald’s franchise partner that runs 271 stores in the Southern and Western parts of India plans to expand to as many as 500 outlets by 2022, according to a company spokeswoman. Domino’s Jubilant Story With all this unfolding, it is but natural that rivals like Domino’s, KFC, Burger King and Subway have been able to make hay while McDonald's sun has dimmed. In 2013, while Bakshi was busy fighting McDonald’s, Domino’s conveniently overtook McDonald’s as India’s largest fast-food brand. According to <a href="https://economictimes.indiatimes.com/industry/cons-products/food/mcdonalds-has-a-legal-problem-in-pizza-loving-india/articleshow/63498024.cms">the Economic Times</a>, shares of India’s Domino’s Pizza operator Jubilant FoodWorks Ltd. have more than doubled in the past year. And this year, it is slated to open up at least 30 additional outlets to add to its 1,127-strong network across 265 cities. According to a transcript of a conference call between analysts and investors and Chief Financial Officer (CFO) of Jubilant FoodWorks, Pratik Pota, the CFO said, “There is significant potential for the pizza business in the country, and we are committed to leveraging that potential.” As a result of India’s growing economy and its youth population, the market for fast-food in India is expected to expand 5.8 percent to $21.2 billion this year -- a 50 percent jump since 2008 -- according to Euromonitor International, a market research firm. Until McDonald’s promoters in India can resolve their dispute, which looks unlikely at the moment, its competitors can continue to forge ahead.

Battle of the fast food brands: How Domino’s is cashing-in on McDonald’s weak position

<keyword id="95677" type="CITY" weightage="100" keywordseo="Jubilant-FoodWorks">Jubilant FoodWorks</keyword>, the parent firm of Domino's Pizza in India, has come up with a programme because of which one can expect differently-abled employees in the company’s managerial roles in the coming years. 
 As a part of the programme, the company plans to have one differently-abled worker in tier-1 city outlets with 25 or more employees, said <keyword id="3371193" type="UNKNOWN" weightage="100" keywordseo="Biplob-Banerjee">Biplob Banerjee</keyword>, executive VP (HR and CSR), Jubilant FoodWorks. 
 
Jubilant FoodWorks is now one of the several companies in the country that want to hire people with disabilities and train them for managerial roles. 
 
IBM India, for example, has four-hour sessions for senior employees, making them aware about unconscious bias while also stressing on the need to include more differently-abled employees in the workforce. 
 
"Differently-abled employees bring in a diversity of thought to the organisation, and hiring such persons is a business imperative for us, not a CSR activity," DP Singh, vice-president of HR (India/South Asia) at IBM, told ET. 
 
EY India hires differently-abled talent through the Ability Foundation in Chennai, and the whole process is governed by a special mechanism. 
 
Other companies that in the recent past have come up in favour of hiring differently abled staff include Infosys, Dell, IBM, HCL and Accenture.

Companies are chalking out plans to train differently-abled people for managerial roles

New Delhi, Oil sector public sector undertakings (PSUs) may have to bear a <keyword id="9705803" type="UNKNOWN" weightage="20" keywordseo="larger-share">larger share</keyword> of <keyword id="10488841" type="UNKNOWN" weightage="20" keywordseo="additional-dividend-payment">additional dividend payment</keyword> to the government this year with almost all companies falling behind on their capex plan for the current fiscal. As of November, the capex of PSU oil companies put together stands at ₹46,303 crore, less than 50% of the annual target of ₹98,522 crore. The government has asked companies to complete at least 75% of capex till the end of December quarter. But this looks highly unlikely now pushing the case for higher dividend payout. In meetings with PSUs, Finance Minister Nirmala Sitharaman had stressed on the need for PSUs to step up <keyword id="6355120" type="UNKNOWN" weightage="20" keywordseo="investment">investment</keyword> during the time of the pandemic to boost overall sentiments and kickstart investment climate in the country. She had specifically urged companies to complete at least 75% of capex target by December-end and more than 100% by March. "It is a double whammy for PSUs now. They have to cough up more either through investments or through payment of additional dividends. It should also be seen that the companies are finding it difficult to meet capex targets given financial and project implementation constraints. Covid has severely dented demand and slowed project implementation. Consequently, there is already a strain on their resources that would get heightened as additional dividend would have to be paid," said a top official of a PSU, asking not to be named. While almost all PSUs are facing delays and difficulties in stepping up the gas and increasing investments, the situation among companies in the oil and gas sector looks worse. Slow demand conditions in early part of the year resulted in slowing of several capex plans. Though the situation has improved from November onwards, still its a long way to go for normalcy to return in the sector. For the government, oil sector PSUs are also set to make big inventory gains due to firming up of crude prices, and hence they are being looked at for higher interim dividend or special dividend and a few may also be considered for share buyback depending on market conditions. Among the oil and gas PSUs, the worse performer in terms of capex spend is the country's largest oil and gas explorer ONGC and largest public sector refiner <keyword id="6356834" type="DOMAIN" weightage="20" keywordseo="indian-oil-corporation">Indian Oil Corporation</keyword>. According to oil ministry's <keyword id="819806" type="COMPANY" weightage="20" keywordseo="Petroleum-Planning-and-Analysis">Petroleum Planning and Analysis</keyword> Cell (PPAC), while ONGC had completed just ₹14,959 crore worth of capex upto November out of FY21 investment target of ₹32,502 crore, IOC's capex upto November is ₹12,104 crore against annual target of ₹26,233 crore. Similarly, HPCL has completed capex of ₹5,658 crore (upto November) against target of ₹11,500 crore; Gail India - ₹2,614 crore against annual target of ₹5,412 crore; Oil India - ₹2,136 crore vs ₹3,877 crore target; MRPL - ₹631 crore vs ₹1,150 crore, OVL - ₹3,765 crore vs ₹7,235 crore. Among the worst performer on capex is privatisation-bound <keyword id="155363" type="DOMAIN" weightage="20" keywordseo="Bharat-Petroleum-Corporation-Ltd">Bharat Petroleum Corporation Ltd</keyword> (BPCL) which has spent just ₹3,716 crore against target of ₹9,000 crore. Officials sources said that PSUs with stock prices higher than the book value and who have sufficient cash funds may also be asked to shell higher dividend in FY21. A call will be taken after the third quarter results of companies are declared late January or early February next year. With the central government being the largest shareholders in PSUs, higher dividend would largely help it to fill its coffers at a time when revenue is constrained due to a overall fall in economic activity during the pandemic while expenditure has risen sharply. Dividend from non-financial PSUs have been budgeted at ₹65,747 crore in FY21. Any increase in this will give a boost to non-tax revenue of the government and help its bridge the rising fiscal deficit that as per initial estimate is now pegged close to 8% of GDP. Finance Minister Nirmala Sitharaman and her predecessors, including the late Arun Jaitley and P. Chidambaram, had maintained the policy of advising non-financial state-owned companies that if they are not utilising their cash reserves for capex needs, they should give it to the Centre through dividends or share buybacks. As per the guidelines issued by disinvestment department DIPAM, every CPSE is required to pay a minimum annual dividend of 30% of PAT or 5% of the net-worth, whichever is higher. Apart from oil sector, several PSUs in power and mining space have completed just about 40% annual capex by November due to constrained business environment. Revenue constrained government may push oil PSUs short on FY21 capex to pay higher dividend

By playing red ball Test matches first, the transition would have been a smoother to pink ball Test, according to me. Q: And what your apprehension was, or what you feared, has come true? A: Feared in the sense that, to be fair, in the first innings we had the upper hand and started off really well. There was no apprehension as such; just that when I looked at the itinerary, what I said earlier was a better option, I felt. We played good cricket in the first innings, but in the second, that hour was a difficult one and that's when things changed. Also, when Tim Paine came and scored those crucial runs. Had our first-innings been closer to 90 or 100 or so, it would have changed the thinking, and also the timing was crucial. That played a big part in this Test. Q: Were you expecting this result, particularly in the manner in which the Indian batting line-up capitulated in the second innings? A: No, I wasn't expecting it because I thought in the first innings we batted well and showed a lot of resilience. In the second innings, there was not much playing and missing by our batsmen. The ball wasn't moving around too much; just a little bit. Normally, when batters score runs we don't look at other elements, like the number of times he was beaten etc. But here we talk about a number of aspects when the batter has edged the ball. Off similar deliveries when you got beaten and when you are scoring runs and nobody talks about those. One change that one can talk about was getting a nice, big stride forward, which I felt was missing. In foreign conditions, I feel a good stride forward against fast bowlers becomes important. A half and half defence (short stride) can always trouble you and if there's a little more movement off the seam then your hands tend to compensate for the lack of footwork. What I also simultaneously noticed was that the Australians bowled very much on off stump -- much, much tighter -- and not outside the off stump whereas they bowled outside the off stump in the first innings. Q: What were the shortcomings for the undoing of Indian batsmen -- was it their inability to tackle the moving ball, or just the enormity of the situation, having made just 244 runs in the first innings? A: We surely had an upper having made just 244 in the first innings and having gotten them out below 200 (191) in the first innings. And we lost Prithvi Shaw early and then I still remember Jasprit Bumrah played that evening -- and how the team responded to that. Overall, the feeling was good in the dressing room. The next morning that only element that I felt could have been better was a little more precision in footwork, more so while playing on the front foot -- getting a nice, full stride forward, which I spoke about earlier here. If you get a nice stride forward while defending then your hands stay close to your body. When your stride is not nicely stretched forward then your hands tend to go away from the body, towards the ball. I would say that getting a good stride forward can help a lot of players. Q: And the enormity of the situation...? A: I don't think so because when Mayank (Agarwal) and Bumrah were batting we were almost 60 runs ahead of Australia with one wicket down. So, even if we had scored 225 runs, plus 53 runs (of innings lead), you would have looked at a 275-280 run target, which would have been a match-winning target. The match was tilted in our favour (at 60 for 1), I would say, when the third morning started. Of course, the first session was going to be critical because invariably teams plan overnight and come up with fresh plans sometimes. And in the first session, they fire on all cylinders and make things happen. So, if you are able to defuse that fire in the first session, then the aggression is not as much. Yes, they will keep coming at you, but you are able to keep things under control. That's why the first session was going to be critical. Q: After the defeat, Virat Kohli admitted that the capitulation was due to a "lack of intent". Was it also due to Indian batsmen's lack of correct technique or inability to soak in the pressure? A: They have dealt with pressure situations. Barring Prithvi, and possibly Mayank, all the players have played enough. Virat, Ajinkya (Rahane), Cheteshwar (Pujara) and (Wriddhiman) Saha have been around while Hanuma Vihari, compared to these guys, has played less. So, players have the ability to soak that pressure and they did their best. But sometimes you also need luck to be on your side. And as I said there were not a number of occasions when the batters were getting beaten and continuing to bat without losing wickets. That did not happen. The edges were going straight to fielders and they were carrying. In the first innings, there were a number of edges but the ball didn't carry to fielders. I remember, at least three times the ball didn't carry. In the second innings, the wicket had become harder, and there was more pace and bounce in the surface. There wasn't exaggerated off-the-seam movement. So, when you ask about a lack of correct technique, I'd say if you take a big stride forward you obviously cut down the distance (between bat and ball) and don't allow the ball to do much - and it helps you keep your hands close to your body and that is the best way to defend on front foot. Q: There is no all-rounder except Ravindra Jadeja, who was also missing in Adelaide. Do you feel India desperately missed an all-rounder? A: Also, Ravichandran Ashwin can really bat well. He is capable of getting a good partnership, handy and important runs. When we talk about Ashwin and Jadeja, it boils down to whose bowling on a particular pitch would be more useful and then you pick that bowler. Their batting is an added bonus; both can bat. I'm sure the team management must be looking at their bowling ability and picking and not worrying too much about how many runs they would contribute at No.8. Yes, those runs would be important, but they are primarily picked because of their bowling. Q: India's fielding also left a lot to be desired, as players dropped several catches in the second innings, including the crucial one of Tim Paine in the first innings. A: While growing, I remember, (Ramakant) Achrekar sir had told all of us: catches win matches. It has stayed with all of us. So don't drop catches. Fielding has to be upped without any doubt. Q: Our bowlers performed well in Adelaide. Your impressions on their performance. A: I thought their performance was very good, without any doubt. In the first innings, it was extremely disciplined and focused; and they kept the pressure on. The Australians also, on the other hand, were over defensive in their first innings. But there are occasions when batters should do something different to put the pressure back on the (opposition) bowlers. So, when there's an opportunity to score runs one should score runs; you can't let the bowler get away with an average delivery. Otherwise, you become a punching bag. A good delivery needs to be respected. Young added that the out-folding foldable phone from Xiaomi will be like the Huawei Mate X. Three is a possibility that the out-folding device may feature a display of around 8 inches. Display analyst Ross Young had claimed earlier this month that companies like OPPO, Vivo, and Xiaomi will together launch four foldable phones in 2021. He had also claimed that Google will also launch a foldable phone in the coming year.
