When the second largest cement manufacturer announces that it wants to increase capacity from 67.5 million tones per annum (MTPA) then it is clear that the name of the game is acquisition. After announcing the acquisition of Sanghi Cement from Ravi Sanghi and family by <keyword id="105382" type="General" weightage="50" keywordseo="ambuja-cements" source="Orion">Ambuja Cements</keyword>, <keyword id="1033941" type="General" weightage="80" keywordseo="Karan-Adani" source="Orion">Karan Adani</keyword>, son of billionaire Gautam Adani, said: “Ambuja’s goal is to take capacity to 140 MTPA by 2028 is well on track and with this acquisition (Sanghi Cement) it will be achieved ahead of time.” After <keyword id="75756" type="General" weightage="50" keywordseo="holcim" source="Orion">Holcim</keyword> sold its cement business in India to the Adani Group, it was apparent that the sector was headed for a shakeout. A decade ago, the sector was battling low utilisation levels due to overcapacity and now consolidation is underway as JSW Group, <keyword id="54253" type="General" weightage="50" keywordseo="ultratech" source="Orion">Ultratech</keyword> and Adani-controlled ACC and Ambuja Cements look at dominating the sector. Given that power and logistics are the largest components of any metals and materials business, it makes sense for the Adani Group to cement business as logistics and power are the two big costs in this business. Mergers and acquisitions in the cement sector have gained steam again, with multiple assets exchanging hands post Adani-Holcim deal last May, says Jefferies. The foreign investment research firm, says: “Notably, acquirers have avoided overpaying for assets (with the last two deals at $70-75/t). With top players wanting to maximise capacity share amid healthy growing demand, a rush of expansions and M&amp;As should continue to re-shape the industry. Through M&amp;A, buyers add readymade capacity, scale, faster access to markets, and reserves.” While acquisition of Holcim’s India cement business was a big deal, there have been many smaller deals too in the space. Some others that got acquired include Century, JPA, Lafarge, Reliance Cement, while others like Binani, Kalyanpur, Murli went through the NCLT process before changing hands. Market is abuzz with news of some other listed cement players looking at merging with the bigger players, as competitive intensity is set to increase. With infrastructure major like the Adani Group using its other businesses to support the cement business, cost of production will come down. In fact, Adani Group CFO Jugshinder Singh has talked in the past of ACC and Ambuja becoming the lowest cost producers of cement in India. Given that India is seeing a boom in infrastructure, consumption of cement will increase and if existing players were to create new assets or greenfield assets then it would take them at least 5-7 years. With acquisition the journey can be drastically cut shot and market share gains can come overnight. Investment bankers say that the smaller regional cement players would look at exiting the sector and sell out in the face of tough competition from bigger and more efficient players like the Adani Group. While acquiring Sanghi Cement, Karan Adani said that the group’s vision was to produce lowest cost clinker in the country at Sanghipuram and then transport clinker as well as bulk cement through coastal route to the market of Saurashtra, South Gujarat, Mumbai and Mumbai Metropolitan region, Karnataka and Kerela. He added: “Synergy with the assets of Adani ports will help us accelerate in the implementation of this strategy. With the right implementation we are very confident that we would be the lowest cost supplier of cement in all these markets.” It would be hard for any small regional player to compete with such backward linkages and keep costs low.

The company’s total revenue from operations declined to ₹53,530 crore in the quarter under review. However, its luxury car subsidiary Jaguar Land Rover (JLR), <a href="https://www.businessinsider.in/business/auto/news/tata-motors-loss-widens-to-307-crore-in-the-second-quarter-despite-jlr-returning-to-profit/articleshow/78891836.cms">returned to profit </a>with significant positive cash flow in the quarter. That could lead to a higher import bill for India, which relies on other countries for more than 80% of its crude oil demand. RIL shares gain 2% The shares of Mukesh Ambani owned RIL gained 2% after it secured <a href="https://www.businessinsider.in/business/news/mukesh-ambani-reliance-retail-gets-its-second-investment-in-two-weeks-kkr-invests-5550-crore/articleshow/78267281.cms">₹5,550 crore investment from American PE firm KKR</a>. With this investment, KKR will take up a 1.28% stake in Ambani’s retail venture. Bharti Airtel and Vodafone Idea shares dip Bharti Airtel and Vodafone Idea down shares were trading in red in an otherwise firm market. Bharti Airtel was down 4%, and Vodafone Idea lost 5% after the government informed the parliament that Telecom operators, including Bharti Airtel and Vodafone Idea, have to pay 10% AGR dues demanded by the Department of Telecommunications (DoT) by March 31. Also, Ambani-owned Jio unveiled its JioPostpaid Plus plans in a bid to lure more customers. The company will offer subscriptions to Netflix, Amazon Prime and Disney + Hotstar with a monthly tariff from ₹399 to ₹1,499 with different benefits. Hindustan Construction Company (HCC) shares trade 7% higher The shares of Hindustan Construction Company was trading 7% higher after the company said it had completed the sale of Farakka-Raiganj Highways to Cube Highways and Infrastructure II Pte, at an enterprise value of ₹1,508 crore. Sterling and Wilson Solar leaps 18%, TCS down 2% The shares of Shapoorji Pallonji subsidiary Sterling and Wilson Solar gained 18% after the SP group told the SC that a separation from the Tata Group is necessary due to the potential impact this continuing litigation could have on the livelihoods and the economy. Excluding TCS, the last quarter losses of all the listed group companies of approximately ₹14,000 crore have caused great concern, SP Group has said. TCS and Tata Steel also lost nearly 2% after this during the early trade hours. Future Enterprises down 3% The shares of Kishore Biyani owned Future Enterprises lost 3% after it defaulted again on interest payments of ₹15.86 crore for its non-convertible debentures. With this, the other Future Group stocks slumped too— Future Retail down 4%, Future Lifestyle Fashions down 3%, and others were in the red as well. However, Vodafone Idea shares lost nearly 10%. Bharti Infratel shares rise 3% Bharti Infratel shares gained nearly 3% after the board approved the long-delayed merger of Indus Towers. According to the BSE filing, Bharti Infratel will be a majority shareholder in the merged entity with a likely stake of 68.6%, whereas the London-listed Vodafone Group will hold around 28.2% of the stake. Escorts gains over 5% The shares of Escorts Motors gained nearly 5% on the back of blockbuster August sales data. The company has registered a whopping 80% growth in August tractor sales compared to the same period last year. The company further said it remains optimistic about further sales during the festive season. BEML and Tata Power gains ground BEML shares were up 4%, whereas Tata Power gained 2% after the company closed ₹2,580 crore deal with the Indian Defence Ministry for the procurement of Pinaka rocket launchers for six Army regiments. The contract has been signed with Tata Power Company Ltd (TPCL) and engineering major Larsen &amp; Toubro (L&amp;T) while defence public sector undertaking Bharat Earth Movers Ltd (BEML) will also be part of the project. Biocon gains 5% Biocon shares gained nearly 5% after its subsidiary along with Mylan NV, launched an insulin glargine injection Semglee in the US market. The company said ‘Semglee’ has received final approval from the US FDA and has an identical amino acid sequence to Sanofi’s Lantus, a drug that is used to control high blood sugar. Future Retail tumbles 9% Future Retail shares tumbled 9% after the Government Pension Fund Global, one of the world’s largest sovereign wealth funds sold 95 lakh shares at ₹158.61 per share. The Government Pension Fund Global fund held 2.28% stake in the Future Retail at the end of June. L&amp;T gained 2% L&amp;T shares gained nearly 2% during the early trading hours after the company closed the long-awaited strategic divestment of L&amp;T Electrical and Automation business to Schneider Electric for ₹14,000 crore. The L&amp;T deal was announced in May 2018 and took over 2 years to be completed after receiving the requisite regulatory approvals. ONGC tanks 4% ONGC shares tanked 4% ahead of the first quarterly earnings. During the meeting today the board will also consider the proposal of raising funds of up to ₹45,000 crore.
