<ul><li>The multiplex behemoth now owns more than 1,650 screens across over 350 properties in 110 cities in the country.</li><li>The combined entity aims to open 180-200 screens per year, across formats, in the next two years.</li><li>The merged entity can definitely achieve bigger goals, but needs good content.</li></ul>After the merger of two <keyword id="16783584" type="General" weightage="20" keywordseo="multiplex-chains-PVR-and-Inox-Leisure" source="Orion">multiplex chains PVR and Inox Leisure</keyword> this year, the merged entity has become a behemoth in the country, and fifth largest listed multiplex chain globally by screen count. While the merger was announced last March, the record date for the scheme of amalgamation between the two multiplex operators happened in February 2023. The combined entity will start trading with the name PVR-INOX on exchanges in March 2023 and their combined financials would be reported from 4QFY23. The multiplex behemoth now owns more than 1,650 screens across 350 properties, in 110 cities. “PVR-INOX now controls 18% screen share (43% share in multiplex screens in India) and 30% box-office share (over 50% share of multiplex box office). The merged entity commands the highest multiplex market share in all key regions of India. PVR-INOX would become the fifth-largest listed multiplex chain globally by screen count with the highest number of admissions per screen (around 127,000 admissions/screen in 2019),” said a report by Kotak Institutional Equities. The combined entity aims to open 180-200 screens per year, across formats, in the next two years. “Capex per year would be ₹8-8.5 billion (₹800-850 crore). Over 40% new screen openings will come from the South as it remains underpenetrated,” said the report. While merged entity gains the lion’s share, real issue still remains poor content While the merged entity can definitely achieve bigger goals, analysts believe the real issue still remains poor content leading to flop movies on screen. “The management has guided for annual synergy benefits of ₹2.25 billion (₹225 crore) at the EBITDA (earnings before interest, taxes, depreciation and amortisation) level in the next 12-24 months,” said a report by Kotak Institutional Equities. Analysts say that the merged entity has no real competitor and should remain focused on strengthening its position at the cost of single-screen theatres and smaller chains. Yet, there are challenges that all multiplexes will face bringing in the mega footfalls. For one, the Hindi cinema industry itself is facing the <a href="https://www.businessinsider.in/business/news/its-not-bollywood-films-its-the-superstars-that-people-seem-to-be-tired-of/articleshow/92382077.cms">shifting trend and migration of audiences to South movies</a> which captured audiences with larger-than-life characters. Rapid adoption of OTT, proliferation of social media and an active ‘Boycott Bollywood’ campaign and higher ticket prices have impacted footfalls in theatres, say analysts at Emkay Global. “While focus of the merged entity now shifts to realising synergies, the crucial issue of footfall recovery remains moot. Post-Covid, we have witnessed a clear dichotomy in box-office performance, with a high proportion of movies turning out to be duds; we believe the main culprit is the sub-par content quality, punctured by the weak critic and audience reviews,” said a report by Emkay Global. Not star power, alone It’s because of the increasing Southern push that <keyword id="4568700" type="General" weightage="20" keywordseo="PVR-INOX" source="Orion">PVR Inox</keyword> are planning to boost the addition of new cinemas there. “With Bollywood content not up to the mark, footfalls have not seen a meaningful uptick post Covid. Only select movies with differentiated offerings have managed to taste success at the box office. As we have emphasised in the past too, Bollywood’s recovery is critical to box-office collections, with regional and Hollywood contribution being only sporadic in nature,” said the report. Bollywood continues to witness poor movie performance with most movies including Amitabh Bachchan-starrer Goodbye and Uunchai, Akshay Kumar’s Ram Setu and Ranveer Singh’s Cirkus not meeting expectations except for Drishyam 2 and Pathaan. “Going ahead too, we believe that star power alone cannot drive collections, if there is no differentiating factor in the movie,” said the Emkay Global report. In Q3 FY23, only one Bollywood movie i.e Drishyam 2 managed to break the ₹100 crore box office barrier. “CY22 has been one of the worst years for Bollywood, with very few movies finding traction. A mere 7% of the major movies that were released in the CY21/22 managed to recover their investment and yielded some profit. Prior to Covid, this was close to 30%, with more than 40% of movies doing well in CY19,” said a report by Emkay. While Inox-PVR have a bigger screen presence, they need what it takes to bring in audiences — better movies, bigger hits from Bollywood and Hollywood alike – in addition to South superhits. PVR-INOX, now fifth largest listed multiplex chain globally, awaits good movies

Moreover, the Delhi government on July 24 announced a slew of unlocking measures and allowed the cinema halls and theatres, and multiplexes to function with 50% capacity. Shares of Inox Leisure and PVR gained 6% and 1.3% respectively on July 27 at 12:51 p.m. Foreign portfolio investor (FPI) holdings in Inox Leisure have <a href="https://www.thehindubusinessline.com/markets/stock-markets/fpis-mfs-increase-stake-in-pvr-inox-leisure/article35546798.ece">reportedly</a> gone up by 8.09% year-on-year to 16.44% as of April-June 2021 from 9.53% in the same quarter last year. Also, mutual funds’ holdings also went up to 23.09% from 19.72% during the same period. Also, a <a href="https://timesofindia.indiatimes.com/business/india-business/amazon-eyes-potential-stake-in-indias-inox-leisure-report/articleshow/84782764.cms">report</a> by Indian Express suggested that Amazon.com India is in talks with several domestic players in film and media distribution including Inox Leisure for a potential stake. It may be looking to expand its content streaming platform Prime Video. Reacting to the report, Inox Leisure released a statement on exchanges saying there are no discussions taking place with Amazon, nor were there any such discussions in the past. Inox Leisure, PVR stocks shine on hopes of theatres reopening soon

PVR has said that over one lakh tickets have been pre-booked for the coming weekend. “Finally, some relief for the industry. received #Brahmāstra *day-wise data* (advance booking) of a leading multiplex chain. Observations say that tickets sold are at 11,558 which is a very positive start, since advance opened at select locations only,” <a href="https://twitter.com/taran_adarsh/status/1565973786368675841?t=OJ1okV-x7JlFgPVi5qq65g&amp;s=19">tweeted business analyst </a>Taran Adarsh. On the basis of strong advance bookings, Elara Capital expects a strong opening with earnings of ₹20-22 crore over the weekend. “The lifetime box office (collection) for the film is estimated to be in a wide range of ₹130-200 crore, basis the strong advances,” says a media note by the brokerage firm. However, the science fiction movie as it’s being called, has been made over a massive budget of ₹410 crore and even if the upper end is breached it will earn only half of what was spent on its making. The movie is bankrolled by Karan Johar owned Dharma Productions along with Starlight Pictures, Prime Focus and Star Studios. The movie stars Ranbir Kapoor and Alia Bhatt and is the first of the franchise of three movies. “Brahmastra is the first sci-fi based Hindi franchise, and augurs well, as audiences want to watch large scale content in cinemas with visual effects. The film has seen strong acceptance/advances in the premium format screens (Imax, 3D etc), given the nature of content,” said Karan Taurani of Elara Capital. Word-of-mouth publicity But even for the movie to earn ₹200 crore, it would need a lot of good reviews that would bring the audience to the theatres. “We believe a positive word of mouth and audience acceptance can help the film breach the upper end. It will be tough to provide any concrete estimates unless we get to know reviews, as most recent estimates have been revised downwards post reviews. Hope it’s the other way round (positive side) for Brahmāstra as it’s a very large franchise movie and Hindi Box Office desperately needs a hit movie,” says Taurani. However, if the movie turns out to be a hit, it could rake in the moolah for theatre owners who have been hurt by the dismal performance of the much-hyped recent film releases – <keyword id="4632769" type="General" weightage="20" keywordseo="Liger" source="Orion">Liger</keyword> and <keyword id="14924108" type="General" weightage="20" keywordseo="Lal-Singh-Chaddha-" source="Orion">Lal Singh Chaddha.</keyword> “A film like Brahmāstra can provide support (to) ticket prices and spend-per-head growth too, as the film is available in multiple premium formats – average ticket price and spend per head have been 15-25% higher than pre-Covid levels until last quarter for multiplex chains,” said Taurani. The movie will be released in 3D, IMAX 3D and 4DX 3D formats across theatres, this Friday. Moreover, since it’s dubbed in multiple languages, it can bring in 15-20% of the business from regional markets too. Film exhibition majors <keyword id="799" type="General" weightage="100" keywordseo="pvr" source="Orion">PVR</keyword> and <keyword id="6407732" type="General" weightage="20" keywordseo="INOX" source="Orion">INOX</keyword> Leisure on Sunday announced merger. Accordingly, the Board of PVR and the Board of INOX Leisure at their respective meetings approved an all <keyword id="13478774" type="General" weightage="20" keywordseo="stock-amalgamation-of-INOX-with-PVR" source="Orion">stock amalgamation of INOX with PVR</keyword>. "The amalgamation is subject to approval of the shareholders of PVR and INOX respectively, stock exchanges, <keyword id="35210" type="General" weightage="20" keywordseo="SEBI" source="Orion">SEBI</keyword> and such other regulatory approvals as may be required," a joint statement said. "Upon obtaining all approvals, when the merger becomes effective, INOX will merge with PVR." As per the statement, shareholders of INOX will receive shares of PVR in exchange of shares of the former at the approved exchange ratio. "Post the merger, the promoters of INOX will become co-promoters in the merged entity along with the existing promoters of PVR." "Upon effectiveness of the scheme, the Board of Directors of the merged company would be re-constituted with total board strength of 10 members and both the promoter families having equal representation on the Board with 2 board seats each." According to the statement, <keyword id="6738750" type="General" weightage="50" keywordseo="ajay-bijli" source="Orion">Ajay Bijli</keyword> would be appointed as the Managing Director and Sanjeev Kumar would be appointed as the Executive Director. "Pavan Kumar Jain would be appointed as the Non- Executive Chairman of the Board. Siddharth Jain would be appointed as Non-Executive Non-Independent Director in the combined entity." "The combined entity will be named as PVR INOX Limited with branding of existing screens to continue as PVR and INOX respectively. New cinemas opened post the merger will be branded as PVR INOX." Besides, post the merger, PVR promoters will have 10.62 per cent stake while INOX promoters will have 16.66 per cent stake in the combined entity. "The partnership of these two brands will put consumer at the centre of its vision and deliver an unparalleled movie going experience to them," said Ajay Bijli, Chairman and Managing Director of PVR. "The film exhibition sector has been one of the worst impacted sectors on account of the pandemic and creating scale to achieve efficiencies is critical for the long term survival of the business and fight the onslaught of digital OTT platforms." In addition, the combined entity will become the largest film exhibition company in India operating 1,546 screens across 341 properties across 109 cities. "The combination would augur well for the growth of the Indian cinema exhibition industry, besides ensuring tremendous value creation for all stakeholders, including customers, real estate developers, content producers, technology service providers, the state exchequer and above all, the employees."
