Accordingly, the Board of PVR and the Board of INOX Leisure at their respective meetings approved an all <keyword id="13478774" type="General" weightage="20" keywordseo="stock-amalgamation-of-INOX-with-PVR" source="Orion">stock amalgamation of INOX with PVR</keyword>. "The amalgamation is subject to approval of the shareholders of PVR and INOX respectively, stock exchanges, <keyword id="35210" type="General" weightage="20" keywordseo="SEBI" source="Orion">SEBI</keyword> and such other regulatory approvals as may be required," a joint statement said. "Upon obtaining all approvals, when the merger becomes effective, INOX will merge with PVR." As per the statement, shareholders of INOX will receive shares of PVR in exchange of shares of the former at the approved exchange ratio. "Post the merger, the promoters of INOX will become co-promoters in the merged entity along with the existing promoters of PVR." "Upon effectiveness of the scheme, the Board of Directors of the merged company would be re-constituted with total board strength of 10 members and both the promoter families having equal representation on the Board with 2 board seats each." According to the statement, <keyword id="6738750" type="General" weightage="50" keywordseo="ajay-bijli" source="Orion">Ajay Bijli</keyword> would be appointed as the Managing Director and Sanjeev Kumar would be appointed as the Executive Director. "Pavan Kumar Jain would be appointed as the Non- Executive Chairman of the Board. Siddharth Jain would be appointed as Non-Executive Non-Independent Director in the combined entity." "The combined entity will be named as PVR INOX Limited with branding of existing screens to continue as PVR and INOX respectively. New cinemas opened post the merger will be branded as PVR INOX." Besides, post the merger, PVR promoters will have 10.62 per cent stake while INOX promoters will have 16.66 per cent stake in the combined entity. "The partnership of these two brands will put consumer at the centre of its vision and deliver an unparalleled movie going experience to them," said Ajay Bijli, Chairman and Managing Director of PVR. "The film exhibition sector has been one of the worst impacted sectors on account of the pandemic and creating scale to achieve efficiencies is critical for the long term survival of the business and fight the onslaught of digital OTT platforms." In addition, the combined entity will become the largest film exhibition company in India operating 1,546 screens across 341 properties across 109 cities. "The combination would augur well for the growth of the Indian cinema exhibition industry, besides ensuring tremendous value creation for all stakeholders, including customers, real estate developers, content producers, technology service providers, the state exchequer and above all, the employees." As different markets slowly opened up, the <keyword id="1938159" type="PERSON" weightage="20" keywordseo="cinema-industry">cinema industry</keyword> facilitated a safe environment for their consumers as per government mandates. However, the audience is still wary about going to cinema halls and multiplexes in India are going out of their way to woo consumers back. They are tweaking their marketing strategies to reach to their consumers at different touch points in their ticketing journey and coming up with new ideas to use their premises. Multiplex chain <keyword id="105311" type="DOMAIN" weightage="20" keywordseo="INOX-Leisure">INOX Leisure</keyword> has come with an innovative solution to this problem. It has opened up its cinema halls for private screenings. It allows guests to reserve an entire INOX auditorium for a private show, entirely for their family members and friends. The guests get to choose the content of their choice, either from the current playlist, or an old blockbuster. The movies are available in Hindi, English, Tamil, Telugu, Marathi, Bengali, Kannada and Gujarati. “We are planning to organise a lot of live events, invest in alternative content. You can have your birthday parties, anniversary celebrations, organise a planned marriage proposal, they can use the auditorium for any memorable occasion. You can do an office workshop and even organise a wedding. In fact, we also wanted to do an opera in one of our cinemas. So, sky is the limit,” said Saurabh Varma, Chief Marketing Officer, INOX. Sharing the idea behind these private screenings, Varma added, “With this, we want to make INOX a venue for entertainment that allows you to do a large amount of things that build memories and you cherish it forever. The pricing of these auditoriums are extremely affordable -- as less as Rs 2,999.” INOX has also tied-up with brand partners like Olympix, sporting channels to screen events in the auditorium. Apart from that, the multiplex is also going to organise video gaming competitions and planning to organise stand-up comedy shows within its premises. INOX is currently spread across 68 cities in India and is opening rapidly. Word of mouth has already started working its magic and INOX has seen a good response coming in from the audience. Verma said, “Thanks to Durga Puja, a lot of families approached us in Bengal. Thanks to various supporters of INOX who have spread the word. We have also tied up with local event organisers to reach out to more consumers.” Moreover, INOX has also tied up with social media influencers and is using social media actively to reach out to a wider audience and win their trust. For the first three months of the current financial year, INOX reported a loss of ₹73.64 crore, while revenues fell by almost 100%. However, Varma is confident that the audience will come back for private screenings and cinema will be back to normal by March-April. Voicing his optimism, Varma said, “Cinemas have been providing a mental escape to millions since decades, and would continue to do so in the post-pandemic world. We believe that a large segment of our audiences would feel more comfortable enjoying a movie, with just their family members and friends, or even by themselves. Cinema in India is here to stay. We can see that because of the kind of content that is made available in our country. Every movie is at least made in 5 languages. People are also more accepting of change now. They watch a Tamil movie in Bengal. By March or April, you will see amazing people coming to cinema to catch these movies. few months back as people got more comfortable in stepping out of their house and getting back to the normal routine. While restaurants were still operating both online and offline from June 2020 onwards, multiplexes had lost that option as well. NEW DELHI: Some of the essential services related to banking, transportation, railways and electricity are likely to be impacted during a two-day nationwide strike called by a joint forum of central trade unions beginning Monday. Talking to PTI, All Indian Trade Union Congress General Secretary <keyword id="366518" type="General" weightage="20" keywordseo="amarjeet-kaur" source="Orion">Amarjeet Kaur</keyword> said, "We are expecting participation of over 20 crore formal and informal workers with mass mobilisation of workers across the country during the strike on March 28 and 29 to protest against government policies." She said that the strike is expected to hit the rural parts also, where informal workers of farming and other sectors will join the protest. The strike notices were given by workers' unions of various sectors such as coal, steel, oil, telecom, postal, income tax, copper, banks and insurance. Unions in railways and defence sector will carry out mass mobilization in support of the strike at several places, the joint forum said. The unions' demands include scrapping of the proposed changes in labour laws, privatisation of any form and the national monetisation pipeline. Increased allocation of wages under MNREGA (<keyword id="1194612" type="General" weightage="20" keywordseo="mahatma-gandhi-rural-employment-guarantee-act" source="Orion">Mahatma Gandhi Rural Employment Guarantee Act</keyword>) and regularisation of contract workers are also part of their demands. Workers of roadways, transport and electricity departments have also decided to join the strike in spite of the impending threat of ESMA (Essential Services Maintenance Act) which is likely to be imposed in Haryana and Chandigarh, the joint forum said in a statement. Trade unions, including INTUC, AITUC, HMS, CITU, AIUTUC, TUCC, SEWA, AICCTU, LPF and UTUC are part of the joint forum. Meanwhile, the <keyword id="6375040" type="General" weightage="20" keywordseo="power-ministry" source="Orion">power ministry</keyword> on Sunday advised all the state-run utilities and other agencies to be on high alert and ensure round-the-clock electricity supply and stability of the national grid. "The Centre of Indian Trade Unions (CITU) have called for a nationwide strike with effect from 06:00 hrs of March 28 to 06:00 hrs of March 30, 2022," an advisory issued by the power ministry said. The advisory has been issued to all states, central public sector undertakings, central electricity authority, national load dispatch centre and regional load dispatch centres. In the interest of the consumers of electricity, it is advised that all the power utilities shall take necessary measures to ensure round-the-clock functioning of the electricity grid and availability of all plants, transmission lines and substations, the ministry said, adding that all regional/state control room executives should be vigilant and on high alert. The ministry also suggested measures to be taken to ensure secure and reliable grid operations. Shutdown activities planned during March 28-29 may be rescheduled to suitable future dates to the extent possible, it said and asked all concerned officials to ensure close supervision of their regional network/control area. Also, manpower may be deployed at all critical sub-stations/power station 24X7 to handle any emergency situation, it said. Power supply to those engaged in essential services such as hospitals, defence, and railways must be ensured, it added and suggested setting up of a 24x7 control room for information dissemination and handling any kind of contingency. Bank employees' unions said they will support the strike. All <keyword id="3658" type="General" weightage="20" keywordseo="India" source="Orion">India</keyword> Bank Employees' Association (AIBEA) General Secretary C H Venkatachalam said the union demands the government to stop privatisation of public sector banks and strengthen them. Bank employees also demand speedy recovey of bad loans, higher deposit rates by banks, lower service charges on customers as well as restoration of old pension scheme for staff. A number of public sector banks, including country's largest lender SBI, have said that their services may get impacted to a limited extent due to the strike. SBI said it has made necessary arrangements to ensure normal functioning in its branches and offices during the strike. "It is likely that work at our bank may be impacted, to a limited extent, by the strike," SBI said. "While bank has made all arrangements to ensure normal functioning in its branches and offices, it is likely that work in our bank may be impacted to a limited extent by the strike," PNB said. "The bank will take all necessary steps for smooth functioning of the bank's branches/offices on the days of strike. Two-day Bharat Bandh: Essential services likely to be affected

New Delhi, May 18 () Shares of multiplex and hotel operators on Monday cracked up to 14.5 per cent after the countrywide lockdown was further extended till May 31. Shares of INOX Leisure tumbled 14.49 per cent and those of PVR tanked 12.54 per cent on the BSE. Besides, Chalet Hotels plummeted 13.38 per cent, Indian Hotels Company Limited plunged 8.04 per cent, EIH Associated Hotels 5.83 per cent, Wonderla Holidays 4.91 per cent and Lemon Tree Hotels 4.78 per cent. The lockdown was first announced by Prime Minister Narendra Modi on March 24 for 21 days in a bid to combat the COVID-19 pandemic. It was first extended till May 3 and again till May 17. <ul><li>After the 42nd <keyword id="6355199" type="ORGANIZATION" weightage="20" keywordseo="reliance-industries">Reliance Industries</keyword> Limited (RIL) Annual General meeting yesterday, the company's stocks at trading at an 11% high today.</li><li>Chairman of RIL, <keyword id="3820" type="PERSON" weightage="20" keywordseo="Mukesh-Ambani">Mukesh Ambani</keyword>, announced the upcoming launch of <keyword id="4056036" type="PERSON" weightage="20" keywordseo="Jio-Fiber">Jio Fiber</keyword> and its many features which has left its competitors in a lurch.</li><li>As a result, companies like Airtel, Tata Communications, PVR cinemas and Vodafone Idea are trading in the red.</li></ul>Reliance Industries Limited (RIL) saw the biggest intraday rise in its share price today driving shares up by 12% and taking the benchmark indices like Sensex and Nifty along with it. Nearly half of all stocks on these indices are in red but heavyweight Reliance alone has managed to keep mood afloat. The spike in RIL's share price has put it back in the race of becoming the highest valued Indian company trailing behind Tata Consultancy Services (TCS) by $1 billion. Jio Fibre, the frontier Ambani announced that <a href="https://www.businessinsider.in/reliance-jio-gigafiber-launch-heres-what-it-will-offer-consumers/articleshow/70630655.cms">Jio Fiber</a> will be launching commercially starting 5 September 2019 with plans that start at ₹700 with a minimum speed of 100 Mbps. Jio's competitors, Airtel and Vodafone Idea, are already feeling the pressure with their stocks taking a dip when the markets opened today morning. But both Airtel and Vodafone Idea have more to fear than just Jio Fibre. The Aramco energy Jio's mobile phone services has about 340 million subscribers as of now. Ambani is targeting to take this number to over 500 million over the next few months. That would mean Jio will remain an aggressive player in the market and that's bad news for other players like Airtel and Vodafone Idea. Given that RIL is getting additional cash from Aramco and BP, and if it becomes a zero net debt company by March 2021, the company of its size and scale will only have more money to muscle out other players with its aggressive pricing.
