It was the sharpest single-day fall since the 2008 financial crisis. The IT sector, which was already bearing the burden of the global economic slowdown, is in for a rough ride going forward. The prolonged pandemic will impact new client acquisitions, and as a result, Kotak Securities has corrected the revenue expectation from IT companies by 2-4%. “We expected moderate improvement in spends among US banking clients at the beginning of the year. Coronavirus crashed Infosys stock more than whistleblower allegations

<ul><li>The Securities Exchange Board of India and the Bombay Stock Exchange is looking for further clarification from Infosys. </li><li>Nandan Nilekani's statement filed with the Securities Exchange Commission (SEC) does not include any disclosures as per Regulation 30. </li><li>Infosys is also under threat of class action lawsuits from US law firms. </li></ul>Infosys filed a statement with the Securities Exchange Commission (SEC) yesterday too soothe its investors. But the Indian regulatory authorities aren't satisfied. The Securities Exchange Board of India (SEBI) and the Bombay Stock Exchange (BSE) are looking for further clarification. "Infosys vide an announcement date October 22, 2019, titled "Statement", submitted statement attributable to Nandan Nilekani, Chairman of Infosys, wherein it is mentioned that Infosys had received whistleblower complaints," said SEBI in a statement. "However, it is observed that Infosys Ltd has not made any disclosures under <a href="https://www.corporate-cases.com/2016/10/regulation-30-of-sebi-lodr-disclosure-of-events-or-information.html">Regulation 30</a> of SEBI (LODR) Regulations, 2015, w.r.t. receipt of whistleblower complaint mentioned in the announcement," it added. While the news of whistleblower complaints became public, day before yesterday on 21 October 2019, these complaints had been filed on September 30. The regulators believe that they should have been notified of such stock sensitive information beforehand. It does not help Infosys' case in this matter that a <a href="https://www.businessinsider.in/stock-market/markets/news/infosys-share-price-signs-of-insider-trading-before-the-complaint-against-ceo-salil-parekh/articleshow/71698615.cms">large bet on a possible </a>fall of stock price as early as October 18. As many as 1.8 million shares were involved in the put option in the futures and options market, which is basically when investors make bets that either a stock would gain or lose in the future. The timing of this put option is so close to the news break, is suspicious. As investors lose billions yesterday, this individual or group could have made million using the insider information which Infosys had failed to disclose in a timely manner. A little better but a little worse Yesterday, Infosys saw its value crash by ₹53,000 crore— its largest ever cap erosion in a single day — closing 16.21% lower at ₹643.30 on BSE. But, the Indian tech giant managed to erase early losses on Wednesday and is currently trading 1.18% up at ₹ 651.15 per share. In addition to addressing the whistleblower complaint, Infosys is also under threat of a class action with two US law firms looking to file a class action lawsuit against the company. Infosys has been in hot water since Monday with a group of whistleblowers accusing the company's CEO and CFO of <a href="https://www.businessinsider.in/business/corporates/news/infosys-whistle-blowers-accuse-ceo-and-cfo-of-concealing-information-from-board-auditors/articleshow/71682975.cms">concealing information</a> from the board.

Wipro share price 16% increase leads to surge in Infosys share price too

India's second largest software exporter <keyword id="6354512" type="CITY" weightage="100" keywordseo="Infosys">Infosys</keyword> was one of the first Indian companies that offered stocks to its employees and that too way back in the 90s. Now, the IT giant has thought of rolling out a new stock incentive plan for top and mid-level executives, so that top talent can be attracted and retained. 
 
Infosys COO Pravin Rao told ET that the company was in the process of finalising the new stock option plan and will be alloting 1 to 1.5% of the company's equity to create a stock pool for top executives. The approval of shareholders will be sought soon. 
 
Even though Infosys’s employee stock option plan (ESOP) had set new standards for employee benefits, it was discontinued in the early 2000s because the company was hiring thousands of employees every year at the peak of outsourcing boom. 
 
"Today if you look at global technology companies, especially at a senior level, stock compensation is very big element of their strategy. And at times, when we're trying to recruit some key people from outside, we run into a challenge since we've discontinued the options plan," said Rao. 
 
The new stock option plan will be restricted only to a small percentage of top and mid-level executives, and not for the complete 193,000-strong workforce.

<ul><li>Infosys has trouble piling on from all side. </li><li>The company is being investigated by the SEC over whistleblower complaints filed against management and SEBI is looking into Infosys over possible insider tradingas well. </li><li>Infosys plans to ‘vigorously’ defend itself against all allegations. </li></ul>Infosys and its executives have had a tough week with troubles piling on. On one side, the Securities and Exchange Commission (SEC) has started an investigation into US-listed company over whistleblower complaints filed against its management. Back home, the Securities and Exchange Board of India (SEBI) has also asked Infosys to disclose additional information as per Regulation 30. On behalf of Infosys stakeholders, Rosen law firm has filed a class action lawsuit against the company in the US. All this while, it is busy investigating the allegations and its stock has been taking a beating. In the midst of it all the tech giant plans to defend itself against ‘vigorously’ against all allegations, according to a <a href="https://www.sec.gov/Archives/edgar/data/1067491/000106749119000058/exv99w01.htm">company filing</a> with the SEC. The issue with SEBI Laws in India require Infosys to disclose material information with respect to the allegations in the whistleblower complaints. But, there’s no exact definition of ‘material’. SEBI lists out 16 pieces of information that have to be filed but other than that, it’s up to the company to decide what they would consider ‘material’. The sudden stock movement SEBI isn’t just looking into the non-disclosure of information but also possible insider trading. Infosys’ stock crashed by a massive 16% when news of whistleblower complaints came to light. But beforehand, a suspicious futures and options trade was made which on this very crash. The possibility of insider trading also arises since the board members and company were aware of the whistleblower complaints on October 11. It was only on October 20 that the whistleblower sent a copy of the complaint to the media, which caused the stock to take a hit. The company said that they had hired the law firm, Shardul Amarchand Mangaldas and Co to investigate the matter.

Infosys to ‘vigorously’ defend itself against whistleblower allegations

Infosys share price hits fresh 52-week high after highest-ever deal wins of over $3 billion

MUMBAI: IT major <keyword id="6354512" type="CITY" weightage="20" keywordseo="Infosys">Infosys</keyword> has remained firm after reporting a 3.5 per cent cut in Q1 net profit. The change of guard at Infosys, with <keyword id="6369763" type="PERSON" weightage="20" keywordseo="Vishal-Sikka">Vishal Sikka</keyword> taking over as the <keyword id="5645" type="POSITION" weightage="20" keywordseo="CEO">CEO</keyword>, has been positively accepted by both the Infosys employees and investor community 
 
Since taking over, Sikka has taken five key steps, early signs of which seem to suggest that there has been a change in the mood from near-despondency to excitement. 
 
Sikka’s 5-point strategy includes winning confidence of seniors, promoting engineers, connecting with employees, meeting clients and meeting venture capitalists. 
 
“Infosys was going through a period of internal struggle and turmoil and it came to grips with a generational change in leadership,” said Dipen Sheth, Head-Institutional Research, HDFC Securities, to ET Now. 
 
“By and large the ship has been steadied now. It is a fantastic business. It has got lots of cash on the balance sheet. It has got probably the best or close to the best name that one can think of in terms of brand salience in Indian IT,” he added. 
 
According to him, the inflexion point in Infosys happened when the sentiment was at its worst near Rs 3,000. 
 
“If you will allow me the luxury of hindsight, I do not think there is much that can go wrong unless they shoot themselves in the foot from here on. I do not see how you can lose money in Infosys,” Sheth added. 
 <keyword id="48670" type="CITY" weightage="20" keywordseo="Morgan-Stanley">Morgan Stanley</keyword> is of the view that Infosys can surprise the street positively on margins. 
 “Going by historical patterns, we think the <keyword id="54324" type="UNKNOWN" weightage="20" keywordseo="india-business">India business</keyword> will revert to profitability from 2Q15 and could boost Infosys’ overall margins. The brokerage will now be looking for factors such as pickup in revenue growth in 2Q, strong deal wins, sustenance of FY guidance and strategy possibly from the new CEO in the second quarter results. 
 
Morgan Stanley has a target of Rs 4,000 on the stock. 
 
Meanwhile, Jefferies has downgraded the stock to hold from buy. It has cut the price target to Rs 3,520 from Rs 3,675 earlier. According to the brokerage, incremental improvements are a challenge for the company. The margin gains now depend on revenue growth, which is still lacking. For the new management, opportunities are not without challenges, it says.
