New Delhi: After two <keyword id="19945688" type="General" weightage="20" keywordseo="acquisitions" source="keywords">acquisitions</keyword> this year, India's second-largest IT services company <keyword id="19906778" type="General" weightage="100" keywordseo="Infosys" source="keywords" meta.keywordsubtype="org" meta.entityname="Infosys" meta.hostid="268" meta.entityid="Infosys">Infosys</keyword> is on the lookout to scoop-up more firms and says the acquisition matching scale of recent in-tech buy is certainly a possibility. In an interview to PTI, <keyword id="24144" type="General" weightage="20" keywordseo="infosys-ceo" source="Orion">Infosys CEO</keyword> <keyword id="20115570" type="General" weightage="20" keywordseo="salil-parekh" source="keywords">Salil Parekh</keyword> said the company is keen on acquisitions in areas like data analytics, SAAS, and may look at some geographies within Europe, and the US. Asked if more acquisitions could be of the scale matching in-tech, which came with a price-tag of 450 million euros, <keyword id="20039787" type="General" weightage="20" keywordseo="parekh" source="keywords">Parekh</keyword> said, "Absolutely, I think those would be the size that we will look at in terms of scale, and given our structure we could do a few of those." Back in January, Infosys announced a definitive agreement to acquire 100 per cent of the equity share capital in InSemi Technology Services, a semiconductor design services company headquartered in India, for a consideration (including earn-outs, and management incentives and retention bonuses) totalling up to Rs 280 crore. A bigger acquisition followed in three months. In April, Infosys Germany, a wholly-owned step-down subsidiary, entered into a definitive agreement to acquire 100 per cent of the equity share capital in in-tech Holding -- leading provider of engineering R&amp;D services headquartered in Germany -- for a consideration of up to 450 million euros (about Rs 4,045 crore). "We have very good business in engineering services already within Infosys and then we did those two acquisitions, both of them in engineering services, one on semiconductor side and one on the automotive side... very strong businesses, and we feel quite good about expanding that footprint," Parekh said. Infosys is eyeing more acquisitions, he said, adding that the company is evaluating several firms. "We have a good balance sheet and good cash generation and now we are quite comfortable with the integration of acquisition in different areas. We have done engineering services, we will look at other areas... for example data analytics... may look at SAAS (software as a service) areas, and maybe at some other geographies in Europe, maybe the US as well," he said. Parekh, however, said a lot depends on strategic synergies, financial cost, cultural fit and integration aspects. "We are continuing to look, and we have things that are normally in the pipeline but those take their own time... there are a lot of discussions on strategic fit, on financial cost of it and cultural fit into the company and then how will we integrate them. Many of those discussions are ongoing and we will see what comes out," the Infosys top honcho said. On whether he is hopeful of closing more acquisitions this fiscal year, Parekh indicated that it is tough to put a timeline on the outcome of ongoing discussions. "It is difficult to say... we are evaluating several (of them). But to get a fit on the strategic parameters, financial parameters, culture, integration... all of it may not work out. But these two (InSemi and in-tech) happened relatively quickly... before that for some quarters we had not done anything. It is not a predictable thing, but the evaluation is ongoing," he said. According to the Grant Thornton Bharat Dealtracker Q2 2024 report, Indian dealmaking saw overall 501 deals, valued at USD 21.4 billion. The report said the second quarter of 2024 witnessed the highest quarterly volumes since the second quarter of 2022, while values declined due to the absence of big-ticket merger and acquisition transactions. Grant Thornton Bharat Dealtracker further said the merger and acquisition (M&amp;A) activity during the second quarter saw 132 deals worth USD 6.2 billion, marking a slight increase in volumes but a substantial 50 per cent drop in values. As per the report, domestic deals drove growth with volumes rising 29 per cent and values increasing 2.5 times compared to the first quarter of the current year. In contrast, cross-border deals experienced a decline, with volumes decreasing 24 per cent and values plummeting 85 per cent from the first quarter of 2024.

Infosys CEO Salil Parekh joins USISPF Board

New Delhi, Mar 13 () IT major Infosys on Friday said it has completed acquisition of Simplus, one of the fastest growing Salesforce Platinum Partners in the US and Australia. In February, Infosys had announced that it will acquire Simplus in an up to USD 250 million deal. "Infosys ...has completed the acquisition of Simplus...Through this acquisition, coupled with the acquisition of Fluido announced in September 2018, Infosys further elevates its position as an end-to-end Salesforce enterprise cloud solutions and services provider, offering clients unparalleled capabilities for cloud-first digital transformation," Infosys said in a regulatory filing on Friday. It added that the acquisition brings globally recognised Salesforce expertise, industry knowledge, solution assets, deep ecosystem relationships and a broad clientele across a variety of industries including high-tech, financial services, retail, healthcare, life sciences and manufacturing. In its announcement in February, Infosys had said the cost of acquisition is "USD 200 million including contingent consideration to be paid for the acquisition of shares subject to closing adjustments". In addition, there are employee incentives and retention payments amounting up to USD 50 million on meeting certain performance conditions over three years, it had noted. Simplus was majority-owned by institutional investors, founders and key employees, with Salesforce Ventures having a minority stake. Its revenue stood at USD 67.1 million for the fiscal year ending January 31, 2020. Simplus has offices across North America, Sydney, Melbourne, London, and a large delivery centre in Manila. SR RVK

Infosys completes acquisition of Simplus

Infosys, which is the second largest information technology firm by market capitalisation, reported a 7% on quarter rise in consolidated net profit to ₹5,809 crore in October-December quarter. Revenue for the firm stood at ₹31,867 crore for the quarter. The IT firm continues to struggle with the highest number of employees leaving the organisation as its attrition rate stood at 25.5% with a total headcount of 2.92 lakh employees as of December 31, 2021. Rise in attrition leads to higher employee cost and narrower margins. This has been a problem for all technology companies in India in recent months. For Infosys, the margin shrunk by 190 basis points between October and December 2021 compared to the preceding three months. 100 basis points make one percent. “We continue to prioritize investments in talent acquisition and development and have further increased our global graduate hiring program to over 55,000 for FY22 to support our growth ambitions”, said Nilanjan Roy, chief financial officer at Infosys. Infosys raises full year guidance after the best revenue growth in at least eight quarters

While investors and analysts alike are nervous about it, a recent brokerage report has underplayed its effect on the IT sector as a whole and Indian service providers in particular. As companies are spending a fortune on digitization, the IT sector is well placed in a volatile and recession-feared market as its demand is strong despite high inflation, says a report by Kotak Institutional Equities. And, the tech spending cycle wave is in favour of IT companies like <keyword id="6357150" type="General" weightage="20" keywordseo="tcs" source="Orion">TCS</keyword>, <keyword id="6354512" type="General" weightage="20" keywordseo="infosys" source="Orion">Infosys</keyword>, Wipro, HCL Tech and more. “The current recession, if it does materialize, will impact the supply chain and retail segments more than financial services. Assuming the recession is shallow and swift, the financial services segment could hold up better than others,” said the report. Financial services are the largest IT spenders and biggest clients of Indian IT majors. Recession is typically defined as a significant decline in economic activity that is spread across the economy and lasts more than a few months. Currently, prices of gas and food are at record high in the US resulting in 40 year high inflation. Several reports indicate the US is likely to fall into recession. Morgan Stanley CEO James Gorman said to <a href="https://www.reuters.com/business/finance/bank-americas-cfo-says-no-sign-recession-credit-deterioration-2022-06-13/">Reuters </a>there is a 50% chance the US economy will enter a recession. Shallow recession or a deep recession If a recession occurs, clients have an option to either elongate the digital transformation journey or stop it midway. It is very unlikely for a running company to stop its growth journey. “Irrespective, the important point is that we expect IT spending growth to remain above normalized levels as clients progress towards the transformation journey, even as there may be an odd year or two of below-trend level growth,” says the report. In a slowdown situation however, companies see no huge investments coming in or opportunities that could boost margins while a shallow and swift recession leads to clearer priorities by clients to advance their businesses. So even if the recession comes, there will be a downtrend in the IT services sector but the effect will be very moderate. “Profit warning from clients of IT companies and increasing external risks makes the assumption of 6-8% global IT spending growth, unreasonable. We moderate our stance and bake in normalized global IT spending growth of 3-4% for 2023E and 7% for 2022E,” added the report. On the bright side, the recession is expected to cool off the high attrition rate faced by the IT industry for a long time now, said the report. Infosys and TCS standout among other players in the recession-fearing market. Mphasis and HCL Technologies can also survive the bad phase. However, Wipro’s recent acquisitions make it more vulnerable, as per Kotak. Due to the heavy selling in IT stocks, analysts expect the stocks to bottom out at higher multiples and then move up from there. TCS, Infosys and HCL Tech can do better in a shallow recession than a slowdown

The global brokerage is also wary that the valuation of the deal is a bit on the higher side and will impact margins in the long run since consulting requires heavy onsite presence. “Ongoing restructuring and investments would take a toll on margins in the near term, eating away at gains from operational efficiency. Even lower margins from acquiring Capco would further put pressure on the bottom line,” added Motilal Oswal. The deal between Wipro and Capco is likely to be finalised by June 2021, subject to regulatory approvals. This investment will now value Mosambee at upwards of $100 million, PineLabs has revealed. The leadership team at Mosambee will continue to operate independently and serve the needs of their customers spread across diverse industries. Founded in 2008 by Alok Arora, Bhushan Thaker and Sameer Chugh, Mosambee is a payment solution company that caters to both online and offline merchants in India and six other countries. The company claims to have a base of 1 million small, medium enterprises (SME) merchants and various government departments, who use Mosambee’s solutions to digitise their payment collections. “With the extensive reach of Pine Labs and their portfolio companies, we aim to continue to deliver strong profitability and breakthrough solutions to our clients,” Mosambee’s cofounder Chugh said. According to business intelligence platform Crunchbase, Mosambee has raised over $2.5 million prior to this. It is backed by Small Industries Development Bank of India (SIDBI) Venture Capital and Rajasthan Venture Capital Fund. Earlier this year, Mosambee announced the acquisition of Cashless Technologies that runs Benow, a ‘Buy Now, Pay Later’ startup. “Ever since its founding, Mosambee has made tremendous progress in elevating the merchant experience through cutting-edge fintech solutions. They were a natural fit for us due to our shared purpose of making innovative fintech products accessible to all and driving forward the digital payment revolution in India,” Amrish Rau, the chief executive officer (CEO) of PineLabs, said in a statement. Founded in 1998 by Lokvir Kapoor, Pine Labs is a merchant payment solutions firm that enables businesses to accept online and offline digital retail transactions. The company powers over 250,000 merchants across over 675,000 merchant network touchpoints in India and Southeast Asia. Pine Labs serves prominent large, mid-sized and small merchants across Asia and the Middle East, including Apple, Starbucks Corp, McDonald's Corp and more. It is planning on hitting the public market soon, and filed for a initial public offering (IPO) in the US in January this year. The company is reportedly planning to raise half a billion dollars from the public market, at a valuation of $6-7 billion.
