<ul><li>Nuvoco Vistas is looking to raise ₹5,000 crore through a fresh issue of shares worth ₹1,500 crore and an offer for sale by promoters worth ₹3,500 crore.</li><li>With the net proceeds the company looks to repay borrowings worth ₹1,350 crore.</li><li>In terms of manufacturing capacity, it is the fifth largest cement company in India and the largest cement company in east India. </li></ul>Nuvoco Vistas Corporation, a Nirma Group company, has received the regulator’s nod for issuing an initial public offering (<keyword id="6354763" type="UNKNOWN" weightage="20" keywordseo="ipo">IPO</keyword>). The company is looking to raise ₹5,000 crore through IPO, as per the draft red herring prospectus (DRHP) filed by the company on May 9, 2021. The IPO comprises a fresh issuance of shares worth ₹1,500 crore and an offer for sale worth ₹ 3,500 crore by the promoter. In terms of its manufacturing capacity, Nuvoco Vistas -- formerly known as Lafarge India Limited -- is the fifth largest cement company in India and the largest cement company in east India, as per the DRHP filings. It also is one of the leading ready mix concrete manufacturers in India and has grown from being a cement focused entity to now a building materials company offering more than 50 products across cement, ready mix concrete and modern building materials sold under well-established brand names such as Concreto, Duraguard, Double Bull, ZeroM and Instamix. With the net proceeds the company looks to repay some of its borrowings worth ₹1,350 crore. The company believes that the central government’s focus on roads, railways, urban infrastructure and irrigation will boost infrastructure investments. Cement manufacturer Nuvoco Vistas Corp to raise ₹5,000 crore through IPO

RailTel’s ₹700 crore initial public offering The state-owned RailTel Corporation has filed a Draft Red Herring Prospectus (DRHP) with the market regulator Securities and Exchange Board of India (SEBI) for an initial public offer of up to 8.66 crore equity shares. The company is likely to raise ₹700 crore through the IPO, a complete offer for sale by the Central government. It has appointed ICICI Securities, IDBI Capital, SBI Capital Markets as the book running lead managers to the issue. ESAF Small Finance Bank The Kerala-based ESAF Small Finance Bank had filed DRHP in January and subsequently got the approval from SEBI at the end of March. However, the bank delayed its initial public offering due to the volatile market conditions and said it would take a call on ₹976-crore initial public offering (IPO) after September. The ₹976-crore IPO of ESAF Small Finance Bank will comprise a fresh issue worth ₹800 crore and an offer for sale (OFS) aggregating up to ₹176.2 crore. Kalyan Jewellers Kerala based Jewellery maker, Kalyan Jewellers, is also expected to launch a ₹1,750 crore initial public offering (IPO) in <a href="http://www.marketsguruji.com/upcoming-ipos-in-india/">November</a>. The ₹1,750 crore IPO will be the largest in its sector. The issue will consist of a fresh fundraise of ₹1,000 crore and offer of sale by promoter TS Kalyanaraman and private equity firm Warburg Pincus of ₹750 crore. Burger King One of India'sIndia's fastest-growing food chains, Burger King, is also in line to raise as much as ₹1,000 crore by initial public offering. The firm aims to utilise the funds to double the number of restaurants by 2025, where it currently operates 216 in India, as per its DRHP. Burger King IPO is also likely to hit the market in November this year. Bajaj Energy The ₹5,450 crore IPO of Uttar Pradesh-based, one of the largest private-sector thermal generation companies, Bajaj Energy, is expected to hit the market by the end of this year. The IPO comprises fresh issuance of shares aggregating up to ₹5,150 crore and an offer for sale of scrips up to ₹300 crore by the promoter Bajaj Power Ventures, according to its DRHP. Nuvoco, which is one of the largest cement players in east India, is a subsidiary of the Nirma Group, famous for its eponymous detergent brand. Nirma Group entered the cement business in 2014 by acquiring Switzerland based LafargeHolcim in 2016 and NU Vista, formerly known as Emami Cement in 2020. Gujarat-based Nirma Group is a diversified conglomerate that manufactures products ranging from chemicals to detergents, soaps, healthcare products and real estate development. With a strong promoter backing the Nuvoco Vistas grew from a cement based firm to offering various building materials like mixed concrete, cement, wall putty, blocks, plaster, and more. Over the years, Nuvoco Vistas has become the largest cement company in east India in terms of capacity (22.32 million metric tonnes per annum). The company’s cement plants are located in the states of West Bengal, Bihar, Odisha, Chhattisgarh and Jharkhand in east India and Rajasthan and Haryana in north India. Adding to it is the fact that the company holds a dominant position in east India with 17% market share in terms of capacity. <div type="image" title="Nuvoco peers" height="900" width="1200" msid="85177110" hostid="261"></div> “The country’s demand growth is likely to be led by east and central regions and will be primarily from affordable housing and infrastructure creation and the cement sector is expected to largely benefit from it. Nuvoco Vistas, being the largest cement company in the east region, is well placed to capitalise on these opportunities...We recommend to subscribe the [sic] issue from a long-term perspective,” said analysts at Investmentz.com. One biggest drawback for the company is its high debt. As of December 31, 2020, its net debt stood at ₹7,259 crore. The company intends to use the proceeds from the fresh issue to pay some of its debt. The cement manufacturer’s valuation is at a discount to its large cap peers as it partially factors high debt and low returns on capital employed (ROCE), said a report by IDBI Capital. “But given [the] up-cycle in the cement industry and expectation of improvement in margin and balance sheet deleveraging over FY21-23 earnings estimate we recommend subscribe,” added the report.
