The company intends to raise as much as ₹350 crore, via a fresh issue and an offer for sale. The proceeds from the IPO will be used to repay debt worth ₹50 crore. As of August 2022, the company’s total outstanding borrowings amounted to ₹70 crore. Further, it is looking to open a new facility at Noida, Uttar Pradesh by investing IPO proceeds worth ₹236 crore via its subsidiary IKIO Solutions. IKIO Lighting has four facilities with one in the SIDCUL Haridwar industrial park in Uttarakhand and three in Noida. As of March 2022, it had an annual installed capacity to manufacture 20.31 million LED light pieces. The company had witnessed a partial shutdown of its units during lockdown. “Due to the nationwide lockdown, we were required to shut down our manufacturing operations from March 25, 2020 to May 3, 2020. Any future restrictions on our workforce’s access to any of our manufacturing facilities and the health and availability of our workforce could limit our ability to meet customer orders and have a material adverse effect on our business, results of operations and financial condition,” said the company in DRHP. In the past three fiscal years, it provided products to over 900 domestic and six international customers. Philips Electronics is one of its largest customers. The company is in negotiations with some of its existing customers to supply their LED home lighting products to their international supply chain. Along with its improving profitability in the last three years, the company’s EBITDA margin has also improved over time. Noida-based LED IKIO Lighting files DRHP with SEBI to raise ₹350 crore

New Delhi, Feb 4 () Stove Kraft Ltd, manufacturer of kitchen appliances, has filed offer documents for an initial public offer.
 The public offer comprises a fresh issue of equity shares aggregating up to Rs 145 crore and an offer for sale of up to 71,63,721 equity shares. The offer for sale comprises up to 6,40,906 shares by promoter Rajendra Gandhi; up to 2,50,000 shares by promoter Sunita Rajendra Gandhi; up to 13,11,205 shares by Sequoia Capital India Growth Investment Holdings and up to 49,61,610 shares by SCI Growth Investments II, according to the draft red herring prospectus (DRHP).
 The company proposes to utilise the net proceeds from the fresh issue towards repayment/pre-payment in full or part of certain borrowings availed by the firm and general corporate purposes, it said.
 The company's shares are proposed to be listed on the stock exchanges.
 The book running lead managers to the offer are Edelweiss Financial Services and JM Financial.
 The company is engaged in the manufacture and retail of a wide and diverse suite of kitchen solutions under Pigeon and Gilma brands.
 It is a kitchen solutions and an emerging home solutions brand. The kitchen solutions comprise of cookware and cooking appliances across brands and home solutions comprise various household utilities, including consumer lighting, as per the DRHP. SUM SHW

Stove Kraft files draft documents for IPO

Sequoia Capital-backed <keyword id="3903861" type="PERSON" weightage="20" keywordseo="Indigo-Paints">Indigo Paints</keyword> has received capital markets regulator Sebi's approval to raise about Rs 1,000 crore through an initial public offering. The IPO comprises fresh issuance of shares aggregating to Rs 300 crore and an offer-for-sale of up to 58,40,000 equity shares by private equity firm <keyword id="122716" type="COMPANY" weightage="20" keywordseo="Sequoia-Capital">Sequoia Capital</keyword>, through its two funds SCI Investments IV and SCI Investments V, and promoter Hemant Jalan, according to the draft red herring prospectus (DRHP). Indigo Paints, which filed its preliminary IPO papers with Sebi in November, obtained its observation on December 31, an update with the capital markets watchdog showed on Monday. Sebi's observation is very necessary for any company to launch public issues, including initial share-sale, follow-on public offer and rights issue. Proceeds from the fresh issuance of shares would be used for expansion of the existing manufacturing facility at Pudukkottai in <keyword id="20154" type="PERSON" weightage="20" keywordseo="tamil-nadu">Tamil Nadu</keyword>, purchase of tinting machines and gyro shakers, and repayment/prepayment of borrowings. Sequoia Capital-backed Indigo Paints gets green light from SEBI for ₹1,000 crore IPO

IPOs galore – India’s primary market to remain buzzing in 2023

<ul><li>In the April-June quarter of 2023, there were six mainboard IPOs and 32 <keyword id="3704207" type="General" weightage="20" keywordseo="sme-ipos" source="Orion">SME IPOs</keyword> that hit Dalal Street.</li><li>Hospitality and construction sector took the lead in the main markets during Q2 2023 with two InVITs raised funds.</li><li>There could be more IPO action this year as 13 companies filed their DRHPs in the quarter. </li></ul>Indian primary markets have been buzzing this year with 10 mainboard IPOs and 70 SME IPOs — making it one of the busiest in the world, says a latest report by Ernst &amp; Young. "Indian stock exchanges (BSE and NSE, including SMEs) have ranked first in the world in terms of the number of IPOs and eighth in terms of issue proceeds during the year to date 2023, with no cross-border deals recorded,” the report said. In the April-June quarter of 2023, there have been six mainboard IPOs — that’s 57% higher than the same quarter of 2022, but 50% higher than Q1 of this year. SME IPOs however continued their spectacular growth — with 32 IPOs in Q2 of 2023 — growing by 75% compared to only 18 last year, and decreasing by 16% sequentially. Hospitality &amp; construction sector took the lead in the main markets during Q2 2023 with two IPOs. Based on YTD figures for 2023, automotive &amp; transportation, diversified industrial products, and real estate each saw two IPOs in the main markets. Foreign institutional investors (FIIs) are showing sustained inflows in India, resulting in an 8% market rally since April 2023. The global picture On the other hand, 2023 so far saw more than 600 IPOs raising approximately $60 billion, a contraction of 5% by volume and 36% by value YoY. “These modest results continue to reflect slower global economic growth, tight monetary policies and heightened geopolitical tensions. High interest rates and poor post-IPO share price performance have also pushed investors to look for other investment asset classes,” E&amp;Y said. might see more action in the primary markets as 13 companies filed their Draft Red Herring Prospectus (DRHPs) in Q2 of 2023, adding to the pipeline. “In the forthcoming months, there is anticipated to be significant momentum in the <keyword id="2542400" type="General" weightage="20" keywordseo="indian-ipo-market" source="Orion">Indian IPO market</keyword>, encompassing both the main and SME market segments. India must continue to focus on enhancing regulatory frameworks, improving corporate governance practices, and fostering investor education," said Adarsh Ranka, partner of financial accounting advisory services leader, network firm of EY Global. However, fewer PE backed companies have pushed towards market debut this year, and traditional companies are taking a lead with the public markets as opposed to new-age companies, the E&amp;Y report said. Indian markets regulator SEBI introduced various amendments to enhance the capital markets' transparency and practices like changes in pricing of the issue, disclosure of Key Performance Indicators (KPIs), introduction of pre-filing of draft offer documents (confidential filing), the establishment of the Social Stock Exchange and more. "The recent amendments introduced by SEBI showcase the commitment towards enhancing market transparency and governance. These changes lay a strong foundation for future IPO activity and empower companies to align with best practices, reinforcing the trust of investors in the Indian capital markets," said Veenit Surana, partner at EY India.

"Currently, the investor demand in the primary market is muted, which has also kept companies from coming out with their IPOs. Meanwhile, companies that are still coming out with an IPO by cutting its issue size could be because of need for capital or exit of shareholders who cannot wait. Also, companies are delaying their IPOs because of lower valuation as compared to expectations,” said Ajay Saraf, head of investment banking and institutional equities at ICICI Securities. Between May 2022 and February 2023, the Reserve Bank of India (RBI) raised the repo rate by 250 bps to tackle inflation. Meanwhile, India’s retail inflation, which edged down slightly to 6.44% in February from 6.52% in January, still remains above RBI’s tolerance limit of 6%. Analysts expect the rise in interest rate cycle to pause during the end of the year as inflation may cool off, which is when markets would recover and investors’ demand for IPOs may pick up. “Demand is expected to remain subdued in the short term till the time macro headwinds are not settled. While market sentiment is expected to remain cautious for some more time, analysts see large IPOs taking a back seat for a couple of quarters. “With weakness still prevailing in the secondary market, because of a combination of domestic and foreign factors, IPO activity is likely to remain muted for the first couple of quarters. We may see some smaller-sized IPOs. However, it will be a while before we see larger-sized deals, especially in light of lack of sustained interest from FPIs (foreign portfolio investors),” Pranav Haldea, managing director at Prime Database Group, said in an IPO outlook report for FY24. Even after the collapse in the banking sector, triggered by the failure of Silicon Valley Bank and Signature Bank, the US Fed went on with its interest rates hike in April calling the banking system "sound and resilient" as it remains focused on bringing down inflation in the country. And till the time inflation and interest rates do not cool down, investors’ demand for IPOs will remain subdued. It will go live a day early for anchor investors. The initial fresh issue size was ₹650 crore, but it has now been reduced to ₹530 crore. Kaynes Technology is a Mysore-based internet-of-things (IoT) solutions-enabled integrated electronics manufacturing company. Founded in 1989 and incorporated in 2008, Kaynes Technology’s issue includes a fresh issue of equity shares worth ₹530 crore, and an offer for sale of 5.6 million shares. The company’s business ranges from offering built-to-specification products, manufacturing printed circuit board assemblies (PCBA), to making smart meters, smart street lights and more. Kaynes Technology also offers product engineering and IoT solutions to industries as well as common users. It currently has eight manufacturing facilities spread across five states, including one design centre and two service centres. Overall, the company had a combined capacity of manufacturing 600 million components at the end of December 2021.
