The Mumbai bench of the National Company Law Tribunal (<keyword id="19901085" type="General" weightage="20" keywordseo="NCLT" source="keywords">NCLT</keyword>) on Wednesday approved the <keyword id="20560837" type="General" weightage="20" keywordseo="delisting" source="keywords">delisting</keyword> application of <keyword id="20005262" type="General" weightage="20" keywordseo="ICICI-Securities" source="keywords" meta.keywordsubtype="org" meta.entityname="ICICI Securities" meta.hostid="261" meta.entityid="ICICI Securities">ICICI Securities</keyword> from the stock exchanges and also rejected objections filed by <keyword id="21094856" type="General" weightage="20" keywordseo="minority-shareholders" source="keywords">minority shareholders</keyword>. The NCLT in an oral order approved the <keyword id="22862911" type="General" weightage="20" keywordseo="Scheme-of-Arrangement" source="keywords">Scheme of Arrangement</keyword> for delisting of shares of ICICI Securities. As per the scheme of arrangement, shareholders of ICICI Securities (ISEC) will get 67 shares of ICICI Bank for every 100 shares they hold. The court also rejected objections filed by minority shareholders Quantum Mutual Fund and Manu Rishi Gupta. Quantum Mutual Fund held 0.08 per cent and Manu Rishi Gupta, a minority shareholder held 0.002 per cent shares in ICICI Securities opposed the scheme. The scheme was earlier approved by 93.8 per cent equity shareholders of ICICI Securities. Following delisting, ICICI Securities will become a wholly-owned subsidiary of the bank. ICICI Securities, promoted by ICICI Bank, is the country's leading retail-led equity franchise, distributor of financial products and investment bank. Meanwhile, ICICI Securities on Wednesday said it has settled with market watchdog Sebi a case pertaining to an alleged violation of regulatory norms after paying Rs 69.82 lakh. The same was in relation to a settlement application submitted to Sebi in connection with the inspection of books and records for the merchant banking activities of the company, ICICI Securities said in a regulatory filing. The observations were primarily related to the due diligence process to be followed by the company as a merchant banker, it said. The company had submitted an application for settlement under Settlement Regulations in respect of the aforementioned matter with a view to avoid any protracted proceedings arising from Sebi's Show Cause Notice, it said. Following the payment, a settlement order dated August 20, 2024, passed by Sebi has been received by the Company on the same day, it added. NCLT approves delisting of ICICI Securities, dismisses petition by minority shareholders

New Delhi, Private lender <keyword id="17820746" type="General" weightage="80" keywordseo="ICICI-Bank" source="Denny">ICICI Bank</keyword> on Monday said its board will meet on Thursday to consider a proposal to delist its subsidiary <keyword id="17814846" type="General" weightage="80" keywordseo="ICICI-Securities" source="Denny">ICICI Securities</keyword> from the <keyword id="17825874" type="General" weightage="80" keywordseo="stock-exchanges" source="Denny">stock exchanges</keyword>. Following the announcement, shares of ICICI Securities surged 15 per cent in intra-day to hit their 52-week high of Rs 650 apiece on the BSE. In a regulatory disclosure to the stock exchanges, the private sector lender said, "a meeting of the board of directors of ICICI Bank Ltd is scheduled to be held on Thursday, June 29, 2023, to consider a proposal for delisting of equity shares of ICICI Securities Ltd, a listed subsidiary company of the bank, pursuant to a scheme of arrangement with the bank under ... ICICI Securities hit 52-week high as board to consider delisting proposal on Jun 29

New Delhi, Brokerage house <keyword id="46909" type="General" weightage="20" keywordseo="ICICI-Securities" source="Orion">ICICI Securities</keyword> on Friday reported a one per cent decline in profit after tax (PAT) at Rs 271 crore for three months ended June 2023. In comparison, the company reported a PAT of Rs 273.6 crore in the year-ago period, ICICI Securities said in a regulatory filing. The decline in the profit could be attributed to higher expenses, as the broking firm's total expenses shot up by 33 per cent to Rs 570 crore in the quarter under review. However, the company's total revenues rose by 18 per cent to Rs 934 crore in the first quarter under review, from Rs 795 crore in the April-June quarter of financial year 2022-23. During the quarter under review, the company added 2.1 lakh clients, taking its overall customer base to 93 lakh. Last month, ICICI Bank approved a proposal to delist ICICI Securities and become a wholly-owned subsidiary of the bank after delisting. ICICI Securities Q1 2023-24 PAT dips 1%, revenues surge 18%

New Delhi, Jun 12 () IT firm Hexaware on Friday said its board has approved the appointment of ICICI Securities as merchant banker for delisting of the company from stock exchanges. Earlier this month, Hexaware promoter firm HT Global IT Solutions Holdings had expressed its intention to voluntarily delist Hexaware's shares from Indian bourses. In a regulatory filing on Friday, Hexaware said its board has approved the appointment of ICICI Securities Ltd (merchant banker) for the purposes of carrying out the due diligence. "After the receipt of the due diligence report by the merchant banker, the board will meet again to discuss and take a decision on the delisting proposal," it added. The board has also authorised identified personnel to take all necessary steps to procure from the stock exchanges details of trading in shares of the company for a period of two years prior to June 12. They will also provide details of off-market transactions by such shareholders for a period of two years and any other necessary information that the merchant banker deems fit in connection with the due diligence. Shares of Hexaware were trading 1.44 per cent higher at Rs 324.20 apiece on BSE in afternoon trade on Friday. The promoters have offered Rs 285 per share (indicative offer price) for the delisting proposal. These are the stocks to watch out for during the trading session on Thursday: ICICI Bank ICICI Bank on Wednesday said it would sell up to 2% of its holding in ICICI Securities through an open market transaction. “The Board of Directors of the bank, at its meeting held today, approved the sale of up to 6,442,000 equity shares of face value ₹5 each of ICICI Securities Limited (company), representing up to 2% of its issued and paid-up equity share capital, through an open market sale,” the bank said in a regulatory filing. The shares of ICICI Bank ended nearly a percent higher on Wednesday. Oberoi Realty, Godrej Properties and other real estate stocks The Maharashtra government has decided to slash stamp duty on sale deed documents by 3% from September 1 to December 31, 2020, and by 2% from January 1, 2021 to March 31 2021. The shares of Oberoi Realty ended nearly 2% lower on Wednesday, whereas Godrej Properties was down nearly a percent. Hindustan Aeronautics Limited The Union Government is selling 15% of its equity stake in the state-owned Hindustan Aeronautics Ltd (HAL) at ₹1,001 per share to raise about ₹5,000 crore through an offer for sale (OFS). “The Defence Ministry has notified the stock exchanges in the evening on selling 15% of its equity stake (5.01-crore shares) in the company at ₹1,001 per share of ₹10 face value through OFS,” a company official <a href="https://www.sify.com/finance/govt-to-sell-15-stake-in-hal-through-sale-offer-news-news-ui0skQhedbahj.html">told IANS</a>. Mahindra and Mahindra Limited Automobile major Mahindra &amp; Mahindra and e-mobility technology company REE Automotive has entered into a memorandum of understanding (MoU) to explore development and manufacturing of commercial electric vehicles for global markets. “The partnership will support REE’s global customer need for 200,000-250,000 electric commercial vehicle units over a few years, including potential Mahindra’s domestic and international volumes. The decision of <keyword id="6354335" type="ORGANIZATION" weightage="20" keywordseo="reserve-bank-of-india">Reserve Bank of India</keyword> (RBI) to palm off 94-year-old Karur based <keyword id="135860" type="COMPANY" weightage="20" keywordseo="Lakshmi-Vilas-Bank">Lakshmi Vilas Bank</keyword> (LVB) to DBS Bank India Ltd, a wholly-owned subsidiary of DBS Bank Ltd, Singapore, smacks of arbitrariness and lack of transparency, said a top leader of All India Bank Employees' Association (<keyword id="327672" type="ORGANIZATION" weightage="20" keywordseo="AIBEA">AIBEA</keyword>). "There would have been several groups interested in LVB with its extensive branch network and deposit base. The RBI did not make any open bid for LVB. From where DBS Bank India came in and how RBI zeroed in on that bank is not known," C.H.Venkatachalam, General Secretary, AIBEA told IANS. On Tuesday, the RBI announced its decision to amalgamate the LVB with the DBS Bank India. Venkatachalam said as per RBI, DBS Bank India will bring in additional capital of Rs 2,500 crore upfront, to support business growth of the merged entity but there are no timelines mentioned. "The fundamental question is why only DBS Bank India and why not others? Why no bids were issued? It is agreed that RBI may have powers, but those powers should be exercised in a transparent manner and not arbitrarily," Venkatachalam said. He charged RBI of handing over LVB to DBS Bank India overnight in an arbitrary manner. According to Venkatachalam, LVB has a brand equity and goodwill apart from immovable assets. If the immovable assets are revalued then there will be some money for the shareholders. As per the draft amalgamation scheme, the RBI has said on and from the appointed date, the entire amount of the paid-up share capital and reserves and surplus, including the balances in the share/securities premium account of the transferor bank (LVB), shall stand written off. On and from the appointed date, the transferor bank shall cease to exist by operation of the scheme, and its shares or debentures listed in any stock exchange shall stand delisted without any further action from the transferor bank, transferee bank (DBS Bank India) or order from any authority. As regards LVB employees, they will continue in service and be deemed to have been appointed in the DBS Bank India at the same remuneration and on the same terms and conditions of service, as were applicable to such employees immediately before the close of business on November 17. However, the RBI scheme also provides for DBS Bank India to discontinue the services of key managerial personnel of LVB after following the due procedure at any time, after the appointed date, as it deems necessary and providing them compensation as per the terms of their employment. Similarly, DBS Bank India shall have the option of merging LVB branches according to its convenience and may close down or shift the existing branches as per the extant instructions issued by the RBI. The LVB has a network of 563 branches while DBS Bank India has only 33. The amalgamation will give a jump start for DBS Bank India with a ready made branch network. According to stock broking firm Emkay Global Financial Services, the amalgamation will be a long-term positive DBS Bank India, while putting to rest concerns around a potential merger with a healthy large private bank as it has been the case in the past (for e.g., Bank of Rajasthan with ICICI Bank). "Although the extinguishment of capital/reserves and merger with an unlisted bank will be negative for minority investors in LVB, the larger interest of depositors has been protected," Emkay Global said in a report. "The RBI has done the correct thing. This should have been done earlier. Even if the immovable assets are revalued, LVB's networth wouldn't turn positive. Further most of their branches would be under lease agreements," Anand Dama, Senior Research Analyst, Emkay Global told IANS. Similarly, in the case of the Kerala based Dhanalaxmi Bank, the RBI seems to be keen on bringing back Sunil Gurbaxani as Managing Director and CEO after he was voted out by the shareholders at the annual general meeting held on September 30, 2020, Venkatachalam said. The ordinary resolution moved for Gurbaxani's appointment at the AGM was defeated, with 90.49 per cent of the votes polled against the proposal. Only 9.51 per cent of the votes were polled in favour of his appointment. "When the shareholders have voted out, why RBI is very keen on one person is not known," Venkatachalam wondered. On Dhanlaxmi Bank, Emkay Global said it will be interesting to see whether the RBI will take over this bank too -- as it is being long mired with management issues -- and impose a merger or try some other route to revive it. Meanwhile union officials of LVB were not available for comments when IANS tried to reach out to them.
