In what is the biggest consolidation in the India's private insurance sector, <keyword id="1118012" type="UNKNOWN" weightage="100" keywordseo="max-life">Max Life</keyword> Insurance and <keyword id="3183205" type="UNKNOWN" weightage="100" keywordseo="Max-Financial-Services">Max Financial Services</keyword> will now be a part of <keyword id="4495056" type="COMPANY" weightage="100" keywordseo="HDFC-Standard-Life">HDFC Standard Life</keyword> Insurance. 
 
"The Board of Directors of HDFC Standard Life Insurance Company, Max Life Insurance Company Ltd and Max Financial Services Ltd... approved entering into a confidentiality, exclusivity and standstill agreement to evaluate a potential combination through a merger of Max Life Insurance Company Ltd and Max Financial Services Ltd into HDFC Life by way of a scheme of arrangement," said HDFC in an NSE filing. 
 
In another filing, Max Financial Services reported that the agreement gives a mutually agreed exclusivity period to the parties for due diligence and discussions regarding the proposed transaction. 
 
It added that the proposed arrangements would be subject to due diligence, definitive documentation and applicable board, shareholder, regulatory, respective High Courts/NCLT, and other TPAs. 
 
As of now, India allows 49% FDI in the insurance sector.

Max Life and Max Financial Services are now a part of HDFC Standard Life

New Delhi, <keyword id="20681506" type="General" weightage="20" keywordseo="yum-restaurants-india" source="keywords">Yum Restaurants India</keyword> on Wednesday sold its entire 4.4 per cent stake in <keyword id="20376663" type="General" weightage="20" keywordseo="devyani-international" source="keywords">Devyani International</keyword> for Rs 871 crore through an open market transaction. Devyani International, the Quick Service Restaurant (QSR) operator, is the franchisee for Yum Brands, which operates KFC, Pizza Hut and Taco Bell in India. SBI Mutual Fund (MF), Axis MF, <keyword id="20681508" type="General" weightage="20" keywordseo="franklin-templeton-mf" source="keywords">Franklin Templeton MF</keyword>, Nippon India MF, HDFC Standard Life Insurance, Ghisallo Master Fund LP, Singapore Government, Societe Generale, Goldman Sachs and Morgan Stanley Asia Singapore were among the buyers of Devyani International's shares. According to the block deal data available on the National Stock Exchange (<keyword id="20004725" type="General" weightage="20" keywordseo="nse" source="keywords">NSE</keyword>), <keyword id="20681507" type="General" weightage="20" keywordseo="yum-restaurants" source="keywords">Yum Restaurants</keyword> India offloaded 5,30,83,330 shares, amounting to its 4.4 per cent stake in Devyani International. The shares were offloaded at an average price of Rs 164.10 apiece, taking the transaction value to Rs 871 crore. At the end of December 2023, Yum Restaurants held over 5.30 crore shares, representing a 4.40 per cent stake in Devyani International. Shares of Devyani International gained 1.24 per cent to close at Rs 167.80 apiece on the NSE on Wednesday. In a separate block deal on NSE, QRG Investments and Holdings sold shares of Campus Activewear for Rs 100 crore. QRG Investments and Holdings offloaded 40.65 lakh shares at an average price of Rs 245 apiece. The deal value is Rs 99.59 crore. as per NSE data. Meanwhile, SBI Mutual Fund acquired shares of Campus Activewear at the same price. On Wednesday, shares of Campus Activewear jumped 3.24 per cent to settle at Rs 253 per piece on NSE.

Yum restaurants India exits Devyani International; sells entire stake of ₹871 crore

Since these shares are not traded in the public market, you do not have a marketplace like stock exchange to buy it. Unlisted shares can be bought through intermediaries and platforms who specialise in sourcing and placement of unlisted shares and can facilitate the trade. Intermediaries and platforms buy shares from employees i.e., employee stock options (ESOP), existing investors and offers new investors who are keen to invest. In the last few years, the pre-IPO market has opened up and is now available to the masses. Some investment firms like Analah Capital, TradeUnlisted and Unlistedkart have portals to help investors buy unlisted shares. Shares of these unlisted companies will be held in a demat account. According to Unlistedkart, depending on the unlisted share, the minimum amount can be between ₹ 25,000–₹ 50,000. Other investment platforms have not mentioned a threshold of minimum investment. As per India’s market regulator’s rules, all pre-IPO shares are locked in for six months from the date of listing. It means you cannot sell stocks before six months from the date of listing. In case of unlisted securities, if the stock is sold within 24 months, it’s considered short term. The gains are added to the income of the person and taxed at a tax slab rate applicable to you. And if sold after 24 months, it is taxed as long term capital gains at 20% after indexation. However, remember unlisted shares are illiquid and volatile, so you may not be able to sell your shares in a hurry. Since the pre-IPO market is mostly dominated by institutional players and the transaction among them is generally slower which makes it difficult to sell shares and get money any time of the day. New Delhi, Dec 3 () Private equity firms Advent International Corp and Temasek Holdings on Tuesday together divested stake worth Rs 1,275 crore in Crompton Greaves Consumer Electricals. 
 The shares were offloaded through Advent International Corp's Amalfiaco and Temasek's MacRitchie Investments Pte Ltd via multiple open market transactions.
 As per the block deal data on the BSE, the equity firms sold a total of 5,11,62,327 shares, representing 8.16 per cent stake in the company, at an average price of Rs 249.2 apiece, taking the total deal value to Rs 1,274.9 crore.
 Amalfiaco and MacRitchie, which together held 34.36 per cent stake in the company as per the shareholding data at the end of September 2019, sold around 24 per cent of their holding in the company.
 The shares were picked up at the same price by a host of fund houses and insurance companies, including SBI Mutual Fund, Fidelity India Fund, HDFC Standard Life Insurance Co Ltd and Morgan Stanley Asia Singapore Pte, among others, the data showed.
 In April 2015, Gautam Thapar's Avantha Group sold its entire holding of 34.37 per cent in the demerged consumer products business of Crompton Greaves to Advent International and Temasek for Rs 2,000 crore. 
 Shares of Crompton Greaves on Tuesday ended at Rs 246.2 on the BSE, 2.19 per cent lower than the previous close. SRS

As per sources, this merger will facilitate automatic listing of HDFC Life on the <keyword id="458987" type="UNKNOWN" weightage="100" keywordseo="Indian-bourses">Indian bourses</keyword> with a market capitalisation of about Rs 45,000 crore to Rs 50,000 crore, thus making it the largest pureplay listed life insurance player of the country. 
 In the final entity after the merger, HDFC group, including HDFC, Standard Life and <keyword id="6419840" type="PERSON" weightage="100" keywordseo="Azim-Premji">Azim Premji</keyword>, will have about 60-65% stake, while the Max group, under <keyword id="10338" type="PERSON" weightage="100" keywordseo="Analjit-Singh">Analjit Singh</keyword>’s leadership, will have 35-40% ownership, to be distributed among Singh family, Japanese financial behemoth Mitsui Sumitomo Insurance (MSI), a member of MS&amp;AD Insurance Group, Goldman Sachs, KKR and general public. 
 
After the report of this merger, shares in Max Financial Service touched the upper circuit of Rs 514 and closed at Rs 473. 
 
As of now, Max Financial Services, a pureplay holding company for Max Life Insurance, finds place on on the Indian bourses, for which Analjit Singh had completed a three-way split of Max India last financial year. After demerger, Singh had sold 9.5% in Max Financial Service to KKR, the US-based private equity firm, in a deal of about Rs 1,000 crore worth. 
 The deal announced today would have Max Life Insurance (MLI) merging with its parent company Max Financial Services (<keyword id="346739" type="ORGANIZATION" weightage="100" keywordseo="MFSL">MFSL</keyword>), which currently owns 68.01% stake, while the Japanese partner MSI owns 25% and Axix Bank holds another 5.99%; the remaining 1% stake while key employees of MSI. 
 
After this, the final merged entity will be combined with HDFC Life Insurance. "Given the current discussion, in the merged entity HDFC Life - MAX Life, the HDFC group will have about 65% stake and Max Group will have about 35% stake," a person involved in the deal told <a href="http://economictimes.indiatimes.com/markets/stocks/news/merger-with-max-life-to-facilitate-automatic-listing-of-hdfc-life/articleshow/52795023.cms">ET</a>. 
 
After this merger, HDFC Life Insurance will automatically get listed at about Rs 50,000 crore, helping HDFC raise funds by diluting its stake in the insurance firm though stock exchanges. This would also allow some of the marquee investors, who had invested in MFSL a few years back, to exit as and when they want.

Merger with Max Life will automatically list HDFC Life on Indian bourses

The financial daily stated that consumer businesses are the new suitable work environment for the next generation of women business leaders in the country. Over a third of the 25 <keyword id="2783237" type="POSITION" weightage="20" keywordseo="women-leader">women leader</keyword> listed in the ET Corporate Dossier - Spencer Stuart work in the consumer sector. Commenting on the study, <keyword id="1451952" type="PERSON" weightage="20" keywordseo="Anjali-Bansal">Anjali Bansal</keyword>, MD, Spencer Stuart India, told the ET, "The pool of top talent is relatively shallow in accordance to the size of our corporate population. There is indeed the need for inclusive thinking and diversity.” 

	She added, “Some industries are developing more women leaders, such as consumer. Companies will have to scale up their efforts to attract, retain and develop more women leaders." 
 

	The ET report also pointed out that women leaders are limited in only a few pockets of India Inc; nearly 56% of all women in the list are working for multi-national companies. 
 <keyword id="330344" type="PERSON" weightage="20" keywordseo="Deepak-Satwalekar">Deepak Satwalekar</keyword>, former CEO of HDFC Standard <keyword id="6406875" type="COMPANY" weightage="20" keywordseo="life-insurance">Life Insurance</keyword>, told the financial daily, "Other sectors need to make the effort.
