NCLAT on Friday deferred the matter pertaining to Go First lessors' petition seeking a stay on a bankruptcy court order allowing voluntary insolvency of the low-cost airline to Monday. On May 10, the NCLT admitted Go First's plea for voluntary insolvency and admitted for the initiation of Corporate Insolvency Resolution Process (CIRP) proceedings. NCLT has granted Go First protection under a moratorium from recovery by lessors and lenders. NCLT, in its order, said, "We admit the plea of Go Airlines for insolvency proceedings. It said that we appoint Abhilash Lal as IRP (insolvency resolution professional)." "The suspended board of directors will cooperate with the IRP. Suspended directors are also ordered to deposit Rs 5 crore to make the immediate expenses," the order stated. The budget airline had also cancelled all the flights' operations till May 19 due to operational reasons, "Go First flights until 19th May 2023 are cancelled. We apologise for the inconvenience caused and request customers." US-based jet manufacturers Pratt and Whitney (P-W) has defended itself against the budget airline's claim that P-W is responsible for the financial condition and bankruptcy. "Go First's allegations that Pratt and Whitney is responsible for its financial condition are without merit. Pratt and Whitney will vigorously defend itself against Go's claims, and is pursuing its own legal recourse," Pratt and Whitney spokesperson told ANI. The airline, owned by the troubled Wadia Group, had earlier blamed P-W for the faulty engines that led to its ongoing financial crisis and it was later forced to file an involuntary bankruptcy petition. National Company Law Appellate Tribunal to hear Go First lessors' plea today

The National Company Law Appellate Tribunal will pass its order on May 22 on petitions filed by three aircraft lessors against <keyword id="11252024" type="General" weightage="20" keywordseo="Go-First" source="Orion">Go First</keyword>'s voluntary insolvency resolution proceedings. A two-member bench headed by Chairperson Justice Ashok Bhushan on Monday reserved its order after completing the hearing on the the three petitions. The bench also asked the parties to submit additional documents, if any, in the next 48 hours. Go First insolvency: NCLAT to pass order on aircraft lessors' petitions on May 22

SMBC Aviation Capital moves NCLAT challenging NCLT order allowing insolvency Go First

Budget airline <keyword id="11252024" type="General" weightage="20" keywordseo="go-first" source="Orion">Go First</keyword> has cancelled all its flights till May 28, citing operational reasons. Earlier, the airlines had cancelled flights till May 26. In a note posted on Twitter on Friday, the airline said, "We regret to inform that due to operational reasons, <keyword id="11937496" type="General" weightage="20" keywordseo="go-first-flights" source="Orion">Go First flights</keyword> scheduled till May 28, 2023, have been cancelled. We apologise for the convenience caused by the flight cancellations." The airline also said a full refund will be issued to the original mode of payment shortly. The airline also said the company has filed an application for immediate resolution and revival of operations. It mentioned that it would be able to resume bookings shortly. On Tuesday, budget carrier Go First replied to the show cause notice issued by aviation regulator Directorate General of Civil Aviation (DGCA) where the airline mentioned that it has no definite timeline to resume operations. Civil aviation ministry officials said that airlines expressed an intent to resume operations at the earliest. "There is no definitive timeline as of now for the resumption of operations by Go First. They have expressed an intent to resume operations at the earliest thought," a senior aviation ministry official said. Earlier the regulator DGCA asked the company (Go First) to respond to the show cause notice within 15 days. The regulator had asked Go First to explain the reasons for its inability to run operations and stopped new bookings and halted the sale of tickets. The National Company Law Appellate Tribunal (NCLAT) on Monday upheld the National Company Law Tribunal (NCLT) order which had admitted Go First Airlines' voluntary plea for insolvency. "It disposed of the lessors' petition and asked them to file an appeal before the NCLT."

<ul><li><keyword id="11252024" type="General" weightage="100" keywordseo="go-first" source="Orion">Go First</keyword> lessors have approached the Delhi High Court, requesting the <keyword id="6354787" type="General" weightage="80" keywordseo="dgca" source="Orion">DGCA</keyword> to revise its regulations regarding aircraft deregistration.</li><li>The high court also asked the parties to file written submissions a day before the next hearing.</li><li>The lawyers for the lessors said they had approached the civil aviation regulator for deregistration of their aircraft but it rejected their pleas.</li></ul>New Delhi, Several aircraft lessors of Go First pitched before the Delhi High Court on Friday for deregistration of their planes by aviation regulator DGCA so they could take them back from the crisis-hit airline. The lessors submitted before the high court that denial of deregistration by the Directorate General of Civil Aviation (DGCA) is "illegitimate". Justice <keyword id="14907621" type="General" weightage="50" keywordseo="tara-vitasta-ganju" source="Orion">Tara Vitasta Ganju</keyword>, who heard the arguments advanced by the petitioner lessors for over an hour and half, listed the matter for May 30 for hearing the submissions of the respondents. The high court also asked the parties to file written submissions a day before the next hearing. The lessors who have approached the high court are Accipiter Investments Aircraft 2 Limited, EOS Aviation 12 (Ireland) Limited, Pembroke Aircraft Leasing 11 Limited and SMBC Aviation Capital Limited. With a moratorium in force on financial obligations and transfer of assets of Go First in the wake of the insolvency resolution proceedings, the lessors are unable to deregister and take back the aircraft leased to the carrier. The lawyers for the lessors said they had approached the civil aviation regulator for deregistration of their aircraft but it rejected their pleas. They said they have not received any communication from the DGCA, but having checked the status of their applications on the regulator's website, they found their requests have been rejected. Senior advocate <keyword id="195903" type="General" weightage="50" keywordseo="mukul-rohatgi" source="Orion">Mukul Rohatgi</keyword>, appearing for one of the lessors, said the aircraft was its property and an interim resolution professional (IRP) has no power to take over assets of a third party. Senior advocate <keyword id="251871" type="General" weightage="50" keywordseo="dayan-krishnan" source="Orion">Dayan Krishnan</keyword>, representing EOS Aviation 12 (Ireland) Limited, said NCLAT cannot deal with the issue of deregistration of aircraft and the remedy lies under Article 226 of the Constitution as the issue is between the lessor and the DGCA. Another lawyer contended that under Irrevocable De-registration and Export Request Authorisations (IDERA), it was mandatory for the DGCA to deregister the aircraft at their request. The National Company Law Tribunal (NCLT) had on May 10 allowed the voluntary insolvency resolution plea by Go First. On May 22, the NCLAT upheld the order of the Delhi-based principal bench of NCLT, which had earlier this month admitted the plea of Go First to initiate voluntary insolvency resolution proceedings, and appointed an interim resolution professional (IRP) to suspend the company's board. DGCA required to deregister aircrafts, Go First lessors tell Delhi HC

<ul><li><keyword id="47654" type="COMPANY" weightage="20" keywordseo="ArcelorMittal">ArcelorMittal</keyword>, the world’s largest steelmaker, has submitted a revised bid of ₹420 billion, which is well above <keyword id="6235176" type="ORGANIZATION" weightage="20" keywordseo="numetal">Numetal</keyword>’s ₹370 billion offer. </li><li>However, the Luxembourg-based steelmaker has yet to clear the dues owed by its local subsidiaries, Uttam Galva and KSS Petron, which calls into question its eligibility to bid. </li><li>It will only pay the outstanding dues on the condition that its bid is accepted by <keyword id="6357251" type="COMPANY" weightage="20" keywordseo="essar-steel">Essar Steel</keyword>’s creditors. The matter is being heard by the Supreme Court. </li></ul>A fresh round of bidding for the indebted Essar Steel - which was one of the first 12 accounts identified by the RBI for resolution last year - began this week. Just like the first round, ArcelorMittal, the world’s largest steelmaker, will face off against Russia’s Numetal. Vedanta is also participating but its bid is much lower. The two companies were deemed to be ineligible to bid for Essar Steel in the first round. On one hand, two local subsidiaries of ArcelorMittal, Uttam Galva and KSS Petron, had defaulted on their loans. This went against the rules of the Indian <keyword id="43550" type="EVENT" weightage="20" keywordseo="Bankruptcy">bankruptcy</keyword> code, which prevents wilful defaulters or entities associated with wilful defaulters from bidding for bankrupt firms. Meanwhile, it was revealed that Numetal bid was partnering with the former promoters of Essar Steel for its bid, the Ruia family, which was also a contravention of the bankruptcy code. However, last week, the the National Company Law Appellate Tribunal (<keyword id="6396355" type="ORGANIZATION" weightage="20" keywordseo="nclat">NCLAT</keyword>) allowed Numetal to participate in the bidding after the 25% stake owned in it by the Ruias was bought by JSW Steel. It also approved ArcelorMittal’s eligibility on the condition that it paid the ₹70 billion outstanding dues of Uttam Galva and KSS Petron by September 11th. Second act drama On September 10th, ArcelorMittal, which is partnering with Japan’s Nippon Steel &amp; Sumitomo Metal for the bid, submitted a revised offer of ₹420 billion for Essar Steel, which includes an offer to clear the dues of its subsidiaries. This was well above its original offer of ₹310 billion and Numetal’s ₹370 billion bid. If the bid is accepted, it will mark a significant win for India’s new bankruptcy regime. However, there’s one large hurdle standing in ArcelorMittal’s way. Despite selling its shares in its local subsidiaries, the Luxembourg-based steelmaker has not yet cleared the dues owed by them, which calls into question its very eligibility to bid as today is the deadline to do so. More importantly, in a letter to sent to Essar Steel’s creditors, it has said it will only pay the outstanding loans of Uttam Galva and KSS Petron if its bid for Essar Steel is accepted. Third act resolution? Given the NCLAT’s refusal to recognise its eligibility, ArcelorMittal has now taken the case to the Supreme Court. Essar’s creditors will obviously go for the higher bid, but will want to avoid any further litigation. Essar, which is India’s fourth-largest steelmaker, has outstanding dues of ₹490 billion. Unless Numetal is able to match ArcelorMittal’s bid, it seems certain that that Essar’s creditors will pick the latter as their secured debt claims will be covered. However, the final decision rests with the Supreme Court. ArcelorMittal’s appeal will be heard tomorrow. A ruling on the matter is expected soon. The outcome will set an important precedent for Section 29A of the Insolvency and Bankruptcy Code, which determines the eligibility of bidders.

ArcelorMittal submits a higher bid for bankrupt Essar Steel but on one condition

With another round of bidding for <keyword id="6360090" type="General" weightage="100" keywordseo="reliance-capital" source="Orion">Reliance Capital</keyword> Ltd slated later this month, the question is whether the final value of the debt-laden company would be found and lenders will be able to realise their monies early or will the matter go to the apex court? Recently, the National Company Law Appellate Tribunal (NCLAT) ordered in favour of Reliance Capital lenders and allowed another round of auction for the financial services company. The lenders had approached NCLAT against an earlier order of the National Company Law Tribunal (NCLT) restraining the Committee of Creditors (<keyword id="230701" type="General" weightage="80" keywordseo="coc" source="Orion">CoC</keyword>) from extending the auction round to find higher value for the company. The initial bidding process ended on December 21, 2022 and Torrent Investments was found to be the highest bidder with Rs 8,640 crore. Soon after that, the Hinduja Group's <keyword id="1424679" type="General" weightage="80" keywordseo="iihl" source="Orion">IIHL</keyword> made an offer of Rs 9,000 crore. In its written submission before NCLAT, one of the members of CoC Vistra ITCL said: "NCLT has usurped the jurisdiction of the CoC by holding that the CoC has to vote on the Rs 8,640 crore plan of Torrent and Rs 8,110 crore plan of IIHL and that CoC has no jurisdiction to negotiate even on the figures." It further argued that NCLT has not even looked at these plans and there is no Rs 8,110 crore plan of IIHL and NCLT has substituted its opinion for that of CoC, which is not permissible under the Insolvency and Bankruptcy Code (IBC). The appellant submitted that Torrent Investments has, within a span of 24 days, increased the values of the bid from Rs 1,100 crore upfront to Rs 3,750 crore upfront and then further within 2 weeks from Rs 3,750 crore upfront to Rs 8,640 crore upfront, and the same was the case with IIHL. The appellant contended that CoC therefore clearly feels that there is more value to be discovered and the same cannot be interdicted by judicial intervention at this stage. In the next round of bidding, the minimum/reserve price will be Rs 8,000 crore cash upfront, then round one will be Rs 9,500 crore and then it will be Rs 10,000 crore and Rs 250 crore after each round, it is learnt. But the moot point is if Torrent Investments goes to the Supreme Court against the NCLAT order then there will be a legal delay in the resolution process and why would bidders participate if the matter is to be settled by the apex court. Incidentally, maximisation of the value for the stakeholders is the ground on which the IBC firmly rests. There are several examples of the success of COC's commercial wisdom and the ability to renegotiate to get a better deal for the stakeholders of a corporate debtor. For instance, in the case of DHFL which had a debt of Rs 88,000 crore, the first offer made by the Piramals to acquire was Rs 15,000 crore. But after negotiations/revision/fresh plans, the revised offer went up by Rs 22,250 crore to Rs 37,250 crore. In respect of the SREI debt (Rs 32,791 crore) resolution, the initial offer for the company was Rs 3,402 crore and National Asset Reconstruction Company Ltd (NARCL) while the value of the resolution plan after negotiation/revision/considering fresh plans the amount went up by Rs 11,465 crore to Rs 14,867 crore. The same is the case with a couple of other corporate debt resolution plans: Essar Power, the initial resolution plan value of ArcelorMittal was Rs 32,000 crore and was revised upwards by Rs 10,000 crore to Rs 42,000 crore. Bhushan Power and Steel - debt Rs 48,719 crore; first-round value was said to be Rs 15,000 crore and revised for about Rs 24,500 crore by JSW Steels; Binani Cement - debt Rs 7,500 crore; initial resolution plan value was Rs 6,932 crore and later went up to Rs 7,950 crore by Ultratech Cement; Bhushan Steel - debt Rs 59,207 crore; value of resolution plan after negotiation/revision/fresh plans Rs 35,200 crore plus 12 plus equity stake; Videocon - debt Rs 64,938 crore; first-round value about Rs 2,962 crore by <keyword id="15683960" type="General" weightage="50" keywordseo="twinstar-technologies" source="Orion">Twinstar Technologies</keyword>. After the CoC withdrew its approval of <keyword id="3244266" type="General" weightage="50" keywordseo="twinstar" source="Orion">Twinstar</keyword>'s plan, three Expressions of Interest for the company have been received, as per reports. Interestingly in the case of Reliance Capital with a debt of about Rs 25,500 crore, the value of the resolution plan after the first round was about Rs 2,591 crore. The resolution value went up to Rs 9,000 crore which was made by the Hinduja group's IIHL. However, the court has a left window of four weeks for Tata Sons to appeal at the Supreme Court. As it seems right now, the salt-to-software conglomerate, which also owns companies like the luxury car maker Jaguar Land Rover and the British tea brand Tetley is in no mood to give up. "It is not clear as to how the NCLAT Order seeks to over-rule the decisions taken by shareholders of Tata Sons and listed Tata operating companies at validly constituted shareholder meetings. The NCLAT order appears to even go beyond the specific reliefs sought by the Appellant," the company’s spokesperson told Business Insider. But Mistry sees this as a clear win. "Today's victory is not a personal victory for me, but is a victory for the principles of good governance and minority shareholder rights," he said a statement shared with the press. The Tata vs Mistry battle is far from over Within two months of his dismissal, Mistry’s family-run investment firms approached the NCLT. Mistry’s primary argument was that his removal as chairman of Tata Sons violated the Companies Act by forcing him to leave without ‘due process’ being followed and also accused the Board of ‘oppression and mismanagement’. While the lower court, the NCLT, had turned down Mistry’s appeal, today’s victory at the appellate tribunal gives Mistry a second chance to prove his charges against the Board and Ratan Tata. "The outcome of the appeal is a vindication of my stand taken when the board of Tata Sons, without warning or reason removed me, first as executive chairman, and subsequently as director of Tata Sons," he said. One of India’s biggest corporate disputes may be tested at the country’s highest court soon.

Tata Sons says the court gave Cyrus Mistry more than he wanted

<ul><li>The central bank has told the creditors of the cash-strapped <keyword id="6357293" type="UNKNOWN" weightage="20" keywordseo="ILFS">IL&amp;FS</keyword>, India’s largest infrastructure lender, that they will have to treat their loans to the company as non-performing. </li><li>As a result, the creditors of IL&amp;FS, which include many of India’s public sector banks, will have to set aside provisions for their stressed loans to the infrastructure lender while also recording an increase in their bad loan ratios. </li><li>In mid-December 2018, as many as 20 banks had approached the RBI asking for a six-month breathing period prior to the implementation of provisioning norms.</li></ul> The Reserve Bank of India (RBI) has told creditors of the cash-strapped IL&amp;FS, India’s largest infrastructure lender, that they will have to treat their loans to the company as non-performing, according <a href="https://www.business-standard.com/article/finance/rbi-asks-banks-to-treat-crisis-hit-il-fs-loans-as-non-performing-assets-119010900031_1.html">to media reports</a>. As a result, the creditors of IL&amp;FS, which include many of India’s public sector banks such as State Bank of India, Bank of Baroda and Punjab National Bank, will have to set aside nearly ₹100 billion (US$1.5 billion) in provisions for their stressed loans to the infrastructure lender while also recording an increase in their bad loan ratios for the quarter ended December. As the current financial year draws to a close, their balance sheets will be severely weakened. In mid-December 2018, as many as 20 banks had approached the RBI asking for <a href="https://www.livemint.com/Companies/moncqTJPWGPYlcegjv1HSO/ILFS-lenders-knock-on-RBI-door-seeking-easier-provisioning.html">a six-month breathing period</a> prior to the implementation of provisioning norms. The lenders reportedly had a cumulative amount of ₹600 billion in outstanding loans to IL&amp;FS, more than half of which the company has defaulted on. To put things into perspective, IL&amp;FS has a total debt burden of around ₹940 billion. The banks had also asked for a standard provisioning rate of 0.4% on the loans following the expiry of the six-month period. Normally, bad loans require a provisioning rate of 25% in the first year of default. The move came as the National Company Law Appellate Tribunal (NCLAT) was hearing a petition to grant a 90-day breather to IL&amp;FS and its subsidiaries on all loan repayments as it devises a resolution plan. In addition to subsequently enforcing a moratorium on repayments, the tribunal has allowed the government to examine all of the <a href="https://www.livemint.com/Companies/d9pRJ1KUAfAxVsozjhIyUO/In-a-first-NCLT-allows-govt-to-reopen-ILFS-books.html">company’s unreleased accounts and financial statements</a>. The right decision The RBI’s decision is based on a prevailing order that loans that go 90 days without payment will have to be classified as non-performing. It was a tough choice, but the RBI made the right one, demonstrating that its <a href="https://www.businessinsider.in/the-spat-between-indias-central-bank-and-the-government-gets-more-heated-as-the-finance-minister-blames-it-for-not-doing-enough-to-prevent-the-countrys-bad-loan-problem/articleshow/66442846.cms">learnt from its supposed past mistakes</a>. The central bank came under fire from finance minister <keyword id="42575" type="PERSON" weightage="20" keywordseo="Arun-Jaitley">Arun Jaitley</keyword> late last year when he said that it had enabled the cloaking of the bad loan issue by allowing some stressed assets to be classified as “restructured.” It seems that easing restrictions on creditors and hoping for a resolution is no longer a viable option. Meanwhile, the newly-constituted board of IL&amp;FS, led by veteran banker <keyword id="45051" type="PERSON" weightage="20" keywordseo="Uday-Kotak">Uday Kotak</keyword>, are currently in the process of restructuring operations and monetising the infrastructure lender’s assets in order to pay back maturing loans. In addition to cutting costs and selling off <a href="https://www.businessinsider.in/ilfs-has-no-option-but-to-sell-its-profitable-financial-services-unit-as-it-tries-to-avoid-bankruptcy/articleshow/65898283.cms">its financial services unit</a> and <a href="https://economictimes.indiatimes.com/industry/indl-goods/svs/construction/ilfs-puts-22-road-assets-on-block/articleshow/67131183.cms">road assets, </a>IL&amp;FS is also offloading stakes in its <a href="https://economictimes.indiatimes.com/industry/banking/finance/ilfs-to-sell-stake-in-education-wealth-management-arms/articleshow/67182184.cms">education and wealth management</a> businesses. In fact, no non-strategic asset that can be sold is being left untouched with even <a href="https://www.livemint.com/Companies/Ur7DsEIq13DFZ9IoZxykhO/ILFS-group-selling-luxury-cars-office-furniture-to-raise-f.html">high-end furniture and luxury cars</a> on the chopping block. Despite the aggressive liquidation, it is likely that banks will have to take a haircut on their loans.
