The initial share sale will be available for public subscription during July 3-5 and the bidding for anchor investors will open for a day on July 2, the company announced. The IPO comprises fresh issuance of equity shares worth Rs 800 crore and an Offer For Sale (OFS) of 1.14 crore equity shares to the tune of Rs 1,152 crore, at the upper end of the price band, by promoters and existing shareholders. This aggregates the total public size to Rs 1,952 crore. Those selling shares in the OFS include promoter Satish Mehta and investor BC Investments IV Ltd, an affiliate of US-based private equity major Bain Capital. Currently, Satish Mehta holds a 41.85 per cent stake in the company and BC Investments owns a 13.07 per cent stake. Proceeds of the fresh issue will be used towards payment of debt and for general corporate purposes. Brokerage houses have pegged the company's market capitalisation to over Rs 19,000 crore post-issue. The Pune-based firm Emcure Pharmaceuticals is engaged in developing, manufacturing, and globally marketing a broad range of pharmaceutical products across several major therapeutic areas. Employee portion has been reserved up to 108,900 equity shares in the IPO. Besides, half of the issue size has been reserved for qualified institutional investors (QIBs), 35 per cent for retail investors and the remaining 15 per cent for non-institutional investors. Further, investors can bid for a minimum of 14 shares and in multiples of 14 shares thereafter. Kotak Mahindra Capital Company, Jefferies India, Axis Capital, and JP Morgan India are the book-running lead managers to the issue. The equity shares of the company are expected to list on the BSE and NSE on July 10. Earlier this month, the company received Sebi's go-ahead to float initial share sale.

Emcure Pharmaceuticals to raise ₹1,100 crore via fresh issue; Bain Capital to sell stake via IPO

<ul><li>Even after the <keyword id="6473060" type="General" weightage="80" keywordseo="syrma" source="Orion">Syrma</keyword> SGS IPO received an overwhelming response, experts believe that another IPO season is not on the horizon.</li><li>The regulatory approval for at least 30 IPOs received in the last financial year will lapse by the end of the year. 31 IPOs received an approval this financial year.</li><li>Companies will watch the performance of the next few IPOs and the secondary markets before opening issues, say two market experts that Business Insider spoke to. </li></ul>Even before the public offer of <keyword id="14738256" type="General" weightage="50" keywordseo="syrma-sgs-tech" source="Orion">Syrma SGS Tech</keyword> was oversubscribed 33 times last week, three companies – Digit General Insurance, Concord Biotech and <keyword id="1126663" type="General" weightage="50" keywordseo="balaji-solutions" source="Orion">Balaji Solutions</keyword> – had filed their papers with the markets regulator in the third week of August to go public. Another IPO DreamFolks is all set to open for subscription this week. Yet, experts are not convinced that another IPO season is on the horizon. “It’s too early to say that the season of IPOs has started. A lot of companies in the pipeline will be watching for two things – the response that the next few IPOs get and also the market momentum. If the markets remain volatile, companies will allow their approvals to lapse,” Pranav <keyword id="3517398" type="General" weightage="80" keywordseo="haldea" source="Orion">Haldea</keyword>, managing director of Prime Database told Business Insider India. While a few companies like PharmEasy, Inox Green Energy and <keyword id="12727880" type="General" weightage="50" keywordseo="nandan-terry" source="Orion">Nandan Terry</keyword> withdrew their draft papers, scrapping IPO plans, at least four more companies’ approvals will lapse by the end of August. The approvals for another 15 will lapse by the end of the year. “IPOs are a once-in-a-lifetime event for companies and they would want to do it at the perfect time. If the market is not giving them the valuation that they expect, they will not go ahead,” said Haldea. Only <keyword id="4093871" type="General" weightage="50" keywordseo="utkarsh-small-finance-bank" source="Orion">Utkarsh Small Finance Bank</keyword> has re-filed its IPO papers, even as many more companies that planned to go for an IPO in the last financial year let it lapse. Over 32 IPOs that received a go ahead in 2021-22 have been put on hold, while 31 more received an approval in 2022-23. Of these 31 from the current financial year, only Syrma and DreamWorks have gone ahead and opened their issues to the public. A lot of companies file DRHPs assuming issues will sail through but a number of factors like valuations and demand for fresh issuances among domestic and foreign investors play a key role. “There are 10-12 conditions that they have in mind during the filing and many of these conditions may change,” said Arun <keyword id="6358183" type="General" weightage="80" keywordseo="kejriwal" source="Orion">Kejriwal</keyword>, founder of Kejriwal Research &amp; Investment Services. A lot of IPOs from last year that are still in the pipeline, had issue sizes between ₹400-800 crore. However there are a few like Emcure <keyword id="6363818" type="General" weightage="50" keywordseo="pharma" source="Orion">Pharma</keyword> which had plans to raise over ₹4,500 crore as well. The decision to go ahead with an IPO will not depend on the size of the issue, but on pricing, says Kejriwal. “When the momentum is good, subscriptions and listings are good, it’s possible to slip in a bad issue but not when the market is still picking up. After <keyword id="30067" type="General" weightage="50" keywordseo="rbi" source="Orion">RBI</keyword> capped the amount that HNIs (high networth individuals) can borrow to invest in IPOs to ₹1 crore, they will have to invest their own funds and that will make a huge difference to subscriptions,” says Kejriwal. <ul><li>It has been a dull year for initial public offerings (IPOs) this year because of several concerns including the Russia-Ukraine war, rising inflation, higher interest rates and a strong US dollar.</li><li>However, the last few months of 2022 saw a pick up in IPOs.</li><li>The number of IPOs launched and the funds raised through them so far in 2022 have halved from last year.</li><li>Analysts believe the <keyword id="402627" type="General" weightage="20" keywordseo="ipo-market" source="Orion">IPO market</keyword> could witness recovery in the coming months thanks to a strong pipeline and the recent successes of IPOs.</li><li>Popular garments and furnishings retailer Fabindia, Sachin Bansal-founded Navi Technologies and Biba Fashion are among companies that may list next year.</li><li>Currently, there are 61 companies looking to collectively raise ₹92,403 crore via public listing.</li></ul>The primary markets have turned optimistic since September, compensating for a lull in initial public offerings (IPOs) for a greater part of this year. Most of the 15 companies that listed on the bourses in the last quarter of 2022 have rewarded investors. Several concerns – the Russia-Ukraine war, rising inflation, higher interest rates and a strong dollar – led to a halving in the number of IPOs launched and the funds raised through them so far in 2022 compared to last year. So far this year, ₹55,101 crore has been raised through 32 IPOs (as of December 6), down from ₹1.18 lakh crore raised through 64 IPOs in 2021, shows data from Prime Database. In fact, nearly 40% of the amount raised this year has been through one IPO – that of insurance behemoth Life Insurance Corporation (LIC), which garnered over ₹21,000 crore from the public. “Between last year and this year there has been a slowdown in the IPO market. The last few months, however, have seen an increase in the number of companies taking the IPO route. Issuances seen across sectors, except new-age tech A report by EY on IPO trends highlights that the end of Q3 (July-September) has seen an uptick in IPOs, after a slowdown post Q2. Technology, banking, capital markets, media and entertainment were the most active sectors in the IPO market in Q3, says the report “Issuances are happening across sectors, except for new-age tech companies. Now, companies have also been asked for additional disclosures, so it may be a while till we see a new-age tech company launch its IPO,” added Haldea. New-age tech companies like <a href="https://www.businessinsider.in/business/corporates/news/new-age-tech-companies-rake-in-business-but-are-still-making-losses/articleshow/95837559.cms">Zomato, Paytm and Nykaa that listed last year and Delhivery, which listed this year</a>, have sharply corrected, making investors wary. Moreso, the stock of LIC, which was India’s largest IPO, too corrected since listing in May this year. IPOs pick up steam in last three months of 2022 – Strong pipeline likely to propel listings in 2023

<ul><li><keyword id="7363049" type="General" weightage="100" keywordseo="janitri" source="Orion">Janitri</keyword> provides ‘medical-grade fetal and maternal monitoring solutions’ to use at hospitals or homes. </li><li>The Bengaluru-based startup started selling its products in March 2021, after spending five years on development. </li><li>Arun Agarwal, the founder of Janitri, walked away with an investment of ₹1 crore for a 2.5% equity stake from <keyword id="544908" type="General" weightage="20" keywordseo="Namita-Thapar" source="Orion">Namita Thapar</keyword>. </li></ul>Despite medical advancements, high infant and maternal mortality rates remain a prevalent concern in India. As of 2019, the Infant Mortality Rate (IMR) in India <a href="https://pib.gov.in/PressReleaseIframePage.aspx?PRID=1796436">stood </a>at 30 per 1,000 live births. Lack of institutional births, low-birthweight babies and maternal mortality are other challenges that the country faces. The government introduced several schemes and frameworks like the Janani Suraksha Yojana in 2005; and a framework — Reproductive, Maternal, New-born, Child, and Adolescent Health (RMNCH+A) in 2013 to address these challenges. However, lack of access to primary healthcare centers and other issues affect women and child development in India. Janitri, the latest startup pitched on <keyword id="11924074" type="General" weightage="20" keywordseo="shark-tank-india" source="Orion">Shark Tank India</keyword> S2, aims to tackle this problem with “medical-grade fetal and maternal monitoring solutions” via wearables, and affordable AI-enabled devices and software. <cmsannotation type="cmsannotation" annotationid="A patch, a wearable and a software" comment="subhead2" text="A patch, a wearable and a software">A patch, a wearable and a software</cmsannotation> Founded by Arun Agarwal, Janitri is a Bengaluru-based startup that launched operations in March 2021. It offers three products — Keyar Patch, Daksh, and Navam wearable. Navam wearable can be worn on the wrist and helps in fetal monitoring, but it’s still a prototype. Made of silicone and plastic, Keyar Patch can be attached to the stomach of a pregnant woman and it monitors fetal heart rate, maternal heart rate, labour contractions and fetal movements. It’s available for ₹29,000. Keyar Patch connects to Daksh, which is a mobile application that can run on any Android-backed mobile or tablet. It helps monitor mothers during intrapartum and postpartum periods of labour by continuously sending relevant information to the doctors. It also generates critical alerts, notifies the staff, and is available for an annual subscription cost of ₹10,000. Together, Keyar Patch and Daksh allow doctors to remotely assess fetal movements to help both the mother and the child. Aggarwal claims that timely monitoring during the last trimester and labour can help save 80% of the women and/or newborns who succumb to complications during pregnancy. Most hospitals traditionally use a cardiotocography machine commonly known as a fetal monitor. However, it isn’t digital and produces graphs in thermal print that doctors study. It also requires the nurse to change the position of the probes on the mother’s belly every 30 minutes. His decision to pursue a degree in biomedical engineering stemmed from his desire to bring a change in the healthcare system in India. “I had a dream to solve the grassroot level problems in healthcare through technology. I heard my grandmother’s story of how, among the six siblings she had, one died within a year of being born. When I started my B.Tech I deduced, this a huge problem globally, and technology has not yet reached this area,” shared Agarwal. He worked as a patent analyst in the healthcare industry for two years to gain financial stability, and gained further insight into the industry by attending Healthcare Hackathons, visiting hospitals, and watching live deliveries, before starting Janitri. For five years, he worked on R&amp;D, clinical trials, and regulatory compliance for Janitri. During this time, the company received grants from Biotechnology Industry Research Assistance Council (BIRAC), BIll &amp; Melinda Gates Foundation, the Government of Canada, and the Government of Karnataka. It also raised ₹2.35 crore in February 2020 in a seed round at a valuation of ₹15 crore from an angel investor. It raised an additional ₹1.15 crore via convertible notes in April 2021 from the same investor. As per Agarwal, Janitri has raised ₹7 crore so far in an equal mix of grants and equity. The startup has applied for 12 patents, four of which have already been granted. While she did match the past valuation of the startup, the founder remarked that the past valuation was an older, pre-money valuation. After which, Thapar doubled the valuation to ₹30 crore and made an offer of ₹60 lakh for 2% equity and ₹40 lakh debt. “In this country, if we wish to make healthcare effective, we can’t do it without the help of technology. The day pharma and technology join hands, we can create magic,” said Thapar. Lenskart co-founder Peyush Bansal and CarDekho co-founder Amit Jain made a joint offer of ₹1 crore for 2.5% equity, valuing the company at ₹40 crore. However, the offer was contingent on Janitri making sales worth ₹20 crore in the next year, failing which the sharks’ equity will double to 5%. Thapar matched this offer while adding that with her support, Janitri could easily achieve sales worth ₹50 crore. Ultimately, Aggarwal went with Thapar’s final offer of ₹1 crore for 2.5% equity, but on the condition that if the company does not achieve revenue of ₹20 crore in the next financial year, Thapar will get an additional 2.5% equity. Millions of retail investors wanted a part of the boom in Asia’s best performing stock market, and a lot of IPOs benefited from the frenzy. That kind of unbridled enthusiasm is unlikely in 2022, according to Ajay Saraf, head of investment banking and institutional equities at ICICI Securities in an interview to Business Insider. Saraf is not alone. Srinivas Rao Ravuri, chief investment officer at PGIM India Mutual Fund also <a href="https://www.moneycontrol.com/news/business/markets/daily-voice-2022-would-be-a-challenging-year-for-investors-and-companies-planning-ipos-says-srinivas-rao-ravuri-of-pgim-india-mf-7856261.html">reportedly</a> believes that 2022 would be a challenging year for investors and companies planning IPOs. But that’s not entirely a bad thing. If the cautious mood makes good companies, who need to raise money, tone down the pricing it may leave more profit on the table for small investors. There were 63 initial public offerings (IPO) in 2021 and they raised a cumulative <a href="https://www.businessinsider.in/stock-market/news/list-of-upcoming-ipo-in-year-2022-in-india-ags-transact-adani-wilmar-prudent-corporate-advisory/slidelist/88492728.cms">₹1.18 lakh crore from investors</a> [hyperlink]. The Subject Expert Committee (SEC) on COVID-19 of the Central Drugs Standard Control Organisation (CDSCO) on Monday also recommended granting permission to manufacture and market <keyword id="12826599" type="General" weightage="20" keywordseo="anti-covid-pill-molnupiravir" source="Orion">anti-Covid pill Molnupiravir</keyword> for restricted emergency use for the treatment of adult patients with SpO2 93 per cent and who have a high risk of progression of the disease, including hospitalisation or death, subject to certain conditions. All the recommendations have been sent to the Drugs Controller General of India (DCGI) for final approval. The SEC on COVID-19 of the CDSCO, which reviewed the emergency use authorisation (EUA) applications of Serum Institute of India (SII) for the second time on Monday, after detailed deliberation has recommended granting EUA to Covovax. "The committee noted that the vaccine is manufactured by technology transfer from Novavax and is approved by the European Medicines Agency for conditional marketing authorisation and also granted emergency use listing by WHO," an official source said. Prakash Kumar Singh, director, government and regulatory affairs at SII, had submitted an application to the DCGI in October for grant of market authorisation for Covovax for restricted use in emergency situations. The DCGI office had granted SII permission to manufacture and stock Covovax on May 17. Based on DCGI approval, till now, the Pune-based firm has manufactured and stockpiled the vaccine doses. In August 2020, US-based vaccine maker Novavax Inc had announced a licence agreement with SII for the development and commercialisation of NVX-CoV2373, its COVID-19 vaccine candidate, in low and middle-income countries and India. The <keyword id="6356311" type="General" weightage="20" keywordseo="world-health-organisation" source="Orion">World Health Organisation</keyword> (WHO) had on December 17 issued an emergency use listing for Covovax, expanding the basket of jabs validated by the global health body against the viral disease. As for Biological E's Corbevax, in light of the recommendations of the SEC meeting held on December 10, the firm submitted a proposal for grant of marketing authorisation to the vaccine for restricted emergency use in adults along with the updated interim safety and immunogenicity data of phase 2/3 clinical trial and updated interim safety and immunogenicity data of phase 3 active comparator trial. The committee noted that the firm has submitted six months safety follow up post-second dose from phase-1 clinical trial, 90 days safety from the phase -2 part and 60 days safety data from phase 2/3 and phase 3 active comparator study. The firm has submitted interim immunogenicity data from phase-3 active comparator trial which showed superiority against the comparator with respect to viral neutralization antibody titres, the official source said. "After detailed deliberation, the committee recommended for grant of marketing authorisation permission of SARS-CoV-2 (Covid-19) Vaccine containing RBD antigen of SARS-CoV-2 for restricted use in an emergency situation subject to various regulatory provisions," the source said. The vaccine should be administered intramuscularly in two doses of 0.5 ml each with intervals of 28 days (Day 0 and 28) and has to be stored between 2 degrees Celsius to 8 degrees celsius, the source added. The SEC on Monday also recommended granting permission to manufacture and market anti- Covid pill Molnupiravir for restricted emergency use for the treatment of adult COVID-19 patients with SpO2 93 per cent and who have a high risk of progression of the disease, subject to certain conditions. Dr Reddy's Laboratories in consortium with Cipla, Mylan, Torrent, Emcure and Sun pharma had presented their proposal for approval of Molnupiravir 200mg capsules for approval in the emergency situation along with various supporting documents. including clinical data in the country, official sources said. As per conditions, the drug should be sold by retail only under the prescription of medical specialists. According to the conditions, the drug is not authorised for use in patients less than 18 years and for initiation of treatment in patients requiring immediate hospitalisation due to COVID-19 at that stage. However, if it was initiated before hospitalisation due to <keyword id="8764728" type="General" weightage="100" keywordseo="covid-19" source="Orion">COVID 19</keyword>, it may be continued, sources said. It is not authorised for use for longer than five consecutive days and for pre-exposure or post exposure prophylaxis for prevention of COVID-19 for pregnant women. The US Food and Drug Administration recently authorised Merck's Molnupiravir for treatment of mild-to-moderate COVID-19 cases in adults who are at risk for severe disease. Before that in November Britain granted conditional authorisation to Merck's coronavirus antiviral, the first pill shown to successfully treat Covid-19. The pill is intended to be taken twice a day for five days by people at home with mild to moderate Covid-19. In a clinical trial of high-risk people during the early course of illness, Merck's drug was shown to reduce hospitalisations and deaths by around 30 per cent.
