The central bank has also appointed R Subramaniakumar, the ex-managing director of Indian Overseas Bank as the administrator of the third largest pureplay mortgage lender. The announcement comes after the government last week empowered the RBI to refer stressed NBFCs and HFCs having assets worth of at least Rs 500 crore to insolvency court. "The Reserve Bank has today superseded the board of DHFL owing to governance concerns and defaults by DHFL in meeting various payment obligations," RBI said in a statement. It further said shortly initiate the process of resolution of the company under the bankruptcy code, 2019 and would also apply to the NCLT for appointing the administrator as the resolution professional.

Wadhawans lose control of DHFL after RBI dissolves the board after multiple defaults

New Delhi, Jan 23 () Debt-ridden housing finance firm DHFL on Thursday has reported a consolidated net loss of Rs 6,640.62 crore for the quarter ended September 30, 2019.
 It had posted consolidated net profit of Rs 439.51 crore in the year-ago period, Dewan Housing Finance Corporation (DHFL) said in a filing to BSE.
 The company said that the net loss/profit after tax was "fully attributable to the owners of the parent".
 The consolidated total revenue from operations of DHFL in July-September period dropped to Rs 2,106.71 crore over Rs 3,483.32 crore in the year-ago period.
 Pursuant to an order dated December 3, 2019 of the National Company Law Tribunal, Mumbai Bench, Corporate Insolvency Resolution Process has been initiated against the company as per the provisions of the Insolvency and Bankruptcy Code, 2016.
 The shares of Dewan Housing Finance Corporation were trading at Rs 16.20 a piece on BSE in morning trade, down 0.92 per cent from the previous close. SID ANS

DHFL posts net loss of Rs 6,641 cr in Jul-Sep period

The development follows the approval of the resolution plan of Piramal Capital &amp; Housing Finance Ltd to acquire the bankrupt company. The development comes just a month after the Committee of Creditors (CoC) of DHFL voted in favour of Piramal's bid with 94 per cent votes and approved its resolution plan. "We understand that the RBI has approved the DHFL resolution plan from Piramal Capital and Housing Finance, submitted by the CoC," said a statement by Piramal Group. Now, the proposed takeover requires the approval of the National Company Law Tribunal. The other major contender for the debt-ridden NBFC was US-based <keyword id="216100" type="COMPANY" weightage="20" keywordseo="Oaktree-Capital">Oaktree Capital</keyword> which secured around 45 per cent of the votes from the lenders in the voting process last month. The total offer of Piramal was ₹37,250 crore, compared to ₹38,400 crore offered by Oaktree. However, Piramal had offered higher upfront cash payment. The total dues of DHFL stand at around ₹90,000 crore. Piramal, in its bid, has offered an additional amount in the resolution process to fixed deposit holders, over and above what the CoC offers them through the IBC resolution. RBI approves takeover of DHFL by Piramal Group

"DHFL (defaulted entity) dealing with us since 2014 had availed various credit facilities under consortium arrangement wherein, we were one of the member banks. In view of Early Warning Signals (EWS) in the conduct of the account and other developments, the account was red flagged on November 11, 2019. "The borrowing account was classified as Non-Performing Asset on October 30, 2019 and now, for misappropriation &amp; criminal breach of trust &amp; diversion of funds in the credit facilities extended earlier to the company, a fraud amounting Rs 180.13 crore has been reported to RBI," Karnataka Bank said. Likewise, Religare Finvest Ltd (RFL) was dealing with the bank since 2014, availing various credit facilities. Following classification of this account as non-performing in October 2019 by a consortium member, Karnataka Bank reported to RBI a fraud amounting to Rs 43.44 crore in the credit facilities extended earlier, on account of diversion of funds. Leel Electricals was classified as NPA account in March 2019 and it reported to RBI a fraud amounting to Rs 20.65 crore in the credit facilities to the company on account of diversion of funds. "In all the referred three non-performing accounts, necessary provisions have been made in full to be spread across four quarters," it said. Fedders Electric and Engineering Limited was reported as NPA in July 2018 by a member bank in consortium, subsequent to which Karnataka Bank reported fraud of Rs 41.30 crore on account of fund diversion. DHFL’s results itself will bring no comfort as it is expectedly in the red, with a net loss of ₹2,223 crore as compared to a profit of ₹134 crore in the same quarter last year. The stock also touched a lower circuit, which is a new low, in today’s trade. The housing finance company has been under financial stress as it saddles heavy debt of ₹ 1.2 lakh crore. It also faced downgrades by credit rating agencies CRISIL, ICRA and CARE after they raised doubts on its ability to repay it. In the meanwhile, the management is trying to sell chunks of the company to stay afloat. “The Company is taking active steps to monetize its assets and is in discussions with multiple Indian banks and international financial institutions to sell off its retail as well as wholesale portfolio,” said Wadhawan. DHFL also said that it is in discussions with the consortium of bankers to restructure its borrowings and will take all the necessary steps to ensure that it meets its financial commitments. “There have been discussions for stake sale by the promoters to a strategic partner with further equity infusion,” the company said.

New Delhi, Mar 9 () The CBI carried out searches at seven locations on Monday in connection with the Yes Bank scam case pertaining to the Rs 600 crore alleged bribe to the family of its co-founder Rana Kapoor by DHFL, officials said.The CBI has named in the FIR five companies, seven individuals, including Kapoor's wife and three daughters, and unidentified people.Besides Rana Kapoor, the agency has booked his wife Bindu, daughters Roshini, Raakhe and Radha.Kapil Wadhawan, promoter of Dewan Housing Finance Corporation Limited (DHFL) and Dheeraj Rajesh Kumar Wadhawan, Director of RKW Developers Private Limited, a company linked to DHFL have also been named as accused, the officials said.Companies DHFL, RKW Developers Private Limited, DoIt Urban Ventures controlled by the Kapoor family, RAB Enterprises (lndia) Private Limited in which Bindu Rana Kapoor was director and Morgan Credits Private Ltd in which Rana Kapoor's daughters were directors are also named as accused.Teams of Central Bureau of Investigation (CBI) officers are carrying out operations at the residence and official premises of the accused in Mumbai, they said.The agency has alleged that Kapoor, 62, entered into a criminal conspiracy with Kapil Wadhawan, DHFL director-promoter for round-tripping of funds where loans from Yes Bank to DHFL landed in companies owned by Rana Kapoor's daughters, DoIT Urban Ventures (India) Pvt Ltd, the officials said.The agency has alleged that between April and June, 2018, Yes Bank invested Rs 3,700 crore in short-term debentures of Dewan Housing Finance Corporation Ltd (DHFL), they said.Yes Bank also sanctioned a loan of Rs 750 crore to RKW Developers Pvt Ltd whose Director is Dheeraj Wadhawan and is a DHFL group company for their Bandra reclamation project, the officials said.The amount was transferred to by RKW Developers to DHFL without investing anything in the project for which it was sanctioned, they said.In return for these Yes Bank funds, Wadhawan allegedly invested Rs 600 crore in a company of Kapoor's daughters -- DoIt Urban Ventures (India) Pvt Ltd, which the CBI alleges to be a bribe to Kapoor for Yes Bank investments.DHFL is alleged to have had siphoned off Rs 31,000 crore out of total bank loans of Rs 97,000 crore using a web of multiple shell companies.The Reserve Bank of India (RBI) on Thursday imposed a moratorium on the capital-starved Yes Bank, capping withdrawals at Rs 50,000 per account, and superseded the board of the private sector lender with immediate effect.Yes Bank will not be able to grant or renew any loan or advance, make any investment, incur any liability or agree to disburse any payment.As per the RBI's draft reconstruction scheme, State Bank of India will pick up 49 per cent stake in the crisis-ridden Yes Bank under a government-approved bailout plan. Yes Bank scam escalates as CBI carries out searches to connect Rana Kapoor to DHFL promoter Kapil Wadhawan

Mumbai, Feb 12 () Former directors of Dewan Housing Finance Corporation Ltd on Wednesday filed an application in the National Company Law Tribunal seeking participation in the committee of creditors' (CoC) meetings. The DHFL former directors were denied participation in the CoC meetings as its board was superseded by the Reserve Bank of India (RBI) in November 2019. The participation in the CoC meetings cannot be allowed as the insolvency process was initiated by the RBI, the counsel representing the administrator said. The tribunal directed the administrator to file a reply in this regard before February 19. Meanwhile, last week, the Uttar Pradesh Power Corporation Contributory Provident Fund Trust had moved NCLT to recover dues from DHFL. The trust, which manages the power corporation's provident fund, claimed that the non-bank lender owes it more than Rs 148 crore that it invested in DHFL's fixed deposits. Further, the counsel representing the trust told the Mumbai bench of NCLT that they have filed claims with the CoC to DHFL. NCLT directed the administrator two weeks' time to file a reply after the CoC meeting. DHFL became the first financial services company to be referred to the NCLT under new rules notified by the government on November 15, 2019. In December 2019, NCLT had admitted the Reserve Bank of India's petition to initiate insolvency proceedings against the financial services company.
