Tata Consultancy Services has taken a U-turn and is yet again in talks with Dell to buy its Perot IT business.<br />
<br /> Earlier, the deal could not see light of the day over price issues. But now TCS is not alone as US-based <keyword id="28721" type="CITY" weightage="20" keywordseo="Cognizant">Cognizant</keyword> and France-based Atos SE are also in the fray to buy Perot.<br />
<br />
Reportedly, after the talks ended between TCS and Dell, the latter took up the matter again but the pricing is still a concern.<br />
<br />
"They (TCS and Perot) are several hundred million dollars apart and there are questions about which contracts will be transferred. This is far from done," one the people with direct knowledge of the talks told ET.<br />
<br />
Dell had bought Perot for $3.9 billion in 2009 but did not give much to the company as it failed due to underbid contracts.<br />
<br />
ET reported that TCS had bid little less than $4 billion during its initial talks, Cognizant and Atos came up with $4.2 billion and $4.3 billion, respectively.<br />

The deal has cleared the FTC waiting period, meaning US regulators are good with it.</p><p>Europe <a href="http://fortune.com/2016/02/18/european-union-to-approve-dell-emc-deal/">is also reportedly ready to approve the deal</a> soon.</p><p>EMC shareholders haven't voted on it yet, but one of the activist hedge fund shareholders - who had wanted Dell and EMC to make some changes - is ready to back the deal, so there's very little resistance left on that count, <a href="http://recode.net/2016/02/23/dell-can-buy-out-emc-say-u-s-antitrust-regulators/">Re/code's Arik Hesseldahl reports</a>.</p><p>Dell announced its intent to buy EMC for $67 billion in October in a deal that involved a lot of debt and complicated financing, including turning the VMware shares that EMC owns into a tracking stock. EMC owns about 81% of VMware.</p><p>Earlier this month, EMC board member <span>Bill Green told investors at <span>the Goldman Sachs Technology and Internet Conference that the deal had been so carefully orchestrated that only an "act of God" would keep it from happening.</span></span></p><p>But if this deal does go through as planned, it will catapult Dell into the big leagues in the $2 trillion <keyword id="6356323" type="UNKNOWN" weightage="100" keywordseo="Enterprise">enterprise</keyword> technology marketing, putting it on par with Hewlett Packard Enterprise and IBM in terms of the number of products that it sells and the global customers it can serve.</p><p>Still, there have been a lot of questions and concerns. For instance, Dell is taking on a lot of debt to make this deal happen, borrowing about $50 billion, <a href="http://www.businessinsider.com/dell-reveals-losses-revenue-shrinking-2015-12">it confirmed in December in a SEC filing. </a> And Dell is still carrying about $11 billion in debt on its books from its $24.4 billion go-private deal.</p><p>So Dell has been spinning out assets, like <a href="http://www.businessinsider.com/secureworks-ipo-exits-slealth-2015-12">the planned IPO of a unit called SecureWorks</a>. And it's reportedly been shopping around other units like its SonicWall security business and Quest Software for a reported $2 billion each, and its outsourcing business, Perot Systems, for a reported $5 billion.</p><p>There's also been concern that once the deal closes, Dell will raid VMware's coffiers to help pay off debt, something that EMC CEO Joe Tucci <a href="http://www.businessinsider.com/tucci-dell-wont-raid-vmwares-cash-2016-2">is promising won't happen</a>.</p><p>And of course, employees are nervous about potential layoffs with redudent positions. EMC <a href="http://www.crn.com/news/channel-programs/300079302/the-ax-begins-to-fall-at-emc-marketing-unit-hit-hard-sources-say.htm">has already been cutting jobs in 2016</a>, as it promised it would before the merger was announced. Meanwhile, <a href="http://www.businessinsider.com/vmwares-stock-is-getting-pounded-thanks-to-layoffs-and-a-soft-forecast-2013-1">VMware has also been laying off workers</a> ahead of this merger.</p><p>VMware shareholders (besides EMC) haven't been thrilled. The stock is down about 30% since the merger was announced, and is down another 2% on this news, trading at just under $49.</p>

US regulators have approved Dell's $67 billion purchase of EMC

<p>In leading <keyword id="48032" type="CITY" weightage="60" keywordseo="Blackstone">Blackstone</keyword> Group's 11th-hour bid for Dell Inc, the acquisitions expert and famously tough negotiator has seated himself across the table from ex-boss and company founder <keyword id="130781" type="PERSON" weightage="60" keywordseo="Michael-Dell">Michael Dell</keyword>. Their relationship has now become a crucial element in the battle over the largest private equity-led buyout since the financial crisis.</p>
<p>There may even be echoes of the way Nabisco Brands President John Greeniaus ended up switching sides from RJR Nabisco's CEO Ross Johnson in the struggle for control of the food and tobacco conglomerate in the leveraged buyout boom of the late 1980s.</p>
<p>Blackstone's Johnson, a former IBM executive with a reputation for working through the night rather than early in the day, may be joining the party late. But he could still up-end Michael Dell's original proposal to take the company private for $24.4 billion.</p>
<p>Whether the two former confidants can work together may decide the fate of the world's No. 3 PC maker.</p>
<p>The soft-spoken Red Sox and New England Patriots fan is described by people who have known him for a long time as likeable, smart and loyal. But that loyalty has been questioned twice as he has headed for the exits under controversial circumstances - once after more than 27 years at IBM, and then when he left Dell.</p>
<p>IBM unsuccessfully sued Johnson when he departed in 2009, alleging he violated a non-compete agreement.</p>
<p>Now Michael Dell - who told his executive team that Johnson would remain a close and personal adviser when he left to join Blackstone in January - is fighting to hold onto his company against a bid mounted by Blackstone less than three months later. Blackstone has not mentioned a role for his former boss.</p>
<p>"For all the good he does in an organization, the exit always seems to burn him," said a person close to Johnson.</p>
<p>"There was a lot of goodwill (at IBM) but in the last two minutes, he completely erases 25 years of history. Same thing at Dell."</p>
<p>The stakes are high for both men. Michael Dell could lose control of a company he nursed from a dorm-room operation into a global personal computer maker. He doesn't only have Blackstone breathing down his neck but has to also contend with a competing offer from billionaire investor Carl Icahn. Meanwhile, Johnson's first deal could be one of the most ambitious in technology for Blackstone in years.</p>
<p>Among people who know Michael Dell and Johnson, there is little agreement about how well the two men get along now.</p>
<p>The relationship was still close when Johnson, who led some $10 billion worth of deals during his time at Dell, worked to bolster the company's non-PC-making businesses in areas such as software and enterprise services.</p>
<p>Johnson was said to have weighed the offer from Blackstone for a while before taking the plunge, one of the people said.</p>
<p>Three others said Johnson left Dell alienated, and that some members of top management were unhappy with his track record and had few qualms about letting him leave for the world's largest private equity firm.</p>
<p>"Dave came into Dell as a change agent. Change agents have a tough job, and their job is to break glass," one of these people said. "And sometimes where you are breaking glass, people don't like what you are doing."</p>
<p>A spokesman for Michael Dell declined to comment, while a Blackstone spokesman declined to comment on behalf of Johnson. A Dell Inc spokesman also declined to comment.</p>
<h3>WHEELING AND DEALING</h3>
<p>During more than three years at the Texas-based computer maker, Johnson oversaw 18 to 20 acquisitions, according to a Dell spokesman. He reported directly to Michael Dell.</p>
<p>People who know him say Johnson is more comfortable wheeling and dealing in smaller settings, less at ease in the spotlight of major presentations such as Dell's analysts' day.</p>
<p>He was also known for keeping late hours.</p>
<p>"You can ask anyone at IBM," one of the people said. If Johnson's assistant scheduled a meeting early in the morning it probably "wasn't going to happen," this person said.</p>
<p>Johnson oversaw the 2009 purchase of Perot Systems Corp, which catapulted Dell into the technology services market alongside IBM and HP. Other deals during his tenure included Quest Software, SecureWorks, SonicWall Inc and Wyse Technology.</p>
<p>At Dell, Johnson was brought in to help beef up the company's enterprise-related portfolio and diversify away from its reliance on PCs. To that end, Johnson went on an acquisition spree for small to mid-size companies. A big believer in the proper integration of acquired companies, Johnson often told team members that "the real success of a transaction is in the integration."</p>
<p>The 61-year old brought discipline and rigor to Dell's M&amp;A machine, instituting a playbook that aimed to standardize the M&amp;A and integration process, one of the people said.</p>
<p>That playbook, for example, had templates for documents and contained a list of internal subject-matter experts.</p>
<p>While Johnson's strategy helped Dell expand its portfolio and reduce its reliance on PCs, the strategy was also criticized for being slow to offset a decline in PC sales and for failing to integrate the acquired companies fully with Dell to take advantage of scale.</p>
<p>But Carr Lanphier, analyst with Morningstar, said it is too early to tell whether Johnson's term at Dell was a success as his effort at diversification is not complete.</p>
<p>When Johnson joined Blackstone, the private equity giant had been looking for ways to bolster its technology team after having suffered a couple of dealmaker losses. These included Chip Schorr, who left Blackstone in 2010 after serving as its global head of technology investing.</p>
<p>Johnson is working on Dell with Chinh Chu, one of Blackstone's most experienced partners, who has been carrying out transactions for the firm since 1990.</p>
<p>Blackstone has reached out to a number of candidates who could run Dell should its bid succeed, replacing Michael Dell.</p>
<p>Sources involved in the fast-evolving discussions said Michael Dell and Johnson have competing visions for the company.</p>
<p>Two people close to Michael Dell have said he was concerned that Blackstone's buyout offer would dismantle the PC maker. Other people familiar with the situation have said Blackstone has considered a potential sale of Dell's financial services business as part of a strategy to turn things around.</p>
<p>Divestitures are not part of the plans by Michael Dell and his buyout partner, the private equity firm Silver Lake, two of the sources said.</p>

BETRAYAL: Michael Dell's Former Right-Hand Man Leads Coup To Push Him Out

At the high end of the range, SecureWorks would be worth roughly $1.4 billion once it goes public.</p><p>The filings said that the company expects to raise between $134.3 million to $154.9 million from the IPO. But it stressed that Dell won't transfer any of the proceeds to its affiliates, meaning it won't be used to pay for Dell's <span>massive $67 billion acquisition of EMC.</span></p><p><span>SecureWorks generated $339.5 million in revenue last year, up from $262.1 million the year before. It had a gross margin of $155.7 million last year, but posted a net loss of $72.3 million.</span></p><p><span>The company is almost entirely owned by Dell CEO Michael Dell, who <span>gained it himself when he took Dell private in 2013. Dell plans to IPO a company it bought for $612 million and make it worth $1.4 billion

It provides IT services to government agencies and health care providers, including handling media claims, and was founded by billionaire businessman Ross Perot. </p><p>Dell has been courting several potential buyers, including Tata Consultancy Services, an India-based IT firm; Genpact, a US-based firm; and Atos, a French-based IT firm. The talks with TCS reached advanced stages but subsequently broke down, Re/Code reports. </p><p>As PC sales fall worldwide, Dell is looking to transition into both a services company - offering software support, among other things - and diversify into other hardware areas, such as storage. Dell is selling a $5 billion part of its business to help fund a $67 billion megadeal

Sources told the Wall Street Journal in October that Dell was hoping to raise $1 billion and would start its roadshow in December.</p><p>Dell CEO Michael Dell (and his family trust) essentially own SecureWorks himself, gaining it when he took Dell private in 2013. He controls<span> 71%, the paperwork says. It didn't reveal whether he would be selling any of his stake as part of this IPO. Sources told the WSJ that he wasn't planning on it.</span></p><p><span>SecureWorks is a managed security service, meaning a cloud service that operates on a subscription model. It helps corporations monitor their IT infrastructure to protect against hackers and malware. </span></p><p><span>SecureWorks brought in $245,4 million in revenue in the first 9 months of its fiscal 2015 year (through October, 2015), up from $190,7 million  in the same period last year. </span></p><p><span><div class="KonaFilter image-container display-table float_right"><div><div class="image on-image"><p class="source"><span><a href="http://www.sec.gov/Archives/edgar/data/1468666/000119312515406345/d934761ds1.htm">Dell/SecureWorks/S-1</a></span></p></div><p></p></div></div>It had a gross margin of $<span>111.3 million for that 9-month period in 2015, but invested heavily, mostly in sales and marketing, and posted a net loss of $57.5 million.</span></span></p><p><span>Dell is looking for ways to raise money to help pay for its massive $67 billion acquisition of EMC. </span></p><p><span>That's a complicated deal that involves complex financing and could put as much as $50 billion of debt on Dell's books. </span></p><p><span>This IPO is one of the things it is doing to raise money and reduce the amount of debt it takes on to finance the deal. It's official: Michael Dell will IPO SecureWorks trying to raise cash for his $67 billion EMC deal

<p><div class="KonaFilter image-container display-table float_right"><div><div class="image on-image"><p class="source"><span><a href="http://www.cnbc.com/2015/10/12/dell-to-buy-emc-in-deal-worth-about-65-billion.html">CNBC</a></span></p><p class="caption">Michael Dell</p></div><p></p></div></div>For the first time since going private in 2013, Dell has given us a peek into its financial condition.</p><p>It did so in a <a href="http://www.sec.gov/Archives/edgar/data/1571996/000119312515402063/d73946ds4.htm#rom73946_33">filing with the SEC </a>as part of its planned $67 billion acquisition of EMC, the largest in tech history.</p><p>Dell's annual revenues have increased about 2% in the two years since it last reported its finances publicly.</p><p>Annual revenues went from $56.9 billion in its fiscal year ended February 1, 2013, to $58.1 billion in its fiscal year ended January 30, 2015. But they haven't bounced back to the 2012 peak of $62.1 billion in the fiscal year ended February 3, 2012.</p><p>Over the same period, gross margin cash declined from $12.2 billion to $10.2 billion. Dell also swung from a $2.4 billion net profit to a -$1.2 billion net loss during that period.</p><p>For the six months ended July 31, 2015, revenues were down about 6% compared to the year-ago quarter, from $29.5 billion to $27.5 billion.</p><p>It is still carrying about $11 billion in debt on its books from its $24.4 billion go-private deal. Dell borrowed $13.9 billion to make that deal happen. It has paid off about $4.5 billion of that debt in two years, including paying Microsoft back the entire $2 billion borrowed from that company as part of his go-private financing deal. So Michael Dell is technically no longer indebted to Microsoft.</p><p>The filing also confirms earlier reports that Dell plans to borrow about $50 billion ($49.5 billion, it says) to finance its acquisition of EMC (and refinance the debt it still has on its books).</p><p>It will also use $7.7 billion of cash from EMC and Dell to help pay the costs and it has arranged to sell $4.5 billion worth of equity.</p><p>Meanwhile, Dell is also spinning out assets, as seen in <a href="http://www.businessinsider.com/secureworks-ipo-exits-slealth-2015-12">the IPO forms it just filed to turn SecureWorks</a> into a public company. It is also reportedly raising money by trying to sell units like its SonicWall security business and Quest Software for a reported $2 billion each, and its outsourcing business, Perot Systems, for a reported $5 billion.</p><p>Most of what this SEC filing reveals has already been reported in the press. Dell filing shows why it really needs the EMC merger - it lost money last year and revenue is shrinking

<p>According to multiple reports, <keyword id="330063" type="COMPANY" weightage="60" keywordseo="Silver-Lake">Silver Lake</keyword>, a buyout firm will invest $1 billion or more; <keyword id="10387" type="CITY" weightage="60" keywordseo="Microsoft">Microsoft</keyword> will invest $2 billion; and founder Michael Dell will contribute his 16 percent ownership of the current company and $700 million for a majority stake.</p>
<p>The deal will also be backed by $15 billion in debt.</p>
<p>Besides Michael Dell, who's the board chairman, Dell's board includes Facebook investor Jim Breyer, former American Airlines CEO Don Carty, and Ross Perot Jr., <a href="http://content.dell.com/us/en/corp/leadership-board-of-directors">among others</a>. </p>
