New Delhi, Jan 24 () Capital markets regulator Sebi on Friday disposed of a case of alleged insider trading in the scrip of Pantaloon Retail India Ltd (PRIL) against an individual.
 The firm is now known as Future Enterprises Ltd.
 Abhishek Jalan was alleged to have violated Prohibition of Insider Trading norms by allegedly trading on NSE in the scrip of PRIL DVR in the futures segment while in possession of unpublished price sensitive information on account of him being part of the senior management of the firm.
 However, the regulator, from the submissions of Jalan, noted that he had placed a sell order through a web based application provided by his broker and mistakenly selected PRIL futures instead of futures of GMR Infrastructure Ltd.
 Upon realising his mistake, he bought the same quantity of PRIL futures on market price to square off the futures position with a time lapse of around 3 minutes.
 Besides, he incurred a net loss of Rs 350 on account of the transactions.
 The regulator thus disposed of the proceedings against Abhishek Jalan.
 In a separate order, Sebi dismissed the proceedings against three entities -- Manjusha Lodha, ABL Infrastructure Pvt Ltd and Surinder Singh Kadyan -- for alleged irregularities while dealing in scrip of Indiabulls Integrated Services Ltd, formerly known as SORIL Holdings and Ventures Ltd.
 Allegations of disclosure lapses were levelled against Lodha and ABL Infrastructure with respect to change in their shareholding in the firm. 
 Surinder Singh Kadyan was alleged to have violated insider trading norms. However, Sebi disposed of the proceedings considering their submissions. SRS

Sebi disposes of insider trading case against individual in Pantaloon Retail India scrip

New Delhi, Feb 10 () Markets regulator Sebi is considering to increase penalty on rating agencies in connection with lapses on their parts in assigning credit ratings to non-convertible debentures of IL&amp;FS, officials said on Monday. The crisis at diversified IL&amp;FS, whose board was superseded by the government, came to light September 2018 and since then, the company as well as related entities have come under the regulatory lens. Sebi in December 2019 slapped a penalty of Rs 25 lakh each on ICRA Ltd, CARE Ratings Ltd and India Ratings &amp; Research Pvt Ltd and had said the default by IL&amp;FS occurred due to "lethargic indifference and needless procrastination and laxity" of the rating agencies. While the regulator came down heavily on the rating agencies with sharp observations but it was felt that the same was not reflected in penalty, officials said. They believe that the fine imposed by the Securities and Exchange Board of India (Sebi) on these rating agencies was quite low given the seriousness of the lapses on their part following which fresh notices were sent to them. In a filing to stock exchanges on Monday, CARE said it has received the show cause notice (SCN) from Sebi, "calling upon the reasons why the penalty amount should not be enhanced. This SCN is being reviewed by the company". Similarly, ICRA on Friday said it received a show cause notice for enhancement of penalty amount. However, it could not be ascertained whether India Ratings also received similar notice from the markets regulator. The case relates to the default committed by IL&amp;FS and its subsidiary IL&amp;FS Financial Services on their obligations in respect of commercial paper (CP), inter-corporate deposits (ICDs) as well as on interest payments related to non-convertible debentures (NCDs). Sebi, in its order, had noted that the exposure of IL&amp;FS at the relevant times was critical to the financial stability as its share in the total exposure of banks to the NBFC (non-banking financial company) sector was fairly high. There was substantial public interest involved in the affairs of IL&amp;FS considering its importance for financial stability. The markets regulator had examined the role of the credit rating agencies, including ICRA, CARE and India Ratings, in assigning a rating to various NCDs of Infrastructure Leasing and Financial Services (IL&amp;FS). According to Sebi, IL&amp;FS and its group companies' financial parameters, especially short-term borrowings, debt-to-equity ratio, current maturities of long-term debt, operating profit, and monetisation of assets were not as conducive or healthy as assumed by these rating agencies in their reports or rating rationale. They failed in conducting independent professional assessment while rating the NCDs of IL&amp;FS and placed undue weight on institutional parentage, the regulator said. Though there is no allegation of any mala fide intention on the part of these rating agencies, Sebi had said the failure by them is blameworthy and serious considering the degree of responsibility bestowed upon it by the statute. Oppo launches A15s budget smartphone in India at ₹11,490

New Delhi, Dec 12 () Markets regulator Sebi on Thursday imposed a total fine of Rs 5 lakh on Unitech Ltd Executive Director Sanjay Chandra and its promoter Mayfair Capital for disclosure lapses with regard to change in their shareholding in the company.
 The regulator has fined the promoters for violating Prohibition of Insider Trading (PIT) regulations.
 "The regulation seeks to achieve fair treatment by...mandating disclosure of timely and adequate information to enable shareholders to make an informed decision and ensuring that there is a fair and informed market in the shares of companies affected by such change in control," Sebi said.
 The orders follow a probe conducted by Sebi in the scrip of Unitech between October 2008 and December 2008. During the investigation, Sebi found that Sanjay Chandra and Mayfair Capital traded in the scrip of Unitech and failed to make disclosures with regard to change in their shareholding.
 Sebi also noted that two promoter entities, Prakausali Investments India Pvt Ltd and Mayfair Investments Pvt Ltd, amalgamated and formed Mayfair Capital Pvt Ltd in 2013, however, during the investigation period they existed as separate entities.
 "During the period of investigation, the shareholding of the said two promoter entities viz. Prakausali and Mayfair Investments changed in the scrip of Unitech. Therefore, Noticee was required to make disclosures for the... changes in the shareholding of the said two promoter entities," Sebi noted.
 However, they failed to do so.
 Accordingly, a fine of Rs 2 lakh on Sanjay Chandra and Rs 3 lakh on Mayfair Capital has been levied by the regulator.
 In November, the regulator slapped a fine of Rs 2 lakh on Unitech Ltd for making wrong disclosure with regard to shareholding pattern of some promoters. SRS HRS

New Delhi, Jan 29 () Shareholders of InterGlobe Aviation, the parent company of Indigo airline, on Wednesday rejected a special resolution of co-promoter Rakesh Gangwal to amend the company's Articles of Association (AoA).
 Gangwal had sought removal of articles pertaining to transfer and acquisition of the company's shares, including 'Right of First Refusal' and ' Tag Along Right'.
 "The Special Resolution has not been passed as the votes cast in favour (48.55 per cent) of the resolution are less than three times the number of votes cast against (51.44 per cent) the resolution," InterGlobe Aviation said in a BSE filing after the extraordinary general meeting held here on Wednesday.
 Rahul Bhatia and affiliates -- InterGlobe Enterprises (IGE) Group -- has around 38 per cent stake in the company and Rakesh Gangwal and his related entities own around 36.64 per cent stake.
 As per the AoA, if any member of Rahul Bhatia-led IGE Group wants to transfer shares to a third party, then the non-transferring group will have the 'Right of First Refusal' subject to certain conditions.
 Similarly, the non-transferring group will also have the 'Tag Along Right' wherein it would have the option to sell some part of the shareholding.
 The differences between co-founders and co-promoters -- Rakesh Gangwal and Rahul Bhatia -- came to the fore in July 2019 after Gangwal sought market regulator Sebi's intervention to address alleged corporate governance lapses at the company. IndiGo EGM: Shareholders reject co-promoter Gangwal's special resolution to amend AoA

New Delhi, Jan 16 () Markets regulator Sebi on Thursday imposed a fine totalling Rs 9 lakh on Zee Media Corporation and its promoter entity 25FPS Media for shareholding disclosure lapses.
The regulator has levied a fine of Rs 6 lakh on 25FPS Media Private Limited and Rs 3 lakh on Zee Media Corporation Ltd (ZMCL), Securities and Exchange Board of India (Sebi) said in an order.
The order comes after Sebi received a reference from Zee Media Corporation, wherein it informed the regulator regarding non-compliance of PIT (Prohibition of Insider Trading) Regulations by 25FPS during the period April 8 to April 23, 2019.
Following this, the regulator conducted examination in the scrip of ZMCL from April 8, 2019 to April 26, 2019 to ascertain whether there was any disclosure violation of PIT norms and SAST (Substantial Acquisition of Shares and Takeovers) Regulations by 25FPS and/or ZMCL.
During the examination, the regulator observed that IFCI Ltd had invoked pledge in respect of certain equity shares of the company pledged by 25FPS. The shareholding of 25FPS in ZMCL was continuously decreasing by virtue of invocation of pledge by IFCI during the period.
It further said that 25FPS was required to disclose details of such change in its shareholding within stipulated timeframe. Besides, ZMCL was required to notify the exchanges regarding the particulars of trades within two trading days of it "becoming aware of the same".
"By not making the relevant disclosures on time, both the noticees have conveniently kept the general investors in dark regarding the change in the shareholding of one of the promoters," Sebi said.
The entities have not complied with the relevant provisions of PIT Regulations and SAST norms, it noted. SP BAL

Sebi fines Rs 9 lakh on Zee Group for shareholding disclosure lapses

New Delhi, Dec 11 () The Serious Fraud Investigation Office (SFIO) has started probe into the alleged irregularities at CG Power and Industrial Solutions Ltd and its 15 group companies.
 "The company has received a letter...from the office of the Joint Director (Investigation), SFIO, Ministry of Corporate Affairs...informing that the Central Government...has ordered an investigation by the SFIO into the affairs of the company and its 15 related/group companies (not having been specifically identified in the said letter)...The said SFIO Investigation has been initiated," CG Power and Industrial Solutions Ltd said in a regulatory filing.
 The company was committed to cooperate with SFIO to enable them to complete its investigation in a time bound manner, the filing added.
 Sources had earlier said that the Ministry of Corporate Affairs (MCA) has filed a petition before the Mumbai-bench of the National Company Law Tribunal (NCLT) seeking permission to re-open the books of account and recast the financial statements of CG Power and its subsidiary companies for the past five financial years beginning 2014-15.
 MCA had previously asked its SFIO to probe the affairs of the company along with 15 other firms, including two subsidiaries CG Power Solutions Ltd and CG International BV.
 The company had in August said that an investigation instituted by its board had found major governance and financial lapses, including some assets being provided as collateral and the money from the loans siphoned off by "identified company personnel, both current and past, including certain non-executive directors".
 Gautam Thapar, who was non-executive chairman of the company, was removed by its board on August 29. SID DRR

New Delhi, Jan 30 () Shares of InterGlobe Aviation fell nearly 4 per cent on Thursday after the company's shareholders rejected a special resolution of co-promoter Rakesh Gangwal to amend the company's Articles of Association (AoA).
 The scrip declined 3.18 per cent to close at Rs 1,415.70 on the BSE. During the trade, it dropped 3.90 per cent to Rs 1,405.10.

InterGlobe Aviation shares drop nearly 4 pc

Acting on the urination incident onboard an <keyword id="2573" type="General" weightage="100" keywordseo="air-india" source="Orion">Air India</keyword> <keyword id="267936" type="General" weightage="20" keywordseo="new-york-delhi" source="Orion">New York-Delhi</keyword> flight last November, the flag carrier on Saturday issued show cause notices and de-rostered four cabin crew and a pilot pending investigation. The CEO said that the airline has initiated multiple steps with a view to materially strengthen and improve how such incidents would be addressed in future, which includes commencing a comprehensive education program to strengthen crews' awareness of and compliance with policies on the handling of incidents and unruly passengers, and to better equip crew to empathetically assist those affected, review of the airline policy on service of alcohol in flight and review the meeting frequency of the DGCA-prescribed "Internal Committee", tasked with assessing incidents, so that cases are assessed and decisions reached in a more timely manner. The steps also include improving the robustness of its legacy incident reporting processes, which are presently paper-based and manual, Air India signed a Letter of Intent in December 2022 to acquire a license for the market-leading provider of incident management software, <keyword id="15995247" type="General" weightage="50" keywordseo="coruson" source="Orion">Coruson</keyword>. In addition to this state-of-the-art software, the airline is also in the process of deploying iPads to Pilots and Senior Cabin Crew.
