(Eds: Adding details) New Delhi, Jun 27 () The US-based global investment firm Carlyle Group Inc will buy 20 per cent stake in Piramal Pharma for around USD 490 million (over Rs 3,700 crore), a statement said on Saturday. The capital raise will accelerate Piramal Pharma's organic and inorganic growth plans, the Ajay Piramal-led Piramal Enterprises and Carlyle Group said in the joint statement. "... CA Clover Intermediate II Investments, an affiliated entity of CAP V Mauritius Ltd, an investment fund managed and advised by affiliated entities of The Carlyle Group Inc has agreed to invest fresh equity capital for a 20 per cent stake in Piramal Pharma Ltd...," it said. The transaction values the pharma business at an enterprise value (EV) of USD 2.775 billion (over Rs 20,980 crore), with an upside component of up to USD 360 million (over Rs 2,720 crore) depending on the company's FY21 performance, the statement said. "Based on the EV (excluding the upside component), exchange rate and pharma net debt as on March 31, 2020, the estimated equity capital investment for Carlyle's 20 per cent stake in Piramal Pharma would amount to USD 490 million (over Rs 3,700 crore)," it added. The final amount of equity investment will depend on the net debt, exchange rate and performance against the pre-agreed conditions at the time of closing of the deal. The transaction is expected to close in 2020, it added. "This is an affirmation of the strength of our ability to build new, attractive and scalable businesses with a significant runway for continued organic growth and opportunities for consolidation," Piramal Enterprises Chairman Ajay Piramal said. This infusion of funds "will further strengthen our balance sheet and provide us with a war chest for the next phase of our strategy," he added. Asked about the stake Piramal Enterprises will hold in the company post the transaction, Ajay Piramal told it will have 80 per cent stake. On whether Piramal Enterprises Ltd (PEL) will list Piramal Pharma going forward, he said: "We have publicly stated in the past, that in the medium term we will separate the two PEL businesses. This is a step closer towards that endeavour." PEL has two businesses -- pharma and financial services. Carlyle Group to buy 20 pc stake in Piramal Pharma for over Rs 3,700 cr

New Delhi, Dec 11 () Qatar Investment Authority has agreed to buy a 25.1 per cent stake in Adani Electricity Mumbai Ltd - the firm that distributes power to three million consumers in Mumbai - for Rs 3,200 crore.
 Adani Electricity Mumbai Ltd is a part of Adani Transmission Ltd, while Qatar Investment Authority (QIA) is the sovereign wealth fund of the Qatar.
 "Adani Transmission Limited (ATL), Adani Electricity Mumbai Ltd (AEML) and a subsidiary of Qatar Investment Authority (QIA) have signed definitive agreements for the sale of a 25.1 per cent stake in AEML to QIA and for a shareholder subordinated debt investment by QIA in AEML.
 "The total QIA investment in AEML will be approximately Rs 3,200 crore," a company statement said.
 AEML is the licensee for an integrated power distribution, transmission and generation business that currently serves more than three million consumers across a license area of about 400 square kilometers in Mumbai.
 Its market share of Mumbai is close to 87 per cent by license area, 67 per cent by consumers served and 55 per cent by electricity supplied.
 "As part of the transaction, ATL and QIA have agreed definitive plans to ensure that over 30 per cent of the electricity supplied by AEML is sourced from solar and wind power plants by the year 2023," the statement said.
 "In addition, ATL and QIA have agreed a number of other green initiatives to combat climate change and facilitate the transition to a sustainable, low carbon economy."
 Adani Group Chairman Gautam Adani said his company together with Qatar Investment Authority will work towards improving the reliability of supply and consumer satisfaction.
 "We believe this transaction is a significant step in the journey of the Adani Group, marking the start of a long term partnership with QIA," he said.
 QIA Chief Executive Officer Mansoor Al-Mahmoud said: "We look forward to a long term partnership with the Adani Group, with whom we share an inter-generational perspective on investments and a common vision for the sustainable growth and continued success of AEML".
 Adani Electricity Mumbai Limited said it serves over three million consumers spread across 400 sq km in Mumbai and its suburbs meeting close to 2,000 MW of power demand with 99.99 per cent reliability.
 Adani Transmission Ltd is the transmission and distribution business arm of the Adani Group with a cumulative transmission network of around 14,738 circut km, out of which 11,477 ckt km is operational and 3,261 ckt km is at various stages of construction.
 Al-Mahmoud further said "this investment demonstrates our confidence in India, with whom Qatar shares deep-rooted ties and excellent relations."
 The deal is expected to complete in early 2020 subject to receipt of regulatory approvals and satisfaction of customary conditions precedent.

New Delhi, May 16 () The government's announcements for civil aviation sector breathe some life into the coronavirus pandemic-hit sector and will provide overall positive sentiment, experts said on Saturday, even as some of them emphasised the need for support for airlines. On Saturday, Finance Minister Nirmala Sitharaman announced plans for managing airspace efficiently, making the country a MRO (Maintenance Repair and Overhaul) hub, and auctioning of six more airports on PPP model. GMR Group Chairman G M Rao said India is leading the growth of civil aviation sector globally and is generating significant economic impact. According to him, rationalising Indian airspace is a significant step that would benefit not only the entire sector but also bring down travel time for passengers. Privatising six new airports under public-private partnership (PPP) model would generate significant economic effect and would lead to creation of new jobs. "Likewise, tax incentives for the MRO sector will not only bring foreign investment into India and impact the economics of the airlines but will also open up new opportunities for youth to build careers. The investments being made in airports, privatised in the first two phases, are already leading to enhanced job creation in both aero and non-aero areas," he said. GMR Group manages two airports -- Delhi and Hyderabad -- through PPP model. Welcoming the announcements, GVK Group founder and Chairman G V K Reddy said the move to have PPP model for six more airports would provide the Airports Authority of India (AAI) resources to develop smaller airports across the country. "The plans to make India a global MRO hub will ensure savings of precious foreign exchange and enable Indian airlines to get their aircraft serviced locally," he said. Consultancy EY India's Transaction Partner Kuljit Singh said the announcements are good initial first steps and this might be followed by a second phase of reforms package. Law firm Cyril Amarchand Mangaldas' Partner Ajay Sawhney said that today's announcement breathe some life into the pandemic-hit civil aviation sector, but no mention of bailouts on an immediate basis may attract mixed response from the industry. "Though, easing curbs on airspace would certainly bring in long term efficiency, and on an immediate basis some relief to the airlines, but a more meaningful intervention may be required if the aviation sector is not on the recovery path soon," he noted. "Rationalising the MRO tax structure has been a long pending demand of the industry and it is good to see that happening finally, but more needs to be done to create a level playing field, attract foreign investment and make it profitable," he noted. PM, FM, industry welcome RBI 'bazooka' of interest rate cut, liquidity measures

The draft <keyword id="2617070" type="PERSON" weightage="20" keywordseo="Personal-Data-Protection-Bill">personal data protection bill</keyword> that seeks to empower the Centre to exempt any government agency from the provisions of the proposed legislation has the industry worried, as they warn that such exemptions represent "new, significant threats" to the privacy of Indians. The proposed bill also provides for voluntary verification of social media users and transfer of non-personal data. The outcry from industry watchers, analysts and civil society comes amid the draft bill suggesting that the Centre will be empowered to exempt any government agency from the application of the Act and verify social media users.
 One of the provisions of the draft bill states that the Centre can - in the interest of sovereignty, the security of the state, and public order - "direct that all or any of the provisions of this Act shall not apply to any agency of the Government in respect of processing of such personal data..."
 The bill, which was cleared by the Cabinet last week, is likely to be introduced in the Lok Sabha in the next couple of days.
 Mozilla's Policy Advisor Udbhav Tiwari said that if Indians are to be truly protected, it is urgent that Parliament reviews and addresses "these dangerous provisions before they become law".
 "Indians have been waiting for a strong data protection law for years now, and this latest bill delivers real privacy in regards to processing by companies and is a dramatic step backwards in terms of processing and surveillance by the government. Exceptions for government use of data, the verification of social media users, and the forced transfer of non-personal data all represent new, significant threats to Indians' privacy," said Tiwari.

 While the bill seeks to protect personal and sensitive data of individuals, it proposes to allow processing of private data without explicit consent in case of security, credit scores, debt recovery, operation of search engines and whistle blowing.
 The draft bill also states that the central government can frame policy for the digital economy with respect to non-personal data. In particular, it can direct any data processor to "provide any personal data anonymised or other non-personal data to enable better targeting of delivery of services or formulation of evidence-based policies by the Central Government".
 Further, social media entities with user base above a certain threshold and whose "actions have, or are likely to have a significant impact on electoral democracy, security of the State, public order or the sovereignty and integrity of India," will be notified as 'significant data fiduciary'.
 Every social media intermediary classified as a 'significant data fiduciary' will enable the users in India to voluntarily verify their accounts. Any user undergoing such voluntarily verification will have to be provided with a mark of verification that is visible to all users of the service. Such entities will also have to get their policies and conduct (of data processing) audited by an independent data auditor.
 Jaspreet Singh, Cyber Security Leader, EY India said termed the Bill a "double-sided sword".
 Singh said that while it protects the personal data of Indians by empowering them with data principal rights, "it bestows the central government with exemptions which are against principles of processing".
 "The State can process even sensitive personal data when required, without an explicit consent from the data principals. However, the government will need to show that any processing of personal data is necessary and processing of sensitive personal data is strictly necessary for the exercise of any function of the State authorised by law for the provision of service or benefit," Singh said.
 These broadly-worded carve-outs "can be misused and hence need to be carefully examined", he cautioned.
 Arun Prabhu, Partner at Cyril Amarchand Mangaldas noted that portions of the bill have been pared down, and some changes such as the lack of a clear implementation timeline, requirement to share non personal data, obligations for social media verification "may be a potential source of concern."
 He, however, said that certain changes made to the Draft Bill are business friendly, providing for increased certainty, a regulatory sandbox for Artificial Intelligence/Machine Learning and other innovative technology, limiting localisation to non-sensitive data and a potential carve out for non-Indian data processed under contract.
 Gartner said that the primary concern will be the execution of the bill across which will include advisory from regulatory bodies such as RBI, IRDAI, SEBI.
 "There must to very clear guidelines which the enterprises can easily follow without relying completely on consulting service providers. Very clear deadlines must be mentioned and clarity on the fines in case of violation must be clearly mentioned and should be available on public website," Rajpreet Kaur, Principal Analyst of Gartner said. India's proposed data laws won't apply to the government — businesses cry foul

New Delhi, Apr 17 () The real estate industry on Friday hailed RBI's decision to boost liquidity into the system and provide relief to loans taken from NBFCs for commercial projects, but sought one-time restructuring of their loans and a stimulus package to help the sector in battling the crisis caused by the lockdown to control COVID-19.The RBI on Friday reduced the reverse repo rate - the rate at which banks park their fund with the central bank - by 25 basis points to encourage banks to lend to the productive sectors of the economy. It also announced an additional Rs 50,000 crore through targeted long-term repo operation (TLTRO) and another re-financing window of Rs 50,000 crore for institutions like Nabard, National Housing Bank and Sidbi.CREDAI Chairman Jaxay Shah said: " We welcome the RBI's decision of providing the liquidity boost to the realty sector. We are hopeful that the government will soon aid the sector with the announcement of the much needed economic package."The RBI has allowed NBFCs to extend the date for commencement for commercial operations (DCCO) in respect of loans to commercial real estate projects by an additional one year if the projects got delayed for reasons beyond the control of promoters.CREDAI President Satish Magar said, measures such as extension of DCCO, fresh LTRO and reverse repo rate cut will help uplift the economic slowdown."Loans given by NBFCs to real estate companies will get similar benefits as given by scheduled commercial banks, thus easing the financial burden on developers," he said. It will buy 25% stake in India’s One97 Communications, which is the parent company of mobile commerce firm <keyword id="6357120" type="UNKNOWN" weightage="20" keywordseo="PayTM">Paytm</keyword>. 
 
Ant Financial Services (AFS), part of the Alibaba Group, has announced a strategic agreement to acquire "a 25% stake in One97 to support the growth of mobile payment and commerce platform in India." 
 
Alibaba, largest eCommerce company in the world, had garnered a sum of $25 billion through initial public offering (IPO) in the US in September 2014. 
 
"Paytm will use the funds to grow its mobile payment ecosystem and further boost its commerce user base. The deal represents Ant Financial's first-ever investment into an Indian company," Alibaba added. 
 
"With over 1 billion people, India's payments market has vast untapped potential," said Cyril Han, vice president, Ant Financial Services. AFS will also provide strategic and technical assistance to Paytm. 
 Citi and <keyword id="6361649" type="CITY" weightage="20" keywordseo="Goldman-Sachs">Goldman Sachs</keyword> acted as the financial advisors on the deal. Simpson Thacher &amp; Bartlett, Trilegal and Amarchand &amp; Mangaldas and Suresh A Shroff &amp; Co were the legal advisors. 
 
AFS was set up in October last year, and it focuses on small and micro enterprises (SMEs) and consumers. It runs businesses like Alipay, Yu'e Bao, Zhao Cai Bao and Ant Credit and Alipay Wallet.
