Tamilnad Mercantile Bank’s ₹832 crore IPO to open today

The IPO subscription will be open until November 26. The IPO offer ranges between ₹193-195 per share, and the bank hopes to raise ₹410 crores through the public listing. Ahead of the IPO, CBS Bank had also raised ₹184.36 crore via an allotment of 94.54 lakh shares to 24 anchor investors. According to <a href="https://economictimes.indiatimes.com/markets/ipos/fpos/csb-bank-opens-today-heres-what-you-need-to-know/articleshow/72177400.cms">reports</a>, the promoter’s shareholding in the company will come down to 49.7% from 50.1%. "While CSB Bank has a long operating history as a traditional bank, it is currently focusing on implementation of strategic changes in its business model to function efficiently as a full service new age private sector bank backed by its new marquee investor, Canadian billionaire Prem Watsa's Fairfax India Holdings Corporation," <a href="https://www.livemint.com/market/commodities/csb-bank-catholic-syrian-bank-ipo-listing-allotment-date-subscription-recommendations-11574390795820.html">HDFC Securities said</a>. Gold loans are a major part of CSB’s business, and made up for 33.17% of its total advances as of September 2019. CSB Bank is one of the oldest private sector banks in India. It has a strong base in Kerala along with presence in Tamil Nadu, Karnataka, and Maharashtra. It has a total of 414 branches across 16 states and over 1.3 million customers with a focus on SME, retail, and NRI customers. In June 2019, the bank changed its name from Catholic Syrian Bank to CSB Bank. “We are in the process of rebranding ourselves to CSB Bank Limited to address region and community related perceptual issues associated with our previous brand name,” the bank said on its website.

With the shares of the bank going for subscription, the investors are keen to know how to check the <keyword id="45961" type="PERSON" weightage="20" keywordseo="Balance-Sheet">balance sheet</keyword> of Catholic Syrian Bank and how the bank is performing in terms of its annual profits and losses. About Catholic Syrian Bank CSB has its strong roots in Kerala and enjoys a considerable presence in the southern states of India including Tamil Nadu, Karnataka and Maharashtra. The main focus of CSB is on retail, SME and NRI customers. The customer base of the bank is around 13 lakh. Though the bank is doing reasonably well which justifies buying its shares, one downside investors note about this bank is its regional concentration in South India. CSB and its IPO The IPO of the CSB is open for the public from November 22, 2019. The subscriptions will be closed on November 26, 2019. The bank has proposed to sell 2,10,21,821 shares within the price band of Rs 193-195. The present decision of the bank will put about 1.98 crore shares for sale and the remaining will be offered through fresh equity. The bank aims to mobilize around Rs 409 crore via the issue. The bank has designated three fourths of the shares under offer for QIBs (qualified institutional buyers) while around 15 per cent shares will be allotted for non-institutional investors. The remaining shares will be available for purchase by retail subscribers. Following the IPO, the promoter shareholding in the company will come down to 49.7 percent from the present 50.1 per cent. Summary of the balance sheet of CSB CSB reported a total income of Rs 1,617.50 crore in FY17, Rs 1,422.27 crore in FY18, and Rs 1,483.43 crore in FY19. The bank sustained a net loss of Rs 57.99 crore, Rs 127.09 crore and Rs 65.69 crore, in these three financial years respectively. For the first half of FY 20, CSB reports a total income of Rs 816.71 crore with a profit of Rs 44.27 crore. Though the return on net worth of CSB from FY17 to FY19 was not that encouraging, the bank reported an EPS of Rs 3.86 for the first half of FY20. Final word Market experts say that the issue has been priced aggressively. Brokerage firms say that CSB performed well during the first phase of its transformation during the past two years. However, during the second phase of the developments wherein the bank has to focus on its growth will be really challenging. New Delhi, Nov 21 () Kerala-based lender CSB Bank on Thursday raised Rs 184 crore from anchor investors, ahead of its initial share sale commencing on Friday.
CSB Bank, which aims to raise up to Rs 410 crore, has fixed a price of Rs 193-195 per share for the initial public offer.
According to a regulatory filing, CSB Bank has finalised the allocation of 94,54,080 shares at Rs 195 apiece to 24 anchor investors, including five mutual funds. Based on the price, the total proceeds would be little over Rs 184 crore.
Omers Administration Corporation OAC Custody Account (SCV6), ICICI Prudential MF, SBI MF, Aditya Birla Sun Life Trustee, Axis MF, Sundaram MF, HSBC and Ashoka India Opportunities Fund are among the anchor investors.
The shares are being sold to anchor investors at the upper end of the IPO price band of Rs 195 apiece.
CSB Bank's offer involves a fresh issue of shares to raise up to Rs 24 crore and an Offer For Sale of 1.97 crore scrips by existing investors. The latter would be worth around Rs 385 crore.
The share sale would be open from November 22 to 26.
On November 19, the bank's Managing Director and Chief Executive C V R Rajendran said its promoter entity Fairfax India Holdings Corporation's stake would go down to 49.73 per cent from 50.09 per cent.
The promoter entity, which acquired 51 per cent in the bank in February, has five years to reduce holding to 40 per cent and 15 years to go down to 15 per cent in compliance with the RBI requirements.
As part of the same requirements, it had to list by September 2019 and some procedural aspects resulted in a marginal delay, he had said. RAM BAL

CSB Bank mops up Rs 184 cr from anchor investors

Mumbai, Dec 26 () Reflecting the woes of the broader economy, fund raising through IPOs plunged to a low Rs 12,362 crore in 2019, down a full 60 per cent from 2018 when the street mopped up Rs 30,959 crore. 
The outgoing year saw only 16 initial public offerings (IPOs) as against 24 in 2018, show the data collated by the premier database on the capital market Prime Database.
 That the economy is in bad shape -- Q2 GDP has come in at near seven-year-low of 4.5 per cent and there is no sign of any improvement going forward -- is clear from the fact that as many 47 companies who got Sebi nod to raise over Rs 51,000 crore through IPOs allowed their same to lapse.
 However, driven by offer-for-sale and qualified institutional placements, the street saw 28 per cent growth in overall fund raising at Rs 81,174 crore in 2019, against Rs 63,651 crore in 2018 but this is 49 per cent lower than the all-time high of Rs 1,60,032 crore raised in 2017, says Pranav Haldea, managing director at Prime Database Group.
 The year 2017 saw 36 IPOs mopping up Rs 67,147 crore, while 2016 saw 26 issues collecting Rs 26,494 crore and Rs 13,614 being raised in 2015 through 15 issues and 2014 being the worst at Rs 1,201 crore from five IPOs, show the data.
 The largest IPO in 2019 was from Sterling &amp; Wilson Solar which raised Rs 2,850 crore, while the average issue size was Rs 773 crore.
Only three of the 16 IPOs that hit the market had a prior PE/VC investment, a notable change from previous years. OFS by such PE/VC investors stood to Rs 803 crore, accounting for just 6 per cent of IPO amount. OFS by promoters at stood at Rs 7,513 crore, or 61 per cent of total IPO amount.
 Seven IPOs got mega responses of over 10 times (IRCTC at 109 times followed by Ujjivan Small Finance Bank 100 times), CSB Bank 48 times, Affle 48 times, Polycab 36 times, Neogen Chemicals 29 times and Indiamart Intermesh 20 times), one issue was oversubscribed by over three times, the balance seven were oversubscribed between one and three times.
 But from the listing side, the year was good with IPOs with strong debut trade. Of the 15 IPOs which got listed, seven gave a return of over 10 per cent, based on closing price on listing date. IRCTC gave a stupendous return of 128 per cent, followed by CSB Bank (54 per cent), Ujjivan (51 per cent), Indiamart Intermesh (34 per cent), Neogen Chemicals (23 per cent), Polycab (22 per cent) and Affle (17 per cent). 
 Significantly, unlike in previous years, only two IPO stocks are trading below the issue price now with the rest 13 stocks trading between 21 per cent and 170 per cent above the issue price as of December 23. 
 For the first time since the SME platform started five years ago, the IPO activity declined in 2019 as there were only 50 SME IPOs in the year collecting a paltry Rs 621 crore as against 141 issues in 2018 worth Rs 2,287 crore and 133 issues in 2017 raising Rs 1,679 crore and 67 issues raising Rs 537 in 2016 and 43 issues raising Rs 260 in 2015 and 40 IPOs collecting Rs 267 crore in 2014.
 The OFS to dilute the promoters' holding saw a huge increase from Rs 10,672 crore raised in 2018 to Rs 25,811 crore in 2019. Of this, government divestment accounted for Rs 5,871 crore or 23 per cent of the total led by it diluting its stake in Axis Bank in February worth Rs 5,358 crore, followed by SBI Life (Rs 3,524 crore) and HDFC Life (Rs 3,366 crore). 
 OFS accounted for 32 per cent of the total public equity markets amount in the year.
 The street saw 11 companies mobilizing Rs 35,238 crore through QIPs, which is 112 per cent more than Rs 16,587 crore raised in 2018. The largest QIP of 2019 was from Axis Bank raising Rs 12,500 crore, accounting for 35 per cent of the total QIP amount. QIPs were dominated by banks, NBFCs and realty companies accounting for 87 per cent (Rs 30,688 crore) of the overall amount.
 InvITs/ReITs also saw good traction with the year seeing the first ever ReIT listing by Embassy Office Parks raising Rs 3,874 crore. The overall amount raised through InvITs and ReITs was 127 percent more than in previous year.
 Of the total Rs 81,171 crore, fresh capital was Rs 45,937 crore or 57 percent and the remaining Rs. 35,234 crore being offers for sale.
But the year was bad for divestments as against the budgeted Rs 1,05,000 crore on Rs 17,744 crore or 17 percent has been achieved till date.
 According to Haldea, the IPO pipeline continues to remain strong with 21 companies holding Sebi approval to raise Rs 18,700 crore and another 13 wanting to Sebi not to raise Rs 18,000 crore. BEN MR

Fund raising via IPOs plunge 60% in 2019 as economy sputters

New Delhi, Jan 16 () Indian companies raised USD 0.34 billion (Rs 2,400 crore) through 12 initial public offers in the fourth quarter of 2019, with the domestic stock exchanges being ranked seventh globally in terms of number of IPOs, according to a report.
Overall in 2019, 62 IPOs came in with total mop up of USD 2.53 billion (Rs 17,899 crore), a decrease of 62 per cent in volume and 54 per cent fall in terms of proceeds, EY India IPO Trends Report: Q4 2019, said on Thursday.
Consumer products and retail sector was the most active with four IPOs, followed by banking and capital markets with three such offers and diversified industrial products with two public offers, it said.
"India recorded 12 IPOs (USD 0.34 billion proceeds) in the fourth quarter of 2019," the report noted.
In the main market, there were four IPOs in Q4 2019 against two and six in Q4 2018 and Q3 2019, respectively, it added.
However, with the cuts in corporate tax rates, corporate earnings are expected to increase, the EY India report said.
"The government has already announced stimulus packages for automobile, real estate, telecom and financial services sectors, which may help companies achieve growth. In addition, there has been an increased inflow from foreign portfolio investors (FPIs)," it added.
In the SME markets, there were eight IPOs in Q4 2019 as against 32 and nine in Q4 2018 and Q3 2019, respectively.
In Q4 2019, SBI Cards and Payment Services filed for an IPO with an issue size of approximately USD 1.3 billion. Filing for such an issue size is a positive indication of investors appetite for new issues in the capital market, the report said.
It further added that other successful filings include - Indian Railway Catering and Tourism Corporation Limited (IRCTC) and CSB Bank.
Sandip Khetan, Partner and National Leader, Financial Accounting Advisory Services (FAAS), EY India said, "We anticipate the IPO market to pick up this year with the government expected to announce measures in the upcoming budget to address the economic slowdown. Overall, markets are expected to remain volatile, and companies and investors who have adopted a 'wait and watch' policy need to be prepared to take the leap of opportunity in 2020".
Globaly, in Q4 2019 there were 353 IPOs with proceeds of USD 84.5 billion, which was 5 per cent lower in deal volume and 53 per cent higher by proceeds compared to Q4 2018. SUM
