Insurance Regulatory and Development Authority of India (Irdai) on Friday gave in-principle approval for the merger of Bharti AXA General with ICICI Lombard. ICICI Lombard is progressing applications for receipt of requisite approvals from other concerned regulators for the transaction, the <keyword id="72287" type="ORGANIZATION" weightage="20" keywordseo="Insurance-company">insurance company</keyword> said in a regulatory filing. Upon closing of the proposed transaction, the consolidated entity will have a market share of about 8.7 per cent on a pro forma basis in the non-life business, it added. The proposed transaction is expected to result in value creation for all stakeholders through meaningful revenue and operational synergies, it said. "Further, policyholders should benefit from an enhanced product suite and deeper customer connect touchpoints," the company said, adding the employees of the combined business will also benefit via greater opportunities across functions and geographies. Marking a major consolidation move in the insurance space, the proposed deal was announced in August this year. Bharti Enterprises currently owns 51 per cent stake in <keyword id="161879" type="COMPANY" weightage="20" keywordseo="Bharti-AXA-General-Insurance">Bharti AXA General Insurance</keyword>, while French insurer AXA has 49 per cent. Post demerger, Bharti AXA General Insurance will cease to be a going concern and both Bharti and AXA will be public shareholders. Earlier this month, the Competition Commission of India (CCI) had approved the acquisition of Bharti AXA General Insurance by ICICI Lombard. BSE Limited and the National Stock Exchange of India Limited too have issued the Observation Letters in this regard. Insurance regulatory IRDAI gives in-principle approval for Bharti AXA-ICICI Lombard merger deal

<keyword id="6437381" type="General" weightage="20" keywordseo="icici-lombard" source="Orion">ICICI Lombard</keyword> General Insurance Company on Friday said sectoral regulator <keyword id="635172" type="General" weightage="20" keywordseo="irdai" source="Orion">Irdai</keyword> has given its final approval for the demerger of the general insurance business of <keyword id="161879" type="General" weightage="20" keywordseo="bharti-axa-general-insurance" source="Orion">Bharti AXA General Insurance</keyword> to itself by way of a scheme of arrangement. "In this regard, the company on September 3, 2021 has received a letter from Irdai granting final approval to the proposed scheme," ICICI Lombard said in a regulatory filing. The appointed date for the scheme was April 1, 2020. "The demerger and transfer of general insurance business, as envisaged in the scheme, shall be effective within 3 days from the date of the final approval," said the insurer. Further, it said the Insurance Regulatory and Development Authority of India (Irdai) has also granted approval to ICICI Bank for bringing down its stake in ICICI Lombard to 30 per cent, subject to compliance with the Insurance Act, 1938 and applicable regulations. Irdai, in its order, said it grants final approval for demerger of general insurance business of Bharti AXA General Insurance Co Ltd to ICICI Lombard General Insurance Co Ltd by way of scheme of arrangement. Last year, ICICI Lombard entered into a definitive agreement to acquire Bharti Enterprises-promoted Bharti AXA General Insurance in an all-stock transaction. Based on the share exchange ratio recommended by independent valuers and accepted by the boards of the two companies, the shareholders of Bharti AXA shall receive two shares of ICICI Lombard for every 115 shares of Bharti AXA held by them. Bharti Enterprises currently owns 51 per cent stake in Bharti AXA General Insurance, while French insurer AXA has 49 per cent. ICICI Lombard gets final approval to acquire Bharti AXA

Chennai, Aug 22 (IANS) In a share swap deal, non-life insurer ICICI Lombard General Insurance Company will acquire the business of Bharti AXA General Insurance Company Ltd. In a regulatory filing late Friday, ICICI Lombard said the boards of the two companies -- ICICI Lombard and Bharti AXA General -- had met on Friday and approved entering into definitive agreements for demerger of Bharti AXA's non-life insurance business into ICICI Lombard through a Scheme of Arrangement. According to ICICI Lombard, the shareholders of Bharti AXA General will receive two shares of ICICI Lombard for every 115 shares of Bharti AXA General held by them as on the date on which the Scheme of Arrangement is approved by the Board of Directors of the two companies. The share exchange ratio was recommended by independent valuers and accepted by the boards of the two companies, ICICI Lombard said. Under the terms of the agreement, AXA and Bharti will receive a total of 35.8 million shares of ICICI Lombard on closing, which would represent 521 million euros, at current market value - the closing price of ICICI Lombard shares on August 21, AXA said in a statement. According to ICICI Lombard, the proposed transaction would enable it to consolidate its market and become the third largest non-life insurer in the country with a market share of about 8.7 per cent. As a result of the deal, ICICI Lombard shall be able to augment its distribution strength with Bharti AXA General's existing distribution partnerships. Employees of the combined business will also benefit via greater opportunities across functions and geographies, ICICI Lombard said. The closing of the proposed transaction is subject to various conditions, including regulatory approvals from the Insurance Regulatory and Development Authority of India, Competition Commission of India, The Securities and Exchange Board of India, Stock Exchanges, Reserve Bank of India, National Company Law Tribunal and approval of shareholders of both ICICI Lombard and Bharti AXA General, amongst others. "This is a landmark step in the journey of ICICI Lombard and we are confident that this transaction would be value accretive for our shareholders. According to ICICI Lombard, the Implementation Agreement contains customary terms for a transaction of this nature, including representations, warranties, indemnities and non-compete covenants from the relevant parties. Post deal, the promoter holding in ICICI Lombard will be 48.11 per cent and public will be 51.89 per cent. Both Bharti and AXA will be public shareholders. In a communication to colleagues, Bharti AXA General's MD &amp; CEO Sanjeev Srinivasan said once the regulatory approvals are obtained, an interim committee with representation from both the companies will be set up for successful completion and transition of the business. The most recent common ancestor of sarbecoviruses — the family of coronaviruses to which <keyword id="10165733" type="General" weightage="20" keywordseo="sars-cov" source="Orion">SARS-CoV</keyword> belongs — existed more than 21,000 years ago, nearly 30 times older than previous estimates, finds a study. The study, published in the journal <keyword id="109074" type="General" weightage="20" keywordseo="current-biology" source="Orion">Current Biology</keyword>, showed that humanity may have been exposed to sarbecoviruses — which has the potential to jump from animals to humans — since the Paleolithic period — roughly 2.5 million years ago to 10,000 BC. Despite having a very rapid rate of evolution over short timescales, to survive, viruses must remain highly adapted to their hosts — this imposes severe restrictions on their freedom to accumulate mutations without reducing their fitness. This causes the apparent rate of evolution of viruses to slow down over time. The new research, for the first time, successfully recreates the patterns of this observed rate decay in viruses. The researchers developed a new method that can recover the age of viruses over longer timescales and correct for a kind of 'evolutionary relativity," where the apparent rate of evolution depends on the timescale of measurement. "Our estimate based on viral sequence data, of more than 21,000 years ago, is in remarkable concordance with a recent analysis on human genomic dataset that suggests infection with an ancient coronavirus around the same time," said Mahan Ghafari, from <keyword id="30725" type="General" weightage="20" keywordseo="oxford-university" source="Orion">Oxford University</keyword>. The study also demonstrates that while existing evolutionary models have often failed to measure the divergence between virus species over periods — from a few hundred to a few thousands of years — the evolutionary framework developed in this study will enable the reliable estimation of virus divergence across vast timescales, potentially over the entire course of animal and plant evolution. Besides SARS-CoV-2, The new model also enables reconstructing the evolutionary history of RNA and DNA viruses during more remote periods in the past. The model predictions for hepatitis C virus — a leading global cause of liver disease — are consistent with the idea that it has circulated for nearly a half a million years. HCV may thus have spread worldwide as an intrinsic part of the "Out-of-Africa" migration of modern humans around 150,000 years ago. The different genotypes of HCV indigenous to human populations in South and South-East Asia and Central Africa may have originated over this prolonged period and this revised timescale may resolve the longstanding riddle of their global distributions. Atal Pension Yojana has emerged as the most popular social security scheme under the <keyword id="475509" type="General" weightage="20" keywordseo="National-Pension-System" source="Orion">National Pension System</keyword> with over 2.8 crore subscribers, mainly from the non-metro centres. Out of 4.2 crore National Pension System (NPS) subscribers, over 66 percent or 2.8 crore opted for the APY at the end of 2020-21, says the annual report of the <keyword id="1643438" type="General" weightage="20" keywordseo="National-Pension-Systems-Trust" source="Orion">National Pension Systems Trust</keyword> (<keyword id="573064" type="General" weightage="20" keywordseo="NPS-Trust" source="Orion">NPS Trust</keyword>). The <keyword id="51011" type="General" weightage="20" keywordseo="state-government" source="Orion">State Government</keyword> Scheme ranks second with 11 per cent share, while the central autonomous bodies (CAB) continued to account for the least number of subscribers of NPS with a share of 1 per cent, followed by state autonomous bodies (SAB) with a share of 2 per cent. "APY is the most subscribed plan among non-metro subscribers. This also reflects the demographic pattern in the country, where more unorganized population segments reside in the non metros, thus accessing the NPS self-initiated plan," the report said. Total assets under management (AUM) for the National Pension System schemes saw a year-on-year growth of over 38 per cent, and stood at Rs 5.78 lakh crore at the end of the year, the report said, adding as of fiscal 2021, NPS had 4.2 crore registered users or popularly known as subscribers. The National Pension System is a defined contribution retirement savings scheme administered and regulated by <keyword id="137211" type="General" weightage="20" keywordseo="pension-fund-regulatory-and-development-authority" source="Orion">Pension Fund Regulatory and Development Authority</keyword> (PFRDA). APY also dominated in terms of growth rate of the subscriber base, with a gain of 33 per cent on-year in fiscal year ending March 2021, followed by the all-citizen model (32 per cent). The Atal Pension Yojana was launched by the Government of India in May 2015. This scheme is open to all citizens who are in the age group of 18-40 years. Under the scheme, a subscriber would receive a guaranteed pension of Rs 1,000 to Rs 5,000 per month after attaining the age of 60 years, depending upon his contributions. After the death of the subscribers, same pension amount would be paid to his or her spouse. On the demise of both subscriber and spouse, the accumulated pension wealth of the subscriber would be returned to the nominee. Non-metros hade 3.77 crore subscribers or about 89 per cent of the total 4.24 crore NPS subscribers. "Non-metros subscribers have grown by 72.34 lakh in fiscal 2021 (growth of 24 per cent over one-year) compared with metros subscribers which have grown by 4.87 lakh to 35.78 lakh in fiscal 2021 (growth of 16 per cent over one-year)," it said. The report said that age-wise analysis of NPS subscribers show that about 85 per cent were in the 18-40-year age bracket, a jump of 200 basis points (bps) from their share in fiscal 2019-20. Within this young subscriber base, the 18-25-age group represented the largest share at 30 per cent. There were 2.47 crore male subscribers as of end-fiscal 2021, up from 2.02 crore and 1.61 crore, respectively, in fiscals 2020 and 2019. Female subscribers totaled 1.77 crore in fiscal 2021 up from 1.43 crore and 1.12 crore, respectively in fiscals 2020 and 2019. Though the male subscriber continues to dominate the overall subscriber base, female subscriber grew at faster pace at 24 per cent in 2020-21 and 28 per cent in 2019-20 compared to 22 per cent and 25 per cent for males in the respective periods. National Pension System Trust was established by PFRDA as per the provisions of the Indian Trusts Act of 1882 for taking care of the assets and funds under the NPS in the best interest of the subscribers. The US regulators have given full approval for the antiviral drug remdesivir to treat COVID-19 patients in hospitals. The US Food and Drug Administration (FDA) said Veklury, the drug's brand name, cut the recovery time on average by five days during clinical trials. HDFC AMC HDFC Asset Management Company has appointed KPMG as the internal auditor with immediate effect after Gautam Chandra, HDFC AMC’s former internal audit head resigned. The company also reported a 8% decline in profit after tax at ₹338.06 crore for the quarter ended September 30. The shares of HDFC AMC ended 1% higher on Thursday. Biocon Kiran Mazumdar-Shaw led biopharmaceutical company, Biocon reported a 23.8% drop in its net profit to ₹200.40 crore. This is despite 11.33% growth in its total revenue to ₹1,744.80 crore. The shares of Biocon ended 2.3% higher on Thursday. Avenue Supermarts and Cochin Shipyard The founder of Avenue Supermarts, Radhakishan Damani bought 0.5% equity stake in India’s largest shipbuilding and maintenance company, Cochin Shipyard for ₹394.14 per share. The shares of Avenue Supermarts and Cochin Shipyard ended 2% and 9% higher on Thursday, respectively. Bharti Infratel Telecom infrastructure firm Bharti Airtel on Thursday posted a 24% drop in consolidated net profit to ₹733 crore for the quarter ended September 30. The overall revenue grew by about 2% to ₹3,695 crore during the reported quarter, the company said. The shares of Bharti Infratel ended 2% higher on Thursday.
