The <keyword id="6355014" type="General" weightage="20" keywordseo="delhi-high-court" source="Orion">Delhi High Court</keyword> on Thursday refused to stay at this stage an investigation against BharatPe co-founder <keyword id="2988161" type="General" weightage="100" keywordseo="ashneer-grover" source="Orion">Ashneer Grover</keyword> and his wife <keyword id="10739150" type="General" weightage="20" keywordseo="madhuri-jain" source="Orion">Madhuri Jain</keyword> Grover in a case of an alleged Rs 81 crore fraud based on a complaint by the fintech unicorn. Justice Anup Jairam Bhambhani also declined to direct the investigating officer to give advance notice to the duo if he wanted their custody and asked them to file an anticipatory bail instead. The judge issued notice on the petition by Grover and his wife seeking to quash the FIR registered by the Economic Offences Wing (EOW) of the Delhi Police and asked the investigating agency as well as complainant BharatPe to state their stand. The court issued notice on the application for a stay of investigation as well. "No case is made out at least at this stage for staying investigation in the matter. So far as advance written notice of arrest is concerned, petitioners are at liberty to adopt other remedies available to them in accordance with law," the court said. "File section 438 (of CrPC for anticipatory bail). Why should I get into my inherent power when there is a statutory power," the court stated. Counsel for the petitioners contended that the FIR was based on malafides and the allegations pertaining to matters relating to GST and management of the company, which they were anyway entitled to do as directors and they disclose no criminality. It was said that the petitioners were involved in nurturing the company into a multi-crore entity and no fraud was reported by the statutory auditors. Senior advocates Vikas Pahwa and Dayan Krishnan appeared for the complainant and opposed issuance of notice on the petition. They argued that the matter involved complex financial transactions which resulted in the defalcation of funds and the petitioners availed input tax credit under GST law with respect to bogus transactions and indulged in siphoning off funds and forged certain documents. The EOW registered the FIR earlier this year under eight sections of the Indian Penal Code, including 406 which deals with criminal breach of trust, 420 (cheating and dishonesty), 467 and 468 (forgery). BharatPe, in the complaint, alleged that Ashneer Grover and his family caused damages of about Rs 81.3 crore through illegitimate payments to bogus human resource consultants, inflated and undue payments through passthrough vendors connected to the accused, sham transactions in input tax credit and payment of penalty to GST authorities, illegal payment to travel agencies, forged invoices by Madhuri Jain and destruction of evidence. Madhuri Jain was the head of controls at BharatPe and was fired in 2022 after a forensic audit revealed several irregularities. Subsequently, Ashneer Grover resigned as CEO in March 2022. The matter would be heard next on September 25. No stay on investigation against Ashneer Grover and wife in BharatPe fraud case

<ul><li>Finance Minister <keyword id="129243" type="PERSON" weightage="20" keywordseo="Nirmala-Sitharaman">Nirmala Sitharaman</keyword> gave a five-year tax holiday on <keyword id="173739" type="PERSON" weightage="20" keywordseo="Esops">ESOPs</keyword>. </li><li>But it would be applicable to startups registered under section 80-IAC of Income Tax Act with the Inter-Ministerial Board set up for startups – which is currently less than 200. </li><li>Startups also want that the only condition for ESOP taxation should be the date of sale, and not when the employee exits the company or five years after the shares were exercised. </li></ul>The Indian startup ecosystem welcomed the government’s decision to give a five-year tax holiday on Employee Stock Ownership Plans. But it seems that founders jumped in joy, without realising that it affects merely 200 out of the 50,000 startups in the country. During the Budget speech, Finance Minister Nirmala Sitharaman said that ESOPs will now be taxable when the employee sells the shares or exits the company or five years after the shares were exercised, whichever is earliest. However, there’s a catch. Startups are also worried about the confusion the conditions of ESOPs will bring about. “It would have been better if ESOPs entry tax was simply at exit, because the liability is deferred by 5 years, not eliminated,” said Jain. The exit clause It could mean that employees who quit the company before five years, might have to shell out tax during the time of the exit. As startup valuations go through a rollercoaster ride, an exiting employee might end up paying much more than the value that they will accrue later. “For instance, if an employee exercises shares and holds them and the sale event does not take place in the 48 month period, the employee will be liable to start paying taxes on paper gain in value of shares. Startup valuation is subject to change and in case the value of the shares goes down in future or the startup shuts down, the employee would have already paid taxes,” explained <keyword id="6379818" type="PERSON" weightage="20" keywordseo="localcircles">LocalCircles</keyword>, a social media platform startup in an open letter it wrote to the government. Also if an employee leaves a startup to join another after five years, they either have to exercise and pay taxes on their shareholding of the first startup and hold those shares; or simply leave their vested shares. Less than 200 startups can gain Added to that, with the current restrictions, less than a 100 startups in India can avail of the benefit. It was also specified that the exemption will be applicable to startups registered under section 80-IAC of Income Tax Act with the Inter-Ministerial Board set up for startups. To be recognised under the IMB, a DPIIT recognised startup has to meet the following conditions: <ul><li>It has to be a private limited company or a limited liability partnership,</li><li>It must have been incorporated on or after 1st April 2016 but before 1st April 2021</li></ul>This rules out 99.5% of Indian startups who can avail of the benefit. And others too are cognizant of this issue. “This benefit is currently available only to the 200 odd IMB registered startups, thus it is best that all startups who intend to issue ESOPs get an IMB certificate,” said <keyword id="277512" type="PERSON" weightage="20" keywordseo="Anup-Jain">Anup Jain</keyword>, Managing Partner, Orios Venture Partners. India currently has approximately 50,000 startups. The main call from the startup community is that it should be applicable to all DPIIT registered startups. “The relaxation for ESOP taxation was welcome but linking it to Sec 80-IAC makes it meaningless as it impacts only a 100 odd startups. We had requested for this to apply to all DPIIT registered startups. I do hope they correct that urgently,” said <keyword id="164917" type="PERSON" weightage="20" keywordseo="Saurabh-Srivastava">Saurabh Srivastava</keyword>, Chairman, Indian Angel Network. LocalCircles has recommended the Finance Ministry to rework its offering to startups. It has requested that ESOP taxed at date of sale should be extended to all DPIIT recognized startups and the criteria for ESOP taxation should be simply the date of sale and the other two conditions should be removed.

E-commerce boom to linger With the coronavirus pandemic, offline retail was hit in a big way, which also led to India's e-commerce firms' boom along with grocery retail, which saw their numbers multiply. From Amazon and Flipkart seeing the number of sellers grow on their platform to JioMart, BigBasket, Grofers, saw their average order volumes and app downloads grow during the pandemic. This e-commerce boom will continue to linger in the new year, believe VCs. The durable shift to online has gone well beyond just the top 50 million users, and all incumbents brands have embraced it and are providing a good experience. The sector will keep expanding, and new retail (formats+omnichannel), Social commerce, warehousing, etc should see innovation," said Deepak Gupta, Founding Partner, WEH Ventures. Within e-commerce, Direct to Consumer or DTC brands that sell directly from their websites saw massive growth in 2020. And that has seen investor appetite also grow, with brands like boAt raising over $100 million in funding already in 2021. SaaS to ride on the benefit of digitization One of India’s best performing bets has been in the SaaS (Software as a Service) sector with unicorns like Freshworks, Zoho, Druva, Zenoti, Icertis. And experts believe that the offerings in SaaS are far from over. “We expect adoption of SaaS (software-as-a-service) products to become more widespread as people realized the benefits of digitization during the COVID 19 pandemic. A survey by Indeed says that 64% of Indian businesses are pivoting in response to pandemic. And investors who are all on board and helping out their portfolio companies deal with the crisis, have sent out a clear message - pivot if your idea doesn’t fit the bill. “Founders have been asked to tweak their business plans to ensure sufficient cash buffers due to lower than projected sales growth and slowdown in the funding environment. Portfolio companies as well as investors are conscious of the fact that implementing work from home policies may slow down their turnaround time, but these policies are essential to ensure that team morale and health are not affected over the course of the next few weeks,” Venkat Vallabhaneni, managing partner at Inflexor Ventures told Business Insider. Cashburn is not an option anymore Most of the sectors except for food, e-commerce and edtech have been severely affected. Many of them are seeing zero revenue right now. Even if they have revenue, they have no supply chain or the ability to deliver. Keeping this in mind, entrepreneurs will have to face the bitter truth – they might have to let go of some employees too. Vani Kola, managing director of Kalaari Capital told Business Insider in an earlier interview that this is a kind of planning no one has ever thought of or prepared for. “So it’s just a question of runway and cash flow and ability to keep their lights on and pay their employees. Many countries are caught in this vulnerable situation. Though their underlined business premise may still be true, it may take capacity to stay in the market for 6-9 months with severely reduced revenues and not every startup has that kind of a cash cushion to be able to ride the market,” she said. Investors are hopeful for ‘business as usual’ to return soon Investors are taking this time to extend their resources and expertise to founders. But many are also taking advantage of their backup support to help startups. Anup Jain, managing partner, Orios Venture Partners believes that investments could be delayed because the due diligence process requires boots on the ground from teams across the investment firms. “Having said that, we do not think that there will be an investment slowdown at the seed stage in this current situation, unless we see the spread grow further. We are facilitating back up support to our portfolio in case there is a funding holdup from an incoming investor at Series A,” said Jain. For some, work goes on as business as usual. Mumbai-based early stage fund house Unicorn India Ventures has announced the first close of its 2nd equity fund at $12 million. The second equity fund of $53 million was announced last year. “The investment would happen as it is, just the deal size and <keyword id="51393" type="PERSON" weightage="20" keywordseo="valuation">valuation</keyword> may see some correction. The government is ready to have a discussion and clear every doubt. There should be strict action against those who have indulged in violence. Violence is not the identity of Delhi." 2:00 PM Fresh violence erupted in some parts of northeast Delhi after an overnight lull. Several incidents of violence and stone pelting reported from interiors of localities such as Jaffarabad, Brahmapuri which adjoining Maujpur. At Jaffarabad metro station, a large number of people were seen carrying tri-colour and sticks in hands. The protestors tried to break the CCTV cameras installed alongside the roads. 1:55 PM The Delhi High Court agreed to hear a petition seeking independent judicial inquiry, compensation for the deceased and arrest of political leaders for inciting violence in Delhi's north-east area, today (Feb 25). A Division Bench of Justices Anup Jairam Bhambhani and G.S. Sistani has listed the matter for tomorrow (Feb 26). 12:55 PM "This is Delhi's issue and all political parties will work towards ensuring that peace prevails in the national capital.  12:00 PM As protests rage on in Delhi over opposing factions over Citizenship Amendment Act, a high level urgent meeting was convened in the national capital to discuss the events. Union Home Minister Amit Shah met representatives of different political parties including Delhi Chief Minister Arvind Kejriwal to appraise them on the status of violence caused by the protests. As many as seven people died in the violence in which also includes a police head constable. The number of injured also rose to 150 as of 12:45 today. The protests which took a new turn late Saturday (Feb 22) in the Maujpur area and raged on as pro and anti CAA clashed with each other. It was reported that some used guns, other pelted stones and some even tried to set a petrol pump on fire. All of North-eastern Delhi remained tense as Section 144 was imposed in the areas of Maujpur, Kardampuri, <keyword id="3354144" type="PERSON" weightage="20" keywordseo="Chand-Bagh">Chand Bagh</keyword> and Dayalpur.areas on Monday. However, the riots and protests went on through Monday night showing little indications of cooling off. On the contrary, the number of deaths, injured and civic complaints to the fire department is swelling by the hour.
