Adani Enterprises sets up a wholly-owned media arm

New Delhi, <keyword id="20085273" type="General" weightage="20" keywordseo="billionaire-gautam-adani" source="keywords">Billionaire Gautam Adani</keyword>'s group has raised its stake in IANS <keyword id="19895063" type="General" weightage="20" keywordseo="india" source="keywords">India</keyword> Pvt Ltd to take full control of the news agency as it consolidates its media presence. <keyword id="19955648" type="General" weightage="20" keywordseo="adani-group" source="keywords">Adani Group</keyword> had last month picked up a 50.50 per cent stake in IANS and now it has raised the shareholding to 76 per cent with voting rights and to 99.26 per cent without voting rights, according to a regulatory filing. The cash outgo is Rs 5 crore, it said. "In continuation to our earlier intimation dated December 15, 2023, we would like to inform that AMG Media Networks Ltd (<keyword id="20224023" type="General" weightage="20" keywordseo="amnl" source="keywords">AMNL</keyword>), a wholly-owned subsidiary of the company has increased its stake in IANS India Private Limited, by subscribing to fresh shares issued by IANS," Adani Enterprises Ltd - the group's flagship firm - said in the filing. The allotment of the shares was approved by the board of IANS at its meeting held on January 16, 2024, it said. Adani Group had on December 15 last year acquired 50.50 per cent stake in IANS for an undisclosed sum of money. It has now acquired an additional 25.50 per cent equity shares, taking total stake with voting rights to 76 per cent. It has acquired additional 48.76 per cent equity shares to take stake without voting rights to 99.26 per cent, it said. IANS has an authorised share capital of Rs 11 crore, and a revenue of Rs 11.86 crore in FY23. "IANS is a subsidiary of AMNL," the filing said. "The acquisition is of strategic nature in the interest of AMNL." Adani forayed into media business in March last year when it acquired <keyword id="20224024" type="General" weightage="20" keywordseo="quintillion-business-media" source="keywords">Quintillion Business Media</keyword>, which operates business and financial news digital media platform BQ Prime. It thereafter in December took nearly 65 per cent stake in broadcaster NDTV. AMNL was the vehicle for these acquisitions as well. A first-generation entrepreneur, Adani started off as a commodities trader in 1988 and expanded his business interests to become India's largest private player in infrastructure, with 13 ports and eight airports. Over the years it diversified into producing coal, energy distribution, data centres and more recently into cement and copper. It even bid and acquired 5G telecom spectrum to set up a private network.

According to an update on Sebi's website on Monday, the regulator gave its final comments on the proposed Rs 492.81 crore-open offer on November 7. The offer will tentatively open on November 22 and close on December 5. The price fixed is Rs 294 per share, as per a recent regulatory filing by NDTV. The conglomerate, run by India's richest man <keyword id="111343" type="General" weightage="50" keywordseo="gautam-adani" source="Orion">Gautam Adani</keyword>, in August acquired a little-known company that lent over Rs 400 crore to NDTV's founders more than a decade ago in exchange for warrants that allowed the company to acquire a stake of 29.18 per cent in the newsgroup at any time. Post that, Vishvapradhan Commercial Pvt Ltd (VCPL) - the firm that <keyword id="76451" type="General" weightage="80" keywordseo="adani" source="Orion">Adani</keyword> group bought out - announced that it would launch an open offer on October 17 to buy an additional 26 per cent stake from minority shareholders of NDTV. However, the offer was delayed since Sebi had not given its approval to the open offer. VCPL along with AMG Media Networks and Adani Enterprises Ltd had proposed to acquire an additional 26 per cent or 1.67 crore equity shares at an offer price of Rs 294 per share. If fully subscribed, the open offer will amount to Rs 492.81 crore at a price of Rs 294 per share. "The decision to acquire NDTV was arrived at in furtherance of the Adani Group's objective to set up a credible next-generation media platform with an emphasis on digital and broadcast segments, and that NDTV is a suitable broadcast and digital platform to deliver on this vision," Adani Enterprises said in a regulatory filing in October. On Monday, shares of NDTV closed 1.99 per cent higher at Rs 365.85 on BSE and Rs 364.50 on NSE. The scrip had hit the upper circuit on Tuesday at Rs 384.10 and opened at Rs 403.30 on Wednesday which was also the upper price band. The scrip had touched the 52-week high of Rs 567.85 and a low of Rs 75.55. NDTV shares went up following the nod given by the Securities and Exchange Board of India (SEBI) to the <keyword id="76451" type="General" weightage="80" keywordseo="adani" source="Orion">Adani</keyword> Group to float the open offer for a 26 per cent stake in the channel company. The Group had earlier planned to make the open offer last month but decided to revise that to get the SEBI's nod. Curiously, the open offer price is Rs 294 per share which is far less than the current market price. As per the offer document, November 18 is the last date for an upward revision of the offer price and size. The offer opening date is November 22 and the closing date is December 5. Be that as it may, on Wednesday, NDTV replying to the clarification sought by BSE, said: "The company is not aware of any negotiations between Adani Group and Vishvapradhan Commercial Private Limited (<keyword id="3187284" type="General" weightage="80" keywordseo="vcpl" source="Orion">VCPL</keyword>) or events that led to the approval of the open offer by SEBI. In compliance with the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, the Company provided the information sought by the merchant banker to the open offer issued by VCPL." The scrip has been on the upswing since August 23, the day on which the Adani group's AMG Media Networks announced its subsidiary Vishvapradhan Commercial Private Ltd's (VCPL) decision to exercise its rights to acquire 99.5 per cent of equity shares of <keyword id="7773953" type="General" weightage="80" keywordseo="rrpr-holding" source="Orion">RRPR Holding</keyword> Private Ltd, the investment company of NDTV promoters - Prannoy Roy and Radhika Roy. The VCPL holds 1,990,000 warrants of RRPR Holding entitling it to convert them into a 99.99 per cent stake in the latter. The VCPL has exercised its option in part, resulting in acquisition control of RRPR Holding -- 1,990,000 equity shares or 99.50 per cent. RRPR Holding holds a 29.18 per cent stake in NDTV which has three national television channels. This triggered the issue of an open offer to acquire shares of NDTV from the public as per SEBI's (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. The VCPL, at its sole discretion, may exercise the balance warrants to acquire up to 99.99 per cent of the equity share capital of RRPR Holding at any time and in such manner as it may deem fit. The company's market capitalisation climbed Rs 117.99 crore to Rs 2,478.92 crore on the BSE. On the NSE, it jumped 4.99 per cent to Rs 388.20 -- its upper circuit limit as also the one-year peak. In a move that has significant ramifications for the media landscape, billionaire <keyword id="111343" type="General" weightage="50" keywordseo="gautam-adani" source="Orion">Gautam Adani</keyword> on Tuesday launched a hostile bid to take over NDTV, first with an indirect acquisition of 29.18 per cent stake in the broadcaster followed by an offer to buy out a further 26 per cent controlling stake. On Tuesday, the owners of <keyword id="201523" type="General" weightage="50" keywordseo="new-delhi-television-ltd" source="Orion">New Delhi Television Ltd</keyword> (NDTV), a popular news channel, said they were completely unaware of the takeover until Tuesday, and that it was done without their consent or any discussion. Three Adani group firms - Vishvapradhan Commercial Pvt Ltd (VCPL) along with AMG Media Networks and Adani Enterprises Ltd - have come out with a public announcement for the offer under the Sebi norms. The open offer to acquire an additional 26 per cent or 1.67 crore equity shares in NDTV is worth nearly Rs 493 crore. The offer price is Rs 294 per share, 19.71 per cent lower than the closing price on Tuesday. NDTV's share price, which has risen more than 300 per cent so far this year, closed at Rs 366.20 apiece on BSE on Tuesday. If the open offer is successful, the Adani group will have more than 55 per cent stake in NDTV. As the Adani group looks to boost media investments as part of an ambitious expansion plan, a group firm first acquired a company that in the past was linked to rival billionaire <keyword id="3820" type="General" weightage="50" keywordseo="mukesh-ambani" source="Orion">Mukesh Ambani</keyword>. The particular company had loaned Rs 250 crore to NDTV in 2008-09 and the Adani group firm now exercised the option to convert that debt into 29.18 per cent stake in the news channel company. Subsequently, it has launched an open offer for another 26 per cent stake, the group said in a statement on Tuesday. "AMVL's wholly-owned subsidiary VCPL holds warrants of RRPR Holding Pvt Ltd (RRPR) entitling it to convert them into a 99.9 per cent stake in RRPR. VCPL has exercised warrants to acquire 99.5 per cent in RRPR," it said. Such acquisition will result in VCPL acquiring control of RRPR. "RRPR is a promoter group company of NDTV and holds a 29.18 per cent stake in NDTV," the statement said. On Tuesday, NDTV said the exercise of the right by VCPL was executed without any input of the company or its founders. In an internal communication to its employees on Tuesday, NDTV said, "the developments of today are entirely unexpected for NDTV, and for Radhika and Prannoy". "We are in the process of evaluating the next steps, many of which involve regulatory and legal processes," it added. The bid for NDTV will be the Adani group's most high-profile bet in the media sector where Ambani already has a sizeable presence through Network18, which runs a bouquet of channels, including news channel CNN-News18 and business channel CNBC-TV18.
