The IPO of ACME Solar, which opened for subscription yesterday, has been subscribed 1.81x in the retail investors category and 0.6x overall. The offer, worth Rs 2,900 crore, is a combination of Rs 2,395 crore of fresh issue and Rs 505 crore worth of OFS (offer for sale). With a price band of Rs 275-289, the IPO will close for subscription tomorrow. Retail investors can invest in a minimum of 1 lot of 51 shares, bringing the total amount to Rs 14,739. The company is set to list on both NSE and BSE on November 13, 2024. <br /><br />Despite the company's strong presence in the renewable energy space, the company's GMP (grey market premium) remains muted, almost negligible, trading at Rs 0 today. ACME's GMP has been dipping ever since November 30, 2024, when it stood at Rs 30.  The allotment of shares is scheduled for November 11, 2024, with a tentative listing date on the BSE and NSE set for November 13, 2024.<br /><br />The company amassed Rs 1,300.5 crore via the issue of 4.5 crore equity shares from anchor investors ahead of its IPO. Around 1.5 crore equity shares, or about 33.4% of the total anchor book, were lapped up by 8 domestic mutual fund houses through a total of 17 schemes. <br /><h2>About the company<br /></h2>ACME Solar is one of India's top 10 renewable energy-independent power producers. To date, the company has developed a total of 2,719 MW of solar power projects. In terms of financial performance, over the last three fiscal years, the company has reported (on a consolidated basis) a total income of Rs 1,562.73 crore in FY22, Rs 1,361.67 crore in FY23, and Rs 1,466.27 crore in FY24. <br /><br />In terms of net profit/loss, ACME Solar incurred a net profit of Rs 62.01 crore in FY22, a loss of Rs 3.15 crore in FY23, and Rs 697.78 crore in FY24. For the first quarter of FY25, the company's revenue from operations stood at Rs 340.01 crore, while earning a net profit of Rs 1.39 crore. <br /><br />The company intends to utilize the IPO proceeds to repay and prepay part of its outstanding borrowings, and also for general corporate purposes. However, the company is not without its fair share of risks. Around 63.22% of its FY24 revenue is concentrated in just three Indian states—Andhra Pradesh, Rajasthan, and Telangana. <br /><br />Also, the company's business is highly dependent on its top 10 off-takers, which contributed 95.42% to its revenue as of the quarter ended June 30, 2024, 87.48% to its revenue in FY23, and 81.11% to the company's income in FY22. The loss of any of these off-takers can have adverse effects on their business, financial condition, results of operations, and cash flows.<br /><br />Moreover, not only does its growth depend on winning highly competitive project bids, but it is also highly reliant on government-owned transmission grids and infrastructure. <br /><br /><h2>Should you subscribe?<br /></h2>Per Bajaj Broking, the issue appears to be aggressively priced, yet they would recommend subscribing to the IPO for the long term. "Over the past three fiscal years, the company has achieved an average EPS of Rs. 6.44 and an average RoNW of 13.95%. The issue is priced at a P/BV of 7.77 based on its NAV of Rs 37.19 as of June 30, 2024. When annualizing FY25 earnings to the post-IPO fully diluted equity base, the asking price results in a P/E of 3211.11, while based on FY24 earnings, the P/E stands at 25.06". <br /><br />However, there are financial concerns that cannot be ignored. "FY24 appears to be an exceptional year with significantly boosted profits, but otherwise, the company has shown inconsistent top and bottom lines over the reported periods. Its debt-equity ratio of 3.89 as of June 30, 2024, is notably high and raises concerns," it adds. <br /><br />According to Anand Rathi Research, the IPO can be subscribed to in the long run. "At the upper price band, the company is valued at a P/E of 30.17x, with an EV/EBITDA of 22.4x and a market cap of Rs 1,74,868 million post-issue of equity shares and a return on net worth of 26.93%. We believe that the IPO is richly priced," adds the note.

Reliance AGM 2024 at 2 pm today: What it is, where to watch, and what to expect

Washington, An international team of <keyword id="49623" type="PERSON" weightage="20" keywordseo="Astronomers">astronomers</keyword> has discovered a trio of hot worlds larger than <keyword id="6359982" type="LOCATION" weightage="20" keywordseo="earth">Earth</keyword> orbiting a much younger version of our <keyword id="24879" type="PERSON" weightage="20" keywordseo="Sun">Sun</keyword> called TOI 451.<br /><br />The system resides in the recently discovered Pisces-Eridanus stream, a collection of stars less than 3 per cent the age of our solar system that stretches across one-third of the sky.<br /><br />The researchers believe that the newly discovered planetary system, detailed in The Astronomical Journal, will provide researchers with the rare chance to study a group of growing <keyword id="6448742" type="UNKNOWN" weightage="20" keywordseo="Planets">planets</keyword>.<br /><br />The planets were discovered in images taken by <keyword id="6360409" type="COMPANY" weightage="20" keywordseo="Nasa">NASA</keyword>'s Transiting Exoplanet Survey Satellite (TESS) between October and December 2018.<br /><br />Follow-up studies of TOI 451 and its planets included observations made in 2019 and 2020 using NASA's Spitzer Space Telescope, which has since been retired, as well as many ground-based facilities.<br /><br />Archival infrared data from NASA's Near-Earth Object Wide-Field Infrared Survey Explorer (NEOWISE) satellite suggests the system retains a cool disk of dust and rocky debris.<br /><br />Other observations show that TOI 451 likely has two distant stellar companions circling each other far beyond the planets.<br /><br />"This system checks a lot of boxes for astronomers," said lead researcher Elisabeth Newton, Assistant Professor at Dartmouth College in Hanover, <keyword id="822202" type="LOCATION" weightage="20" keywordseo="New-Hampshire">New Hampshire</keyword>, US.<br /><br />"It's only 120 million years old and just 400 light-years away, allowing detailed observations of this young planetary system. And because there are three planets between two and four times Earth's size, they make especially promising targets for testing theories about how planetary atmospheres evolve."<br /><br />The young star TOI 451, better known to astronomers as CD-38 1467, lies about 400 light-years away in the constellation Eridanus.<br /><br />It has 95 per cent of our Sun's mass, but it is 12 per cent smaller, slightly cooler, and emits 35 per cent less energy.<br /><br />TOI 451 rotates every 5.1 days, which is more than five times faster than the Sun.<br /><br />Even TOI 451's most distant planet orbits three times closer than Mercury ever approaches to the Sun, so all of these worlds are quite hot and inhospitable to life as we know it. Temperature estimates range from about 1,200 degrees Celsius for the innermost planet to about 450 degrees C for the outermost one.<br /><br />TOI 451b orbits every 1.9 days, is about 1.9 times Earth's size, and its estimated mass ranges from two to 12 times Earth's.<br /><br />The next planet out, TOI 451 c, completes an orbit every 9.2 days, is about three times larger than Earth, and holds between three and 16 times Earth's mass. Astronomers discover three planets orbiting younger Sun-like star

But whatever. Tesla has rarely reported positive quarterly net income since its IPO.</p><p>The pattern is burn cash, baby, burn cash. CEO Elon Musk's overarching goal is to accelerate Tesla's growth, and its $30-billion-plus market cap is a reflection of that. Profits are, for now, irrelevant.</p><p>The cadence of Tesla earnings was actually starting to get predictable. Dismal financials were assumed, so attention shifted to vehicle deliveries and yearly guidance. But two straight years of delayed deliveries and guidance coming in at the very low end of its range had conditioned investors to patiently listen to what Tesla has to say and assume that the process will be repeated, just with bigger numbers. </p><p>But this quarter will inaugurate a new phase in Tesla's story: the surreal phase.</p><p>That's because Tesla is in the process of becoming not just Tesla the car company, but Tesla the conglomerate. The acquisition of SolarCity for $2.6 billion in stock, announced on Monday and expected to close in a few months (pending government approval and shareholder voting), will create a full-service green-energy solutions holding company. Electric cars will be joined with solar panels, which will be joined by energy storage, battery manufacturing, and charging.</p><p>If you want to live a greener life, Tesla will have you covered.</p><h2>A baffling conglomerate</h2><p>In the short term, this is going to make it impossible to figure out what Tesla is worth and what the financial rationale for buying into Musk's vision really is.</p><p>SolarCity had lost half its market value since the beginning of 2016. Tesla's lofty valuation is based on its prospects to be a major player in the <keyword id="34991" type="ORGANIZATION" weightage="60" keywordseo="transportation">transportation</keyword> world of the future. Tesla Energy is just in its early stages of development. And the $5-billion Tesla Gigafactory has just opened - it's completely unclear how long it will take Tesla, in cooperation with Panasonic, to crank up production. </p><p>Meanwhile, Musk has upped the timetable on delivering 500,000 vehicles annually, to 2018 from 2020. And the company has to both launch the $35,000 mass-market Model 3 in 2017 and begin fulfilling 375,000 reservations. </p><p>It all makes your head spin. Which challenge do you focus on? What's the priority? Or does this all have to happen at once? Musk clearly thinks so - he just authored a vast, far-reaching manifesto, his "<a href="https://www.tesla.com/blog/master-plan-part-deux">Master Plan, Part Deux</a>."</p><p>Tesla as a carmaker was never easy to understand. But Tesla as a sustainable energy, manufacturing, and transportation conglomerate will be baffling. Tesla is entering a surreal new phase

<p class="source"><span>Thomson Reuters</span></p><p class="caption">Tesla CEO Elon Musk.</p>Over the past few years, as its sales and stock have risen, Tesla's core business model has been shifting.<p>The carmaker was founded in 2003 with the basic goal of bringing an exciting all-electric vehicle to market. It succeeded, and under CEO Elon Musk (who started out as just an investor) the company has grown to sell nearly 100,000 vehicles a year, the newest of which are equipped with semi-self-driving technology. </p><p>To drive this growth, Tesla also invested in a far-flung network of fast-charging stations.</p><p>About a year after the launch of the Model S sedan in 2013, Tesla's business plan began to undergo modifications. An energy-storage business was launched, and in 2016, Tesla merged with SolarCity. The first Tesla solar product, the Solar Roof, officially went on sale last week. Meanwhile, Tesla continued to build a massive battery factory in Nevada.</p><p>There are useful connections and synergies among these various businesses, and they both fit with and enable Musk's master vision for a fossil-fuel-free world.</p><p>Unfortunately for Tesla, though, the company could be playing a transitional role in the broad disruption of traditional mobility than many analysts and experts now think is underway.</p><h2>Tesla is the bridge</h2><p class="source"><span>Andy Kiersz/Business Insider</span></p><p class="caption">Tesla's surging market cap.</p><p>In this story, Tesla is an innovator that proved it was possible to start a new car company after the globe hadn't really seen one for decades; Tesla also revived the electric car, which had languished for a century after losing out to the internal-combustion engine.</p><p>Tesla is a bridge between the old ways and the news ways, with a foot in each camp - and potentially the inability to prosper in the new world that it made possible. Remember that once you've crossed a bridge, you don't need it anymore. It's in the past.</p><p>In a research note published Monday downgrading Tesla to "equal-weight" from "overweight," Morgan Stanley analyst Adam Jonas argued that competition will soon arrive for Tesla, but that the competition might not look like what everyone thinks it would be:</p><p>What Jonas leaves unspoken is the emerging idea that replacing the traditional automobile with something better is rapidly being supplanted by the notion than physical transportation is far less lucrative than the activity of passengers inside the vehicles.</p><h2>Silicon Valley getting out of cars</h2><p class="source"><span>Benjamin Zhang/Business Insider</span></p><p class="caption">Is Tesla in trouble?</p><p>"Big tech companies have gone cold on being assemblers," <span>Ewen Cameron Watt, a Senior Adviser at Blackrock, said in an interview. </span></p><p>"They want to be data managers. It's all about the data and connectivity," Cameron, who is also the co-author of a study from the Blackrock Investment Institute <span>titled "</span>Future of the vehicle - Winners and losers: from cars and cameras to chips."</p><p>Tesla isn't ignoring this opportunity - machine learning from its fleet of Autopilot-enabled vehicles is serving up a massive amount of real-world information about self-driving technology. But Tesla is also trying to do several things at once, just when it comes to the auto side of its business.</p><p>It's trying to produce and sell big-ticket luxury cars, service them, launch a cheaper vehicle, and provide widespread fast-charging. Forget adding semis and pickup trucks to the mix, as Musk has said Tesla will - executing on just one of its existing challenges would be impressive.</p><p>However, Tesla's traditional competitors are already good at all those things, while Tesla's tech rivals now appear uninterested in replicating Tesla's experience.</p><h2>Narrative vulnerability</h2><p>In response, Tesla is trying to exploit the elasticity of its business model, which may or may not be there to exploit. Thus far, developing new lines of business hasn't hurt Tesla, but the company's historic financial underperformance has been masked by a surging stock price and the company's ability to access the capital markets for billions in ongoing funding, despite the carmaker being 13 years old, with an IPO staged in 2010.</p><p>Tesla's vulnerability is unique: I call it "narrative vulnerability." Electric cars are yesterday's story. The new story is about self-driving systems and Big Data.</p><p>The problem with narrative vulnerability is that once it takes hold, Tesla's only way to deal with is to adjust its story. Tesla has been able to do that, up to a point. But at some point, the features of its new story won't fit with a very different narrative. </p><p>The critical issue is that Tesla will always be tied to cars: designing them, building them, selling them.
