When such companies go public, in a bid to raise funds from investors and expand their operations, they launch an <keyword id="19898327" type="General" weightage="20" keywordseo="ipo" source="keywords">IPO</keyword>, but not on the main exchange, but separately, on NSE’s Emerge and BSE’s SME platform. As of September 2024, <keyword id="4484133" type="General" weightage="20" keywordseo="NSE-Emerge" source="Orion">NSE Emerge</keyword> has 147 listed participants, while <keyword id="1885131" type="General" weightage="20" keywordseo="BSE-SME" source="Orion">BSE SME</keyword> has 155 market makers. Mounting an SME’s IPO is comparatively less stringent than their mainboard counterparts, as far as regulations are concerned since their DRHPs (draft red herring prospectus) are not filed with SEBI. So, wouldn’t a lenient treatment make them inherently riskier? Another SME, Maxposure, whose IPO was out in January 2024, had earned its investors listing gains worth 317.40%! Apparently, higher risks also mean higher returns, and also super high investment. Most SME IPOs need a minimum investment of Rs 1,00,000 or more, as opposed to mainboard IPOs, where you can buy one lot of shares for anywhere between Rs 14,000-15,000. Even the minimum trading lot size for SME shares is about 10,000. In short, you’d have to potentially empty your pockets to invest in an SME IPO. And still, there’s no guarantee that the listing will fill your wallets. For all you know, your pockets before and after the IPO is listed might stay the same - EMPTY! There's also the question of whether or not these SMEs are able to maintain their listing day mojo, or do they just fizzle out thereafter? Data from Prime Database highlights more instances of the latter. As of August 2024, about 166 SME IPOs had made it to the exchanges. Around 72 of them, or close to 50%, could not sustain their momentum going ahead, and were trading below their listing day prices. Consider this. The post listing gains of Medicamen Organics, whose IPO came out in June 2024, earned its investors massive listing gains of over 300%, by listing at Rs 137.85, significantly higher than its price issue price, which was set between Rs 32-34. But as of October 1, 2024, the stock was trading at Rs 64.2. Talk about falls. Additionally, risks of pump-and-dump, and illiquidity, among others makes SME IPOs dangerous See, you're largely venturing into unknown, pitch-dark territories, without much light to guide you. This means it can be challenging for investors to buy or sell shares without significantly impacting prices. Additionally, speculative trading practices, like 'pump-and-dump' schemes, can inflate stock prices, leaving retail investors vulnerable to sudden drops”. This is where select people create frenzy, or mass euphoria over a particular stock or company, causing its prices to soar, and then dumping them, or selling their shares at this massive price to make a killing! At present, SEBI is investigating around 6 investment banks which have allegedly charged SMEs a staggering 15% of funds raised via IPOs as fee, as opposed to the standard 1-3%. In March 2024, SEBI chairperson Madhabi Puri Buch had also highlighted witnessing signs of manipulation in the SME space. “We do see signs of manipulation in the SME segment. New Delhi, Mar 16 () Crisis-hit <keyword id="45660" type="CITY" weightage="20" keywordseo="Yes-Bank">Yes Bank</keyword> will get excluded from all indices of the leading stock exchange BSE with effect from March 20, the entity handling these indices said on Monday. In a circular sent to all its members, the BSE said the BSE S&amp;P Index Committee has decided to remove Yes Bank from all the S&amp;P BSE indices with effect from this Friday, March 20. The decision has been taken in light of the recent developments relating to Yes Bank Limited, in particular the Gazette notification dated March 13, 2020, on 'Yes Bank Limited Reconstruction Scheme, 2020' and the potential impact on the ability of market participants to fully replicate S&amp;P BSE Indices, it added. "Effective at the open of Friday, March 20, 2020, Yes Bank Limited will be removed from all S&amp;P BSE indices," it said. These indices include S&amp;P BSE AllCap, S&amp;P BSE LargeCap, S&amp;P BSE LargeMidCap, S&amp;P BSE Finance, S&amp;P BSE BANKEX, S&amp;P BSE CARBONEX and S&amp;P BSE Private Banks Index (INR). (Eds: Adding BSE circular) New Delhi, Mar 6 () Leading stock exchanges BSE and NSE on Friday decided to drop Yes Bank from Futures and Options segment from May 29. The existing Futures and Options contracts across all expiries will expire on May 28. The development came after Yes Bank on Thursday was put under a moratorium, with the RBI capping deposit withdrawals at Rs 50,000 per account for a month and superseding its board. In similar-worded circulars, the exchanges said," the existing Futures and Options contracts, across all expiries shall expire on May 28, 2020. No Futures and Options contracts shall be available in Yes Bank for trading in equity derivatives segment from May 29, 2020 onwards". Derivatives markets or F&amp;O segment reflect expectation of spot prices in the future, and current price bands or circuit filters are generally not applied on them. At present, there are over 200 stocks in F&amp;O segment. Further, the bourses said due to the recent development in Yes Bank it has been decided that no fresh or renewal of bank guarantees and fixed deposit receipt issued by the private lender will be accepted as collateral. The existing benefit provided to members towards bank guarantees and fixed deposit receipts issued by Yes Bank in favour of their respective clearing corporations will be reduced. "Further, haircut in respect of shares of Yes Bank provided as collaterals shall be revised to 100 per cent with effect from begin day of March 6, 2020," the exchanges said. The RBI, in a notification, on Thursday said the financial position of Yes Bank has undergone a steady decline largely due to inability of the bank to raise capital to address potential loan losses and resultant downgrades, triggering invocation of bond covenants by investors, and withdrawal of deposits. The bank has also experienced serious governance issues and practices in the recent years which have led to steady decline of the bank, it added. The central bank has appointed former CFO of public sector lender State Bank of India Prashant Kumar as an administrator. RUJ SP ANUANU

No F&O contracts for Yes Bank from May 29: BSE, NSE

In the aftermath of <keyword id="45660" type="COMPANY" weightage="20" keywordseo="Yes-Bank">Yes Bank</keyword> crisis, Private sector lender <keyword id="2179992" type="COMPANY" weightage="20" keywordseo="RBL-Bank">RBL Bank</keyword> on Wednesday said it is "well capitalised" and there is no adverse change in its asset quality. The statement comes in the wake of the Yes Bank crisis, following which stock prices of various banks went sharply down. "The management of RBL Bank wishes to address the prevailing concerns around the bank which is based on misinformation, and warrants clarification," it said in a statement. The lender further said that: "We wish to re-emphasize that RBL Bank is a fundamentally strong institution. Rumours around financial health and stability of the institution especially in social media seem to be misplaced, motivated and not based on facts". The bank said it is well capitalised, has healthy liquidity, growth is on track and management remains firmly committed. "There has been no material adverse change in the asset quality since we announced our Q3 financial results on January 22, 2020 and our guidance remains consistent," the bank said. The bank further said that it has a capital adequacy ratio of 16.08 per cent with Tier-1 at 15.02 per cent (significantly higher than the prescribed regulatory requirement at 11.5 per cent and 9.5 per cent respectively). "All our business segments are doing well, we continue to expand presence across newer geographies by adding branches and are also hiring more people as previously planned," the statement said adding that the bank continues to attract additional deposits from retail, corporates and institutional segments. Shares of RBL Bank were trading at Rs 230.25, higher by 10.80 per cent over its previous close in early trade on <keyword id="35140" type="COMPANY" weightage="20" keywordseo="BSE">BSE</keyword>. The stock had witnessed significant downtrend and had slumped over 30 per cent in the previous two trading sessions.

IDFC First Bank on Sunday said it will make an equity investment of Rs 250 crore in beleaguered Yes Bank to acquire 25 crore equity shares. "...duly authorized committee of the Board of Directors of IDFC FIRST Bank Ltd had at its meeting held on March 14, 2020 accorded approval for an equity investment of upto Rs 250 crores comprising upto 25 crore equity shares at a price of Rs 10 each and face value of Rs 2 each, under the proposed Scheme of Reconstruction of Yes Bank Ltd under the Banking Regulation Act, 1949, subject to regulatory and government approval(s), if any," the bank said in a BSE filing. Earlier on Saturday, Federal Bank had committed to investing Rs 300 crore in Yes Bank for subscription of its 30 crore shares. The Centre on Saturday notified the YES Bank Limited Reconstruction Scheme, 2020, a day after the Union Cabinet approved a reconstruction plan proposed by the RBI for bailing out fund-starved Yes Bank. The authorised capital of Yes Bank has been increased to Rs 6,200 crore, Finance Minister Nirmala Sitharaman said on Friday. As per the reconstruction scheme, moratorium on the troubled lender will be lifted on March 18. Under the plan, state-run SBI will infuse Rs 7,250 crore in the crisis-ridden bank and take 49 per cent equity. As per the rescue plan, ICICI Bank will invest Rs 1,000 crore, mortgage lender HDFC Rs 1,000 crore, Axis Bank Rs 600 crore, Kotak Mahindra Bank Rs 500 crore, Bandhan Bank and Federal Bank Rs 300 crore each. There will be a three year lock-in period for all the investors. However, the lock-in period for SBI would be only for 26 per cent of shareholding. It would be 75 per cent in case of other investors. Yes Bank gets Rs 250 crore from IDFC First Bank

New Delhi, Feb 5 () Former Yes Bank independent director Uttam Prakash Agarwal has demanded appropriate action against the lender's CEO and MD Ravneet Gill for allegedly violating various regulatory norms. Agarwal, who was independent director in 2018, resigned from the board of Yes Bank last month citing deteriorating standard of corporate governance at the private sector lender. In a letter to RBI Governor Shaktikanta Das, Agarwal alleged breach of governance, non-compliance, undue influence and control on the majority members of the board by Gill through quid pro quo. The letter also alleged there has been substantial erosion in the market capitalisation (m-cap) of about Rs 40,000 crore since Gill took over as the managing director. The m-cap of the bank was Rs 55,000 crore on March 1, 2019, the date when Gill joined. The m-cap as on January 29, 2020 is Rs 11,000 crore, it said. By use of various unethical means, Gill has been able to effectively control the majority of board members and Key Management Personnel (KMP).The CEO seems to be knowing the weak points of KMP of the bank, it said, adding, Gill after his appointment shortlisted various KMP and ensured that each one of them gets bonus and annual increment. Gill in a short period of 11 months was able to gain undue influence on majority of the board members sufficient for passing any resolution, it said. The letter dated January 30, 2020, also alleged siphoning off funds through payment of unreasonable fee of Rs 21.28 crore for raising capital of Rs 1,930 crore in August by way of Qualified Institutional Placement. Yes Bank's ex director Agarwal writes to RBI seeking removal of MD

New Delhi, Mar 16 () Troubled private lender Yes Bank will be dropped from benchmark index Nifty 50, banking index Nifty bank and other Nifty indices from March 19, NSE Indices said on Monday. Earlier, the changes were scheduled to happen on March 27, NSE Indices, a subsidiary of the National Stock Exchange (NSE), said in a statement. However, in light of the recent developments relating to Yes Bank and its reconstruction scheme, NSE Indices' Index Maintenance Sub-Committee (IMSC) has decided to accelerate the removal of Yes Bank from Nifty 50 and Nifty Bank and also remove it from all Nifty equity indices from Thursday, March 19. Shree Cement will replace the private lender in Nifty 50 and in Nifty bank index, Bandhan Bank will find a place. The troubled lender will also be removed from Nifty 100 and Nifty 500. In Nifty 100, Adani Transmission will replace Yes Bank, while in Nifty 500, Sterling and Wilson Solar will be added. Earlier in February, NSE Indices had announced that on account of Yes Bank being excluded from Nifty 50 and Nifty 100, it was being included in Nifty Midcap 150, Nifty Midcap 50, Nifty Midcap 100, Nifty MidSmallcap 400 and Nifty Midcap Liquid 15 from March 27. In light of the decision to exclude Yes Bank from all our equity indices, the lender will not be included in these indices from March 27 and the replacements of Yes Bank in these indices will be announced in due course. On Saturday, the government had notified the Yes Bank Limited Reconstruction Scheme, 2020, a day after cabinet approval. Under the scheme, State Bank of India will invest for 49 per cent equity in Yes Bank and other investors are also being invited. There will be a three-year lock-in period for all the investors. However, the lock-in period for SBI would be only for the 26 per cent of the shareholding. The moratorium, which was placed by Reserve Bank of India on March 5, restricting withdrawal to Rs 50,000 per account, will also be lifted by 6 pm on Wednesday. SP ANSANS
