Are the good old, albeit mundane money investment avenues like mutual funds and fixed deposits not making the cut for you? Want to experience a heart-pounding, financial rollercoaster that will constantly keep you and your portfolio on tenterhooks? Well then, welcome to the world of initial public offers (IPOs), especially those brought to you by SMEs, or <keyword id="6375845" type="General" weightage="20" keywordseo="Small-and-Medium-Enterprises" source="Orion">small and medium enterprises</keyword>. Truth be told, <keyword id="19938687" type="General" weightage="20" keywordseo="sme" source="keywords">SME</keyword> IPOs have been all over the bourses this year. So far, 2024 has seen 206 SMEs debuting on both BSE and NSE, out of which 146 listed in gains and 46 listed in losses. Odds seem good, right? In contrast, the year has only seen 63 IPOs from the elder brother i.e. mainboard, only 48 of which managed to post any listing gains. And getting an allotment has also been a major uncertainty, given the unusually high demand this year. <h2 style="margin-bottom: 0.7em; line-height: 1.3; color: rgb(0, 0, 0); font-size: 24px; background: 0px 0px; text-rendering: optimizelegibility;">So, what's an <keyword id="5559702" type="General" weightage="100" keywordseo="SME-IPO" source="Orion">SME IPO</keyword>, you ask?</h2>Think of a mainboard company as Shah Rukh or Salman Khan—well-established, financially stable, strong legacy of profitability, and fairly well-known. On the other hand, SMEs are your Prateek Gandhi (Harshad Mehta, Scam 1992), Siddhant Chaturvedi (MC Sher, Gully Boy) or Avinash Tiwary (Majnu, Laila Majnu). While they are doing super well, they are yet to make it big like the Khans. They’re currently underdogs, lesser known, but who knows? They can be the next big thing in the future! And SME IPOs are getting a stellar reception. In 2023, 182 such IPOs had raised a substantial Rs 4,967 crore. In 2024, more than 200 companies have already raised over Rs 7,500 crore, and we have four months to go. The company has to have an annual turnover/income of up to Rs 50 crore, and for a medium enterprise to be called so, its annual income has to be up to Rs 250 crore. When such companies go public, in a bid to raise funds from investors and expand their operations, they launch an <keyword id="19898327" type="General" weightage="20" keywordseo="ipo" source="keywords">IPO</keyword>, but not on the main exchange, but separately, on NSE’s Emerge and BSE’s SME platform. As of September 2024, <keyword id="4484133" type="General" weightage="20" keywordseo="NSE-Emerge" source="Orion">NSE Emerge</keyword> has 147 listed participants, while <keyword id="1885131" type="General" weightage="20" keywordseo="BSE-SME" source="Orion">BSE SME</keyword> has 155 market makers. Mounting an SME’s IPO is comparatively less stringent than their mainboard counterparts, as far as regulations are concerned since their DRHPs (draft red herring prospectus) are not filed with SEBI. So, wouldn’t a lenient treatment make them inherently riskier? Why are they so appealing, you ask? <a href="https://www.businessinsider.in/stock-market/news/a-company-with-8-employees-looking-to-raise-12-crore-ended-up-getting-applications-worth-over-4700-crore/articleshow/112824522.cms">Delhi firm with just 8 employees seeks ₹12 crore via IPO, gets ₹4,700 crore worth of investor applications!</a> Well, for one, some of them have delivered exceptional returns—we’re talking 100%, 200%. Consider this—Owais Metal and Mineral Processing, which launched its IPO in February this year, delivered a whopping listing gain of 201%. Another SME, Maxposure, whose IPO was out in January 2024, had earned its investors listing gains worth 317.40%! Apparently, higher risks also mean higher returns, and also super high investment. Most SME IPOs need a minimum investment of Rs 1,00,000 or more, as opposed to mainboard IPOs, where you can buy one lot of shares for anywhere between Rs 14,000-15,000. Even the minimum trading lot size for SME shares is about 10,000. In short, you’d have to potentially empty your pockets to invest in an SME IPO. And still, there’s no guarantee that the listing will fill your wallets. For all you know, your pockets before and after the IPO is listed might stay the same - EMPTY! There's also the question of whether or not these SMEs are able to maintain their listing day mojo, or do they just fizzle out thereafter? Data from Prime Database highlights more instances of the latter. As of August 2024, about 166 SME IPOs had made it to the exchanges. Around 72 of them, or close to 50%, could not sustain their momentum going ahead, and were trading below their listing day prices. Consider this. The post listing gains of Medicamen Organics, whose IPO came out in June 2024, earned its investors massive listing gains of over 300%, by listing at Rs 137.85, significantly higher than its price issue price, which was set between Rs 32-34. But as of October 1, 2024, the stock was trading at Rs 64.2. Talk about falls. Additionally, risks of pump-and-dump, and illiquidity, among others makes SME IPOs dangerous See, you're largely venturing into unknown, pitch-dark territories, without much light to guide you. For starters, SME IPOs face less scrutiny from market watchdog SEBI. This also means they are able to list quickly, just 3-4 months. On the other hand, mainboard IPOs can take upto a year before they are cleared for listing. Also, there is far less information and disclosures available about their financials, fundamentals and performance to investors for making an informed decision, as compared to mainboard stocks. Then there’s the issue of illiquidity. Once purchased, you might find it hard to sell off your SME stocks, since they are not traded as frequently in the market, which means lower liquidity. Trivesh D, COO, Tradejini explains that liquidity is a major concern for such stocks. “These stocks typically have a smaller free float, and are traded in lots, which can lead to volatility and sharp price swings. This means it can be challenging for investors to buy or sell shares without significantly impacting prices. Additionally, speculative trading practices, like 'pump-and-dump' schemes, can inflate stock prices, leaving retail investors vulnerable to sudden drops”. Recently, SME IPOs have gained notoriety for price manipulation via showing fictitious sales and revenue in their books of accounts, selling of promoter holdings at inflated prices, and being the facade for many infamous pump and dump schemes. This is where select people create frenzy, or mass euphoria over a particular stock or company, causing its prices to soar, and then dumping them, or selling their shares at this massive price to make a killing! Infact, it's not just the promoters, but also the investment banks floating these IPOs. At present, SEBI is investigating around 6 investment banks which have allegedly charged SMEs a staggering 15% of funds raised via IPOs as fee, as opposed to the standard 1-3%. In March 2024, SEBI chairperson Madhabi Puri Buch had also highlighted witnessing signs of manipulation in the SME space. “We do see signs of manipulation in the SME segment. We are able to see certain patterns.” Buch had observed back then. Adds Kresha Gupta, Founder &amp; Director, StepTrade Share Services, “Investing in SME IPO comes with significant risks, despite their impressive returns in recent years. Limited participation from institutional investors and public in some SME IPOs also mean that those companies may lack the support and stability that comes with larger-scale investments” “Additionally, many SMEs may not have strong fundamentals to justify their valuations. Anand K. Rathi, Co-Founder of MIRA Money suggests asking a couple of questions before investing your hard earned money: <ul><li>What is the company's financial performance over the past 3-4 years?</li><li>What is the company's governance structure?</li><li>Is the financial success driven by the IPO, or is it a result of consistent performance?</li><li>Does the company have what it takes to scale its operations to the next level?</li><li>Are the company’s promoters trustworthy, capable and experienced?</li><li>What is the level of participation by large, institutional investors?</li></ul> But staying away completely? Not necessary. Gupta adds that retail investors, in particular, should avoid viewing SME IPOs as quick money-makers based on their short-term performance, as this can certainly lead to poor investment decisions. “To mitigate risks, investors should always focus on long-term fundamentals rather than just short-term price movements. Key indicators include the participation of institutional investors like DIIs and FIIs. This often signals confidence in the stock”, she continues. A red flag you should look out for is if a company is only offering OFS, or Offer for Sale. This can indicate early investors looking to exit, potentially signaling weaker future growth. That's why it is better to look for companies which are raising capital for expansion purposes. This is a sign of healthy business growth prospects and improving fundamentals. In conclusion, backing the underdog, or SMEs, is not a bad proposition, but not without its risks. Investing in SME IPOs is like riding a unicorn—but you don't know whether you're riding it to rags or riches! So, take your pick.

But people's voracious appetite for online shopping does appear to have its limits, specifically when it comes to luxury.The expectation has long been that e-commerce would revolutionize luxury, just as it has so much of retail. It killed many <a target="_blank" href="https://www.businessinsider.com/shopping-mall-rise-fall-timeline-1950s-to-today-2023-1">malls</a> and bookstores; it made Walmart <a target="_blank" href="https://www.businessinsider.com/what-is-walmart-marketplace-for-third-party-sellers2023-12">go digital</a>; it transformed shipment and logistics operations across the globe. So why wouldn't it disrupt such an expensive, lucrative space?It turns out we still like to buy the nicest, most expensive items in real life, in large part because we want a luxury experience when we spend the big bucks. We like to feel fancy when we shop fancy, and dropping stuff into a virtual cart on a random website in between meetings is far from most people's definition of fancy.A recent survey from Morning Consult, a business intelligence company, explored how consumers look at luxury. It found that people generally have a strong preference for a brick-and-mortar experience when buying luxury items. Of those surveyed, 49% said they would consider buying luxury clothing or shoes from a brick-and-mortar store and 48% said the same of jewelry and watches. Thirty-nine percent said they would consider buying handbags and 40% said they would consider buying cosmetics and fragrances in a store. In every category, under 20% of consumers said they would consider making those purchases online. Gen Z was slightly more open to e-commerce and less interested in the brick-and-mortar experience, but not always by a meaningful margin. Less than 10% of all consumers said they'd buy luxury products through social media, though that number got up to the high teens for Gen Z.Consumers also said customer service was the second-most-important attribute in defining luxury shopping, right behind the quality of the product. In other words, they don't just want to buy something special — they want to be treated special while they do it."The No. 1 reason people like to shop in stores is because they want that experience of browsing and touching things and playing with things," Claire Tassin, a retail and e-commerce analyst at Morning Consult, said. "Customer service, especially in a luxury environment, is such a big part of how you justify the additional expense."Online luxury sales <a target="_blank" class="" href="https://www.businessinsider.com/americans-feel-financially-insecure-wont-stop-luxury-shopping-millennials-genz-2024-5">picked up during the pandemic</a> but have since come back down to earth. Some important names in the fashion e-commerce space, such as Matches Fashion and Farfetch, have cratered. The German-based platform Mytheresa is doing OK — its net sales grew by 18% in the quarter ending in March — but its stock is still down by more than 80% from its IPO price in January 2021. The private companies Moda Operandi and Ssense seem to be selling merchandise and retaining customers, experts say, but the sites have a niche appeal, so that's hardly made a dent. The overarching theme is that many consumers haven't warmed up to shopping luxury — namely, ultra-luxe items and brands — online. Jason Goldberg, the chief commerce strategy officer at Publicis Groupe, a global marketing firm, said the jury is still out on whether e-commerce will ever take over luxury retail, but for now, there aren't great examples of <a target="_blank" class="" href="https://www.businessinsider.com/internet-biggest-businesses-have-growth-problem-2024-1">"runaway successes" in the space</a>. There's no single answer as to why. One reasonable hypothesis could be that people simply prefer to get high-consideration and high-priced items in store, he said. What they get out of a luxury in-store experience hasn't been translated online."We try to treat luxury with the same e-commerce experience we use for paper towels, and that just doesn't work," Goldberg said. "In general, online, we have gotten very, very good at needs-fulfillment buying, but we are sucky at discovery. Nobody goes to Amazon because they go, 'I'm just in the mood to treat myself.'"When unplanned purchases happen online, they tend to happen through social discovery. You see something <a target="_blank" class="" href="https://www.businessinsider.com/social-shopping-what-social-media-sites-doing-win-e-commerce-2022-10">on Instagram or TikTok </a>and then you buy it. Those types of <a target="_blank" class="" href="https://www.businessinsider.com/impulse-spending-retirement-delayed-2024-5">impulse purchases</a> are fine to make with a few clicks, but when people spend the big bucks, they want to feel a little pampered."It is fair to say that going to a luxury store is part of the pleasure of buying a luxury product," said Luca Solca, a senior analyst covering global luxury goods at Bernstein. "Buying online is convenient and fast. But buying in store is a pleasure."An analysis from Bain &amp; Company found that the share of luxury goods sold online fell to 20% in 2023, after hitting 22% in 2020 and 2021. Solca believes 20% is on the high side and said that on average, the percentage of online sales in the luxury market hovers around the mid-teens, and sometimes even lower, noting that Burberry recently told him they were at 9%.For the most part, luxury brands prefer that customers would rather shop in-store. Sure, they all have some kind of online presence — it is 2024 after all — but not all of their products are always available online, and the internet is far from the primary area of focus. For the most high-end products, <a target="_blank" class="" href="https://www.businessinsider.com/things-learned-buying-luxury-watches-2023-11">there can even be waiting lists</a>. The general aversion to e-commerce makes sense: One way to convince people you're selling a luxury item, and price it accordingly, is to make it scarce and elusive, on top of providing the in-store luxury experience. It helps companies create and keep an aura around their brands."Luxury brands historically have actually stayed away from being very strong in the online channel, largely to do with the fact that they didn't want to be a cheap marketplace," said Nora Kleinewillinghoefer, a partner in the consumer and retail practice at Kearney, a strategy and management-consulting firm. "For them, it's about the storytelling." There are some exceptions here. The online diamond dealer Blue Nile is a giant in the engagement-ring space, and consumers are increasingly comfortable with buying their cars online. High-end beauty products can do well in e-commerce — once you know what shade of foundation or eye shadow you like, you don't need to keep going into the store. The online marketplace <a target="_blank" href="https://www.businessinsider.com/guides/style/the-real-real-review">The RealReal</a> sells a fair amount of secondhand designer and luxury merchandise, though it has long struggled with profitability. But outside these niche exceptions, high-end, luxury e-commerce isn't really a big thing yet. There's no super-prosperous Amazon for Gucci and Prada out there.So much of the fun of buying a luxury item is sensory — seeing the packaging, experiencing the store, chatting with associates whose attention is focused on you. It's a personal, rarefied experience."That dopamine rush you get from buying something fun and fancy and special is meaningful, even if it doesn't last," Tassin said.It's tough to translate to e-commerce. <a target="_blank" class="" href="https://www.businessinsider.com/avoiding-blackout-shopping-saving-money-frugal-living-youtuber-finances-2024-4">Clicking around a website</a> to buy something and a week later grabbing a box on your doorstep next to your monthly delivery of cat litter <a target="_blank" class="" href="https://www.businessinsider.com/shoppers-are-doom-spending-to-cope-with-financial-stress-2023-11">does not provide the same rush</a>.While brands want to sell to consumers however they can, including online, brick-and-mortar matters for their cultural and economic cache. When people have a premium experience in a Chanel or a Louis Vuitton store, it reinforces the brand's premium image. It's part of their top-funnel brand building. And, hey, it helps if you snap a picture in the store and post it online, whether or not any purchase ever happens there."They're not just having a premium experience to trick you into buying a handbag. They're having a premium experience to make sure that you continue to associate Louis Vuitton with this extreme luxury premium that makes you feel better about spending that money on their goods now and in the future," Goldberg said. "Part of the luxury experience is less about conversion and more about long-term brand equity."Ultra-luxe brands don't want their products to be ubiquitous in the way the internet can deliver. Companies know their high-end clients want one-of-a-kind items and personalized recommendations. These customers expect a salesperson to shoot them a text or give them a call to let them know a new shoe came in that they'll love, and they've only got one pair available in their size."Unless you have those relationships and connections with your reps, you actually will not get access to these products," Kleinewillinghoefer said. "It's that personalized touch that makes it truly unique."With their highest-net-worth clients, the in-person buying experience often doesn't feel transactional, she added — people's cards are kept on file, so no one has to think of the whole business relationship thing. And even with more aspirational consumers — people who'd be more likely to do some poking around online — brands are careful to craft their images. Companies want people to come in and feel like they're living the dream and making what they see as an investment in a high-end piece. Companies don't want to "water down" their value proposition by serving too many products to those consumers, which is what the open nature of the internet risks."The level of luxury and the type of consumer are critical factors that intersect to define a brand's approach to its consumers, shaping both engagement strategies and the practices to avoid," Kleinewillinghoefer said.While it might not feel like it, e-commerce is still in its early days. Amazon has only been around for 30 years and the iPhone for 17 years. Retailers have figured out how to make a digital version of a Target, but they haven't yet cracked the code for a digital Prada. It doesn't mean they never will. And, hey, if you want to buy your next designer watch online, go for it! But let's be honest here … you probably don't. Masayoshi Son's company — once associated with its notorious <a target="_blank" class="" href="https://www.businessinsider.com/weworks-nightmare-ipo">failed bet on WeWork</a> and other lossmaking startups — pointed to gains made across its Vision Funds, its huge investment vehicles with both public and private holdings in tech companies.Gains for its Vision Fund 1, a $98.6 billion investment vehicle launched in 2016 with backing from Abu Dhabi and Saudi Arabia's sovereign wealth funds, totaled $3 billion in the second quarter. The company attributed the growth to GMV growth, device additions, and growth in the financial services distribution business. Since its IPO, when the company went public, it for the first full year EBITDA before ESOP profitability of Rs 559 crore, its earnings results released Wednesday showed. In the January-March quarter, however, Paytm reported a revenue of Rs 2,267 crore, a modest decline of 3 per cent year-on-year. "In Q4 FY 2024, we had lower marketing spends, as we paused most of the user growth spending in the month of February and March. We expect to reinvest in these areas in the coming financial year," Paytm informed stock exchanges. "While we experienced a financial impact in Q4 due to the above disruptions, the full financial impact will be seen in Q1 FY 2025." Paytm says it is confident of seeing meaningful improvement starting from Q2 2024-25, based on restarting certain paused products and achieving steady growth in operating metrics. In Q1 of the current fiscal, its focus will be on acquiring new merchants, reactivation of inactive merchants, and redeployment of devices from inactive merchants to new merchants. "While there will be a smaller net addition of device merchants in Q1 FY 2025, we expect net additions to improve from thereon and recover to past trendlines by Q3 FY 2025." Its revenue from payment services were up 26 per cent to Rs 6,235 crore; net payment margin was up 50 per cent to Rs 2,955 crore; gross merchandise value (GMV) up 39 per cent to Rs 18.3 lakh crore. Merchant paying subscriptions for devices have reached 1.07 crore as of March 2024, an increase of 39 lakh. Revenue from financial services and others up 30 per cent to Rs 2,004 crore; value of loans distributed was up 48 per cent to Rs 52,390 crore. Further, Paytm said that the active rate and per device subscription revenue has been impacted. <ul class="summary-list"><li>Omada Health's booming weight loss program could push the startup closer to a public market debut.</li><li>The startup says care for GLP-1 patients has become its most popular front door for new customers.</li></ul>Last spring, diabetes startup Omada Health said it wanted to <a target="_blank" class="" href="https://www.businessinsider.com/omada-strategy-weight-loss-drugs-semaglutide-ozempic-2023-5">help employers manage patients taking a blockbuster new class of weight-loss drugs</a>.A year later, that business has taken off.Omada Health's metabolic health program has now become the entry point for most new employers considering contracts with Omada Health, Duffy said."The inbound that we get from benefits buyers, the first question is, tell me more about the GLP-1 care track. And that's the thing that turns into the other conversations," Duffy said.Weight loss is now at the forefront of their pitches to employers "even if we don't necessarily want it to be," Duffy said, "because it's the thing. There's such a focus on metabolic care for obesity, and then they're like, oh cool, you guys also do diabetes and hypertension."Launched in 2011, Omada provides virtual care for diabetes, hypertension, musculoskeletal care, and diabetes prevention, alongside obesity, to employers, health plans, and even health systems. The startup is now looking ahead to an IPO, having <a target="_blank" href="https://www.businessinsider.com/exclusive-omada-health-confidentially-filed-s1-ipo-public-2024-10">filed its S-1 this summer</a>, Business Insider first reported in October. Omada previously declined to comment on its IPO plans.But as weight loss pushes Omada closer to a public market debut, Duffy said those contracts with employers haven't looked like what he expected.The startup had initially envisioned that employers would use Omada as a gatekeeper, choosing to pay for buzzy GLP-1 drugs only after a patient had already tried Omada's program, or cutting off the drug coverage after a year and using Omada to help patients maintain their weight loss.But most employers haven't chosen those routes, Duffy said."That's not a common voice. The majority of [our customers] — I actually don't know the reason, but I think it's much simpler — they're choosing to cover the drugs with lifestyle support alongside," Duffy said.<h2 id="d2408f5d-2923-4e91-b037-e2b5136c8d9c">The fraught market for Ozempic</h2>While dozens of healthtech companies, from <a target="_blank" class="" href="https://www.businessinsider.com/weightwatchers-ceo-out-ozempic-weight-loss-drugs-2024-9">WeightWatchers</a> to <a target="_blank" class="" href="https://www.businessinsider.com/ro-weight-loss-program-insurance-delays-wegovy-shortage-2023-6">Ro,</a> have rushed to build online programs to prescribe Ozempic and Wegovy, as well as <a target="_blank" class="" href="https://www.businessinsider.com/hims-and-hers-cheap-weight-loss-drugs-stock-soaring-2024-5">compounded versions of the weight-loss drugs</a>, Omada doesn't prescribe GLP-1s itself. Instead, the startup set out to help patients taking GLP-1s — which began as a class of diabetes drugs — make changes to their diet and exercise.When Duffy <a target="_blank" href="https://www.businessinsider.com/omada-strategy-weight-loss-drugs-semaglutide-ozempic-2023-5">told Business Insider about these plans in May 2023</a>, the startup was confronting a rising tide of employers panicking about the costs of the expensive drugs. The prescriptions typically cost between $8,000 and $10,000 per patient per year, <a target="_blank" href="https://www.wtwco.com/en-us/insights/2024/07/8-employer-considerations-about-glp-1-drugs">according to WTW</a>, formerly Willis Towers Watson. The firm said GLP-1 drugs for obesity account for about 10% of all pharmacy spending.Those cost concerns haven't abated. Most companies still don't cover GLP-1 prescriptions for weight loss, though <a target="_blank" href="https://www.cnn.com/2024/10/09/business/weight-loss-drugs-glp-1-wegovy-employer/index.html#:~:text=More%20employers%20may%20start%20covering,obesity%20drugs%2C%20such%20as%20Wegovy.&amp;text=Still%2C%20more%20than%20a%20quarter,a%20human%20resources%20consulting%20firm.">more pay for the drugs now</a> than in previous years. Employers expect their healthcare costs <a target="_blank" href="https://www.hrdive.com/news/weight-loss-drugs-fuel-large-employer-healthcare-cost-concerns-2025/724977/">to increase by about 8%</a> in 2025, largely due to the explosion of GLP-1s.But Duffy said only a small fraction of Omada's total contracts have imposed strict limits on GLP-1 coverage with Omada as a gatekeeper."In the narrow network world, there's a subcategory of enterprise GLP companies who just make it so that their employees can only get GLP with our conditions. For the past two years, the drugs were in short supply, making it difficult for any patients to get their hands on the drugs, especially without a diabetes diagnosis. Those shortages are reportedly easing, with the FDA removing GLP-1 ingredient tirzepatide from <a target="_blank" href="https://dps.fda.gov/drugshortages/resolved/tirzepatide-injection">its shortage list</a> earlier this month, but many pharmacies are <a target="_blank" href="https://www.npr.org/sections/shots-health-news/2024/09/06/g-s1-21139/ozempic-wegovy-shortages">still dealing with empty shelves</a>.And GLP-1s can also produce plenty of side effects, which, in combination with their high costs and shortages, prompts most patients to <a target="_blank" href="https://www.nbcnews.com/health/long-people-stay-ozempic-stop-2-years-analysis-shows-rcna161216">stop taking the drugs</a> within the same year. That's a problem, since clinical data has shown that the majority of patients <a target="_blank" href="https://www.medpagetoday.com/special-reports/exclusives/112138">regain most of the weight</a> they lost on a GLP-1 after they stop taking it.Omada previously said it wanted to <a target="_blank" class="" href="https://www.businessinsider.com/omada-strategy-weight-loss-drugs-semaglutide-ozempic-2023-5">help patients keep the weight off after stopping their GLP-1 usage</a>. The company said it isn't yet ready to share any findings on how effective those efforts have been.Going forward, Duffy said Omada is continuing to refine its metabolic health strategy as the business grows. He said the startup is also looking to partner with <a target="_blank" class="" href="https://resourcecenter.omadahealth.com/omada-resources/omada-health-partners-with-intermountain-healthcare-and-castell-to-establish-integrated-virtual-care-option-for-diabetes-management-and-prevention">more health systems</a> to provide Omada's virtual solutions for conditions like diabetes and obesity to health systems' patients.
