Previously, LTCG on long-term capital gains was marked at 20%, but it came with indexation benefits, which eventually lowered the individual's overall <keyword id="19974193" type="General" weightage="20" keywordseo="tax-liability" source="keywords">tax liability</keyword>. Now, it has been lowered to 12.5%, but minus any indexation benefit. So, with indexation gone, how will gains from property sales be taxed going ahead? Is this applicable to all properties? What is set to change? Does it help that the <keyword id="22480102" type="General" weightage="20" keywordseo="LTCG-tax" source="keywords">LTCG tax</keyword> has been brought down from 20% to 12.5%? Lets take a deep-dive First, explain this long term short-term conundrum to me So, how much capital gains tax you're supposed to pay depends on how long you hold a particular asset before selling it. Prior to yesterday's announcement, there were 3 holding periods which determined whether an asset was held for long-term or short-term: The situation before- <ul><li>Shares, units of mutual funds would qualify for LTCG tax, if they are held for more than 12 months. If the holding period is less than 1 year, you'd have to pay short-term capital gains (STCG).</li><li>Real estate and immovable property would qualify for LTCG tax, if held for more than 24 months (2 years), along with indexation benefit. </li><li>Bonds, debentures and gold were to be considered long-term capital assets, if they were held for more than 36 months (3 years), with indexation benefit. </li></ul>But going ahead, there will only be two waiting periods which will determine whether an asset would be classified as long-term or short-term The situation now- <ul><li>For all listed securities (stocks, mutual fund units), the holding period for LTCG tax purposes would be more than 1 year (sans indexation benefits) All other assets (real estate, gold, bond, debentures) will qualify for LTCG tax, if they are held for more than 24 months (minus indexation benefits). </li></ul>What was the taxation situation earlier on long-term capital gains? What has changed? So, lets say Tara purchased a property in FY 2004-05 for Rs 20,00,000. In FY 2024-25, she decided to sell it for Rs 60,00,000. You'd think she'll have to pay a flat 20% on Rs 40,00,000, which was her total profit earned from selling her property (Rs 60,00,000-20,00,000). But this is where indexation swooped in and helped cushion the overall tax liability. Prior to July 23rd, 2024, the government considered something known as "indexed cost of acquisition" for determining an individuals' total LTCG tax liability, which was calculated using the following formula: [Cost Inflation Index (CII)value for transfer/sale year/CII for purchase year, or 2001-02 (whichever is later) X cost of acquisition]. Thankfully, you don't have to go about calculating this CII value, since the government does this for you, and notifies the same officially. What CII essentially does is that it compares the current prices of basket A(which contains a bunch of products and services) to the price of the same basket A in the year of comparison, to reflect the change in prices caused by inflation. So, for Tara, her indexed cost of acquisition would come down to Rs 64,24,778 [363(CII for 2024-25) /113(CII for 2004-05)X 20,00,000]. This would mean she incurred a capital loss of Rs 4,24,778, since her indexed cost of acquisition is more than her sales receipts. So, she does not need to pay any LTCG tax. She can set off this loss, but only against her other long term gains with a limit of Rs 2 lakh in one financial year, and can carry forward the same for a maximum of 8 years. However, this changed when the budget memorandum noted yesterday, "indexation available under the second proviso to section 48 is proposed to be removed for calculation of any long-term capital gains which is presently available for property, gold, and other unlisted assets. This will ease the computation of capital gains for the taxpayer and the tax administration". This means that indexation benefits on LTCG will be applicable starting July 23rd, 2024. To understand its impact, assume that this rule is in effect from April 1, 2024. In that case, Tara's LTCG will be a flat 12.5% of her total gains of Rs 38,75,000 (remember, Rs 1,25,000 per year on LTCG are tax-exempt). This would bring Tara's taxability to Rs 4,84,375 Long story, short, minus the indexation benefit, Tara will have to pay Rs 4,84,375 as long-term capital gains tax. However, there has been a slight increase in the basic tax exemption limit for LTCG. Previously, LTCG of up to Rs 1,00,000 in a single financial year was tax-free. But now, this threshold has been raised to Rs 1,25,000. But that too, is not without its share of catches: You can reinvest these funds in either 54EC bonds, which have a maximum annual investment limit of Rs 50,00,000. Or, you can avail this exemption for a maximum of 2 residential houses, provided your capital gains are limited to Rs 2 crore. Also, if you've it purchased a property, or held from before 2001, you can continue to avail indexation benefits, thanks to something called a grandfathering clause. Does indexation or lower tax rates work better? There's no general rule here. But a cursory look indicates that high capital gains would be favorably taxed under these reduced tax rates, while lower returns and holding periods would find indexation to be a better option. Says Pankaj Kumar, VP – Fundamental Research, Kotak Securities, "the Union Budget-FY25 has rationalized long-term capital gains tax on real estate transaction. It proposed to remove indexation benefits and reduce the long term capital gains tax rate from 20% to 12.5% with immediate effect (grandfathering for properties held before 2001). We find that the new capital gains tax structure for real estate favours investors, who have generated high IRRs, while investors with poor IRRs would be worse off in the new regime". "On the other hand, it is expected to have limited impact on end users who purchase homes for personal consumption. The budget has also talked about encouraging states to lower the stamp duty and consider lower duties for women buyers. Lowering of stamp duties would reduce the overall acquisition cost in high stamp duty states/markets like Gurgaon, Chennai, Mumbai and Kolkata", continued Kumar.

At present, such vehicles can issue bonds or borrow from non-bank lenders or mutual funds, but are prohibited to borrow from banks, said the <keyword id="21027897" type="General" weightage="20" keywordseo="indian-reits-association" source="keywords">Indian REITs Association</keyword> (IRA), a newly formed umbrella body for the five-year-old sector, which comprises four listed entities. The body's Chairman and Embassy REIT's Chief Executive <keyword id="21027895" type="General" weightage="20" keywordseo="arvind-maiya" source="keywords">Arvind Maiya</keyword> told reporters it is in touch with the RBI (<keyword id="19899810" type="General" weightage="20" keywordseo="reserve-bank-of-india" source="keywords">Reserve Bank of India</keyword>) for allowing banks to lend to such vehicles. The real estate industry is asset-heavy and needs funds regularly to buy assets for which it should be allowed to borrow directly from banks, he added. Typically, banks have access to deposits which brings down the cost of funds, and hence, the cost of borrowing can become softer for a borrowing entity. <keyword id="21027894" type="General" weightage="20" keywordseo="alok-aggarwal" source="keywords">Alok Aggarwal</keyword>, the Managing Director and Chief Executive of Brookfield India Real Estate Trust, said, at present REITs are classified as a "hybrid" instrument which creates confusion in the minds of the investors. <keyword id="21027896" type="General" weightage="20" keywordseo="maiya" source="keywords">Maiya</keyword> said classification as equities will lead to passive money coming into REITs as the instrument gets included in indices. Other geographies like Singapore, which has inspired the Indian REIT regulations, as well as the US, treat the instrument as equity, he said, stressing that all the features of the instrument are similar to equity. An industry participant said the tax advantages which it gets courtesy of the hybrid status will continue even if it is classified as equity, while another hoped that it can also get gains from a taxation front courtesy of the Long Term Capital Gains (LTCG) which is applicable for equity. The IRA said there are lots of opportunities for the REITs sector to grow in the country, both from a supply side, where the demand for real estate is bound to keep growing and also on the demand for such instruments as Indians look for newer asset classes. <keyword id="20375329" type="General" weightage="20" keywordseo="ramesh-nair" source="keywords">Ramesh Nair</keyword>, the Chief Executive of Mindspace REIT, said the <keyword id="20069427" type="General" weightage="20" keywordseo="global-capability-centres" source="keywords">Global Capability Centres</keyword> (GCCs) of multinationals alone present a very handsome opportunity for the REITS story in the country. Citing the experience in the US, industry executives said there will be dedicated REITs for specific aspects like warehousing and residential properties. When asked about the lack of demand in the residential space till now -- three Indian REITs are in commercial space while the fourth is in retail -- an industry executive said the yields are very low at 2-3 per cent which prevents REITs' play. Nair said the sector wants to reach out to mutual funds' lobby grouping Amfi to learn and partner with them, given that the REIT's current priority is also to create awareness among the investors.

Domestic institutions have been at the forefront, and made up for 45% of the total inflows in the recently concluded March quarter. Their share more than doubled in the last year as it was at 24% in Jan-March 2023. “Domestic investors are increasingly gaining more ground in <keyword id="19895063" type="General" weightage="20" keywordseo="india" source="keywords">India</keyword>n real estate. Within domestic institutional investments, office and residential assets formed about 66%, reflecting a strategic approach to align with India's growth trends. Within this segment, two cities — Bengaluru and <keyword id="19900176" type="General" weightage="20" keywordseo="hyderabad" source="keywords">Hyderabad</keyword> lead investments, with an 81% of share. This trend mirrors robust office demand seen in these cities this quarter. These cities have been frontrunners for demand for Grade A office space in the quarter and saw more than half of the India leasing activity. Overall office demand across the top six cities also remained robust, at 13.6 million sq ft, marking a remarkable 35% increase compared to the same period last year. “Foreign investments remained predominant, driving over two-thirds of the sector's inflows, reinforcing the confidence of global funds in the fundamentals of commercial office real estate in India. Institutional investors continued their preference for completed and pre-leased income-yielding office assets as compared to greenfield developments,” says Colliers. Industrial &amp; warehousing as well as residential segments also drew inflows to the tune of $200 million and $100 million respectively. Investments in Industrial and warehousing assets were concentrated around Pune, Chennai, and Delhi-NCR. “As the industrial and warehousing segment evolves, and micro-fulfillment centers, dark stores and AI-driven supply chains become more prevalent, consolidation and institutionalization will pick up pace, further driving global capital in the coming years,” says Colliers. In the March quarter, the APAC region contributed to over 82% of foreign inflows in India's real estate sector. “The surge in investments by APAC countries such as Singapore can be attributed to a combination of factors including favourable investment climate, strong demand fundamentals across core &amp; non-core segments within real estate, and strategic alliances in the form joint venture platforms,” said <keyword id="20454099" type="General" weightage="20" keywordseo="vimal-nadar" source="keywords">Vimal Nadar</keyword>, senior director and head of research, Colliers India.

Institutions shy away from real estate investments which dip by 40% in Q4 of FY24

<ul class="summary-list"><li>Commercial real estate investment in the US last year dropped 52% to the lowest level since 2012.</li><li>New York led with $33 billion, trailed by Los Angeles with $30 billion in investment. </li></ul>The US commercial real estate market saw a steep drop in investment last year, with capital flows into the market plummeting by more than 50% to the lowest level since 2012. For the fourth quarter, investments in commercial properties plunged by 44% on an annualized basis to $81 billion. That brought the full-year investment total to $348 billion, a 52% decline from 2022,<a href="https://www.cbre.com/insights/figures/q4-2023-us-capital-markets-figures" target="_blank" rel="noopener"> according to CBRE</a>. The figure is only slightly above the <a href="https://www.statista.com/statistics/245103/real-estate-capital-flows/" target="_blank" rel="noopener">$340 billion</a> recorded in 2012.CBRE noted a 91% year-over-year drop in direct real estate company investments to $1.4 billion in Q4, citing increased financing costs. Individual property sales also fell by 36% to $68 billion, while bundled portfolio sales decreased by 45% to $12 billion.New York took the lead with $33 billion in investment, followed by Los Angeles at $30 billion. By property type, multifamily and industrial assets notched investment volumes of $26 billion and $19 billion, respectively. The real laggard by investment volume was the US office sector, which only saw $14 billion in investment in the fourth quarter, a decline of 33% from the same period in 2022. The persistent <a href="https://www.businessinsider.com/commercial-real-estate-crash-outlook-office-market-values-halfway-decline-2023-12">work-from-home</a> dynamics have boosted office vacancy rates to <a href="https://www.businessinsider.com/office-crash-property-values-commercial-real-estate-barry-sternlicht-economy-2024-1">a 30 -year high of 18.6%</a>. Office values have seen the steepest decline among property types, with CBRE noting that offices saw a 16% year-over-year price drop.Billionaire Starwood Capital CEO Barry Sternlicht <a href="https://www.businessinsider.com/office-crash-property-values-commercial-real-estate-barry-sternlicht-economy-2024-1">warned last month</a> that the office meltdown will result in $1 trillion of losses and other real estate experts have said the market could take years to recover its pre-pandemic value. Capital Economics researchers last month predicted that this year would see the completion of a 20% peak-to-tough decline in office values. The dimming outlook for commercial real estate —offices in particular — is linked to the tighter financing conditions that many commercial landlords now face. As billions come due on commercial properties each year, owners must grapple with refinancing existing debt at higher interest rates. While rates are expected to come down in 2024, office landlords will still struggle with elevated vacancy rates. One solution has been to convert offices into residential properties, though not all buildings are suited for it. Commercial real estate investment plummeted to the lowest level since 2012 last year

<ul><li>Data centres, <keyword id="6713616" type="General" weightage="20" keywordseo="co-living-spaces" source="Orion">co-living spaces</keyword> along with other alternate real estate assets are seeing steady institutional inflows for four years, says Colliers.</li><li>India’s economic outlook is sturdy and the business case for alternative investments will only strengthen, it adds.</li><li>Data centres see almost half of all the institutional inflows into alternate assets. </li></ul>Indian alternate real estate assets like co-living spaces, data centres and more have been attracting domestic as well as foreign capital, along with conventional sectors like residential and office spaces. As of the first half of 2023, as much as $158 million was investment into such assets, says a report by Colliers. The breakout year for investments into these assets was 2022 when it touched $900 million. The key driver to this growth was foreign investments which rose six times last year as compared to 2019. India’s GDP is pegged to grow at 6.6% in 2023 as per IMF and the report adds that at such a time when India’s economic outlook remains sturdy amidst global challenges, the business case for alternative investments will only strengthen. “While core sectors continue to dominate the institutional inflows in the Indian real estate sector, the share of alternatives has risen significantly from 3% in 2019, to 18% during 2022,” said Piyush Gupta, managing director of capital markets &amp; investment services at Colliers. The billion dollar investment idea Since 2019, <keyword id="16069" type="General" weightage="20" keywordseo="data-centers" source="Orion">data centers</keyword> have received $1 billion of institutional inflows, with inflows rising multi-fold in the last five years. During the period under review (2019- H1 2023), data centres accounted for about 51% share in the total investments in alternatives, the report said. “India's data centre market is experiencing rapid growth, fuelled by a remarkable surge in virtualisation, e-commerce, cloud computing, and the prolific generation of public data. As the world's second-fastest-growing digital economy, India is set to witness the IT &amp; Communication sector's doubling by 2025, contributing approximately $400 billion to the Indian GDP,” said Amit Sarin, MD at Anant Raj, a real estate developer. The Government of India has recently enacted the Data Protection Bill to ensure protection of data and this has further boosted the demand for data centres, say experts. Data centres are also witnessing large platform deals between developers and investors who are looking to grow their businesses multi-fold. In May 2023, Lumina CloudInfra, a data centre platform owned and managed by Blackstone’s Real Estate and Tactical Opportunities funds, announced its plan to invest more than $300 million to develop a hyperscale data centre campus in Navi Mumbai. Reliance Industries also partnered with Brookfield Infrastructure and Digital Realty for developing data centres in select locations in India. Co-living — an emerging sector Other alternative asset classes such as life sciences, co-living have also seen increased traction, Colliers say. Alternate assets also include senior housing, holiday homes, student housing and co-living properties. The co-living sector in India too saw expansion during Covid-19 pandemic. “This growth has led to increased organisation within the sector, with only committed and reputable players remaining in the business. The demand for co-living accommodations continues to surge nationwide, indicating a promising outlook,” said Sunny Garg, co-founder &amp; CEO, Crib, a SaaS-based property management solution provider. Co-living also offers higher rental returns compared to traditional rental arrangements, making it an enticing prospect for institutional investors, Garg adds. The trend is also going beyond metros, experts say. “This demand is emerging in tier II cities as well. To meet this growing demand, we have strategic plans to expand our facilities into tier II cities like Ahmedabad,” said Abhishek Tripathi, co-founder, Settl, a co-living space developer.

Foreign investments in alternate real estate assets jump 6X in four years

New Delhi [India], May 12 (ANI): India received foreign institutional inflows worth USD 26.6 billion into <keyword id="6354553" type="General" weightage="20" keywordseo="real-estate" source="Orion">real estate</keyword> during the six-year period from 2017 to 2022, a three-fold rise from the preceding six-year period, according to Nasdaq-listed investment management company Colliers. <keyword id="396143" type="General" weightage="20" keywordseo="foreign-investments" source="Orion">Foreign investments</keyword> in India have been on the rise over the last few years as the industry underwent an overhaul, with major structural, policy reforms inducing transparency and ease of business operations, according to Colliers' 'India- High on Investors' Agenda' report. The report delves into the factors that make India a preferred choice for global investors and how it has stepped ahead of other emerging economies. According to the report, foreign investments accounted for a sizeable share of 81 per cent of the total investments in real estate during 2017-22. "The country's investor-friendly FDI policies, increased transparency in deal structures, and higher investment limits through the direct route have encouraged global investors to invest in India's real estate sector," Colliers said. Institutional investments in real estate continued to remain upbeat in January-March 2023 as well, rising by 37 per cent year-on-year at USD 1.7 billion, led by the office sector. "India's favourable demographic indicators, deep digital talent pool, developmental government policies, infrastructure advancements and competitive costs have made it one of the top choices for global enterprises, fueling real estate demand in India. The strong economic and business fundamentals are enhancing institutional investors' sentiments; forging strategic partnerships to expand their portfolios," said Sankey Prasad, Chairman and Managing Director at Colliers India. From the perspective of global and Asia Pacific investors, the Indian property market currently offers attractive pricing, better valuations, and higher yields on assets. At the Asia Pacific level, India has become a preferred investment destination as Indian cities offer higher yields compared to other cities in the region at relatively lower pricing points. Major Indian cities like Bengaluru and Mumbai occupy the second and third positions, respectively, in terms of commercial yield on real estate assets across the region.

REIT is an investment product that lets you invest in real estate without buying an actual property. REITs are companies that own commercial real estate such as office buildings, retail spaces, apartments and hotels and tend to pay high dividends. InvITs are the same, but invest in infrastructure assets instead. The finance bill has brought the debt repayment component of distribution income by REIT and InvIT under tax. Now only a portion of the amount will attract tax as the taxed amount will be calculated after deducting the cost of acquisition of units at the time of sale of units. “The amendment to the Finance Bill has led to moderation in tax incidence for repayment of capital, as the same would now be reduced from the cost of acquisition to the extent of issued capital. The amended stance substantially reduces the tax incidence, as a capital gains tax at the point of sale rather than marginal tax rate on receipt of payment,” said a report by Kotak Institutional Equities. With this, analysts are positive REITs and InvITs and consider it as an attractive investment product. Prior to the union budget FY24, the unit holder was not taxed on dividend distribution and return on capital, only the interest income was taxed at the marginal tax rate, said analysts at JM Financial. “Finance Bill 2023 has proposed that the tax will be levied on the distributed proceeds net of issue price (capital) in the hands of the REIT/InvIT unit holders, making the capital distribution tax free for an extended period of time, thus improving post-tax yield. This new amendment increases the relative attractiveness of REITs / InvITs as the major taxation overhang is removed. However, the proceeds will be taxed at slab rates and not as capital gains (10% on long-term gains and 15% on short-term gains),” said a report by JM Financial. A report by Kotak Institutional Equities says they are positive on the sector as “leasing momentum continues to be strong and current REIT prices imply attractive FY2024E yields of 7-8%. We remain positive on the sector.” The proposed amendment is largely in line with the representations made by the industry to the government. Commercial real estate in top Indian cities in 3QFY23 saw the second-highest quarterly gross absorption in the past 10 years at 20 million square feet. REITs and InvITs become attractive after major taxation overhang removed

Capital markets regulator <keyword id="35210" type="General" weightage="100" keywordseo="sebi" source="Orion">Sebi</keyword> on Thursday extended the timeline till March 15, for submission of public comments on a proposal pertaining to higher responsibility for sponsors of investment vehicles - <keyword id="11931834" type="General" weightage="20" keywordseo="reits" source="Orion">REITs</keyword> and InvITs. The regulator had put in place a consultation paper on holding of sponsors in <keyword id="162545" type="General" weightage="80" keywordseo="real-estate-investment-trust" source="Orion">Real Estate Investment Trust</keyword> (REITs) and <keyword id="2584560" type="General" weightage="80" keywordseo="infrastructure-investment-trust" source="Orion">Infrastructure Investment Trust</keyword> (InvITs) on February 23 and sought public comments on the same by March 8. "It has been decided to extend the timeline for submission of comments to March 15, 2023," the <keyword id="6355630" type="General" weightage="80" keywordseo="securities-and-exchange-board-of-india" source="Orion">Securities and Exchange Board of India</keyword> (Sebi) said in a public notice. In its consultation paper, the regulator proposed changes to rules governing REITs and InvITs whereby sponsors will be required to own a certain percentage of units in these investment vehicles. The changes were proposed keeping in mind the interest of unit holders and the structural vulnerabilities associated with the absence of a sponsor for REITs and InvITs. The watchdog suggested that the sponsors of REITs/InvITs should hold 15 per cent of the capital for a period of three years from the date of listing as there is no mandatory unit holding requirement after three years. It was also proposed to mandate sponsors to hold 5 per cent of the unit capital after 3-5 years, 3 per cent from 5-10 years, 2 per cent from 10-20 years and 1 per cent after 20 years. As per Sebi, the REIT/InvIT industry is in a nascent stage and continuously evolving, there is a need to have at least one sponsor throughout the life of the investment managers. REITs and InvITs are relatively new investment instruments in the Indian context but are extremely popular in global markets. While a REIT comprises a portfolio of commercial real assets, a major portion of which is already leased out, InvITs comprise a portfolio of infrastructure assets, such as highways and power transmission assets.
