National Company Law Tribunal (<keyword id="6355809" type="ORGANIZATION" weightage="100" keywordseo="nclt">NCLT</keyword>) has ruled that <keyword id="6356895" type="PERSON" weightage="100" keywordseo="Cyrus-Mistry">Cyrus Mistry</keyword>’s petition is not maintainable, saying that his family firms are not qualified to file a petition alleging mismanagement of <a href="http://www.businessinsider.in/letter-by-tata-sons-new-chairman-n-chandrasekaran-to-tcs-employees/articleshow/56529207.cms">Tata Sons</a> and oppression of minority shareholders. 
 "The petitioners have failed to convince the court that the application is maintainable," said B.S.V. Kumar, presiding member of NCLT. As per rules of the Companies Act, 2013, shareholder needs at least 10% to file a petition in the NCLT. Mistry's family firms - Cyrus <keyword id="6362476" type="ORGANIZATION" weightage="80" keywordseo="investments">Investments</keyword> Pvt Ltd and Sterling Investments Pvt Ltd - hold only 2.17% shares of the total share capital (equity + preference shares) of <keyword id="46894" type="PERSON" weightage="100" keywordseo="Tata-Sons">Tata Sons</keyword>. 
 
Whether or not the requirement can be waived will be decided on 7th March. 
 It was in December 2016 that Mistry had filed a petition alleging oppression of minority shareholder rights and mismanagement at the <keyword id="6355725" type="CITY" weightage="100" keywordseo="Tata-Group">Tata Group</keyword>. 
 
In case NCLT waives the requirement, Tata Sons could challenge it in National Company Law Appellate Tribunal (NCLAT), because by law, this kind of waiver has to be sought before a petition is filed. In case NCLT rules against a waiver, Mistry could go to court against today's ruling and also on the waiver petition. 
 
In October last year, Mistry was <a href="http://www.businessinsider.in/cyrus-mistry-removed-as-tata-sons-director/articleshow/57003221.cms">removed</a> as the chairman of Tata Sons, leading to a <a href="http://www.businessinsider.in/war-intensifies-cyrus-mistry-is-going-to-challenge-chandrasekarans-appointment-as-tata-sons-chairman/articleshow/56642005.cms">public spat</a> between Mistry and Tata Group. While the group said that Mistry was not a good leader, he accused Tata Sons poor corporate governance practices.

He then went on to file a <a href="http://www.businessinsider.in/mistry-seeks-to-stall-tata-sons-shareholding-meeting-files-petition/articleshow/56932812.cms">344-page petition</a>, in which he shared the minutes of several board meetings, details of business deals and emails, which, as per Tata Sons was making 'confidential and sensitive' information public. Tata Sons in turn filed a complaint against Mistry with the Securities and Exchange Board of India (<a href="http://www.businessinsider.in/sebi-to-allow-mutual-funds-to-invest-in-reits-invits/articleshow/56559875.cms">SEBI</a>).

NCLT rules out Cyrus Mistry's petition against Tata Sons

The Indian capital market regulator, <keyword id="6355630" type="ORGANIZATION" weightage="20" keywordseo="Securities-and-Exchange-Board-of-India">Securities and Exchange Board of India</keyword> (SEBI), is examining all events at <keyword id="46894" type="PERSON" weightage="100" keywordseo="Tata-Sons">Tata Sons</keyword> and the other group companies to check violation of insider trading regulations. 
 SEBI is seeing if price-sensitive information was disclosed to Tata Sons directors and <keyword id="6383155" type="UNKNOWN" weightage="20" keywordseo="Tata-Trusts">Tata Trusts</keyword> nominees before it was approved by the boards of operating companies. 
 
"We are taking note of the events unfolding at Tata companies and examining whether there has been any securities law violations,” a senior SEBI official told ET. 
 
As per the rules, price-sensitive information can be shared only on a need basis and people who are not crucial should not know about it. 
 The SEBI got alert when ousted Tata Sons Chairman <keyword id="6356895" type="PERSON" weightage="20" keywordseo="Cyrus-Mistry">Cyrus Mistry</keyword> said that Trusts' directors Nitin Nohria and Vijay Singh left a Tata Sons board meeting in progress, keeping the board waiting for almost an hour, to obtain instructions from <keyword id="6360722" type="PERSON" weightage="20" keywordseo="ratan-tata">Ratan Tata</keyword>. 
 
"Such a work pattern has also created the added risk of contravening insider-trading rules,” Mistry had said in his e-mail to Tata Board. 
 
“Although the directors are appointed by the shareholders of the company, their primary duty is to the company and they are legally bound to act in the best interests of the company and not in the best interests of its majority shareholders,” Sandeep Parekh, founder of Finsec Law Advisors and who was an executive director of SEBI, told ET. 
 
"Confidential information pertaining to the deal revealed by the officials of Tata Power to the board of Tata Sons violates provisions of the Companies Act as well as Sebi's insider-trading regulations,” he said.

India’s market regulator is examining Tata Sons and group companies for a major regulation violation

New Delhi, Jan 4 () Tata Consultancy Services (TCS), the flagship company of the Tata group, on Saturday said it has filed an appeal in the Supreme Court against the NCLAT that directed the reinstatement of Cyrus Mistry as a director of the company.
In a filing to the stock exchanges, TCS said the National Company Law Appellate Tribunal (NCLAT) - vide its judgement on December 18, 2019 - had directed re-instatement of Mistry as director of the company for rest of the tenure.
"...the company, based on a legal opinion, has on January 3, 2020 filed an appeal in the Hon'ble Supreme Court of India (i) to set aside the said Judgement qua the company and (ii) in the interim stay on operation of the said judgement to the extent it relates to the company," it added.
In a major development, the NCLAT had restored Mistry as executive chairman of Tata Sons and ruled that appointment of N Chandrasekaran as the head of the holding company of salt-to-software conglomerate was illegal.
Subsequently, Tata Sons moved the Supreme Court against the December 18 order of the NCLAT reinstating Mistry as the company's chairman.
After that, Tata Group patriarch Ratan Tata also filed a petition in the Supreme Court seeking to quash the company law appellate court order, saying the judgment was "wrong, erroneous and contrary to the record of the case".
His petition, however, is separate from the one filed by Tata Sons Ltd, the holding company of the USD 110 billion salt-to-software conglomerate, in the Supreme Court on Thursday. SR MKJ

"Today's victory is not a personal victory for me, but is a victory for the principles of good governance and minority shareholder rights," he said a statement shared with the press. The Tata vs Mistry battle is far from over Within two months of his dismissal, Mistry’s family-run investment firms approached the NCLT. Mistry’s primary argument was that his removal as chairman of Tata Sons violated the Companies Act by forcing him to leave without ‘due process’ being followed and also accused the Board of ‘oppression and mismanagement’. While the lower court, the NCLT, had turned down Mistry’s appeal, today’s victory at the appellate tribunal gives Mistry a second chance to prove his charges against the Board and Ratan Tata. "The outcome of the appeal is a vindication of my stand taken when the board of Tata Sons, without warning or reason removed me, first as executive chairman, and subsequently as director of Tata Sons," he said. The SoftBank founder added that these rules are necessary to protect the citizens of China as internet companies become bigger. Masayoshi Son says China's crackdown on Alibaba is nothing different than antitrust regulations in US or UK

<keyword id="6356895" type="PERSON" weightage="100" keywordseo="Cyrus-Mistry">Cyrus Mistry</keyword> recently decided to take bitter feud between him and <keyword id="472891" type="COMPANY" weightage="20" keywordseo="Tata-Groups">Tata Groups</keyword> to the court filing a petition against the group. However, no interim relief was given to petitioners by <keyword id="6354457" type="ORGANIZATION" weightage="20" keywordseo="National-Company-Law-Tribunal">National Company Law Tribunal</keyword> in its first hearing on the case of oppressive conduct against <keyword id="46894" type="PERSON" weightage="20" keywordseo="Tata-Sons">Tata Sons</keyword>. 
 The judge also issued a stay preventing any interim application being filed in any of the other courts. The more than two hour long hearing saw lawyer A Sundaram charge allegations against <keyword id="6360722" type="PERSON" weightage="20" keywordseo="ratan-tata">Ratan Tata</keyword> and Tata Sons. The date of the next hearing was fixed for 31st of January and 1st of February. 
 The Mistry’s coucel said that he shouldn’t be removed from the board of Tata Sons; there should not be any securities which results in the dilution of the present paid up equity capital held by the petitioners in Tata Sons. The council also said that there should not be any change in Articles of Association unless allowed by the court. They also spoke about irregularities in <keyword id="86568" type="COMPANY" weightage="20" keywordseo="Air-Asia">Air Asia</keyword> and how on 24th of October , Mistry wanted to discuss the <keyword id="6358918" type="PERSON" weightage="20" keywordseo="Deloitte">Deloitte</keyword> report that highlighted these irregularities. Sundaram also said that the then chairman wanted to propose a framework of governance but instead he got removed. 
 
They also linked Tata Sons and Ratan Tata with the Rs 22 crore fraudulent transactions alleged to have been carried out in the conglomerate's joint venture airline AirAsia India. It said as part of the transactions, the salt-to-software conglomerate at the behest of Tata, had dealings with Hamid Reza Malakotipour, an alleged sanctioned global terrorist. On both allegations, they have cited the report by Deloitte which conducted a forensic investigation on AirAsia India. 
 
Sundaram also tabled accusations against Ratan Tata of insider trading and the influence of Lord Bhattacharya in decisions of the group. 
 
The judicial member BSV Prakash Kumar asked petitioners why they Mistry had not raised these issues earlier and also asked them to show proof of these accusations. 
 
Tata Sons was represented by Abhishek Manu Singhvi. 
 
Mistry- the former chairman of Tata Sons, was ousted on 24th October.

Sanjeev Prasad said the young couple live in separate states because of work, and that their daughter-in-law doesn't stay with them, which has "added to (their) sufferings" and caused the older couple "immense pain."
