One of the <keyword id="6355791" type="General" weightage="20" keywordseo="PIL" source="Orion">PIL</keyword> petitioners has moved the <keyword id="6354977" type="General" weightage="20" keywordseo="Supreme-Court" source="Orion">Supreme Court</keyword> opposing SEBI's plea seeking a six-month extension to complete the probe into allegations of stock price manipulation by the Adani group and lapses in regulatory disclosure, saying the market regulator has already got sufficient time to inspect, examine, collect and seize relevant documents. The <keyword id="6355630" type="General" weightage="20" keywordseo="Securities-and-Exchange-Board-of-India" source="Orion">Securities and Exchange Board of India</keyword> (SEBI) recently moved an application in the top court seeking six more months for ascertaining possible violations related to misrepresentation of financials, circumvention of regulations and/or fraudulent nature of transactions, and completing the exercise. The top court had on March 2 asked SEBI to probe the matter within two months and also set up a panel to look into the protection of Indian investors after a damning report by a US short seller wiped out more than USD 140 billion of the conglomerate's market value. PIL petitioner and lawyer Vishal Tiwari Tuesday filed an application before a bench headed by Chief Justice D Y Chandrachud opposing the SEBI's plea, saying it will prolong the probe and cause inordinate delay. “That the Application filed by the respondent (SEBI) may prolong the matter and cause inordinate delay. The ...delay may allow the various corporate entities which are under the umbrella of investigation to manipulate the important data and figures and may cause tampering of evidence present in different shapes and modes,” Tiwari said in his reply. He said SEBI, even before the court ordered a probe, stated it had already begun the investigation and was enquiring into the situation emerging after the Hindenburg report. “When SEBI is already in action prior to the order passed by this court of investigation then it should have got the records and data which are required in the present investigation of several corporate entities and of Adani group,” Tiwari's reply said. The reply said SEBI has not stated in its plea as to who it has appointed to investigate the issue. “The reasons given in the application by SEBI for the extension time of six months are not acceptable because SEBI has already got sufficient time to inspect, examine, collect and cease (sic) the relevant documents, data, information, accounts statements etc. SEBI is trying to make the investigation process endless and delay will grant benefit to the wrong-doer companies and promoters,” it said. If SEBI does not take effective steps expeditiously without delay, then the investors' investments will remain in danger and the wrong-doers will manage to “manipulate or protect themselves by wrong means”, it said, insisting the market regulator should not be given more time for probe. In respect of the investigation related to 12 suspicious transactions, the SEBI has said these are complex and have many sub-transactions. A rigorous investigation of these transactions would require collation of data from various sources along with detailed analysis including verification of submissions made by the companies, it has said. The apex court, while directing the setting up of a six-member committee headed by former apex court judge Justice A M Sapre for the assessment of the extant regulatory framework and for making recommendations to strengthen the process, had said it was appropriate to constitute such a panel of experts in order to protect Indian investors against the volatility of the kind which has been witnessed in the recent past. The court-appointed Justice Sapre panel is to be provided assistance by the Centre and other statutory agencies including the SEBI chairperson. The Centre had agreed to the apex court's proposal to set up the committee to go into regulatory regimes. Four PILs have been filed in the top court so far on the issue by lawyers M L Sharma and Vishal Tiwari, Congress leader Jaya Thakur and Mukesh Kumar, who claims to be a social activist. Adani Group's stocks had taken a terrible hit on the bourses after Hindenburg Research made a litany of allegations, including those of fraudulent transactions and share-price manipulation, against the business conglomerate. The Adani Group has dismissed the charges as lies and asserted it complies with all laws and disclosure requirements. Adani-Hindenburg row: PIL petitioner moves SC, opposes Sebi plea for extension of time to complete probe

(Eds: Incorporating related story) New Delhi, Mar 25 () Amid problems faced by stock brokers and other staff related to market entities in reaching their offices due to a nationwide lockdown, markets regulator Sebi on Wednesday asked all the states and union territories to allow such personnel to commute to their workplaces for smooth functioning of the capital markets. The development comes amid a 21-day nationwide lockdown announced by Prime Minister Narendra Modi on Tuesday as part of efforts to curb the spread of coronavirus. However, the home ministry said capital and debt market entities notified by Sebi will be exempted from such closure. Stock brokers' association Anmi and the Commodity Participants Association of India (CPAI) said brokers are facing problem while commuting to their respective offices due to lockdown as police are not allowing any movement. Consequently, the Securities and Exchange Board of India (Sebi) has written to all the states and union territories to allow movement of personnel of the entities notified by the regulator for the smooth functioning of the capital markets. Besides, the regulator has asked to facilitate the functioning and movement of its employees, according to the letter. "Today, Sebi has written to chief secretaries/ administrators of all states/ UTs, requesting them to facilitate the functioning and movement of personnel of entities notified by Sebi for the smooth operation of the capital markets," a Sebi spokesperson told . In the letter, Sebi has referred to an order issued by the Ministry of Home Affairs, which said: "The order...provides that commercial and private establishment shall be closed down but that the capital and debt market service as notified by the Securities and Exchange Board of India shall be exempted from such closures." This empowered Sebi to notify capital and debt market services from the applicability of this order and guidelines with respect to functioning of commercial and private establishments, the letter noted. Accordingly, the regulator-notified entities exempted from the nationwide closure are stock exchanges, clearing corporations, depositories, custodians, mutual funds, asset management companies, stock brokers, trading members, clearing members, depositories participants, registrar and share transfer agents. Besides, credit rating agencies, debenture trustees, foreign portfolio investors, portfolio managers, alternative investment funds and investment advisers have also been exempted. Several employees of market-related entities have been facing problems in commuting even as stock exchanges and brokers have been classified as essential services by the central and state governments. "While almost all of our team is working remotely from home, there are very few critical jobs that may still need the physical infrastructure keeping customers' interest in mind. "Few of our employees faced challenge today (Wednesday) in reaching office but we are sure authorities will take necessary steps for smooth functioning of operations and very few selective critical people are given access to reach their offices," said Lav Chaturvedi, executive director and chief executive officer, Reliance Securities. Stock broker Abhinav Agarwal, who is a director of Abhipra Capital, said the biggest difficulty is that the bare minimum staff is not able to reach the office, trading may be done online but back-office work requires people. "They are afraid because of police behaviour. Families are also pressurising not to come out. Meeting with regular compliances for day-to-day trading is becoming impossible without the staff." Another broker Deepak, who is a director at Jyoti Portfolio, said that by facing a lot of difficulties, only four staff members could reach office and now, those people are refusing to come on Thursday. Meanwhile, investment services company Geojit Financial Services said it will continue to offer its services to meet the investment needs of its clients with a limited number of staff. Meanwhile, Anmi, which has around 900 brokers as members, has appealed to Sebi to allow a systematic closure till the nationwide lockdown remains in force. On Tuesday, the Association of National Exchanges Members of India (Anmi) requested Sebi to close stock exchanges for at least two days, which will give brokerage firms time to close their entire outstanding positions, in case all states do not declare stock broking as an essential service. Besides, CPAI also requested Sebi "to close down all exchanges operations with appropriate directions till March 31, initially if the request of classifying broking as essential service cannot be considered as feasible and take a fresh review of situation later". New Delhi, Apr 15 () Issuing fresh guidelines for the second phase of the lockdown, which will be in effect till May 3, the government on Wednesday said important financial services like banking and insurance will continue to function during the period to help people meet their financial needs.These activities were also allowed during the first phase of a 21-day nationwide lockdown which ended on Tuesday."The important components of the financial sector, e.g., RBI, banks, ATMs, capital and debt markets as notified by SEBI and insurance companies will also remain functional, with a view to provide enough liquidity and credit support to the industrial sectors," the consolidated revised guidelines issued by the Home Ministry said.As per the revised guidelines, IT vendors for banking operations, banking correspondents, ATM operations and cash management agencies will also be functional.Bank branches are allowed to work as per normal working hours till disbursal of DBT cash transfers are complete, it said, adding, local administration is to provide adequate security personnel at bank branches and for banking correspondents to maintain social distancing and staggering of account holders.Direct Benefit Transfer(DBT) to the poor and vulnerable section of society, hit hard by the coronavirus outbreak and the consequent lockdown, is providing financial support for sustaining during these difficult times.It further said the digital economy is critical to the services sector and is important for national growth. Accordingly, e-commerce operations, operations of IT and IT enabled services, data and call centres for government activities, and online teaching and distance learning are all permitted activities now.The revised consolidated guidelines are aimed at operating those sectors of the economy which are critical from the perspective of rural and agricultural development and job creation, while maintaining strict protocols in areas where safety is paramount to contain the spread of COVID-19 in the country, it added.
