New Delhi, Mar 25 () Agro-chemicals firm Dhanuka Agritech Ltd on Wednesday said it has temporarily shut down operations in all its three manufacturing units amid nationwide lockdown due to COVID-19 outbreak. In a regulatory filing, the company said this is in line with the directives issued by the respective state governments and authorities to prevent and contain the outbreak of coronavirus. The company has temporarily shut down its registered office, corporate office and operations at all its three manufacturing facilities located at Sanand (Gujarat), Udhampur (J&amp;K) and Keshwana (Rajasthan), it said. Furthermore, all other offices have been closed down and employees have been asked to work from home, the filing said. The company said it will resume operations and offices once the situation improves and suitable directions are issued by the central or state government. LUX SHWSHW

New Delhi, Feb 13 () Agro chemical firm Dhanuka Agritech on Thursday reported a 90 per cent increase in its consolidated net profit at Rs 27.67 crore for the quarter ended December. Its net profit stood at Rs 14.60 crore in the year-ago period. Total income rose to Rs 279.32 crore in the third quarter of this fiscal year from Rs 220.57 crore in the corresponding period of the previous year. Dhanuka Agritech manufactures a wide range of farm input products. It has a network of more than 8,000 distributors and dealers selling to over 75,000 retailers across India and reaching out to more than 10 million farmers. MJH SHWSHW

Dhanuka Agritech Q3 profit up 90% at Rs 28 cr

New Delhi, Nov 18 () The NCLAT has rejected the bid of Dhanuka Laboratories for the debt ridden Orchid Pharma, and vacated the order passed by the Chennai-bench of NCLT, which had earlier approved its resolution plan.
The appellate tribunal observed that the approved resolution value, which stood at Rs 1,146.04 crore, proposed by Dhanuka Laboratories was lower than the liquidation value of Rs 1,309 crore of the company.
"The upfront payment alleged to be less than the 'Liquidation Value' of Rs 1,309 crore," said the NCLAT-bench headed by Chairman Justice S J Mukhopadhaya.
Earlier, the Chennai-bench of National Company Law Tribunal (NCLT) had approved the Resolution Plan submitted by Dhanuka Laboratories on its order dated 25 and 27 June, 2019.
"Admittedly, the amount offered in favour of stakeholders including the 'Financial Creditors' and the 'Operational Creditors' is being much less than the 'Liquidation Value', such 'Plan' cannot be accepted.
"For the reasons aforesaid, we set-aside the impugned order dated 25/27th June, 2019 ordering approval the 'Resolution Plan', but do not interfere with the impugned order dated 25th/27th June 2019 by which the application filed by M/s Dhanuka Laboratories Ltd, a 'Resolution Applicant' was rejected," said the National Company Law Appellate (NCLAT).
The appellate tribunal said infusions of fund for maximization of the assets of the Corporate Debtor cannot be counted for the purpose of the amount. Dhanuka Laboratories resolution plan also had a provision of equity infusion of Rs 570 crores as working capital.
"Infusions of fund for maximization of the assets of the 'Corporate Debtor' cannot be counted for the purpose of the amount, which is being kept for distribution amongst the stakeholders, including the 'Financial Creditors' and 'Operational Creditors', if it is less than the 'Liquidation Value', such 'Plan' cannot be upheld, being against the object of the I&amp;B Code and Section 30(2) of the said Code," it said.
The NCLAT order came over a petition filed by Accord Life Spec, which had challenged the order of NCLT approving Dhanuka Laboratories' bid. KRH BAL

We have seen that the trend of content is pretty consistent over a period of time. There are two or three pieces of content that work – one, good stories always find audiences. Second, their genre also plays a role. We did Hiccups and Hookups which is a very urban story but it found great audiences across the country. Jungle Cry was about a bunch of boys who participated in a rugby championship. Typically we have seen that action, thriller genres slightly outperformed the other genres. Their engagement levels are higher. When it comes to gender diversity in shows and movies, what has been Lionsgate's approach in India? We are the torchbearers for gender diversity. Our lineup of shows have female protagonists. Even when we launched our first edition in India, we had female leads in Hiccups and Hookups. We are consistently working around two accounts- gender diversity and inclusion. Lionsgate has also gone and represented African-American, Hispanic and Latin American communities on a global stage. The industry itself is changing as it is moving away from a male-centric view. It is now talent as opposed to gender. How is Lionsgate Play investing in regional cinema and content? We are trying to represent India as a whole but as of now we are slightly more focused on Hindi along with our Hollywood content. As we evolve in southeast Asia, we are going to look at regional Indian content. As of now, that is not a priority. Jungle Cry is a great example of how it does not need to be a local dialect but a local story also works wonders. We are currently releasing 65 plus titles in a year. Globally, our budget is around $2 billion. Which movies are creating the most amount of buzz? Feels Like Home is coming up with its second season. We are premiering Serpent Queen, Jerusalem, Unscripted Graham Norton and we just did Emmys. We want to present the type of content that customers have something to look forward to every Friday. How many minutes does an average user spend using Lionsgate Play? Our completion rate for series and movies is very high. Feels like Home alone had a 50% completion rate, which is significant. If we quantify our series, at least two to five episodes are being consumed. An average time spent per user on Lionsgate India is at least 80 minutes, sometimes going upwards (to) 100 minutes. How has the partnership with prime channels helped Lionsgate in India? We are also one of the largest partners globally when it comes to partnership with prime channels. In India, we have had a fantastic partnership with our launch of prime channels in the past 12 months. The subscribers in India on Lionsgate are paying annual subscriptions directly as opposed to monthly subscriptions. Apart from Hindi, what language shows are Indians interested in? What OTT has done is reduced the language barrier considerably and made the audience slightly language agnostic. Earlier, the only way you could watch a dubbed movie was in a theatre or on television but it did not create any considerable monetary opportunity and OTT has tapped into that market – whether it is Korean content popular in India, or Malayalam, Tamil and Telugu content being watched in Hindi speaking markets. We did a great experiment with a dubbed Arabic movie called The Ambush and because of great content, it performed excellently in India. Can OTTs hold their own space with theatre releases by Bollywood? Brahmāstra was recently released in theatres and even though it will be released on OTT soon, I went to watch it in a theatre. The experience in a theatre is different. That experience cannot be replicated on a small screen. What OTT does is it lets you watch at the time and place of your choosing. Each has a different need they are serving. Lionsgate also looks forward to onboarding upcoming Bollywood movies. New Delhi, Jan 9 () The farm policies need to be reoriented to first ensure income security to farmers and later make them businessmen, a senior agriculture ministry official said on Thursday.
"Now, we are thinking to secure the community which has made our country food secure. We must emphasise on income security of farmer friends. Unless they are secured our aim of food and nutrition security, feed and fodder security and ecology security will not be fulfilled," said Ashok Dalwai, chairman of hight-level panel on doubling farmers income.
Dalwai, who is also CEO of the National Rainfed Area Authority (NRAA), has recommended several policy measures to improve the income of farmers.
Speaking at an event organised by agro-chemicals firm Dhanuka Agritech Ltd, Dalwai said India has the capacity to improve the income of farmers.

New Delhi, Jan 1 () Whos who of the corporate world - from Reliance to Tatas to ArcelorMittal - were in corporate law court but what took the cake was the NCLAT order reinstating the ousted Tata Sons head Cyrus Mistry as it shocked as well as shook the entire business world.
 Though the National Company Law Appellate Tribunal (NCLAT) passed several orders/judgments in the insolvency and corporate matters in 2019 which include Tata-Mistry feud, Essar Steel, Jet Airways, IL&amp;FS, Jaypee Infratech, and Reliance Communications, several of them failed to pass the scrutiny of the Supreme Court and were either set aside or modified.
 While for 2020, NCLAT's calendar is marked with several important matters and would start the year with the government-controlled Registrar of Companies (RoC) plea to modify the order passed by it in the Tata-Mistry case, in which it had directed to change the status of Tata Sons from a private company to a public company, the holding firm of USD 110 billion empire.
 Besides, judgments are also expected from the appellate tribunal on other important matters which include the insolvency of Bhushan Power &amp; Steel Ltd in which JSW has challenged attachment of assets by the ED; resolution of IL&amp;FS group which has an outstanding debt of over Rs 90,000 crore; and McDonald's-Bakshi matter, where state-run HUDCO is opposing settlement offer by US-based QSR major.
 In the Essar Steel insolvency matter, the NCLAT in July this year while giving a final go ahead to the global steel giant ArcelorMittal for Rs 42,000 crore takeover of Ruia's firm had put all the operational creditors of the company almost at par with the secured financial creditors over the disbursement of funds.
 It had shaken the banking world as the appellate tribunal had altered the plan voted by Essar Steel's lenders and approved by NCLT Ahmedabad and was challenged before the Supreme Court.
 The apex court on November 15, not only upheld the primacy of financial creditors in the distribution of funds received under the corporate insolvency scheme but also ruled that the CoC would have a final say in the resolution plans under the Insolvency and Bankruptcy Code (IBC).
 In August, the NCLAT ordered for liquidation of auto component maker Amtek Auto declining its lenders plea for extension of the insolvency resolution process deadline.
 This was challenged by the lenders before the Supreme Court, which last month directed the resolution professional to invite fresh bids for the auto component maker within 30 days.
 In another case, the NCLAT in November rejected the bid of Dhanuka Laboratories for Orchid Pharma and set aside the approval granted by the Chennai-bench of the NCLT.
 The NCLAT observed that the approved resolution value, which stood at Rs 1,146.04 crore, proposed by Dhanuka Laboratories was lower than the liquidation value of Rs 1,309 crore of the company. This was challenged by the CoC before the Supreme Court which granted a stay on the order last month.
 In July, the NCLAT permitted fresh bidding for the debt-laden Jaypee Infratech and extended the resolution period for another 90 days. However, in November the apex court annulled the order and allowed only two revised resolution plans from NBCC (India) Ltd and Suraksha Realty for voting.
 The apex court had directed to complete the resolution process of Jaypee Infratech, which is developing about 32,000 flats, in which it has delivered 9,500 units, in 90 days.
 The NCLAT order of January last directing initiation of insolvency proceedings against investment firm La-Fin Financial Services over the plea of IL&amp;FS Financial Services had similar outcome at the apex court. The order was set aside by the Supreme Court which held that IL&amp;FS Financial Services plea was beyond the period of three-years mentioned in Article 137 of the Limitation Act, and thus is time-barred and cannot be proceeded further.
 In 2019, some of the NCLAT orders also raised eyebrows. The order in case of Sterling Biotech was such a case. The appellate tribunal not only stayed the liquidation of the company but also directed to hand over the management to its promoters, including absconding Nitin Jayantilal Sandesara and Chetankumar Jayantilal Sandesara.
 The NCLAT also said that the Enforcement Directorate will probe and ascertain whether the money paid by the absconding promoters is not from the proceeds of crime.
 NCLAT Chairman Justice S J Mukhopadhaya, who is going to hang his boots in March 2020 is also expected to pass the final judgment on fair trade regulator CCI's nod to Walmart's USD 16-billion acquisition of Flipkart.
 The appellate tribunal had reserved its order in January last over the plea filed by trade association CAIT challenging approval by the Competition Commission of India (CCI).
 In October, the NCLAT gave its go-ahead to NCLT Mumbai to decide on Adani Ports and SEZ Ltd's bid for Dighi Port, however, it said that the outcome would be subject to its final order.
 In the same month, the appellate tribunal also rejected the oil ministry's plea seeking USD 314 million (around Rs 2,245 crore) from insolvency-bound Videocon Industries in unpaid profit petroleum from the Ravva oil and gas fields in the eastern offshore. KRH ANZ

<ul><li>Indian companies are dependent on imports from China in several key sectors apart from smartphones and smart TVs. </li><li>Products like air conditioners, cars, electric vehicles and even medicines are highly dependent on material from China. </li><li>Even though companies might make many of these products in India, the heavy dependence on Chinese imports could hurt them if the <keyword id="3763841" type="PERSON" weightage="20" keywordseo="boycott-china">boycott China</keyword> campaign prevails. </li></ul>The dominance of Chinese products in electronics, particularly, smartphones and smart TVs is widely known. But, did you know that even many of the ‘made in India’ products rely on parts imported from China? These are the top 7 sectors that will be hurt the most if the boycott China campaign prevails: <ul><li>Cars – 27% of the imports come from China, including key components used in engines, wheels and electric vehicles. China is the key supplier for sub-components used in engine, electrical, electronics, alloy wheels, tyres etc. Also, it supplies key components for EVs, including lithium-ion battery cells, according to a Motilal Oswal, a broking firm, report.</li></ul>“Tata Motors, Motherson Sumi and Bharat Forge would be the least impacted due to their business’ diversified nature and global operations,” the report said. Up to <a href="https://economictimes.indiatimes.com/industry/cons-products/electronics/duty-on-led-panels-could-go-to-keep-make-in-india-on-big-screen/articleshow/67534491.cms">70% of the cost</a> of a smart TV is the display and most of them come from China.</li></ul>For instance, Voltas will be the most affected in case the Indian government hikes tariffs on imports from China. On the other hand, companies like Havells will be the least affected since 90% of its manufacturing is in-house. Other makers of electrical appliances depend on China in the range of 20-60%. <div type="Article" hostid="261" msid="76419573" title="The boycott of China’s products will be easier said than done –⁠ smartphones, ACs and cars may become more expensive" mstype="2" mssubtype="0"></div> <ul><li>Pharmaceuticals – 60-70% of key materials come from China and the Chinese raw material is 20-30% cheaper than domestic production. </li></ul>The situation is worse in cases of antibiotics and penicillin, for which more than 90% of the imports are from China. However, Sun Pharma and Cipla would be the least impacted as they are fully integrated and have considerable exposure to the branded business, Motilal Oswal said. <ul><li>Telecom – Airtel and Vodafone Idea use telecom equipment from Huawei and ZTE in a total of 10 circles out of 22. Over 75% of smartphones in India are imported from China. </li><li>Chemical and Agro Chemicals – 10-50% of raw materials are sourced from China depending on the product. Companies are trying to reduce their dependence on China by identifying other countries to source from. Agrochemicals refer to pesticides used by farmers.</li></ul>Rallis, Dhanuka, Sumitomo India and Insecticide will be the worst hit while SRF, Aarti Industries and Bharat Rasayan which make agrochemicals will benefit from the crackdown on Chinese imports. <div type="Article" hostid="261" msid="76297080" title="Arun Bharat Ram and Arvind Lal — the two businessmen who became billionaires during the lockdown" mstype="2" mssubtype="0"></div> <ul><li>Ecommerce and tech startups – Major ecommerce players and tech startups like Info Edge, Zomato and Paytm have high investment exposure to China. The government has already started enforcing some regulations like asking these companies to <a href="https://www.businessinsider.in/business/ecommerce/news/india-tells-amazon-flipkart-paytm-mall-and-all-other-ecommerce-companies-to-show-country-of-origin-next-to-the-products/articleshow/76568106.cms">label Chinese-origin products</a>. </li><li>Utilities – 80% of India’s solar module imports come from China and some thermal plants also depend on China for equipment.</li></ul>Companies like Tata Power and Adani Group may be able to step up manufacturing and fill in the gap left by the relegation of Chinese imports in this space. These are the market shares of Chinese companies in key product segments The consumer durables and appliances segment which includes products like air conditioners, smartphones, smart TVs, refrigerators and more is dominated by Chinese companies. For instance, 28% of all air conditioners in India are imported. ‘Food’ to have a new meaning in India post Maggi debacle 
 
The <a href="http://www.businessinsider.in/searchresult.cms?query=maggi">Maggi</a> controversy comes as an eye opener for the <a href="http://www.businessinsider.in/searchresult.cms?query=fssai">Food Safety and Standards Authority of India (FSSAI).</a> The <a href="http://www.businessinsider.in/searchresult.cms?query=central">central government</a> has planned to change the definition of food to widen its scope and close loopholes. 
 
The new definition will exclude nutraceuticals, health supplements, functional food and dietary supplements, which will be subject to tougher <a href="http://www.businessinsider.in/searchresult.cms?query=regulations">regulations</a>, a news report in The Economic Times has suggested. 
"The earlier definition of food had certain loopholes of which some companies, especially pharma companies, were taking advantage," a senior official in the ministry of health told the financial daily. "Since <a href="http://www.businessinsider.in/searchresult.cms?query=preservatives+">regulations are more stringent for pharma products</a>, companies tried to pass off nutraceuticals and health supplements as food, where regulations are slightly relaxed,” he added. 
Food Safety and Standards Act, 2006, defines food as "any substance, whether processed, partially processed or unprocessed, which is intended for human consumption and includes primary food." It excludes "drugs and medicinal products, cosmetics, narcotic or psychotropic substances." 
 
Traditional food, which is described as food that has been and is "traditionally being consumed in the country" will be broadened to "food which is prepared in accordance with the knowledge normally transmitted from one generation to another, conforms to the gastronomic heritage of the country, or local area, or region of the country, with little or no processing or manipulation through addition of preservatives or otherwise and retains the sensory property." 
 
As said on its website, the govt plans to review and amend the Food Safety and Standards Rules, 2011. It sought suggestions and comments from stakeholders by September 24. While a ministry can change rules, an act can be amended only in parliament. Representatives of the food industry, citing procedural lapses in the proposed changes, have alleged that the government wants to "sharpen their teeth and extend their reach beyond the normal to targthe industry." 
 
"It is not understood as to how and why all of a sudden an unscientific and adhoc, restrictive definition has been flashed to food industry for comments," Amit Dhanuka, president of the All India Food Processors' Association told the ET. The industry bodies said the government is trying to avoid a discussion on the matter.
