<keyword id="46894" type="PERSON" weightage="20" keywordseo="Tata-Sons">Tata Sons</keyword> Chairman <keyword id="97017" type="COMPANY" weightage="20" keywordseo="N-Chandrasekaran">N Chandrasekaran</keyword> on Wednesday asked all group employees to stay focussed on their businesses and welfare of stakeholders in wake of the NCLAT order that raised issue of his appointment as Executive Chairman of the company. In a message to the employees of the group, Chandrasekaran said Wednesday's "NCLAT ruling, which apart from other things, raises issues on my appointment as Executive Chairman of Tata Sons". He further said, "Tata Sons firmly believes in the strength of our case and will pursue the appropriate legal recourse".
 Going forward, he further said, "I assure you that we have set ourselves on a course that will make the <keyword id="6355725" type="COMPANY" weightage="20" keywordseo="tata-group">Tata Group</keyword> stronger and more vibrant than it has ever been before. I urge all employees to stay focussed on their businesses and the welfare of our stakeholders". Chandrasekaran said ever since he was asked to take on the role and responsibilities of Executive Chairman in February 2017, "our efforts have been primarily focused on: restoring stability and moving decisively towards a healthier financial position; conducting our businesses with the highest ethical standards, which the group has been known for over 150 years".
 He further said "honoring our commitments to all stakeholders and resolving outstanding issues; driving growth and transforming our businesses for the future" were also equally important issues. 
 "We will continue to work towards deepening the legacy of this unique institution," Chandrasekaran said.
 The NCLAT on Wednesday ordered reinstatement of ousted Chairman <keyword id="6356895" type="ORGANIZATION" weightage="20" keywordseo="cyrus-mistry">Cyrus Mistry</keyword>, while ruling appointment of Chandrasekaran as illegal. Chandasekaran writes to Tata employees; asks them to focus on biz, stakeholders' welfare

The National Company Law Tribunal (NCLT) has dismissed waiver petition filed by former <keyword id="46894" type="PERSON" weightage="20" keywordseo="Tata-Sons">Tata Sons</keyword>’ Chairman <keyword id="6356895" type="PERSON" weightage="100" keywordseo="Cyrus-Mistry">Cyrus Mistry</keyword>, who alleged mismanagement and oppression of the interest of minority shareholders at the company. The tribunal said Mistry and his family did not meet the requirements for waiver. Under the Companies Act, a petitioner should hold at least one-tenth of the issued share capital of a company or represent 10% of the total number of members to take up such a case at the NCLT. Mistry owns only 2.17% of Tata Sons shares.

Setback for Cyrus Mistry, NCLT dismisses waiver petition

25th October 2016 was certainly a red-letter day in corporate history when the sitting, hand-picked Chairman of the Tata group and the single largest individual shareholder was sacked ignominiously with no prior information. The fact that this was done through the press with vague reasons like “performance and ethics” causing his downfall did not convince anyone. 
 This article would like to present another perspective. I have had no association with the Tata group and my comments are based on my understanding of the corporate world after spending almost 4 decades in this fascinating yet dog-eat-dog and highly politicized world. I have taken the liberty of using Bhishma Pitamah as a parallel for <keyword id="6360722" type="PERSON" weightage="20" keywordseo="ratan-tata">Ratan Tata</keyword>, Arjun for <keyword id="6356895" type="PERSON" weightage="20" keywordseo="Cyrus-Mistry">Cyrus Mistry</keyword> and Yudhishtar for the <keyword id="46894" type="PERSON" weightage="20" keywordseo="Tata-Sons">Tata Sons</keyword> board. 
 
Various television channels, with dozens of corporate gurus, have been pontificating about the Group and the key players, the flamboyant and highly visible Ratan Tata and the underplayed and introvert Cyrus Mistry. Obviously, most of these “gurus” have taken the side of the Tata group because that is the side their “bread will be buttered” for a long time to come. They are questioning the use of the term “lame duck” and the silence of Cyrus Mistry over the past 4 years. I would like to ask these “gurus” what else could they expect from a worthy successor of Ratan Tata who had inherited major problems, especially because he was not just the unanimously elected Chairman but also a shareholder. 
Cyrus Mistry was caught in an unenviable position – damned if he did and damned if he did not. Had he complained about the problem, our pundit would have written his epitaph very early stating that he was not large enough for the shoes of Bhishma Pitamah, My admiration for Cyrus Mistry goes up exponentially since he decided to clean-up after his more illustrious predecessor without washing their dirty linen in public. 
 
The doyen of corporate India, Bhishma Pitamah Tata, who will be 79 years on 28th December 2016, was responsible for the exit of most of the Tata group company leaders when he took charge as group Chairman (after a rather non-descript stint at the now defunct Nelco) built a strong brand and large global business that had its share of big successes and equally large failures. Since 1991, when took over as Chairman, he strode the corporate world like a colossus buying businesses. He promulgated the “retirement” age of the Tata group at 75 years, while most companies in corporate India still keep this age between 58 – 65 years. When he announced that he would be stepping down to bring in younger leadership, the world applauded his forward looking thinking. But like the old wise man from the Mahabharata, he assumed that he was tied to the throne as long as he was alive. 
 
Cyrus Mistry, in his very Arjunesque manner, had his eyes only on the target of increasing the returns to shareholders and closing down failing and non-profitable businesses. He went about his work clinically, delivering results as is evident from his letter published in all the newspapers today. 
 
To quote him, “Despite all of the above, during my term, the operating cash flows of the group have grown at 31% compounded per annum. The Tata Group valuation from 2013 to 2016 increased by 14.9% per annum in rupee terms as against the BSE Sensex annual increase of 10.4% over the same period. The Tata Sons net worth has increased from approximately Rs 26,000 crores to Rs 42,000 crores, after considering the impairments. This has significantly strengthened our balance sheet, enhancing our ability to absorb further shocks from restructuring in the companies.” 
 
If this is not great performance, I fail to understand what is! Corus, Nano, Air Asia, Air Vistara, overseas hotels, and dozens of other businesses started the under the leadership of Ratan Tata were not viable and the losses of these businesses will surely have to be taken into account sooner than later because they cannot stay hidden in the vast balance sheets and myriad of companies of the group.. 
 
The Board is equally accountable and responsible for the developments in the Group. They cannot claim to be the proverbial ostriches who did not know what was going on and under the garb of seeking support, they have decided to support with a person they perceive to be the stronger of the two. Yudhishtar, in Mahabharata was asked whether the son of Guru Dronacharya, Ashwathama had been killed. Yudhishtar, who had never told a lie in his life looked at an elephant named Ashwathama who Bhim had killed and replied that “Ashwathama is dead”. Guru Dronacharya surrendered his arms and was killed. That was a changing moment in the battle. Yudhishtar, whose chariot, always moved a few inches above the earth, had knowingly colluded with an untruth and his chariot dropped to the ground. 
 
The Tata Sons Board is no different from Yudhishtar. Not one of them had the courage to stand up to Bhishma Pitamah Ratan Tata. Losses were significant in most companies and yet these losses were being concealed in the books. Was there a threat that Cyrus Mistry would expose all in his efforts to clean-up? Board members, who pride themselves for their impeccable track record are equally complicit since they meekly accepted the decision as a fait accompli. Was it the threat of malfeasance and being exposed which led to this change? If a fresh start is being looked, shouldn’t the entire board be changed? 
 
The Tata Trusts which control a majority stake in Tata Sons have much to answer for as well. The stake holders in the Trusts are not only the trustees but the very large number of beneficiaries. What would happen to all the philanthropic work being down by these trust if Tata Sons has to take a write down of over US$ 19 billion? 
 
The battle has just begun. The skeletons will start to tumble out of various closets and all the dirty linen is being collected for being washed in the public domain. The domino effect is only just beginning. The stock market has already wiped out Rs 23,000 crores of the Tata market value in 2 days. 
 
The Tata group will now come under intense scrutiny. Its accounts will be looked at, its auditors will be questioned and its people will have to answer questions. They have given themselves four months to find a permanent successor to Cyrus Mistry, an uphill task but then the Board does not need to worry – they have the 79 year old Bhishma Pitamah to run the empire for as long as it takes. 
 
Sometimes, the moral of the story is to “let sleeping dogs lie”!

The Tata “Mistry” and its implications

The tussle between Tata Sons and <keyword id="6356895" type="PERSON" weightage="100" keywordseo="Cyrus-Mistry">Cyrus Mistry</keyword> is growing murkier by the day. Mistry has alleged he was just a ‘lame duck’ chairman and many decisions by the group were taken emotionally. 
 
On the contrary, Tata Sons said Mistry was not a visionary Chairman and was drifting apart from the ethos of the Group. 
 
The war came out in open after Mistry, in his5-page e-mail, accused Tata Group of not giving him a free hand and taking irrational decision. Mistry alleged the board members never gave him free hand in decision making. 
 
However, Tata Sons, which is preparing a point-by-point reply to Mistry’s allegations, stated Mistry’s decisions were not in line with the Group. 
 
Elaborating one such case, source told ET the Strategy 2025 documents prepared Mistry in September 2016 was out rightly rejected by the Tata Sons as the Strategy 2025 was majorly dependent on the performance of just one company TCS - the group's cash cow. 
 
Sources told ET, board also found it did not have enough emphasis on returns on capital employed by Tata Sons. The plan, according to the board, also lacked financial discipline and vision for growth. It also did not offer much clarity on the strategic realignment of the group portfolio, including asset sales that were planned by Tata Sons under Mistry. 
 
Meanwhile, Tata Sons stated Mistry was unable to run the Group and there was no breach of corporate governance in its decision to remove Mistry. 
 As per various reports, prior to his removal, Mistry was asked to step down by <keyword id="6360722" type="PERSON" weightage="20" keywordseo="ratan-tata">Ratan Tata</keyword> and Harvard Business School dean Nitin Nohria, who is also a non-executive director of Tata Sons. 
 
Mistry refused, which precipitated a vote on the matter. 
 
"The board had overwhelmingly lost confidence in Mistry's ability to run the group and a majority of them voted in favour of his ouster. Many of them are successful businessmen in their own rights. It is also not unusual for a board to exercise its judgement and remove an incumbent chief executive officer or chairman without giving reasons,” an official in the know told ET. 
 
Tata Sons is also going to take on Mistry’s allegations about Tata Nano project. 
 
“The Nano plant could not be shut since it would stop the supply of the Nano gliders to an entity that makes electric cars and in which Tata has a stake,” a source told ET. 
 
The sources cited say the investment in question is in a Coimbatore based start-up called Ampere founded by Hemalatha Annamalai. 
 
The company sells electric vehicles like cycles, scooters, trolleys or special vehicles for the differently-abled predominantly in south and west India and has an annual production of 200-300 vehicles. The Nano plant in Gujarat on the other hand can make that many gliders and more in a day. 
 
ET could not independently verify Ampere's sales numbers before going to press.

Tata Sons is preparing a detail document to rebuff Cyrus Mistry’s allegations; rubbishes $18 billion devaluation

After his sudden dismissal as Chairman of the <keyword id="46894" type="PERSON" weightage="20" keywordseo="Tata-Sons">Tata Sons</keyword>, <keyword id="6356895" type="PERSON" weightage="100" keywordseo="Cyrus-Mistry">Cyrus Mistry</keyword> wrote an e-mail to the <keyword id="227658" type="ORGANIZATION" weightage="20" keywordseo="Tata-Board">Tata Board</keyword>, saying the move by the group has harmed his image. 
 
In the 5-page letter to the Board, Mistry said he was not given a free hand as the Chairman and emotional decisions were taken rather than being rational. 
 
Mistry said he inherited a debt-laden Group and claimed despite all the challenges such as AirAsia, DoCoMo, JLR, etc, he took tough decisions and took group’s reputation also in consideration.

Cyrus Mistry, whose family holds a majority stake in Tata Sons, was appointed as Chairman in 2012 and was ousted in 2016. <keyword id="6360722" type="UNKNOWN" weightage="20" keywordseo="ratan-tata">Ratan Tata</keyword> has asked Mistry to step down from his post as the board had lost faith in him. However, Mistry’s refusal to leave had resulted in the very public spat between Tata and Mistry. Tata Group stocks tumble after Mistry's legal win casts a shadow on the conglomerate's hallowed reputation

Ousted <keyword id="46894" type="PERSON" weightage="20" keywordseo="Tata-Sons">Tata Sons</keyword> Chairman <keyword id="6356895" type="PERSON" weightage="100" keywordseo="Cyrus-Mistry">Cyrus Mistry</keyword> responded to each and every charge that was levelled by <keyword id="6355725" type="CITY" weightage="20" keywordseo="Tata-Group">Tata Group</keyword>. 
 
Mistry slammed Tata Group’s claim that the write-downs were not due to legacy issues. In an official statement, Mistry said the legacy issues were largely due to Tata Teleservices. 
 
“Impairments and write-downs due to legacy issues. Piaggio Aero investment especially distressing. Tata advertisement a brazen attempt to mislead public and shareholders,” read the official statement. 
 
Mistry has claimed the group incurred loss of Rs 1,150 crore in Piaggio-Aero deal. 
 Meanwhile, Mistry went a step ahead and raked up the <keyword id="145310" type="PERSON" weightage="100" keywordseo="Nira-Radia">Nira Radia</keyword> issue. 
 “Radia was paid about Rs 40 crore per year, Arun Nanda was being paid about Rs 60 crore per year, while <keyword id="6360722" type="PERSON" weightage="20" keywordseo="ratan-tata">Ratan Tata</keyword>'s office got about Rs 30 cr per year. Even, Nagarjuna, Sasol JV investments questionable,” the statement read. 
 
The Radia tapes controversy surfaced after telephonic conversations between Nira Radia, an influence peddler and an acquaintance of the (then) Indian telecom minister A. Raja, and with senior journalists, politicians, and corporate houses, were taped by the Indian Income Tax Department in 2008–09. The tapes led to accusations of misconduct by many of these people. 
 
Radia used to run a public relations firm named Vaishnavi Communications, whose clients included the Tata Teleservices. 
 
Also, Mistry referred to the vision document and said the 2025 Group Strategy Document was tabled in Tata Sons June 2015 board meet. 
 
“Strategy Document was presented again in Dec 2015 and June 2016,” the statement read.
