And, soon government will be taking over the money they are asked to spend, and transfer to its own fund, as per the amendments to the <keyword id="1850989" type="PERSON" weightage="20" keywordseo="Companies-Act-2013">Companies Act 2013</keyword>, approved by the Cabinet. Most companies, <a href="https://thewire.in/business/one-in-three-bse-100-firms-falls-short-in-mandatory-csr-spending">including publicly listed </a>companies take the 2013 mandate of the government casually. As per the norm, companies with a net profit of over ₹5 crore or revenues of ₹1,000 crore or net worth of ₹500 crore; should spend 2% on their profits on corporate social responsibility (CSR). Six years on, few companies take it seriously though most top companies like Reliance Industries, L&amp;T and all public sector companies do take the efforts to ensure money flows to the right causes. Those who spend regularly tend to focus on education, rural development and healthcare. The Companies Bill amendments say that any amount left unspent should be transferred to a special account called the ‘Unspent Corporate Social Responsibility Account’. “Such amount shall be spent by the company in pursuance of its Corporate Social Responsibility Policy within a period of three financial years from the date of such transfer,” the draft amendment said. Companies Act to be amended to decriminalise civil offences: FM

New Delhi, Mar 16 () The corporate affairs ministry has sought public comments on proposed changes to rules governing Corporate Social Responsibility (CSR) policy under the companies law. "In order to operationalise the Companies (Amendment) Act, 2019, the Companies (Corporate Social Responsibility Policy) Amendment Rules, 2020 has been drafted for carrying out amendments in the Companies (CSR Policy) Rules, 2014," the ministry said in a notice. Under the companies law, certain classes of companies have to shell out at least two per cent of the average net profits, made during the three immediately preceding financial years, towards CSR activities. The Companies (Amendment) Act, 2019 amended Section 135 dealing with CSR and was published in the official gazette on July 31, 2019. Among other changes in the rules, the ministry has proposed setting up the 'National Unspent Corporate Social Responsibility Fund'. The fund would be utilised for the purposes of undertaking CSR projects in the areas or subjects specified in Schedule VII of the Act. "... until such fund is created the unspent CSR amount in terms of provisions of sub-section (5) and (6) of Section 135 of the Act shall be transferred by the company to any fund as specified in schedule VII of the Act," as per the draft rules. Under Section 135, every company having net worth of at least Rs 500 crore, turnover of Rs 1,000 crore or more, or a minimum net profit of Rs 5 crore during the immediately preceding financial year has to make CSR expenditure. Govt to amend CSR rules under companies law

New Delhi, Feb 1 () Amendments have been proposed to the companies law, Finance Minister Nirmala Sitharaman said on Saturday as she highlighted the debate about criminal liability for acts that are civil in nature.
 Presenting the Union Budget for 2020-21 financial year, she assured taxpayers that the government remains committed to taking measures so that they are free from any kind of harassment.
 The corporate affairs ministry, which is also helmed by Sitharaman, would be seeking amendments to the Companies Act, 2013, to decriminalise various offences following recommendations from a high level committee last year.
 "There has been a debate about building into statutes, criminal liability for acts that are civil in nature. Hence, for Companies Act, certain amendments are proposed to be made that will correct this. Similarly, other laws would also be examined, where such provisions exist and attempts would be made to correct them," Sitharaman said in her nearly 160-minute speech.
 In November, the Company Law Committee -- chaired by Corporate Affairs Secretary Injeti Srinivas -- recommended decriminalising more than half of the existing compoundable offences under the companies law.
 Amendments to 46 penal provisions, "so as to either remove criminality, or to restrict the punishment to only fine, or to allow rectification of defaults through alternative methods", have been suggested by the committee.
 As per the committee's report, 23 out of the 66 remaining compoundable offences under the Companies Act could be re-categorised.
 Such offences could then be dealt with in-house adjudication framework wherein these defaults would be subject to a penalty levied by an adjudicating officer, according to the report.
 Generally, compoundable offences are those which can be settled by paying certain amount of money.
 In 2019, the ministry de-criminalised 16 minor procedural/technical lapses under the Act into 'civil wrongs'. RAM ANS

Govt has proposed amendments to companies law, says FM in Budget speech

(Eds: Adding details) New Delhi, Mar 12 () Parliament on Thursday passed a bill that will remove end-use restrictions for participating in coal mine auctions and open up the coal sector fully for commercial mining by domestic and global companies. The Mineral laws (Amendment) Bill was passed in Rajya Sabha with 83 MPs voting in its favour and 12 against. The Lok Sabha had passed the bill last Friday. Replying after a brief discussion on the bill, Coal Minister Pralhad Joshi said the legislation will help in bringing more FDI in the coal and mining sector, and boost the economy. The minister said the bill was important as India should be using its own natural reserves, instead of importing coal worth Rs 2.7 lakh crore. "We have to produce coal and reduce imports," he said, adding more domestic output would lead to more electricity generation and also cut the oil import bill. The minister also assured the MPs that the government will strengthen the state-owned Coal India Ltd (CIL). "CIL will be strengthened. I have already given it a target to produce 1 billion tonne by 2023-24...There will be no problem in CIL," Joshi said. According to the minister, the legislation will bring a "sea change" in the sector. Joshi said the stress should be on exploiting reserves without harming the environment. He said India has one of the largest reserves of coal in the world and if it is not mined, it would turn into "mud". In a statement, the coal ministry said Parliament passed "The Mineral Laws (Amendment) Bill, 2020 for amendments in Mines &amp; Mineral (Development and Regulation) Act 1957 and The Coal Mines (Special Provisions) Act, 2015." The Mineral Laws (Amendment) Bill, 2020, will open a new era in Indian coal and mining sector specially to promote ease of doing business, the statement said. The Bill will transform the mining sector in the country, boosting coal production and reducing dependence on imports, the statement quoted Joshi as saying. The amended provisions clearly provide that companies which do not possess any prior coal mining experience in India or have mining experience in other minerals or in other countries can participate in auction of coal/lignite blocks. This will not only increase participation in coal/lignite block auctions, but also facilitate the implementation of FDI policy in the coal sector, the statement said. Now, the companies which are not 'engaged in specified end-use' can also participate in auctions of coal mines. The removal of the end-use restriction would allow wider participation in auction of coal mines for a variety of purposes such as own consumption, sale or for any other purpose, as may be specified by the Centre. The bill also allows prospecting licence-cum-mining lease (PL-cum-ML) for coal/lignite which increases the availability of coal and lignite blocks, and coal blocks of varying grades in a wide geographical distribution will be available for allocation, it said. The successful bidders/allottees have now been entitled to utilise mined coal in any of its plants or plants of its subsidiary or holding company. Amendments also provide for allocation of the coal mine to the next successful bidder or allottee, subsequent to termination of its allocation along with the matters incidental to it. A provision has also been made for appointment of designated custodian for management of the mines, apart from Schedule II mines, which have come under production and whose vesting/ allotment order has been cancelled. With the amendments, environment and forest clearances along with other approvals and clearances shall automatically get transferred to the new owners of mineral blocks for a period of two years from the date of grant of new lease. This will allow new owners to continue with hassle-free mining operations. During the period, they may apply for the fresh licence beyond the period of two years. The auction of lease of mines can now be started before expiry of lease period. It will enable the state government to take advance action for auction of mineral blocks so that the new lease holder could be decided before the existing lease gets expired. This will help in seamless production of minerals in the country. "The new provisions will also augment the exploration of the deep seated minerals and minerals of national interest by allowing Non Exclusive Reconnaissance Permit (NERP) holders to apply for composite licence or Mining Lease (PL-cum-ML).Various repetitive and redundant provisions of MMDR Act and CMSP Act have also been omitted for ease of doing business," it said. The Bill replaces the ordinance for amendment of the MMDR Act 1957 and CMSP Act which was promulgated on January 11, 2020. The Ordinance, which was cleared by the cabinet in January, had brought amendments to the Mines and Minerals (Development and Regulation) Act, 1957, and the Coal Mines (Special Provisions) Act, 2015. Parliament passes law to open coal sector for commercial mining

New Delhi, Mar 17 () Decriminalising offences, allowing direct overseas listing of companies, relaxing CSR norms and setting up National Company Law Appellate Tribunal (NCLAT) benches are among the proposals in the latest bill to amend the companies law. The Companies (Amendment) Bill, 2020 was introduced in the Lok Sabha on Tuesday. Various provisions of the Companies Act, 2013 would be amended for decriminalising defaults that "lack any element of fraud or do not involve larger public interest", according to the Statement of Objects and Reasons of the bill. Apart from allowing direct listing of Indian companies in permissible foreign jurisdictions, the bill seeks to empower the central government to exclude certain classes of companies from the definition of 'listed company', mainly for listing of debt securities. The exclusion would be done only after consultations with markets regulator Sebi. Companies that have CSR obligations up to Rs 50 lakh would not be required to set up a committee in this regard. Also, entities that have spent in excess of their CSR obligation in a particular fiscal would be permitted to set off that excess amount in the coming financial years. Other proposals include setting up of NCLAT benches and allowing payment of adequate remuneration to non-executive directors in case of inadequate profits. The latter would be done by aligning the same with the provisions for remuneration to executive directors in such cases. Lesser penalties for small and one person companies as well as reduction in timelines for applying for rights issues have been proposed in the bill. The government also proposes to provide greater ease of living to corporates through certain amendments, as per the statement. On March 4, the Union Cabinet approved 72 changes to the companies law. The same day, Corporate Affairs Minister Nirmala Sitharaman said the priority was to "decriminalise" provisions in the Act. There would be 72 changes resulting in amendments to 65 sections of the Act and the aim is to ensure greater ease of doing business as well as living. Sitharaman, who is also the finance minister, had said 23 offences would be recategorised out of 66 compoundable offences under the Act. Govt proposes decriminalising offences, direct overseas listing in cos law

New Delhi, Jun 27 () President Ram Nath Kovind has promulgated the Banking Regulation (Amendment) Ordinance, 2020 to bring all urban cooperative banks and multi-state cooperative banks under the supervision of the RBI in order to protect the interest of depositors. The Ordinance amends the Banking Regulation Act, 1949 as applicable to cooperative banks, an official statement said on Saturday. "The Ordinance seeks to protect the interests of depositors and strengthen cooperative banks by improving governance and oversight by extending powers already available with RBI in respect of other banks to Co-operative Banks as well for sound banking regulation, and by ensuring professionalism and enabling their access to capital," it said. The amendments do not affect existing powers of the State Registrars of Co-operative Societies under state co-operative laws, it added. The amendments also do not apply to Primary Agricultural Credit Societies (PACS) or co-operative societies whose primary object and principal business is long-term finance for agricultural development, and which do not use the words "bank", "banker" or "banking" and do not act as drawees of cheques, it said. "The Ordinance also amends Section 45 of the Banking Regulation Act, to enable making of a scheme of reconstruction or amalgamation of a banking company for protecting the interest of the public, depositors and the banking system and for securing its proper management, even without making an order of moratorium, so as to avoid disruption of the financial system," it said. There are 1,482 urban cooperative banks and 58 multi-state cooperative banks having about 8.6 crore depositors with total savings deposit of about Rs 4.85 lakh crore. The decision assumes significance in the wake of scams in cooperative banks, including the Punjab and Maharashtra Cooperative (PMC) Bank, affecting lakhs of customers who are facing difficulty in withdrawing their money due to restrictions imposed by the Reserve Bank of India (RBI). The RBI had placed regulatory curbs on PMC Bank on September 23, 2019, after finding out certain financial irregularities and misreporting of loans given to real estate developer HDIL. Earlier this month, the RBI had put restrictions on withdrawals from People's Co-operative Bank, Kanpur, Uttar Pradesh. Finance Minister Nirmala Sitharaman had introduced 'The Banking Regulation (Amendment) Bill, 2020' in the Lok Sabha on March 3, 2020, which is pending approval. The proposed law sought to enforce banking regulation guidelines of the RBI on cooperative banks. In her February 1 Budget speech, Sitharaman had proposed amendments to the Banking Regulation Act with an aim to increasing professionalism and improving governance among the cooperative banks. Google LLC</a>, in which the Ninth Circuit Court of Appeals ruled YouTube was not a state actor.Which means rather than Twitter violating the First Amendment, the private platform was actually expressing its First Amendment rights by making its own decisions about what to publish.<h2>Media outlets have discretion to grant or refuse requests from the government</h2>As for the requests to remove specific content, as far as we know, they were exactly that: requests."Both the state, the Trump White House, and the Biden team were asking Twitter, and Twitter was under no obligation to either oblige or refuse those requests," Kalir said.Unlike the Biden team, the White House was a state actor. But Kalir noted that cooperation between media and government is about as old as government itself. Journalists and news outlets often rely on the government, sometimes through leaks or anonymous sources.That cooperation may also include requests from a state actor to postpone publishing a story or even to withhold names or other information for national security concerns or other reasons. And again, outlets have the discretion to agree or not agree to such requests."At some point, when the news outlet sheds its independent features and becomes a funnel for government information or disinformation, then it's no longer a private publication and you could claim that the First Amendment should be implicated," Kalir explained, but added that the Twitter case "does not even come close to the line."He said he knew of no precedent in the US in which a court ruled a newspaper or media outlet was acting as an arm of the government.

The DMK MP T. Siva said, "The government is taking away the powers of the states", and alleged that its diluting the federalism. The Bill brought by the Centre amends <keyword id="9958977" type="COMPANY" weightage="20" keywordseo="the-homoeopathy-central-council-act">the Homoeopathy Central Council Act</keyword>, 1973. After becoming an Act, the Central Council of Homoeopathy will regulate homeopathic education and practice. The Bill replaces the Homoeopathy Central Council (Amendment) Ordinance, 2020 which was promulgated on April 24, 2020. The period for the supersession of the Central Council -- The 1973 Act -- was amended in 2018 to provide for the supersession of the Central Council of Homoeopathy. The Central Council was required to be reconstituted within one year from the date of its supersession. This period was amended in 2019 to require the reconstitution of the Central Council in two years. The central government constituted a Board of Governors to exercise the powers of the Central Council. The Bill amends the Act to increase the period for the supersession of the Central Council from two years to three years. The resolution moved by K. C. Venugopal, E. Kareem and K. K.Ragesh was defeated. But Ragesh raised a point of order for the right to reply as the mover of the resolution and asked about the role of the state governments in this Bill. He told The Daily Beast he's an "adviser and consultant on the First Amendment issues of this case."The state of Michigan allows for interest groups and political parties to appoint "election challengers" to <a href="https://www.freep.com/story/news/politics/elections/2020/11/02/michigan-poll-watchers-election-challengers-rules/6125955002/">challenge a voter's eligibility or an election inspector's actions.</a> Eight of the state's challengers from the 2020 presidential election said they received cease and desist letters from Dominion after they inquired about potential irregularities in the election despite never mentioning Dominion in their formal challenges.In the letters, Dominion instructed the challengers to stop speaking about Dominion and to preserve any communications with members of the Trump campaign, Sidney Powell, Rudy Giuliani, Jenna Ellis, and other Trump attorneys.The company has sent over 200 cease and desist letters in total to people challenging the company's integrity and quality of its election services. Other than changing the name of the person the letters are addressed to, each of the cease and desist letters provided as evidence in the new lawsuit appears to be identical and fails to mention any of the election challenges brought forth by any of the plaintiffs.While the challengers were never sued by Dominion itself, they allege the cease and desist letters instilled a sense of fear for their businesses, safety, and even an unborn child."After being threatened and in fear of her life and that of her unborn child while working at the TCF Center, this letter exacerbated all of those feelings," the lawsuit says regarding one of the plaintiffs, Kathleen Daavettila. "Why was she being threatened with a lawsuit? How would this affect her family?"The lawsuit claims that Dominion violated the Racketeer Influenced and Corrupt Organization Act, more commonly known as the "RICO Act," which allows for the prosecution against organized crime, though is notoriously <a href="https://journaltimes.com/news/local/rico-powerful-but-hard-to-prove/article_f728e4e0-acba-11e3-a51d-0019bb2963f4.html">difficult to prove</a> in the court of law. The group also claims Dominion violated the Equal Protection Clause, acted as a part of a civil conspiracy, and deprived the poll watchers of their First Amendment Rights.As a private company, Dominion traditionally cannot be found liable under the Equal Protection Act or First Amendment, however, the lawsuit claims the company acted as a "state actor" because it was tasked by the government to run elections using its machines and software.The poll watchers demand a trial by jury and are looking for Dominion to pay for damages and attorneys fees. No hearings have been set for the lawsuit as of yet.Dominion did not respond to Insider's request for comment.

New Delhi, Mar 30 () The government has not extended the current 2019-20 fiscal year and it will end as scheduled on March 31, the finance ministry said Monday. erroneously reported that the new financial year will start from July 1. The news alert and the related story have been withdrawn. "There is no extension of the financial year," the finance ministry said. Officials said a gazette notification issued late on Monday evening pertained to date of applicability of stamp duty which has been changed from April 1 to July 1. Industry has been demanding extension of fiscal year by three months in view of the economic impact caused by outbreak of Covid1-19. The finance ministry in a statement said amendments have been made to the Indian Stamp Act (ISA) by deferring the effective date of applicability from April 1 to July 1, 2020. To rationalise and harmonise the system of levying stamp duty and help curb tax evasion, the government had through the Finance Act, 2019, amended the Indian Stamp Act, 1899. Certain changes were to be effective from April 1, 2020. Through a notification, the revenue department said these amended provisions will come into effect from July 1, 2020. As part of the amendments, it was decided that the stamp duty rates levied by Maharashtra will be taken as a benchmark as it accounts for 70 per cent of the total collection. It was amended to state that the stamp duty will have to be paid by either the buyer or the seller of a financial security, as against the current practice of levying the duty on both. "It pertains to putting in place an efficient mechanism for collection of stamp duty on security market instruments transactions through stock exchanges or clearing corporation authorised by stock exchange and depositories," it said. "This change was earlier notified to be implemented from April 1, 2020. However, due to the prevailing situation, it has been decided that the date of implementation will now be postponed to July 1, 2020."
