<p class="p1"><div class="KonaFilter image-container display-table float_right"><div><div class="image on-image"></div><p></p></div></div><span style="line-height: 1.5em;">After many years in product design and development, I founded a technology company in 2003. We did well and the company grew in both revenues and people. </span></p><p class="p1"><span style="line-height: 1.5em;">We made the Inc 5000 list five years in a row, one year placing 243 on the Inc 500. I started the company with a partner who subsequently left and then switched partners during the life of the business.</span></p><p class="p1">In 2014, I sold the company to a third party after the partnership failed and we couldn't find a way to exit on mutual terms. <span style="line-height: 1.5em;">I've been in several mediations and even lawsuits over partnership issues and have learned a lot. </span></p><p class="p1"><span style="line-height: 1.5em;">Today, I coach entrepreneurs and executives on management and organizational performance and deal with several partnership situations.</span></p><p class="p1">Whether it's individual business partners in a company, a strategic partnership between companies, or partnerships between employers and employees, they all require careful design and ongoing commitment to be successful. Partnerships that put themselves on cruise control run the risk of missing obstacles in the road and failing to see upcoming turns. Partnerships that are committed to continuous review and improvement and are able to effectively resolve issues and navigate change have the ability to grow and deliver increasing value.</p><p class="p1">There are several factors to consider when developing a partnership agreement and several practices to follow to keep the partnership on track and delivering value for every party involved. Ignoring these can not only put the future partnership at risk, but it can destroy the existing value that has been created. Even if you're not a formal business partnership, these ideas <span style="line-height: 1.5em;">and recommendations can be helpful to ensure long term success and to avoid destructive conflict.</span><span style="line-height: 1.5em;"> </span></p><p class="p1"><span style="line-height: 1.5em;"><div class="KonaFilter image-container display-table"><div><div class="image on-image"></div><p></p></div></div><br /></span></p><h3 class="p1">Partnerships are not until death do you part</h3><p class="p1">One of the first things I coach new partnerships on is that you shouldn't assume your partnership will last forever. It's unreasonable to think that a partnership won't end at some point. Even with the best intentions and the largest of opportunities, people and businesses change. Designing a clear, reasonable, and equity way in which to part ways that protects your assets and the value that you've built in the business. It's much easier to work out how to handle different scenarios while the energy and intentions are collaborative and productive.</p><p class="p1">Design the process to work regardless who is in which situation. Where you can, create scenarios where either party has equal chances of being on either side. This will incent each side to create a fair and equal resolution process. "You split I pick" approaches force parties to be fair about the choices they make because they could end up on either side of the deal.</p><h3 class="p1">Separate initial contribution from ongoing contributions<span style="color: #222222; font-size: 15px; line-height: 1.5em;"> </span></h3><p class="p1">What someone puts in at the beginning of a partnership can be quite different than what they are going to put in over the life of the deal. Plus, things change. Just because someone intends to contribute something in the future doesn't mean they will. Even with the best intention. My recommendation is that these types of contributions are be separated and, if need be, accrued over time.<span style="line-height: 1.5em;"> </span></p><p class="p1">For example, where one side is going to put up working capital and the other side is going to put in time operating the company, I suggest having a equity/ownership model that accrues the second partner's value over some period of time. The rate of accrual should be based on the difference between the market rate of the operating partners time contribution and the actual draw/salary.</p><p class="p1">If both partners are operating, come up with market rates for each person's roles and then accrue at the difference between these. If need be, have a process for adjusting these based on a third party over time with some pre-defined formula. Having these in place means that if one partner can't or doesn't want to delivery on the ongoing contribution, then there is a clear adjustment that's fair and equitable.</p><p class="p1"><div class="KonaFilter image-container display-table"><div><div class="image on-image"></div><p></p></div></div></p><h3 class="p1">Have a clear and equitable process for winding down<span style="color: #222222; font-size: 15px; line-height: 1.5em;"> </span></h3><p class="p1">When things get heated, rational thought and collaboration tend to go out the window. Having a clear resolution and wind-down process ensures that value is maintained regardless of emotions and unfortunate situations. Partners get divorced, tied up in litigations, suffer health issues, etc. These are unfortunate but a reality of life. And these need not be dispassionate. Provide funds, time, consideration for resolution and assistance, but define up front how much the partnership will invest and how much exposure it will take on.</p><h3 class="p1">Have a defined process for conflict resolution and mediation</h3><p class="p1">There are two main reasons to have a clear process for conflict resolution. First, you want to know how things are going to be handled should the partners not be able to collaboratively reach a resolution. Have a clear process for notices and escalating that can be invoked unilaterally if needed. I generally suggest a process that has two or more levels of escalation to allow for time/space to re-engage in a collaborative process before moving to irreversible stages.</p><p class="p1">Mediation, Arbitration and Collaborative Law processes are generally more effective and can be significantly less expensive than the traditional litigation. Consider mandating use of these methods before allowing resolution by the courts.</p><h3 class="p1">Develop a shared future vision and operating values</h3><p class="p1">Parties enter into partnerships because they think it will get them some future state more quickly, with less costs, and/or with less risk. If not, they wouldn't need the partnership. The challenge comes when the futures each party envisions don't exactly line up. That's not to say the parties need the same vision or same reasons for entering into a partnership, but if each side isn't clear on why they are doing it and why the other party is doing it, it is much more likely to lead to misunderstanding and conflict.</p><p class="p1">Get clear on what you want and get clear on what the other side wants and know that you're making commitments to each other to deliver on both ends, not just your own. If you can't commit to making both yourself and your parter successful, then think twice about entering the deal.<span style="line-height: 1.5em;"> </span></p><h3 class="p1">Define expectations and commitments for each party</h3><p class="p1">Many partnerships end up in conflict because the expectations of what each party is going to contribute over the life of the relationship is either not clear at the outset or changes over time without clear mutual agreement. Take the time to really explore what expectations are and how each side wants to handle changes in expectations. Who is responsible for what part of the business? If there is a failure to deliver on expectations, what is the resolution process?<span style="line-height: 1.5em;"> </span></p><p class="p1"><span style="line-height: 1.5em;"><div class="KonaFilter image-container display-table"><div><div class="image on-image"></div><p></p></div></div><br /></span></p><h3 class="p1">Create a clear and effective decision making process</h3><p class="p1">All businesses need to make decisions. Partnerships need even more structure since values, priorities and impacts might be different for each side. Separating the type of decisions (what copier to buy verses the decision to make an acquisition) can help keep the process effective and timely. Create a few categories of types of decisions and define how each will be determined and which decision making process will be used.</p><p class="p1">Don't assume everything needs to be unanimous or just by ownership. There are many decision-making strategies and process you can develop. Think through who has rights for input, developing options, making decisions, approving decisions, and notification. Sometimes the issue is not who gets to make the decision but rather who has input and who get's notified.</p><p class="p1">Sometimes bringing in third parties to approve decisions or that decisions conform to external standards or opinion can help. Consider processes for alternating or setting terms for different decision-making responsibilities. The point being, figuring these out up front can help smooth the day-to-day operating process and avoid rows and costly delays.<span style="line-height: 1.5em;"> </span></p><h3 class="p1">Have regular and well-structured review process</h3><p class="p1">Regardless of good intentions and well-laid plans, people change and things happen. Not always for the worse. Sometimes partnerships struggle with success. Have a regularly scheduled check in points with a defined agenda to catch issues early and make necessary adjustments. I find quarterly is a good timeframe for conducting a partnership review.</p><p class="p1">The agenda should generally include a review of the previous quarter and a 12-24-month forward-looking plan. Having a facilitator can help make sure you address all issues in an efficient and thorough manner. Also be sure to include things that are happening outside the partnership that might affect the partnership either directly or through either party.</p><p class="p1">Every partnership will have particular needs and will want to implement these and other practices in a way that works best for them. Great partnerships take work and careful management. The best ways to build and maintain great business partnerships

We recently caught up with <em>Gregory Bryant, </em>Vice President, Sales and Marketing Group, Asia-Pacific and Japan Region who was in town for few industry and government meetings. We got to know that <keyword id="28115" type="CITY" weightage="20" keywordseo="Intel">Intel</keyword> is in talks with the new <keyword id="44734" type="ORGANIZATION" weightage="20" keywordseo="Indian-Government">Indian government</keyword> for partnerships.<br />

The BJP government is a pro-technology and internet administration, and who better to partner with than Intel for a smarter future. The sort of experience this multi-national has can be utilised in a big manner. During our course of conversation with Gregory, the topic of smart cities and broad band came up. Intel is very serious about these cities as they can help developing these in a big manner.<br />
<br /> The plans for many smart cities in India have be sanctioned and clearances should be in order soon. Intel wants to be a part of these cities as an enabler. This will be a bright opportunity for Intel to <keyword id="47916" type="UNKNOWN" weightage="20" keywordseo="invest">invest</keyword> in the country and become a part of the long-term plan. However, like Intel there are other international companies vying for similar spots in these smart cities. That could be a challenge for them and only time will tell with whom the new Indian Government goes with.<br />

Expect Public Private Partnership Between The Indian Govt
And Intel

We had heard sometime back that there is something brewing up between the Indian mobile maker (<keyword id="71696" type="COMPANY" weightage="80" keywordseo="Micromax">Micromax</keyword>) and PC/Mobile <keyword id="60472" type="ORGANIZATION" weightage="80" keywordseo="OS">OS</keyword> giant (<keyword id="10387" type="CITY" weightage="80" keywordseo="Microsoft">Microsoft</keyword>). The two are coming together and soon will release mobile phones and possibly a tablet that will run the Windows Phone OS 8.1. This is good strategic partnership by Microsoft, as Micromax is one of the biggest phone makers in India.<br />
<br /> Micromax seems to be on a roll. Before this Micromax had picked up <keyword id="36288" type="PERSON" weightage="40" keywordseo="Hugh-Jackman">Hugh Jackman</keyword> as its brand <keyword id="2722" type="POSITION" weightage="40" keywordseo="ambassador">ambassador</keyword> and can be seen in their television commercials. If a mobile manufacturer such as Micromax has decided to partner with Microsoft, there is news that other Indian mobile makers are also scouting to pick up a similar partnership with the OS major.<br />

Couple of weeks ago, we also saw Lava mobiles operated brand Xolo showcasing a Windows Tablet. There could be something boiling here as well. We could see a Lava phone driven by Windows Phone OS soon. Though there is no official statement on the same by Lava, but the possibility of Windows operated Lava phone cannot be ruled out.<br />

Micromax And Microsoft Come Together To Bring New Windows

<ul><li>The Competition Commission of India is probing into MMT and <keyword id="2808667" type="PERSON" weightage="20" keywordseo="OYO">OYO</keyword>’s deal for an adverse effect on competition in the market. </li><li>There is a thin line indeed between businesses which want to share benefits and those who want to control the market. </li><li>With the Indian digital penetration, is it time to bring in a new era of competitive businesses in India?</li></ul><keyword id="54613" type="COMPANY" weightage="20" keywordseo="makemytrip">MakeMyTrip</keyword> and Oyo’s commercial agreement has brought a new problem at their doors – the Competition Commission of India. The <keyword id="47183" type="ORGANIZATION" weightage="20" keywordseo="CCI">CCI</keyword> is now probing into their deal for a possible adverse effect on the market. <br /><br />The alleged dominance that they would enjoy is now under scanner. And prima facie, MakeMyTrip is identified as ‘dominant’ in the online travel market while OYO holds the same position in the hotels market. And the joint effect of their partnership could alter the way the market operates.<br /><br />“OYO has been prima facie found to be a significant player in the ‘market for franchising services for budget hotels in India’,” said the report. Both Oyo and MMT had begun their partnership in February 2018. In 2019 they renewed their partnership for five years.<br /><br />In an earlier conversation with Business Insider India, Deep Kalra, founder and chairman of MakeMyTrip, had said, “Oyo for us would be more a partner, because they are now on the supply side and the fastest growing hotel chain in the world. Like all other hotel chains, they also go direct, they aren’t selling other services. We have always seen competition in the market otherwise.”<br /><br />If CCI finds discrepancies, it could turn a precedent for several deals forged recently. Reliance Jio acquired music streaming app Saavn, which strengthened the latter’s position in the Indian market against competition like Gaana, Spotify and even the Airtel-backed Wink. <br /><br />As per an exclusive partnership, OnePlus phones come pre-installed with the Amazon app. There is a thin line indeed between businesses which want to share benefits and those who want to control the market. <br /><br />“There is a clear need of legal audit of all such agreements. Such partnerships should always and periodically be evaluated on the touchstone of AAEC. Unless the CCI establishes AAEC, it can’t bring a case against a party under section 3(4) of the Act,” said KK Sharma, Chairman, KK Sharma Law Offices &amp; ex-Director General and Head of Antitrust and Merger Divisions, CCI. <br /><br /><strong>We have a vertical relationship with MMT, says Oyo <br /></strong><br />The Federation of Hotel and Restaurant Associations of India lodged a complaint against MMT and its acquired unit GoIbibo and Oyo Hotels and Homes. The complaint was against MMT-Go and Oyo’s alleged dominance in the market, predatory pricing. It also alleges that their commercial agreement has led to the presumable exclusion of other competitors on MMT’s platform.<br /><br />“Whether the commercial agreement between OYO and MMT entails preferential treatment to OYO and consequent exclusion of Treebo, Fab hotel and any other hotel chain and if so, the effect of the same on competition merits investigation,” the CCI order said. <br /><br />Oyo argued that it is not an online aggregator but a hotel chain which is listed on MMT and has a vertical relationship with the latter.<br /><br />“We will continue to cooperate with Hon’ble CCI’s investigation process as we review the complete order. We will actively engage with the Hon’ble Commission in this process,” said an OYO spokesperson.’<br /><br />The CCI further said that any restrictive agreement which may lead to refusal to deal with some players or exclusive arrangement with some players, may have potential adverse effect on competition.<br /><br />“The problem is not merely because of there being an exclusive partnership. It is because of conduct much beyond this,” said Sharma. <br /><br />He further explained that the Commission has asked DG to examine violation of Section 3(4) of the Act. It means CCI has to establish that such conduct exists and if it does, if it can have an adverse effect on the competition. <br /><br />“Only after the above are established, can it be said that there is a violation of the provisions of the Act; and further only after the above are done, can the onus of proof move to the person against whom allegations are made,” said Sharma.<br />

MakeMyTrip and Oyo are in trouble with the CCI, opening up a gray area for business partnerships in India

<span>As the US retail major <keyword id="80487" type="COMPANY" weightage="80" keywordseo="walmart">Walmart</keyword> returns focus on India after a gap of two years, it is now eyeing the cash-and-carry business in the country in order to strengthen its base.</span>
<br /><br /> The biggest foreign retailer is planning to come up with a new cash-and-carry store in <keyword id="6356295" type="COMPANY" weightage="60" keywordseo="Agra">Agra</keyword>. Earlier in 2012, the company had opened its last store in <keyword id="6355556" type="COMPANY" weightage="80" keywordseo="bhopal">Bhopal</keyword>. <br /><br />

	“Walmart is committed to India and we are focused on our growth plans… We have recently received all internal approvals for opening a new store in Agra, our second one in the city. Our team is currently working towards procuring all relevant licences and permits to have it up and running in due course in the coming year,” Walmart spokesperson told PTI.
<br /><br />

	Across nine Indian states, Walmart runs 20 cash-and-carry stores under brand Best Price. The company had earlier made an announcement to come up with 50 wholesale stores in the next 4-5 years.
<br /><br />

	Walmart, which operates B2B e-commerce platform in four cities in India — Lucknow, Hyderabad, Guntur and Vijayawada, will also extend its online platform in all its stores in 2015. “We plan to extend our B2B eCommerce initiative in all our stores in a phased manner in the year 2015,” Walmart said.
<br /><br /> In October last year, the company had pulled down the curtains on 6-year partnership with <keyword id="117954" type="CITY" weightage="60" keywordseo="Bharti-Enterprises">Bharti Enterprises</keyword>, and decided to operate stores independently in India.<br />

Walmart To Open Cash-and-carry Store In Agra

The car has no new innovations to show (at least for now), however the reasonably priced tablet maker <keyword id="794041" type="COMPANY" weightage="40" keywordseo="Datawind">Datawind</keyword> is developing cloud based applications and solutions for their <keyword id="6361927" type="UNKNOWN" weightage="100" keywordseo="Tablets">tablets</keyword> in India.<br />
<br /> The company has entered into an alliance with <keyword id="611194" type="UNKNOWN" weightage="40" keywordseo="Happiest-Minds">Happiest Minds</keyword>, who are an IT solutions and services company headquartered in Bangalore, India. Together the two will research and develop cloud based apps, which will be exclusive to Datawind tablets.<br />
<br /> Together the companies also want to look at mobility solutions for healthcare and education sector of India. At the moment the equipments in the healthcare segment are on the costlier side. If this alliance manages to produce a low-cost solution for the health sector, like Datawind did for education segment with <keyword id="6380190" type="PERSON" weightage="100" keywordseo="Aakash">Aakash</keyword> tablets, then it will be an excellent opportunity for the government to again go with their solutions for government hospitals and dispensaries.<br />
<br /> But first, the companies are focusing on building the Datawind App store that will be aimed at first time <keyword id="6355645" type="COMPANY" weightage="40" keywordseo="android">Android</keyword> users and will be available on all Datawind tablets. <br />

The World Cheapest Tablet Maker Will Soon Give Cloud Based

 <br /> “Coal India Limited (<keyword id="63069" type="CITY" weightage="20" keywordseo="CIL">CIL</keyword>) is enhancing production through capacity addition from new projects, use of mass production technologies, and identification of existing ongoing projects with growth potential,” he said. He further said that CIL is in the process of getting more high-efficiency hydrostatic drills to increase its drilling capacity for exploration.<br />
 <br /> The <keyword id="172444" type="POSITION" weightage="20" keywordseo="coal-minister">coal minister</keyword> added that the Central Mine Planning &amp; Design Institute (CMPDIL), which undertakes exploration for CIL, has signed a Memorandum of Understanding (MoU) with Mineral Exploration Corporation (MEC) to boost exploration.<br />

Referring to the import of coal in spite of having huge reserves of coal, Goyal said, “India has adequate coal reserves for meeting its coal requirements and as such these reserves would be adequate to meet the coal requirement at the present demand level. The phone has 4GB internal storage and a microSD card slot that supports cards of up to 32GB capacity. The phone will also come with 10GB Spice Cloud storage space and 35GB Google Drive space.<br />
