<p><div class="image-container float_right" style="width:480px"><div class="image"><p class="source">REUTERS/Carlo Allegri</p><p class="caption"><keyword id="88011" type="COMPANY" weightage="60" keywordseo="american-airlines">American Airlines</keyword> and <keyword id="64086" type="COMPANY" weightage="60" keywordseo="US-Airways">US Airways</keyword> want their day in court sooner rather than later.</p></div></div>American Airlines and US Airways have filed a motion to set a trial date after the <keyword id="67869" type="ORGANIZATION" weightage="60" keywordseo="Department-of-Justice">Department of Justice</keyword> <a href="http://www.businessinsider.com/the-justice-department-is-suing-to-block-the-merger-of-american-and-united-airlines-2013-8" target="_blank">sued to block the two companies from merging</a> earlier this month.</p>
<p>The proposed day in court is November 12, which would give both parties just under three months to prepare (the DOJ filed its lawsuit August 12).</p>
<p>The DOJ requested 180 days, but the airlines say waiting that long "would be unprecedented and unreasonable," given that American Airlines is in bankruptcy.</p>
<p>In a statement, US Airways Chairman and CEO Doug Parker said both companies are willing to fight for the right to merge in court:</p>
<p style="padding-left: 30px;">We are eager to show that the DOJ's action would deny millions of customers access to a more competitive airline that will offer customers what they want, delivering significant benefits to consumers, communities and employees.</p>
<p style="padding-left: 30px;">The new American Airlines is predicated on growth. This merger is the foundation of American's plan to exit bankruptcy and is the cornerstone of American's and US Airways' plan to form a more competitive and cost-effective airline to take on the country's largest air carriers – Delta, United Airlines, and Southwest – and a number of fast-growing low-cost carriers, including Virgin America, JetBlue, Spirit, and Allegiant.</p>
<p style="padding-left: 30px;">We are committed to resolving this litigation and, if necessary, will pursue all legal options in order to achieve this merger.</p>
<p>The DOJ's move to block the merger was a surprise, given that it has given the green light to three major airline combinations in the past five years.</p>

While the deal still has to be approved by regulators, it's so far the biggest US to US marijuana merger, eclipsing <a href="https://www.businessinsider.com/marijuana-ma-harvest-health-acquires-verano-holdings-in-850-million-deal-2019-3">Harvest Health and Recreation's $850 million acquisition of Verano Holdings</a> and <a href="https://www.businessinsider.com/marijuana-retailer-cresco-labs-to-buy-origin-house-for-825-million-2019-4">Cresco Labs $825 million purchase of Origin House</a> in March and April respectively.</p><p>"W<span style="font-weight: 400;">e felt that it would be an incredibly complimentary transaction given that we could put the East Coast [Curaleaf is based in Massachusetts] and West Coast together," said Curaleaf CEO Joe Lusardi in an interview with Business Insider. "We're really excited to be able to pull this off."</span></p><p>Lusardi said that Select, Cura Partner's <keyword id="6354851" type="UNKNOWN" weightage="60" keywordseo="retail">retail</keyword> brand, is one of the "most recognized" cannabis and CBD oil brands in the Western US.</p><p><em><strong>Read more:</strong> <a href="https://www.businessinsider.com/canopy-growth-acreage-holdings-deal-could-spur-cannabis-ma-boom-2019-4">Top cannabis CEOs say Canopy Growth's $3.4 billion purchase of pot cultivator Acreage 'shakes the foundation of what has been true' and will spur a cannabis M&amp;A boom</a></em></p><p><span style="font-weight: 400;">The deal, in other words, boils down to a close to $1 billion bet on the power of consumer brands to shape the future of the cannabis industry. </span></p><p>Once approved the deal could include up to $200 million in earn-outs if Curaleaf hits certain revenue targets for its wholesale business and the Select brand by 2020. Cura shareholders will end up owning around 16% of the combined company when the deal goes through, the company said. Cura's CEO, Cameron Forni, will stay on as President of Select and will join the combined company's board. Jason White, a former Beats by Dre exec and chief marketing officer of Select, will stay on as the CMO of Curaleaf. </p><p>Eight Capital and GMP Securities acted as financial advisors to Curaleaf on the deal, and Canaccord Genuity and <span>Bayline Capital Partners advised Cura. </span><span>On the legal front, Loeb &amp; Loeb LLP and Stikeman Elliott LLP acted as advisors to Curaleaf, and Dentons US LLP and Goodmans LLP acted on behalf of Cura. </span></p><p><span>While Curaleaf's deal represents the biggest US marijuana transaction to date, it's a far cry from <a href="https://www.businessinsider.com/canopy-growth-acreage-holdings-deal-will-open-up-the-market-says-lawyer-2019-4">Canadian marijuana giant Canopy Growth's $3.4 billion acquisition of Acreage Holdings</a>.</span></p><p><span>But there is a key difference: Curaleaf and Select, when combined, brought in $205 million in revenue last year on a combined $5.85 billion dollar market cap, according to a deck reviewed by Business Insider. That's compared to Canopy Growth's monstrous $51 billion dollar market cap, though Canopy reported only around $61 million of revenue in its most recent quarterly earnings report. </span></p><p><span><div class="KonaFilter image-container display-table"><div><div class="image on-image"><p class="source"><span>Reuters</span></p><p class="caption">Cannabis is spurring an M&amp;A boom in the US.</p></div><p></p></div></div></span></p><h2><span>From a minority investment to a full-on acquisition</span></h2><p>Lusardi said the deal had been in the works for the past year-and-a-half, since Curaleaf's chairman, Boris Jordan - formerly the founder of the investment bank Renaissance Capital - made a minority investment in Cura.</p><p><span>"S<span style="font-weight: 400;">o we became familiar with the company and their management team and really admired them from a distance and saw how fast they're building their business as we were building ours," said Lusardi.</span></span></p><p><span><span style="font-weight: 400;">While Lusardi said that Curaleaf will remain "very inquisitive" about M&amp;A opportunities, he said the company's focus will remain on executing in the US rather than <a href="https://www.businessinsider.com/cannabis-investors-reveal-what-trends-theyre-chasing-this-year-2019-4">looking abroad to cannabis markets in Europe and South America</a>. <p><div class="KonaFilter image-container display-table float_right"><div><div class="image on-image"></div><p></p></div></div>New York (AFP) - US transporter XPO Logistics announced a deal Tuesday to buy France's much larger Norbert Dentressangle in a deal worth 3.24 billion euros ($3.56 billion) including acquired debt.</p><p>XPO said the takeover will move it into the top-10 rankings of global logistics firms, boosting total annual revenues to $8.5 billion by the time the merger is completed.</p><p>The deal will bring together XPO's 10,000 employees focused on North America with 42,350 staff staffing Norbert Dentressangle's business in 24 countries, mainly in Europe.</p><p>Last year, XPO reported revenues of $2.4 billion, and Norbert Dentressangle 5.1 billion euros ($5.6 billion).</p><p>XPO said the deal is worth 2.17 billion euros for Norbert Dentressangle shareholders. But there's one type of firm that may be even tougher than the others.</p><p>Business Insider spoke with a Wall Street intern who interviewed with a ton of banks, including Morgan Stanley, Goldman Sachs, Bank of America, and Jefferies Group.</p><p>The toughest wasn't any of the bulge brackets, but Jefferies, a boutique bank.</p><p>That was by far the most technical interview, the intern said.</p><p>"I think it's a general consensus that smaller firms tend to be a lot more technical," the intern said, because those firms have fewer resources for training.</p><p>"So they expect people to have a decent amount of technical knowledge before they go in."</p><p>Meanwhile, the bigger banks asked behavioural questions in addition to a few "standard" accounting questions - nothing that you wouldn't be expecting if you consult guides like <a href="http://www.wallstreetoasis.com/guide-to-finance-interviews">Wall Street Oasis</a> or <a href="http://www.mergersandinquisitions.com/">Mergers and Inquisitions</a>, according to the intern.</p><p>Those banks can afford to be more focused on fit, the intern said, because "if you're not good at modelling or financial accounting, or have never touched it, that's something they can teach you because they have the resources to."</p><p>(From what we've heard about training at the bulge brackets taking place this month, there are actually quite a few incoming interns who have no background in accounting or finance. They tend to come from prestigious universities and are expected to learn quickly on the job.)</p><p>As for the smaller and mid-size banks, it wasn't just the one intern who found them to be tough: "For Jefferies, when I talked to my friends, literally all of my friends were like, 'I bombed that interview. "The irony of tactical allocation that is valuation-based is that, because [of the way investors react], it prevents anyone from taking advantage of it," he said. Gibson pointed out that in 1930, 1954 and 1990, stocks had 10-year normalized P/E ratios of 16.6 but had varying returns over the next decade in each of those instances. "More than 15 percent compounded from 1990, but less than 5 percent after 1930," Jamieson reports.</p>

Banks also want candidates that are good at speaking with clients while in family offices " they care less about client relationship skills since you'll be doing mostly research and analysis when you first start."<br />4. Banks care about the Series 7 and Series 66 licenses because they are need to place trades, family offices care less about licenses because the roles tend to center on research.</p>
