Enviro Infra Engineers, which is involved in the development of turnkey projects of <keyword id="19979438" type="General" weightage="20" keywordseo="sewage-treatment-plants" source="keywords">sewage treatment plants</keyword> and sewerage systems, on Monday fixed a price band of ₹140-148 per share for its ₹650 crore <keyword id="19913114" type="General" weightage="20" keywordseo="Initial-Public-Offering" source="keywords">Initial Public Offering</keyword> (IPO). The initial share sale will open for public subscription on November 22 and conclude on November 26. The bidding for anchor investors will open for a day on November 21, the company announced. The city-based company's proposed IPO is a combination of a fresh issue of 3.87 crore equity shares and an Offer For Sale (OFS) component of 52.68 lakh shares by promoters. Currently, promoters hold over 93 per cent stake in Enviro Infra Engineers. At the higher end of the price band, the IPO is valued at ₹650 crore, placing the company's market capitalization at approximately ₹2,600 crore. Proceeds from the fresh issue to the tune of ₹181 crore will be used to meet the working capital requirements, ₹100 crore will be used for payment of debt, ₹30 crore will be infused into the company's subsidiary, EIEL Mathura Infra Engineers, to build 60 million litres per day Sewage Treatment Plant (STP) at Mathura in Uttar Pradesh. Besides, a portion will be used for general corporate purposes. Half of the issue size has been reserved for qualified institutional buyers, 35 per cent for retail investors and the remaining 15 per cent for non-institutional investors. Enviro Infra Engineers is engaged in designing, construction, operation and maintenance of water and wastewater treatment plants and water supply scheme projects for government authorities/bodies. The treatment process installed by the company at most of the STPs is zero liquid discharge-compliant and the treated water can be used for horticulture, washing, refrigeration, and other process industries. Hem Securities is the sole book-running lead manager of the public issue. The equity shares of the company are expected to be listed on the BSE and NSE on November 29. As of September 2024, <keyword id="4484133" type="General" weightage="20" keywordseo="NSE-Emerge" source="Orion">NSE Emerge</keyword> has 147 listed participants, while <keyword id="1885131" type="General" weightage="20" keywordseo="BSE-SME" source="Orion">BSE SME</keyword> has 155 market makers. Mounting an SME’s IPO is comparatively less stringent than their mainboard counterparts, as far as regulations are concerned since their DRHPs (draft red herring prospectus) are not filed with SEBI. So, wouldn’t a lenient treatment make them inherently riskier? Another SME, Maxposure, whose IPO was out in January 2024, had earned its investors listing gains worth 317.40%! Apparently, higher risks also mean higher returns, and also super high investment. Most SME IPOs need a minimum investment of Rs 1,00,000 or more, as opposed to mainboard IPOs, where you can buy one lot of shares for anywhere between Rs 14,000-15,000. Even the minimum trading lot size for SME shares is about 10,000. In short, you’d have to potentially empty your pockets to invest in an SME IPO. And still, there’s no guarantee that the listing will fill your wallets. For all you know, your pockets before and after the IPO is listed might stay the same - EMPTY! There's also the question of whether or not these SMEs are able to maintain their listing day mojo, or do they just fizzle out thereafter? Data from Prime Database highlights more instances of the latter. As of August 2024, about 166 SME IPOs had made it to the exchanges. Around 72 of them, or close to 50%, could not sustain their momentum going ahead, and were trading below their listing day prices. Consider this. The post listing gains of Medicamen Organics, whose IPO came out in June 2024, earned its investors massive listing gains of over 300%, by listing at Rs 137.85, significantly higher than its price issue price, which was set between Rs 32-34. But as of October 1, 2024, the stock was trading at Rs 64.2. Talk about falls. Additionally, risks of pump-and-dump, and illiquidity, among others makes SME IPOs dangerous See, you're largely venturing into unknown, pitch-dark territories, without much light to guide you. For starters, SME IPOs face less scrutiny from market watchdog SEBI. This also means they are able to list quickly, just 3-4 months. On the other hand, mainboard IPOs can take upto a year before they are cleared for listing. Also, there is far less information and disclosures available about their financials, fundamentals and performance to investors for making an informed decision, as compared to mainboard stocks. Then there’s the issue of illiquidity. Once purchased, you might find it hard to sell off your SME stocks, since they are not traded as frequently in the market, which means lower liquidity. Trivesh D, COO, Tradejini explains that liquidity is a major concern for such stocks. “These stocks typically have a smaller free float, and are traded in lots, which can lead to volatility and sharp price swings. This means it can be challenging for investors to buy or sell shares without significantly impacting prices. Additionally, speculative trading practices, like 'pump-and-dump' schemes, can inflate stock prices, leaving retail investors vulnerable to sudden drops”. Recently, SME IPOs have gained notoriety for price manipulation via showing fictitious sales and revenue in their books of accounts, selling of promoter holdings at inflated prices, and being the facade for many infamous pump and dump schemes. This is where select people create frenzy, or mass euphoria over a particular stock or company, causing its prices to soar, and then dumping them, or selling their shares at this massive price to make a killing! Infact, it's not just the promoters, but also the investment banks floating these IPOs. At present, SEBI is investigating around 6 investment banks which have allegedly charged SMEs a staggering 15% of funds raised via IPOs as fee, as opposed to the standard 1-3%. In March 2024, SEBI chairperson Madhabi Puri Buch had also highlighted witnessing signs of manipulation in the SME space. “We do see signs of manipulation in the SME segment. We are able to see certain patterns.” Buch had observed back then. A red flag you should look out for is if a company is only offering OFS, or Offer for Sale. This can indicate early investors looking to exit, potentially signaling weaker future growth. The RHP must be submitted to the registrar of companies three days before the public offering and must comply with SEBI regulations. Following this, the company applies to SEBI for IPO approval. The pricing of the IPO can be done through a Fixed Price Offering or a Book Building Offering, where a price range is announced, and investors bid within this range. Apple has claimed that the chipset on the iPhone 16 is 30% faster than the A16 Bionic chipset on the iPhone 15. It is claimed to deliver the same performance as its predecessor with 30% less power. The GPU performance is up to 40% faster than the iPhone 15’s GPU and is claimed to offer similar performance with 35% less power. The new chipset brings support for AAA games such as Resident Evil Biohazard and Assassin's Creed Mirage. It also brings support for the new Honor of Kings World. The chipset comes with hardware-accelerated ray tracing. The iPhone 16 and iPhone 16 Plus come with a host of new Apple Intelligence features. The new camera control feature will allow users to use the new “Visual Intelligence”. The device also comes with Emergency SOS and Find My Via Satellite in 17 countries. At the moment, this feature is not available in India. The Apple iPhone 16 and iPhone 16 Plus are equipped with a new 48MP primary camera with f/1.6 aperture and a 12MP ultra-wide-angle camera with autofocus and f/2.2 aperture. It can mark a promising business model and boost its long-term growth.Reddit recently made its successful <a target="_blank" class="" href="https://www.businessinsider.com/reddits-ipo-set-to-take-front-page-of-internet-public-2024-3">debut</a> on the public market, pricing its shares at the top of the expected valuation range. But Jesse Rose, Reddit's head of investor relations, told Business Insider that the company took some unconventional approaches to the launch, and the IPO process was long in the making.Business Insider's virtual event "<a target="_blank" href="https://www.businessinsider.com/events/the-road-to-ipo">The Road to IPO</a>," in collaboration with Fidelity, brought together a panel to discuss the key preparations, concerns, and decision-making strategies for business leaders looking to go public. Leaders from Reddit, Goldman Sachs, Brunswick Group, Latham &amp; Watkins, and Fidelity Private Shares joined us as panelists. Akin Oyedele, BI's investing deputy editor, moderated the conversation.Despite the whirlwind of issues that founders might be thinking about when launching an IPO, "readiness is the only thing to be focusing on because you can't control the markets, but you can control how you prepare for them," Elizabeth Reed, Goldman Sachs' global head of equity syndicate, said.Conducting mock earnings calls, for example, is something companies can do to prepare for a public-market transition. "The importance of mock earnings calls is probably underappreciated, and what they do is they help you get into a public-company rhythm," said Rose."Two years of sort of a pause, or a wait, was one of the best things that actually happened to Reddit," he said. "It gave us a chance to really think to practice being a public company without actually being one."Leaders also discussed the right time for launching an IPO. "One thing that people are often surprised by is how far in advance they really should be thinking about and preparing for IPO," said Kristen Craft, Fidelity Private Shares' vice president and business partner manager. "Generally speaking, we love to work with folks who are 24 or even 36 months pre-IPO."Ash Spiegelberg, a partner and the technology, media, and telecoms global lead at Brunswick Group, added that part of preparing for an IPO is understanding how stakeholders — such as investors, customers, employees, and government regulators — are involved in the process. Companies should be aware of "how multistakeholder these transactions have become," he said.Panelists emphasized the importance of aligning stakeholders with the company's objectives in going public. "While IPOs are fairly consistent, IPO to IPO, you can tailor your IPO to fit your company culture, your business needs," Rick Kline, Latham &amp; Watkins' Bay Area partner and chair of the technology-industry group, told BI.For example, Rose said that Reddit recognized it was a platform built on community, which prompted it to use company-specific features like "ask me anything" posts and subreddits to communicate with its audience about the IPO process. Diverging from typical IPO practices, Rose said, Reddit provided its eligible users with similar access to information on the launch as its management team and allowed them to buy shares at the IPO price.Before and after going public, Rose said, the company has valued transparency with its employees. "We make it so that the folks see how their contributions are impacting the earnings process," he said.Spiegelberg said that while the specific timing for an IPO is variable with every company, going public should be a stage that businesses look toward: "Getting into the public markets and getting on with it can just often be the best way to build a great company."
